ENTERTAINMENT, INC.\n                            2000 STOCK INCENTIVE PLAN\n\n1. Purposes of the Plan. The purposes of this Stock Incentive Plan \nare to attract and retain the best available personnel, to \nprovide additional incentive to Employees, Directors and \nConsultants and to promote the success of the Company's business.\n\n2. Definitions.
