AMENDMENT NO. 2 <\/strong><\/p>\n

TO <\/strong><\/p>\n

XEROX CORPORATION <\/strong><\/p>\n

DEFERRED COMPENSATION PLAN FOR DIRECTORS <\/strong>\n<\/p>\n

2007 AMENDMENT AND RESTATEMENT <\/strong><\/p>\n

WHEREAS, Xerox Corporation (the “Company”) has established
\nthe Xerox Corporation Deferred Compensation Plan for Directors, 2007 Amendment
\nand Restatement (the “Plan”), and<\/p>\n

WHEREAS, the Company desires to amend the Plan,<\/p>\n

NOW, THEREFORE, the Plan is hereby amended by amending Section 5 to read in
\nits entirety as follows:<\/p>\n

“Section 5<\/u>. Time of Election To Defer<\/u>. The
\nelection to defer will be made prior to the individual153s commencement of
\nservices as a Director for amounts to be earned for the remainder of the
\ncalendar year. In the case of an individual currently serving as a Director, the
\nelection to defer must be made on or before December 31 of any year for amounts
\nto be earned in a subsequent calendar year or years.”<\/p>\n

The foregoing amendment is effective as if originally
\nincluded in the 2007 Amendment and Restatement of the Plan. In all other
\nrespects the Plan shall remain unchanged.<\/p>\n

IN WITNESS WHEREOF, the Company has caused this Amendment to be signed as of
