Payments are, in general, only made<br \/>\nif performance objectives established by the Compensation Committee of the Board<br \/>\nof Directors (the &#8220;Committee&#8221;) are met.<\/p>\n<\/p>\n<p>The Committee approved incentive opportunities for 2011, expressed as a<br \/>\npercentage of base salary for each participating officer. Certain additional<br \/>\ngoals were established for some officers based on business unit goals. The<br \/>\nCommittee also established overall threshold, target and maximum measures of<br \/>\nperformance for the 2011 APIP.
