Section 4.(d) Office and Secretarial Support is \n                              ______________________________    \nhereby amended to add the following language.\n\n'As of April 1, 1997 and for the remaining Term of this Agreement, \nthe Company will no longer provide Consultant with office space \nbut will instead reimburse Consultant for office space expenses in \nthe amount of $3,167.00 per month.  The Company will continue to \nfurnish Consultant with full-time secretarial services as \ndescribed above in this Section 4.(d).'\n\nAll other provisions of such Agreement shall remain in full force \nand effect.\n\nPlease confirm this agreement by signing below and returning this \nletter to me at the above address.
