Section 4.(d) Office and Secretarial Support is \n                              ______________________________   \nhereby amended to add the following language.\n\n'As of August 1, 1997 and for the remaining Term of this \nAgreement, the Company will no longer provide Consultant with \nsecretarial services but will reimburse Consultant for secretarial \nservice expenses in the amount of $5,479.00 per month.  The \nCompany will continue to reimburse for office space expenses in \nthe amount of $3,167.00 per month.'\n\nAll other provisions of such Agreement shall remain in full force \nand effect.\n\nPlease confirm this agreement by signing below and returning this \nletter to me at the above address.
