Compton\n\nDate       July 22, 1996\n\nSubject    EMPLOYMENT AGREEMENT\n\nI am pleased to inform you that effective July 19, 1996, Aetna \nInc. has assumed all of the obligations of Aetna Services, Inc. \n(formerly Aetna Life and Casualty Company) under your Employment \nAgreement with Aetna Services, Inc.  All references to the \n'Company' in your Employment Agreement will hereinafter be deemed \nto mean both Aetna Services, Inc. and Aetna Inc.  Among other \nthings, this means that the Change in Control provisions of your \nEmployment Agreement would be triggered by a change in control of \neither Aetna Services, Inc. or Aetna Inc.\n\nBy way of background, Aetna Inc. became the ultimate parent within \nthe Aetna holding company system as a result of the merger with \nU.S. Healthcare.  Your Employment Agreement was entered into with \nAetna Services, Inc., which is now a direct subsidiary of Aetna \nInc.  We felt it would be appropriate for the new ultimate parent, \nAetna Inc., to assume these obligations to place you on an \nequivalent footing post-merger.\n\nThe assumption of your Employment Agreement is self-executing.  \nYou do not need to take any action in response to this letter.
