Parkcenter Blvd.\nBoise, ID   83706\n\nDear Peter:\n\nThis letter sets forth our agreement and  understanding  of an \namendment to the letter  agreement  entered  into  between  you and  \nAlbertson's,  Inc,  (the \"Company\") on January 26, 2001 (the \n\"Agreement\").\n\nParagraph 1(a) of the Agreement is amended by adding the following \nsentence to the end of such paragraph:\n\nUpon your Termination Date, you will become vested in 100% of your \naward of 100,000 deferred stock units granted to you on April 23, 2001.\n\nAll of the terms of the Agreement, as modified herein, shall remain in \nfull force and effect.\n\nThis   amendment  to  the   Agreement  may  be  executed  in  one  or  \nmore counterparts,  or duplicates of originals,  all of which, taken \ntogether,  shall constitute one and the same instrument.\n\nIf  this  statement  of  the  Company's   understanding  conforms  to  \nyour understanding, please execute and return the enclosed copy of \nthis letter to me.\n\n                                       Very truly yours,\n\n                                       ALBERTSON'S, INC.\n\n\n                                       \/s\/  Michael F.
