Rossin"},"content":{"rendered":"<pre>                      AMENDMENT TO EMPLOYMENT AGREEMENT OF\n                                  TED F. ROSSIN\n\n     This is an Extension and Amendment made on the 12th day of November, 2001\nto the EMPLOYMENT AGREEMENT dated October 15, 1998 between BANNISTER STEEL INC.,\na California corporation (the \"Company\"), SCHUFF INTERNATIONAL, INC. (fka Schuff\nSteel Company), a Delaware corporation (the \"Parent\"), and TED F. ROSSIN, an\nindividual (\"Executive\").\n\n                                    RECITALS\n\n     The parties desire to amend the EMPLOYMENT AGREEMENT on the terms and\nconditions set forth herein.\n\n     NOW THEREFORE, in consideration of the mutual covenants, agreements,\nrepresentations, and warranties contained herein and for other good and valuable\nconsideration, the receipt and sufficiency of which are hereby acknowledged, the\nparties agree as follows:\n\n     1.   No further stock options will be granted pursuant to Paragraph 5 of\n          the Employment Agreement and Schedule A thereto, entitled \"Incentive\n          Stock Option Plan.\"\n\n     2.   Executive will receive an additional annual cash bonus payment in the\n          amount of $ 1 per share for each option that would have been granted\n          to Executive, but for this AMENDMENT.\n\n     Except as specifically amended herein, the EMPLOYMENT AGREEMENT remains in\nfull force and effect.\n\n     In witness whereof, the parties have executed this AMENDMENT TO THE\nEMPLOYMENT AGREEMENT of the date written above.\n\n     SCHUFF INTERNATIONAL, INC.
