Ivey"},"content":{"rendered":"<pre>                    FIRST AMENDMENT TO EMPLOYMENT AGREEMENT\n\n\n     THIS FIRST AMENDMENT TO EMPLOYMENT AGREEMENT (the \"Amendment\") is entered\ninto among ENCOMPASS MANAGEMENT CO., a Delaware corporation (the \"Company\"),\nENCOMPASS SERVICES CORPORATION, a Texas corporation (\"Encompass\"), and JOSEPH M.\nIVEY (\"Employee\").\n\n     The Company, Encompass and Employee have previously entered into an \nEmployment Agreement dated effective as of March 28, 2000 (the \"Employment \nAgreement\"). The Employee has requested, and the Compensation Committee of \nEncompass has approved, amendments to the severance provisions of the Employment\nAgreement.\n\n     For good and valuable consideration, the receipt and sufficiency of which \nis acknowledged, the Employment Agreement is amended as follows:\n\n     1.  Termination. Clause (B) of Subparagraph (c)(i) of Section 9 is amended \n         -----------\nin its entirety to read as follows:\n\n              \"(B) the amount of Employee's target bonus established by the\n         Compensation Committee of Encompass at the beginning of the calendar\n         year in which such termination occurs, which shall not be less than\n         120% of the Annual Base Salary for such year,\"\n\n     2.  Ratification and Affirmation. The Employment Agreement, as amended \n         -----------------------------\nhereby, is ratified and affirmed, and shall continue in full force and effect as\nset forth therein and amended hereby.\n\n\n \n \nIN WITNESS WHEREOF, the Company and Employee have executed this Agreement \neffective as of March 1, 2001.\n  \n                                      COMPANY:\n\n\n                                      ENCOMPASS MANAGEMENT CO.\n\n\n                                      By: \/s\/ GARY H.
