Kinder"},"content":{"rendered":"<pre>\n\n          SEVENTH AMENDMENT TO EMPLOYMENT AGREEMENT\n\n\n     This Agreement, made and entered into and effective as\nof the 30th day of November, 1994, by and among Enron Corp.\n(Company'), and Richard D. Kinder ('Employee'), is an\namendment to that certain Employment Agreement between the\nparties effective September 1, 1989 (the 'Employment\nAgreement').\n\n     WHEREAS, the parties desire to amend the Employment\nAgreement to provide for Employee and Company to establish a\nprogram for survivor life insurance;\n\n     WHEREAS, Employee has certain rights and post\nretirement benefits under the terms and provisions of the\nEnron Executive Supplemental Survivor Benefits Plan and the\nHouston Natural Gas Corporation and Subsidiaries Executive\nPost-Retirement Salary Continuation Agreement;\n\n     NOW, THEREFORE, in consideration thereof, and of the\nmutual covenants contained herein, the parties agree as\nfollows:\n\n     1.   As consideration for Employee entering into this\nSeventh Amendment to Employment Agreement, Employee shall\nreceive a payment in the amount of Fifty-Six Thousand Three\nHundred and No\/100 Dollars ($56,300.00) on or before\nNovember 30, 1994 and eight (8) annual payments of One\nHundred Twenty-One Thousand Two Hundred Forty-Five and\nNo\/100 Dollars ($121,245.00) each on or before each March 1\nin the years 1995 through 2002.  Notwithstanding any\nprovision to the contrary in the Employment Agreement and\nany amendments thereto, the consideration described in this\nParagraph 1 of the Seventh Amendment to the Employment\nAgreement shall be paid to Employee in any and all events,\nin accordance with the provisions herein.\n\n     2.   Article 3, Section 3.3 Other Employee Benefits\nshall be amended by adding the following language:\n\n     Employee irrevocably waives, renounces and forfeits any\n     and all rights to post retirement benefits under the\n     Enron Executive Supplemental Survivor Benefits Plan and\n     all benefits under the Houston Natural Gas Corporation\n     and Subsidiaries Executive Post-Retirement Salary\n     Continuation Agreement between Employee and Houston\n     Natural Gas Corporation dated July 1, 1985.\n\n     3.   This Agreement is an amendment to the Employment\nAgreement, and the parties agree that all other terms,\nconditions and stipulations contained in the Employment\nAgreement shall remain in full force and effect and without\nany change or modification, except as provided herein.\n\n     IN WITNESS WHEREOF, the parties have duly executed this\nAgreement as of the date first above written.\n\n\nENRON CORP.\n\n\nBy:    JOHN H.
