White Jr."},"content":{"rendered":"<pre>\n           FIRST AMENDMENT TO EMPLOYMENT AGREEMENT\n\n\n   This Agreement, made and entered into and effective\nas of the 9th day of September, 1991, by and between\nEnron Power Corp., a Delaware corporation ('EPC') and\nThomas E. White, Jr. ('Employee'), an individual, is\nan amendment to that certain Employment Agreement\nentered into between the parties the 1st day of July,\n1990.\n\n   WHEREAS, the parties desire to amend the\nEmployment Agreement;\n\n    NOW, THEREFORE, in consideration of the Employee's\ncontinued employment with Company and of the covenants\ncontained herein, the parties agree as follows:\n\n     1.   The Term set forth on Exhibit A to the\n          Employment Agreement is amended to extend\n          until the last day of June, 1996.\n\n     2.   This Agreement is an amendment to the\n          Employment Agreement, and the parties agree\n          that all other terms, conditions and\n          stipulations contained in the Employment\n          Agreement shall remain in full force and\n          effect and without any change or\n          modification, except as provided herein.\n\n     IN WITNESS WHEREOF, the parties have duly\nexecuted this Agreement as of the date first above\nwritten.\n\n                                 ENRON POWER CORP.\n                                 \n                                 \n                                 By:  DAVID H.
