White Jr."},"content":{"rendered":"<pre>\n          SECOND AMENDMENT TO EMPLOYMENT AGREEMENT\n\n\n     This Agreement, entered into and made effective as of\nMay 2, 1994, by and between Enron Power Corp. ('Company'), a\nDelaware corporation having its headquarters at 1400 Smith\nStreet, Houston, Texas 77002, Enron Operations Corp.\n('EOC'), a Delaware corporation having its headquarters at\n1400 Smith Street, Houston, Texas 77002, and Thomas E.\nWhite, Jr. ('Employee'), an individual residing in Houston,\nTexas, is an amendment to that certain Employment Agreement\nbetween the parties entered into and made effective as of\nJuly 1, 1990 (the 'Employment Agreement').\n\n     WHEREAS, the parties desire to amend the Employment\nAgreement to provide for assignment of the Employment\nAgreement by Company to, and assumption of the Employment\nAgreement by, EOC, and to make other amendments to the\nEmployment Agreement as provided herein;\n\n     NOW, THEREFORE, for and in consideration of the mutual\ncovenants contained herein, the parties agree as follows:\n\n1.   The Employment Agreement is assigned by Company to, and\nassumed by, EOC.  Any reference to the 'Company' in the\nEmployment Agreement shall mean EOC.  Employee consents to\nsuch assignment and assumption, and releases Company from\nevery obligation under the Employment Agreement.  EOC\nassumes every obligation of Company under the Employment\nAgreement.\n\n2.   The Term of Employment set forth in Exhibit 'A' to the\nEmployment Agreement is amended to provide that the Initial\nTerm shall extend to and terminate on the last day of the\nmonth of June, 1998 or on any subsequent date as may be\nagreed upon in writing by Employee and Company.\n\n3.   In consideration hereof, Company hereby awards to\nEmployee a grant of One Hundred Thousand (100,000) stock\noptions from the Enron Corp. 1991 Stock Plan effective May\n2, 1994, which is attached hereto as Exhibit 'A'.\n\n\nThis Agreement is a second amendment to the Employment\nAgreement, and the parties agree that all other terms,\nconditions and stipulations contained in the Employment\nAgreement, and any amendments thereto, shall remain in full\nforce and effect and without any change or modification,\nexcept as provided herein.\n\n\n     IN WITNESS WHEREOF, the parties have duly executed this\nAgreement as of the date first above written.\n\n\nENRON POWER CORP. \n\n\nBy:   RICHARD D.
