Thomas Nulty"},"content":{"rendered":"<pre>                       AMENDMENT TO EMPLOYMENT AGREEMENT\n\n\n     This AMENDMENT TO EMPLOYMENT AGREEMENT (this \"Amendment\") is made and\n                                                   ---------              \nentered into as of January 22, 2001 by and among Navigant International, Inc., a\nDelaware corporation (the \"Company\"), and C. Thomas Nulty (\"Employee\").\n\n                                 RECITAL\n                                 -------\n\n     WHEREAS the Company and the Employee are parties to an Employment\nAgreement, dated as of May 17, 1999 (the \"Agreement\"), which the parties now\ndesire to amend as set forth herein.\n\n                                 AGREEMENT\n                                 ---------\n\n     NOW THEREFORE, in consideration of the mutual promises herein made and for\nother good and valuable consideration, the sufficiency of which is hereby\nacknowledged, the Company and Employee hereby agree as follows:\n\n     Section 1.  Amendments.\n                 ---------- \n\n          (a) Employment; Term.  Section 1 of the Agreement is deleted, and\n              ----------------                                             \n     replaced with a new Section 1 reading as follows:\n\n          The Company hereby employs Employee to perform the duties described\n     herein, and Employee hereby accepts employment with the Company, for a term\n     beginning on May 17, 1999 and continuing until this Agreement is terminated\n     as provided herein (the \"Term\").\n\n          (b) Termination; Rights on Termination.  Section 6 of the Agreement is\n              ----------------------------------                                \n     amended by deleting the introductory phrase of that section, and replacing\n     it with the following:\n\n          This Agreement may be terminated in any of the following ways:\n\n\n     Section 2.  Effect.  Except as specifically amended by this Amendment, the\n                 ------                                                        \nAgreement will remain in full force and effect.  All references to the\n\"Agreement\" in the Agreement will hereafter be deemed to refer to the Agreement\nas amended hereby.\n\n     Section 3.  Miscellaneous.\n                 ------------- \n\n          (a) Definitions.  Capitalized terms used and not defined herein have\n              -----------                                                     \n     the meanings given to such terms in the Agreement.\n\n          (b) Counterparts.  This Amendment may be executed in one or more\n              ------------                                                \n     counterparts, each of which shall be deemed an original but all of which\n     together shall constitute one and the same instrument.\n\n \n          (c) Governing Law.
