Griffith"},"content":{"rendered":"<pre>                          AMENDMENT TO EMPLOYMENT AGREEMENT\n\n\n     This AMENDMENT TO EMPLOYMENT AGREEMENT (this 'Amendment') is made and \nentered into as of June ___, 1998 by and among Professional Travel \nCorporation, a Colorado corporation (the 'Assignor'), Navigant International, \nInc., a Delaware corporation ('Assignee'), and Robert C. Griffith \n('Employee').  This Amendment will become effective on the date of the \nconsummation of the transactions contemplated by the Agreement and Plan of \nDistribution by and among U.S. Office Products Company, Assignee, and \ncertain other parties, to be dated as of June 9, 1998.\n\n                                       RECITAL\n\n     WHEREAS Assignor and Employee are parties to an Employment Agreement, \ndated as of January 24, 1997 (the 'Agreement'), which Assignor now desires to \nassign to Assignee and which Assignor, Assignee and Employee now desire to \namend as set forth herein; and\n\n     WHEREAS U.S. Office Products Company, a Delaware corporation, has \ncertain rights and obligations under the Agreement, and desires to assign all \nof such rights (other than with respect to its 'Confidential Information' as \ndefined in the Agreement) and obligations to Navigant International, Inc., a \nDelaware corporation, and Navigant International, Inc. desires to accept and \nassume all of such rights and obligations;\n\n                                      AGREEMENT\n\n     NOW THEREFORE, in consideration of the mutual promises herein made and \nfor other good and valuable consideration, the sufficiency of which is hereby \nacknowledged, Assignor, Assignee and Employee hereby agree as follows:\n\n     Section 1. Assignment.  Assignor hereby assigns to Assignee all of \nAssignor's right, title and interest in and to the Agreement, and Assignee \nhereby accepts such assignment and assumes, accepts responsibility for, and \nagrees to pay, perform, and discharge all of Assignor's liabilities and \nobligations under the Agreement.  Employee hereby consents to such assignment \nand assumption.  As a result of this assignment and assumption, all of the \nrights and obligations of Assignor under the Agreement hereby become the \nrights and obligations of Assignee, and Assignor will have no further rights \nor obligations under the Agreement, and all provisions of the Agreement, \nincluding any accompanying Exhibits or Schedules, relating or referring to \nAssignor or the 'Company' will hereafter be deemed to relate or refer to \nAssignee.\n\n     Section 2. Amendments.\n\n            (a) Names.  Throughout the Agreement, including any accompanying \nExhibits or Schedules, the words 'U.S. Office Products Company' are hereby \ndeleted and replaced with the words 'Navigant International, Inc.' and the \nabbreviation 'USOP' is hereby deleted and replaced with the abbreviation \n'Navigant,' except that any reference to the agreement pursuant to which U.S. \nOffice Products Company acquired its interest in Assignor will be deemed to \nrefer to such agreement as the rights and obligations of U.S. Office Products \nCompany thereunder have been assigned to Navigant International, Inc.\n\n                                       1\n\n\n\n\n\n            (b) Effect.  As a result of the amendments set forth in Section \n2(a), all of the rights and obligations of U.S. Office Products Company under \nthe Agreement will become the rights and obligations of Navigant \nInternational, Inc., and U.S. Office Products Company will have no further \nrights or obligations under the Agreement, and all provisions of the \nAgreement, including any accompanying Exhibits or Schedules, relating or \nreferring to U.S. Office Products Company, USOP, or USOP's Travel Division \nwill hereafter be deemed to relate or refer to Navigant International, Inc., \nexcept that any reference to the agreement pursuant to which U.S. Office \nProducts Company acquired its interest in Assignor will be deemed to refer to \nsuch agreement as the rights and obligations of U.S. Office Products Company \nthereunder have been assigned to Navigant International, Inc.  \nNotwithstanding anything to the contrary contained in this Amendment, U.S. \nOffice Products Company will continue to enjoy its pre-existing third-party \nbeneficiary rights under provisions of the Agreement concerning 'Confidential \nInformation' (as defined in the Agreement).\n\n            (c) Position and Duties.  Section 2 of the Agreement is hereby \namended to delete the first two sentences of such Section in their entirety \nand replace them with the following:\n\n            'The Company hereby employs Employee as Treasurer and \n            Chief Financial Officer of the Company.  As such, \n            Employee shall have the responsibilities, duties and \n            authority reasonably accorded to and expected of the \n            Treasurer and Chief Financial Officer of the Company.'\n\n            (d) Base Salary.  Section 3(a) (Base Salary) of the Agreement is \nhereby amended to delete the word '$150,000' and replace it with the word \n'$200,000'.\n\n            (e) Incentive Bonus.  Section 3(b) (Incentive Bonus) of the \nAgreement is hereby amended to delete the text of such Section in its \nentirety and replace it with the following:\n\n            'Incentive Bonus.  During the Term, Employee shall be \n            eligible to receive an incentive bonus up to the amount, \n            based upon the criteria and payable at such time or times \n            as are determined by the President of the Company, in \n            accordance with the Company's practices and policies \n            and consistent with the Company's budgets, as approved \n            by the Board of Directors of the Company.'\n\n            (f) Notice.  The 'Notice' provision of the Agreement is hereby \namended to delete the names and addresses of Professional Travel Corporation \nand U.S. Office Products Company and replace them with the following:\n\n            'To the Company:    Navigant International, Inc.\n                                84 Inverness Circle East\n                                P.O. Box 6604\n                                Englewood, CO 80155-6604\n                                Attention: Chief Executive Officer\n\n            with a copy to:     Navigant International, Inc.\n                                84 Inverness Circle East\n                                P.O. Box 6604\n                                Englewood, CO 80155-6604\n\n                                       2\n\n\n\n                                Attention: General Counsel'\n\n     Section 3. Effect.  Except as specifically amended by this Amendment, \nthe Agreement will remain in full force and effect.  All references to the \n'Agreement' in the Agreement will hereafter be deemed to refer to the \nAgreement as amended hereby.\n\n     Section 4. Miscellaneous.\n\n            (a) Definitions.  Capitalized terms used and not defined herein \nhave the meanings given to such terms in the Agreement.\n\n            (b) Counterparts.  This Amendment may be executed in one or more \ncounterparts, each of which shall be deemed an original but all of which \ntogether shall constitute one and the same instrument.\n\n            (c) Governing Law.
