{"id":39528,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/employment-agreement-revlon-consumer-products-corp-and-george.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"employment-agreement-revlon-consumer-products-corp-and-george","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/compensation\/employment-agreement-revlon-consumer-products-corp-and-george.html","title":{"rendered":"Employment Agreement &#8211; Revlon Consumer Products Corp. and George Fellows"},"content":{"rendered":"<pre>\n                         EMPLOYMENT AGREEMENT AMENDMENT\n                         ------------------------------\n\n\n         Amendment to Employment Agreement dated as of January 1, 1997 (the\n'Agreement') between REVLON CONSUMER PRODUCTS CORPORATION, a Delaware\ncorporation (the 'Company') and George Fellows (the 'Executive').\n\n         The Company and the Executive wish to amend the Employment Agreement\non the terms set forth in this agreement (the 'Amendment'), capitalized terms\nused herein and not otherwise defined being used herein with the meanings\nascribed to them in the Agreement. Accordingly, the Company and the Executive\nhereby agree as follows:\n\n         1. Salary. The first sentence of Section 3.1 of the Agreement is\nhereby amended by deleting the portion of said sentence following the date\n'1997' appearing in the fourth line and substituting therefore the following:\n\n         'and not less than $1,800,000 during the balance of the Term (the \n'Base Salary').'\n\n         2. End-of-Term Provisions. Section 2.2 of the Agreement is hereby\namended by adding at the end thereof the following:\n\n         ', and the Executive shall be deemed to be an employee at will.'\n\n         3. Stock Options. Section 3.3 of the Agreement is hereby amended by\nadding at the end thereof the following:\n\n         ', provided that if the Term shall end otherwise than at a calendar\nyear end, the stock option granted with respect to such final year of the Term\nshall cover that number of shares that is the product of multiplying the number\nof shares above set forth by a fraction of which the numerator is the number of\ndays of the Term during such final year and the denominator is 365.'\n\n         4. Company Breach; Other Termination. Clause (i) of Section 4.4 of the\nAgreement is hereby amended by adding at the end thereof the following:\n\n         ', and provided finally that the Executive shall, as a condition,\nexecute such release, confidentiality, non-competition and other covenants as\nwould be required in order for the Executive to receive payments and benefits\nunder the Policy referred to in clause (ii) below'\n\n         5. Entire Agreement. This Amendment sets forth the entire agreement\nand understanding of the parties with respect to the amendment of the\nAgreement. Except as expressly amended hereby, the Agreement shall not be\ndeemed to have been modified or affected in any way, shall be deemed to have\nbeen restated effective the date hereof, and shall remain in full force and\neffect upon all of its terms and conditions.\n\n\n         IN WITNESS WHEREOF, the parties have executed this Amendment as of the\n9th day of April, 1998.\n\n\n\n                                            REVLON CONSUMER PRODUCTS CORPORATION\n\n                                            By: \/s\/ Wade H.
