First Amendment to
\nEmployment Agreement\n\n\n<\/p>
This First Amendment to Employment Agreement, dated as of July 18, 2001 (the\n\u0093Amendment\u0094) is entered into by and between United Defense Industries, Inc., a\nDelaware corporation (the \u0093Company\u0094) and David V. Kolovat (the \u0093Executive\u0094) for\nthe purpose of amending the provisions of that certain Employment Agreement\ndated as of May 21, 1999 between the Company and the Executive (the\n\u0093Agreement\u0094).\n\n<\/p>
WHEREAS, the Company and the Executive desire to amend the Agreement in the\nrespects set forth below, in order to further clarify certain of its provisions\nand for their mutual benefit and convenience;\n\n<\/p>
NOW THEREFORE, in consideration of the premises and covenants herein contained\nand other good and valuable consideration, the receipt and sufficiency of which\nis hereby acknowledged, the parties do hereby agree as follows:\n\n<\/p>
\n<\/p><\/pre>\n\n\n
1.<\/td>\n <\/td>\nSubsection 1(k) of the Agreement is hereby deleted and replaced with the
\nfollowing:<\/td>\n<\/tr>\n<\/table>\n
\u0093(k)    The Executive shall have \u0093Good Reason\u0094 to terminate his employment in the
\nevent that the Company either (i) fails to make any payment or provide any
\nbenefit hereunder or commits a material breach of this Agreement and does not
\ncure such failure or breach after notice and a reasonable opportunity to cure,
\nor (ii) gives to the Executive a notice of non-extension under Subsection 2(b).
\nAs used in the preceding sentence, a \u0093material breach\u0094 of this Agreement
\nshall, without limitation, include any of the following events:<\/p>\n<\/p>\n\n\n\n\n\n\n\n\n\n\n
 <\/td>\n(i)<\/td>\n <\/td>\nTermination of Executive\u0092s employment, other than for Cause or
\nby reason of Executive\u0092s death or voluntary retirement or
\nresignation;<\/td>\n<\/tr>\n
 <\/td>\n<\/tr>\n
 <\/td>\n(ii)<\/td>\n <\/td>\nReduction in Executive\u0092s salary and\/or Bonus Plan eligibility;<\/td>\n<\/tr>\n
 <\/td>\n<\/tr>\n
 <\/td>\n(iii)<\/td>\n <\/td>\nRelocation of Executive\u0092s current Washington, D.C.
\nmetropolitan area employment location, without Executive\u0092s prior
\nwritten consent;<\/td>\n<\/tr>\n
 <\/td>\n<\/tr>\n
 <\/td>\n(iv)<\/td>\n <\/td>\nSubstantial diminution of Executive\u0092s job responsibilities,
\nwithout Executive\u0092s prior written consent; or<\/td>\n<\/tr>\n
 <\/td>\n<\/tr>\n
 <\/td>\n(v)<\/td>\n <\/td>\nExecutive\u0092s immediate supervisor occupying a lesser position
\nthan is occupied by such supervisor as of the date of execution of
\nthis Agreement.\u0094<\/td>\n<\/tr>\n<\/table>\n

 <\/h5>\n<\/p>\n\n\n\n\n
2.<\/td>\n <\/td>\nTo conform the Agreement to the change which the Company put into effect in
\nSeptember, 2000, Subsection 5(b) of the Agreement is hereby amended by deleting
\ntherefrom the term, \u009336%\u0094 and replacing same with the term, \u009355%\u0094.<\/td>\n<\/tr>\n
 <\/td>\n<\/tr>\n
3.<\/td>\n <\/td>\nAll references in the Agreement to \u0093the Agreement\u0094 or \u0093this Agreement\u0094 shall
\nmean the Agreement as modified by this Amendment. As so modified, the
\nAgreement shall continue in full force and effect.<\/td>\n<\/tr>\n<\/table>\n

\nparties hereto as of the date first set forth above.<\/p>\n
