{"id":39952,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/first-amendment-to-edcp-hewlett-packard.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"first-amendment-to-edcp-hewlett-packard","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/compensation\/first-amendment-to-edcp-hewlett-packard.html","title":{"rendered":"First Amendment to EDCP &#8211; Hewlett-Packard"},"content":{"rendered":"<p align=\"center\"><strong>FIRST AMENDMENT TO THE HEWLETT-PACKARD<br \/>\nCOMPANY<\/strong><\/p>\n<p align=\"center\"><strong>EXECUTIVE DEFERRED COMPENSATION PLAN<\/strong><\/p>\n<p align=\"center\"><strong>(Amended and restated effective October 1,<br \/>\n2004)<\/strong><\/p>\n<p align=\"center\">\n<p>The Hewlett-Packard Company Executive Deferred Compensation Plan, as amended<br \/>\nand restated effective October 1, 2004, is hereby amended, effective December 1,<br \/>\n2010, to provide as follows:<\/p>\n<\/p>\n<p>1. The fourth and fifth sentence of Section 8.1 of the Plan shall be amended<br \/>\nin their entirety to read as follows:<\/p>\n<\/p>\n<p>&#8220;The Plan Committee (or its delegate) shall have sole discretion to determine<br \/>\nwhether to approve any hardship withdrawal, which amount will be limited to the<br \/>\namount necessary to meet the emergency and is subject to a minimum of $10,000.<br \/>\nThe decision of the Plan Committee (or its delegate) will be final and binding<br \/>\non all interested parties.&#8221;<\/p>\n<\/p>\n<p>2. Section 11.2 of the Plan shall be amended in its entirety to read as<br \/>\nfollows:<\/p>\n<\/p>\n<p>&#8220;11.2 <u>Rules; Claims for Benefits<\/u>. The Plan Committee shall adopt and<br \/>\nestablish such rules and regulations with respect to the administration of the<br \/>\nPlan as it deems necessary and appropriate, including procedures regarding a<br \/>\nclaim for benefits under the Plan by a Participant or Beneficiary. To the extent<br \/>\nrequired by law, completion of such claims procedures shall be a mandatory<br \/>\nprecondition that must be complied with prior to commencement of a legal or<br \/>\nequitable action by a person claiming rights under the Plan. The Plan Committee<br \/>\nand the claimant may by mutual agreement waive the procedures as a mandatory<br \/>\ncondition to such action. In no event shall the claims procedure be applied to<br \/>\ncircumvent or have the effect of modifying either the manner of payment or the<br \/>\ntime of commencement of payment under the terms of the Plan.&#8221;<\/p>\n<\/p>\n<p>3. Section 19 of the Plan (&#8220;Qualified Domestic Relations Orders&#8221;) shall be<br \/>\ndeleted.<\/p>\n<\/p>\n<p>4.
