{"id":40008,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/incentive-compensation-plan-stock-option-agreement.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"incentive-compensation-plan-stock-option-agreement","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/compensation\/incentive-compensation-plan-stock-option-agreement.html","title":{"rendered":"Incentive Compensation Plan Stock Option Agreement (Non-Qualified) &#8211; Hewlett-Packard Co."},"content":{"rendered":"<pre>[HEWLETT-PACKARD LOGO]\n\n\n\n\n                             HEWLETT-PACKARD COMPANY\n       INCENTIVE COMPENSATION PLAN STOCK OPTION AGREEMENT (NON-QUALIFIED)\n\n       THIS AGREEMENT, dated , between HEWLETT-PACKARD COMPANY, a California\ncorporation ---------------------- (hereinafter called 'Company') and (the\n'Employee'), an employee of , --------------------------- is entered into as \nfollows:\n\n\n                                   WITNESSETH:\n\n         WHEREAS, the Company has established the Hewlett-Packard Company \n1985 Incentive Compensation Plan (the 'Plan') a copy of which is attached \nhereto as Exhibit 'A' and made a part hereof; and\n\n         WHEREAS, the Executive Compensation and Stock Option Committee of \nthe Board of Directors (the 'Committee') has determined that the Employee \nshall be granted an option under the Plan as hereinafter set forth below;\n\n         NOW THEREFORE, the parties hereby agree that in consideration of \nservices rendered and to be rendered, the Company grants the Employee an \noption (the 'Option') to purchase ------------- shares of its $1 par value \nvoting Common Stock upon the terms and conditions set forth herein.\n\n1.   This Option is granted under and pursuant to the Plan and is subject to\n     each and all of the provisions thereof.\n\n2.   The Option price shall be $_____________ per share.\n\n3.   This Option is not transferable by the Employee otherwise than by will or\n     the laws of descent and distribution, and is exercisable only by the\n     Employee during his lifetime. This Option may not be transferred, assigned,\n     pledged, or hypothecated by the Employee during his lifetime, whether by\n     operation of law or otherwise, and is not subject to execution, attachment\n     or similar process.\n\n4.   This Option may not be exercised before the first anniversary of the date\n     hereof, nor may it be exercised as to more than one-fourth the number of\n     shares covered herein before the second anniversary hereof, nor may it be\n     exercised as to more than one-half the number of shares covered herein\n     before the third anniversary hereof. Notwithstanding the foregoing this\n     Option shall become exercisable in full upon the retirement of the Employee\n     because of age or permanent and total disability, or upon his death.\n\n5.   This Option will expire ten (10) years from the date hereof, unless sooner\n     terminated or cancelled in accordance with the provisions of the Plan.\n\n6.   This Option shall be exercised by delivering to the Secretary of the\n     Company at its head office a written notice stating the number of shares as\n     to which the Option is exercised; provided, however, that no such exercise\n     shall be with respect to fewer than twenty-five shares or the remaining\n     shares covered by the Option if fewer than twenty-five. The written notice\n     must be accompanied by payment of the full Option price for such shares.\n     Payment may be in cash or shares of the Company's Common Stock, or a\n     combination thereof; provided, however, that any payment in shares shall be\n     in strict compliance with all procedural rules established by the\n     Committee.\n\n7.   All rights of the Employee in this Option, to the extent that it has not\n     been exercised, shall terminate upon the death of the Employee (except as\n     hereinafter provided) or termination of his employment for any reason other\n     than retirement because of age or permanent and total disability, and in\n     case of such retirement three (3) months from the date thereof; provided,\n     however, the Employee may, by written notice to the Secretary of the\n     Company, designate one or more persons, including his legal representative,\n     who shall by reason of the Employee's death acquire the right to exercise\n     all or a portion of the employee's rights under this Option. The person so\n     designated must exercise the Option within one year after the death of the\n     Employee. The person designated to exercise the Option after the Employee's\n     death shall be bound by the provisions of the Plan.\n\n8. The Employee may change the above designation at his pleasure by filing\n     with the Secretary of the Company a written notice of change.\n\n10.
