{"id":40163,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/nonemployee-director-stock-option-plan-united-technologies3.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"nonemployee-director-stock-option-plan-united-technologies3","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/compensation\/nonemployee-director-stock-option-plan-united-technologies3.html","title":{"rendered":"Nonemployee Director Stock Option Plan &#8211; United Technologies Corp."},"content":{"rendered":"<pre><p align=\"CENTER\">UNITED TECHNOLOGIES CORPORATION<br>\nAND SUBSIDIARIES<\/p>\n\n<p align=\"CENTER\">NONEMPLOYEE DIRECTOR STOCK OPTION PLAN<\/p>\n<b>\n\n<\/b><p align=\"CENTER\">Amendment 2<\/p>\n<b>\n\n<\/b><p align=\"JUSTIFY\">Whereas, the United Technologies\nCorporation Nonemployee Director Stock Option Plan (the 'Plan') provides for an\nannual grant of non-qualified stock options with a value of $70,000, as determined by the\nBlack Scholes Valuation Model; and<\/p>\n<b>\n\n<\/b><p align=\"JUSTIFY\">Whereas the Board of Directors has\ndetermined that the number of stock options shall be subject to further adjustment based\non an assessment of relevant benchmark data concerning compensation for nonemployee\ndirectors in a manner similar to the utilization of benchmark data for calculating the\nnumber of options to be awarded under the Corporation's Long Term Incentive Plan;<\/p>\n<b>\n\n<\/b><p align=\"JUSTIFY\">Now therefore, the Plan is hereby\namended effective April 27, 2001 as follows:<\/p>\n\n<p>1.    Section 5(a) of the Plan is amended\nand restated as follows:<\/p>\n<b>\n\n<\/b><p>5.    Grant of Stock Options<\/p>\n\n<blockquote>\n  <p align=\"JUSTIFY\">(a)    On the date of the\n  Corporation\u0092s annual meeting of shareowners in each year for so long as the Plan\n  remains in effect (the 'Grant Date'), each nonemployee who is elected a director\n  at such meeting, or whose term of office shall continue after the date of such meeting,\n  automatically shall be granted options to purchase a number of shares of Common Stock (an\n  'Option'). The number of Options so awarded shall be equal in value to $70,000,\n  as determined by the Black Scholes Valuation Model, utilizing the same assumptions then\n  employed by the Corporation for the valuation of stock options under its other long-term\n  incentive plans. The valuation shall be calculated immediately prior to the annual meeting\n  on a date determined by the Committee. The number of Options so determined, shall be\n  subject to further adjustment by the Committee based on its evaluation of relevant\n  benchmark data concerning nonemployee directors compensation, if the Committee determines\n  that: (i) an adjustment is appropriate on the basis of the benchmark data; and (ii) any\n  such adjustment is consistent with the manner that benchmark data relative to executive\n  compensation is utilized in determining the number of stock options granted under the\n  United Technologies Corporation Long Term Incentive Plan.
