You will continue to report to me.\n<\/p>\n<\/p>\n<\/p>\n<p><strong><u>Base Salary<\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>As of January 1, 2012, your annual base salary will be $210,000. As you may<br \/>\nremember, Pixelworks US pays bi-weekly, with pay dates every other Friday.<br \/>\nPaychecks will include wages due through the two-week period (Sunday through<br \/>\nSaturday) prior to the pay date. Should payday fall on a holiday, it will be<br \/>\npaid on the previous workday.<\/p>\n<\/p>\n<\/p>\n<p><strong><u>Benefit Coverage<\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>Upon repatriation, you will be covered by US benefits. Pixelworks US<br \/>\nbenefits, payroll, and other human resource management services are provided<br \/>\nthrough TriNet HR Corporation, a professional employer organization. As a result<br \/>\nof this arrangement, TriNet will be considered your employer of record for these<br \/>\npurposes; however, I will be responsible for directing your work, reviewing your<br \/>\nperformance, setting your schedule and otherwise directing your work at<br \/>\nPixelworks.<\/p>\n<\/p>\n<\/p>\n<p><strong><u>Moving Allowance<\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>Pixelworks will provide you with a one-time Moving Allowance of USD $5,000 to<br \/>\nassist you with returning your household goods to Oregon. You understand and<br \/>\nagree that this one-time payment is in lieu of any obligation that Pixelworks<br \/>\nmight have, under your Expatriate Agreement dated August, 2006, to pay for the<br \/>\nreturn of your household goods. You should recognize that this allowance may be<br \/>\ntreated as taxable income.<\/p>\n<\/p>\n<p><strong><u>Taxes<\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>Pixelworks will cover the costs of tax consulting services for you for your<br \/>\ntax preparation related to Pixelworks income incurred on or before December 31,<br \/>\n2011, with services for tax consulting provided through a company of our<br \/>\nchoosing. In addition, Pixelworks will cover the costs associated with tax<br \/>\nequalization related to your expatriate assignments at Pixelworks that might<br \/>\nhave occurred on or before December 31, 2011.<\/p>\n<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<\/p>\n<p><strong><u>At-Will Employment<\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>Pixelworks is an at-will employer, and your employment will not be for any<br \/>\nspecific period of time. You are free to quit and the Company is free to<br \/>\nterminate employment at any time, with or without cause. It is further<br \/>\nunderstood that this at-will employment relationship can only be changed in a<br \/>\nformal written employment contract signed by the Chief Executive Officer.<\/p>\n<\/p>\n<\/p>\n<p><strong><u>Governing Law <\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>This Agreement will be governed by the laws of the State of Oregon.<\/p>\n<\/p>\n<p><strong><u>Acknowledgement<\/u><\/strong><\/p>\n<\/p>\n<\/p>\n<p>By signing this repatriation agreement, you are aware that you are expected<br \/>\nto follow the policies and other rules set forth by the Company. You understand<br \/>\nthese policies are subject to revision at the discretion of the Company.
