Gordon, Evelyn Cruz Sroufe,\n     M. Thomas Hull and Jim Horsburgh.\n\n \n                          Employment and Compensation\n\n             Microsoft Employment and Compensation Baseline Terms\n\n\n     For Senior Vice Presidents who receive offers, Microsoft will offer no\n     less than:\n\n               .  Salary:  Equivalent or higher\n               .  Stock Options:  Microsoft option equivalent of 100% of base\n                  salary (based on investment value)\n               .  Microsoft Grant on August 1, 2001 based on employee\n                  performance.\n\n\n                                   Severance\n\n     Special Transition Package for Senior Vice Presidents:\n\n          As consideration to assist in the successful transition of the Company\nBusiness to Microsoft, on the relevant Transition Completion Date, but in no\nevent later than six months from the Closing (or upon an involuntary termination\nwithout cause, if earlier), each such Senior Vice President will be paid:\n\n               .  Transition Bonus:  1 times the Retention Bonus\n               .  Severance: Microsoft Standard Severance as outlined below,\n                  provided, however, if Microsoft Standard Severance is less\n                  than six months' base pay then Microsoft will make a\n                  supplemental payment for the difference.\n\n     General Severance (applicable to Visio's United States Employees):\n\n               .  Microsoft recognizes all prior service credited by Visio for\n                  purposes of severance calculations\n               .  No Senior Vice President is terminated by Microsoft at or\n                  within six weeks following Closing\n               .  Microsoft standard relocations packages provided to Senior\n                  Vice Presidents who relocate from a Visio location to a\n                  Microsoft location, including relocations from Seattle to\n                  Redmond.\n               .  Microsoft Standard Severance triggered by:\n               .  Reduction in base salary; or\n               .  no comparable job offer by Microsoft (in terms of duties and\n                  responsibilities), as determined in good faith by the\n                  Transition Committee; or\n               .  change in geographic location that exceeds 35 miles\n               \n          .  Microsoft Standard Severance includes:\n\n \n               .  At Senior Vice President's option, six week job search, or in\n                  lieu thereof six weeks' lump sum payment based on base salary\n                  (all) ('base payment'), and\n               .  Two weeks' base salary for every six months, capped at 26\n                  weeks (not including the six weeks' base payment)\n               .  Six months' accelerated option vesting on Microsoft options\n                  received\n               .  Outplacement assistance\n               .
