Jowett"},"content":{"rendered":"<pre><p style=\"text-align:center;\"><b>SEPARATION AGREEMENT<\/b><\/p>\n\n\n\n<hr size=\"1\">\n\n\n<p><br>This <b>Separation Agreement<\/b>\n\n(\u0093Agreement\u0094), is made and entered into this August 1, 2001, by and between\n\nRichard N. Jowett (\u0093you\u0094), a resident of the state of Minnesota, and Alliant\n\nTechsystems Inc. (\u0093Alliant\u0094), a Delaware corporation with its principal place\n\nof business in Hopkins, Minnesota.<\/p>\n\n\n\n\n\n\n<p>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 You and\n\nAlliant have agreed that your employment will conclude as provided in this\n\nAgreement and, in connection with the termination of your employment, Alliant\n\nhas agreed to provide you with certain payments to which you would not be\n\nentitled absent your execution of this Agreement.\u00a0 Further, you and Alliant desire to settle any and all disputes\n\nrelated directly or indirectly to your employment by Alliant and\/or your\n\ntermination from employment, in accordance with the terms and conditions set\n\nforth in this Agreement.\u00a0 Therefore, in\n\nconsideration of the mutual covenants and agreements set forth in this\n\nAgreement and other good and valuable consideration, the receipt and\n\nsufficiency of which are hereby acknowledged, you and Alliant agree as follows:<\/p>\n\n\n\n\n<p>1.\u00a0 <u>Termination of Employment<\/u>.\u00a0 Your last day of active service will be September 30, 2001 at\n\nwhich time you will commence a paid leave of absence.\u00a0 Effective June 30, 2002\u00a0\n\n(Termination Date) your leave of absence will cease and you will no\n\nlonger be an employee of Alliant.\u00a0\n\nDuring your leave of absence you may continue to use your Alliant\n\ntelephone number and voice mail service. Except as otherwise provided in this\n\nAgreement, or as set forth in the applicable employee benefit plan, all of your\n\nprivileges as an Alliant employee will end as of the close of business on the\n\nTermination Date.<\/p>\n\n\n\n\n\n\n<p>2.\u00a0 <u>Payments<\/u>.<\/p>\n\n\n\n\n\n\n<p>(a)\u00a0 In connection with your termination of employment, Alliant will\n\nprovide you the following payments and benefits:<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(i)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Continuation\n\nof Salary.<\/u>\u00a0 Alliant will continue to\n\npay to you your current monthly base salary during your leave of absence until\n\nyour Termination Date. This salary continuation will include your severance\n\nbenefit of thirty (30) weeks of pay and an additional nine (9) weeks of pay.<b>\u00a0\u00a0 Alliant will make these payments to you\n\nonly on the condition that you have signed this Agreement and have not\n\nexercised your right to rescind it pursuant to paragraph 10 below.<\/b>\u00a0 Alliant will withhold required deductions,\n\nincluding deductions for applicable state and federal taxes, social security\n\nand all other standard deductions.\u00a0\n\nThese payments will be\n\nconsidered \u0093Earnings\u0094 or \u0093Recognized Compensation\u0094 for purposes of any of\n\nAlliant\u0092s qualified or non-qualified employee benefit plans, and 401k\n\ndeductions will be taken from these payments.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(ii)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Outplacement\n\nServices<\/u>.\u00a0 Alliant will pay up to\n\n15% of your annual base salary or, within a reasonable time of your Termination\n\nDate, pay directly to you the cash difference between the outplacement fees\n\nactually paid and 15% of your annual base salary.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(iii)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Executive\n\nPerquisite Account.<\/u>\u00a0 Your\n\nparticipation in the Executive Perquisites Account plan shall continue though\n\nyour Termination Date.\u00a0 Upon your termination\n\nyour Executive Life Insurance shall transfer to you for you to continue at your\n\nexpense.\u00a0 The Company will provide a\n\ncash payment sufficient to cover any income tax consequence of this transfer in\n\naccordance with the policy itself.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(iv)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Income Security\n\nPlan.<\/u>\u00a0 You will continue to be\n\neligible for change in control benefits under the Alliant Income Security Plan\n\nuntil your Termination Date.<\/p>\n\n\n\n\n<p style=\"margin-left:.5in;\">(v)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Management Incentive Plan.<\/u>\u00a0 You will be eligible to receive your\n\nManagement Incentive Plan (MIP) payment for Fiscal Year 2002 prorated for your\n\nperiod of active service ending September 30, 2001.\u00a0 The sole criteria for your payment will be based on corporate\n\nperformance for FY02.\u00a0 This amount will\n\nbe paid in a single lump sum payment in cash at the same time as all other MIP\n\nparticipants receive payment.\u00a0 This\n\namount will be considered \u0093Earnings\u0094 or Recognized Compensation\u0094 for purposes\n\nof Alliant\u0092s qualified or non-qualified employee benefit plans.\u00a0 You will <i>not<\/i>\n\nbe a participant in the Alliant Management Incentive Plan for the fiscal year\n\nbeginning April 1, 2002 or thereafter.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(vi)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Stock. <\/u>\u00a0Any restricted stock grants or stock options\n\nwill become vested at their normal vesting dates until your Termination Date,\n\nat which time all non-vested stock options shall be forfeited.\u00a0 Performance shares will continue to vest\n\nuntil your Termination Date and will be prorated based on corporate\n\nperformance.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(vii)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Pension<\/u>.\u00a0 Your pension benefit under the Alliant Techsystems Inc. Retirement Plan\n\n('Retirement Plan') will be based on your actual age, credited\n\nservice and termination and the terms of the Retirement Plan. The ATK SERP, a\n\nnon-qualified pension plan, will pay you the difference, between your\n\nRetirement Plan pension benefit, and what your Retirement Plan benefit would\n\nhave been without any reduction for benefit commencement prior to age 60,\n\nbeginning on the date of your actual benefit commencement under the Retirement\n\nPlan, and in the same form as the benefit distribution option you select under\n\nthe Retirement Plan.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(viii)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Accrued\n\nbut Unused Vacation<\/u>.\u00a0 Your vacation\n\naccrual will stop at the end of your active service so that you will not accrue\n\nvacation from October 1, 2001 through June 30, 2002.\u00a0 As soon as administratively feasible after your Termination Date\n\nas set forth in paragraph 1 above, or as dictated by state law, Alliant will\n\npay to you any amount owed to you of accrued and unused vacation.\u00a0 This sum will be paid regardless of whether\n\nyou execute this Agreement.<\/p>\n\n\n\n\n\n\n<p style=\"margin-left:.5in;\">(ix)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <u>Employee\n\nBenefit Plans<\/u>.\u00a0 Your rights to benefits\n\nunder all other Alliant employee benefit plans will be governed by the terms of\n\nsuch plans.<\/p>\n\n\n\n\n\n\n<p>(b)\u00a0 Except as provided above, you acknowledge that you have received\n\nall other compensation and benefits due and owing to you from Alliant and that\n\nyou have no further claim to any compensation or employee benefits from\n\nAlliant.\u00a0 You acknowledge that you are\n\nnot entitled to the payments in paragraph 2(a)(i), 2(a)(v) and the pension\n\nenhancement in 2(a)(vii) above unless you sign this Agreement and that Alliant\n\nhas agreed to provide this payment solely as consideration for your signing\n\nthis Agreement.<\/p>\n\n\n\n\n\n\n<p>3.\u00a0 <u>Your Death.<\/u>\u00a0\n\nAlliant agrees that the compensation described in paragraph 2(a)(i),\n\n2(a)(v), 2(a)(vi), 2(a)(vii), and 2(a)(viii) above will be paid to your estate\n\nin the event of your death, on the condition that you have signed this\n\nAgreement and have not exercised your right to rescind.<\/p>\n\n\n\n\n\n\n<p>4.\u00a0 <u>Unemployment Compensation<\/u>.\u00a0 Alliant agrees <b>not<\/b> to challenge your entitlement to\n\nunemployment compensation benefits as provided by law.<\/p>\n\n\n\n\n\n\n<p>5.\u00a0 <u>Attorneys\u0092 Fees and Expenses<\/u>.\u00a0 Alliant agrees that you may submit for reimbursement as financial\n\nplanning services any attorney fees incurred by you in conjunction with a\n\nreview of this agreement.<\/p>\n\n\n\n\n\n\n<p>6.\u00a0 <u>Confidential Information<\/u>.\u00a0\n\nYou acknowledge that in the course of your employment with Alliant or\n\nany of its predecessor companies, you have had access to confidential\n\ninformation and trade secrets relating to business affairs of Alliant and\/or\n\nits predecessor or related companies and entities.\u00a0 You agree that you will maintain the confidentiality of Alliant\u0092s\n\nconfidential information and \/ or trade secrets.\u00a0 You agree that at no time following your execution of this\n\nAgreement, will you disclose or otherwise make available to any person, company\n\nor other party confidential information or trade secrets.\u00a0 This Agreement shall not limit any\n\nobligations you have under any other Alliant confidentiality agreement or\n\napplicable federal or state law.<\/p>\n\n\n\n<br clear=\"all\" style=\"page-break-before:always\">\n\n\n\n\n\n<p>7.\u00a0 <u>Return of Alliant\n\nProperty<\/u>.\u00a0 You acknowledge that\n\nprior to your last day of active employment, you will return all property owned\n\nby Alliant which is in your possession, including, but not limited to, any\n\ncompany credit card (or credit card on which Alliant is a guarantor), computer,\n\ntelephone, pager, fax or printer.\u00a0\n\nFurther, you agree to repay to Alliant the amount of any permanent or\n\ntemporary advances previously made to you by Alliant which remain outstanding\n\nand any balance owing on any credit cards of any moneys due and owing Alliant\n\nor for which Alliant is a guarantor.<\/p>\n\n\n\n\n\n\n<p>8.\u00a0 <u>Release<\/u>. You fully release and\n\ndischarge the companies and individuals listed below from all liability for\n\ndamages or claims of any kind arising out of any action, inaction, decision, or\n\nevent occurring through the date of your execution of this Agreement:<\/p>\n\n\n\n\n\n\n<\/pre>\n<table width=\"96%\" style=\"width:96.22%;\n\n border-collapse:collapse;\"><\/p>\n<tr>\n<td width=\"319\" valign=\"top\" style=\"width:239.4pt;padding:0in 0in 0in 0in\">\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Alliant, and its predecessor companies;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 All companies owned by, connected with,<\/p>\n<p>  or affiliated with Alliant; and <\/p>\n<\/td>\n<td width=\"319\" valign=\"top\" style=\"width:239.4pt;padding:0in 0in 0in 0in\">\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Alliant\u0092s current and former Directors,<\/p>\n<p>  Officers, Managers, Employees, Agents, Insurers, Counsel, and Shareholders.<\/p>\n<\/td>\n<\/tr>\n<\/table>\n<p style=\"text-indent:.5in;\">You understand that you are giving up any and all manner of actions or<\/p>\n<p>causes of actions, suits, debts, claims, complaints, or demands of any kind<\/p>\n<p>whatsoever, whether direct or indirect, fixed or contingent, known or unknown,<\/p>\n<p>in law or in equity, that you have or may have for claims arising under or<\/p>\n<p>based on, but not limited to, the:<\/p>\n<table width=\"99%\" style=\"width:99.66%;\n\n border-collapse:collapse;\"><\/p>\n<tr>\n<td width=\"319\" valign=\"top\" style=\"width:239.4pt;padding:0in 0in 0in 0in\">\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Minnesota Human Rights Act, Minn. Stat. \u00a7 363.01, <i>et seq.<\/i><\/p>\n<p>  or any other similar state statute applicable in your state of residence;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Age Discrimination in Employment Act, 29<\/p>\n<p>  U.S.C.<\/p>\n<p>  \u00a7 621,<i> et seq.,<\/i><\/p>\n<p>  as style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Breach of contract, breach of an express<\/p>\n<p>  or implied promise, breach of the implied covenant of good faith and fair<\/p>\n<p>  dealing, or breach of fiduciary duty;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Interference with contractual relations;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Promissory estoppel;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Breach of employee handbooks, manuals or<\/p>\n<p>  other policies;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Assault or battery;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Intentional or negligent<\/p>\n<p>  misrepresentation, or fraud;<\/p>\n<\/td>\n<td width=\"319\" valign=\"top\" style=\"width:239.4pt;padding:0in 0in 0in 0in\">\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Retaliation, or intentional or negligent<\/p>\n<p>  infliction of emotional distress;<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Defamation (including all forms of<\/p>\n<p>  libel, slander, and self-defamation);<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Negligent hiring, retention or<\/p>\n<p>  supervision; and \/ or<\/p>\n<p style=\"margin-left:.25in;text-indent:-.25in;\">\u0095\u00a0\u00a0\u00a0\u00a0\u00a0 Any other claim otherwise based on any<\/p>\n<p>  theory, whether developed or undeveloped, arising from or related to your<\/p>\n<p>  employment or the termination of your employment with Alliant, or any other<\/p>\n<p>  fact or matter occurring prior to your execution of this Agreement.<\/p>\n<\/td>\n<\/tr>\n<\/table>\n<p><br clear=\"all\" style=\"page-break-before:always\"><\/p>\n<p>9.\u00a0 <u>Consideration<\/p>\n<p>Period.<\/u>\u00a0 You have been informed that<\/p>\n<p>the terms of this Agreement shall be open for consideration by you for a period<\/p>\n<p>of at least forty five (45) calendar days after the date set forth above,<\/p>\n<p>during which time you may consider whether or not to accept this Agreement and<\/p>\n<p>seek legal counsel to advise you of your rights.\u00a0 You agree that changes to this Agreement, whether material or<\/p>\n<p>immaterial, will not restart this acceptance period.\u00a0 You further understand that you are not required to take the<\/p>\n<p>entire forty five (45) day period to decide whether you wish to execute the<\/p>\n<p>Agreement and that you may do so on an accelerated basis without prejudice to<\/p>\n<p>your own or Alliant\u0092s rights under this Agreement.<\/p>\n<p>10.<i>\u00a0<\/p>\n<p><u>Right to Rescind.<\/u>\u00a0 You<\/p>\n<p>understand that you have the right to rescind this Agreement for any reason by<\/p>\n<p>informing in writing, Alliant of your intent to rescind this Agreement within<\/p>\n<p>fifteen (15) calendar days after you sign it.\u00a0<\/p>\n<p>You understand that this Agreement will not become effective or<\/p>\n<p>enforceable unless and until you execute the Agreement and the applicable<\/p>\n<p>rescission period has expired.\u00a0 Any such<\/p>\n<p>rescission must be in writing and hand-delivered to the person listed below or,<\/p>\n<p>if sent by mail, must be received by such person within the applicable time<\/p>\n<p>period, sent by certified mail, return receipt requested, and addressed return it to the person named above and then only if<\/p>\n<p>it has not been rescinded by you under the procedures of paragraph 10.<\/p>\n<p>12.\u00a0 <u>No Admission<\/u>.\u00a0 This<\/p>\n<p>Agreement is <b>not<\/b> an admission by Alliant that any of its actions or<\/p>\n<p>inactions are unjustified, unwarranted, discriminatory, wrongful or in<\/p>\n<p>violation of any federal, state or local law and this Agreement shall not be<\/p>\n<p>interpreted as such.\u00a0 Alliant disclaims<\/p>\n<p>any liability to you or any other person on the part of itself and\/or its<\/p>\n<p>current or former directors, officers, employees, representatives, and<\/p>\n<p>agents.\u00a0 You agree and acknowledge that<\/p>\n<p>this Agreement shall not be interpreted to render either party to be a<\/p>\n<p>prevailing party for any purpose including, but not limited to, an award of<\/p>\n<p>attorney\u0092s fees under any statute or otherwise.<\/p>\n<p>13.\u00a0 <u>Effect of Breach<\/u>.\u00a0<\/p>\n<p>In the event that it is determined by a court of competent jurisdiction<\/p>\n<p>that you have materially breached any provision of this Agreement, Alliant will<\/p>\n<p>have no further obligations under paragraph 2(a)(i), 2(a)(ii), 2(a)(v), and the<\/p>\n<p>pension enhancement in 2(a)(vii) of this Agreement.\u00a0 Furthermore, your Termination Date shall move from June 30, 2002<\/p>\n<p>to the date of the breach or September 30, 2001 which ever is earlier.<\/p>\n<p>14.\u00a0 <u>No Adequate Remedy<\/u>.\u00a0<\/p>\n<p>You agree that it is impossible to measure in money all of the damages<\/p>\n<p>which will accrue to Alliant by reason of your breach of any of your<\/p>\n<p>obligations under this Agreement.\u00a0<\/p>\n<p>Therefore, if Alliant shall institute any action or proceeding to<\/p>\n<p>enforce the provisions hereof, you hereby waive the claim or defense that<\/p>\n<p>Alliant has an adequate remedy at law, and you shall not raise in any such<\/p>\n<p>action or proceeding the claim or defense that Alliant has an adequate remedy<\/p>\n<p>at law.<\/p>\n<p>15.\u00a0 <u>No Assignment<\/u>.\u00a0<\/p>\n<p>This Agreement is personal to you and may not be assigned by you.<\/p>\n<p>16.\u00a0 <u>Enforceable Contract.<\/u>\u00a0<\/p>\n<p>This Agreement shall be governed by the laws of the State of<\/p>\n<p>Minnesota.\u00a0 If any part of this<\/p>\n<p>Agreement is construed to be in violation of any law, such part shall be<\/p>\n<p>modified to achieve the objective of the parties to the fullest extent<\/p>\n<p>permitted and the balance of this Agreement shall remain in full force and<\/p>\n<p>effect.<\/p>\n<p>17.\u00a0 <u>Entire Agreement.<\/u>\u00a0<\/p>\n<p>You agree that this Agreement contains the entire agreement between you<\/p>\n<p>and Alliant with respect to the subject matter hereof and there are no<\/p>\n<p>promises, undertakings or understandings outside of this Agreement, except with<\/p>\n<p>respect to your continued requirement to not reveal confidential, secret or top<\/p>\n<p>secret information, patent, trademark or similar matters and as specifically<\/p>\n<p>set forth herein.\u00a0 This Agreement supersedes<\/p>\n<p>all prior or contemporaneous discussions, negotiations and agreements, whether<\/p>\n<p>written or oral, except as specifically set forthherein.\u00a0 Your right to payments or employee benefits<\/p>\n<p>from Alliant are specified exclusively and completely in this Agreement.\u00a0 Any modification or addition to this<\/p>\n<p>Agreement must be in writing, signed by an officer of Alliant and you.<\/p>\n<p><b>18.\u00a0 <u>Acknowledgment.<\/u>\u00a0 You affirm that you have read this<\/p>\n<p>Agreement, and have had adequate time to consider the
