SIXTH AMENDMENT TO THE HEWLETT-PACKARD
\nCOMPANY<\/strong><\/p>\n

2005 EXECUTIVE DEFERRED COMPENSATION PLAN<\/strong>\n<\/p>\n

(Amended and restated effective October 1,
\n2006)<\/strong><\/p>\n

\n

The Hewlett-Packard Company 2005 Executive Deferred Compensation Plan, as
\namended and restated effective October 1, 2006, is hereby amended, effective
\nDecember 1, 2010, to provide as follows:<\/p>\n<\/p>\n

1. The following sentence shall be added to the end of the first paragraph of
\nSection 5.4 of the Plan, to read as follows:<\/p>\n<\/p>\n

“The amount withdrawn for an Unforeseeable Emergency is subject to a minimum
\nof $10,000.”<\/p>\n<\/p>\n

This Sixth Amendment to the Hewlett-Packard Company 2005 Executive Deferred
\nCompensation Plan is hereby adopted effective May 26, 2011.<\/p>\n<\/p>\n
