Surviving Spouse Benefit payments shall be for the Spouse\u0092s<br \/>\nlifetime. All benefits payable to the Surviving Spouse are subject to actuarial reduction<br \/>\nif spouse is more than three years younger than the Participant. Eligible Children<br \/>\nBenefit payments shall be made until the youngest of the Eligible Children reaches 21.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">3.6<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Recipients of Benefit Payments<\/u>.<br \/>\nIf a Participant dies without a Surviving Spouse but is survived by<br \/>\nany Eligible Children, then benefits will be paid to the Eligible Children or their legal<br \/>\nguardian, if applicable. The total monthly benefit payable will be equal to the monthly<br \/>\nbenefit that a Surviving Spouse would have received without actuarial reduction. This<br \/>\nbenefit will be paid in equal shares to all Eligible Children until the youngest of the<br \/>\nEligible Children attains age 21. If the Surviving Spouse dies after the death of the<br \/>\nParticipant but is survived by Eligible Children then the total monthly benefit<br \/>\npreviously paid to the Surviving Spouse will be paid in equal shares to all Eligible<br \/>\nChildren until the youngest of the Eligible Children attains age 21. division or a Subsidiary which has not been declared to be<br \/>\na discontinued operation, who has not yet begun to receive benefit payments under the<br \/>\nPlan and whose employment is Terminated without cause or who voluntarily Terminates<br \/>\nEmployment following (a) a material downward change in the functions, duties, or<br \/>\nresponsibilities which reduce the rank or position of the Participant, (b) (i) a<br \/>\nreduction in the Participant\u0092s annual base salary, or (ii) a material reduction in<br \/>\nthe Participant\u0092s annual incentive plan bonus payment other than for financial<br \/>\nperformance as it broadly applies to all similarly situated active Participants in the<br \/>\nsame plan, or (iii) a material reduction in the Participant\u0092s retirement or<br \/>\nsupplemental retirement benefits that does not broadly apply to all active Participant\u0092s<br \/>\nin the same plan, or (c) a transfer of a Participant\u0092s office to a location that is<br \/>\nmore than fifty (50) miles from the Participant\u0092s current principal office location,<br \/>\nif such Termination of Employment occurs within two years following a Change of Control<br \/>\nof Tenet while this Plan remains in effect, the provisions of Section 3.8(a) above shall<br \/>\nnot apply and (i) a Participant\u0092s Early or Normal Retirement Benefits under this<br \/>\nPlan At any time following a Termination of Employment which occurs within<br \/>\ntwo (2) years after a Change of Control or following an Early Retirement or a Normal<br \/>\nRetirement, a Participant, or the Surviving Spouse of a Participant, who has a vested<br \/>\ninterest in the Plan may elect to receive a lump sum payment, in an amount determined<br \/>\nbelow, sixty (60) days after giving notice to the Committee of the Participant\u0092s, or<br \/>\nthe Participant\u0092s Surviving Spouse\u0092s, desire to receive such lump sum benefit.<br \/>\nThe date of the notice shall be the \u0093Commencement Date.\u0094The lump sum payment<br \/>\nshall be determined in accordance with the following provisions of this Section 4.5, and<br \/>\nthen shall be reduced by a penalty equal to ten percent (10%) of such payment which shall<br \/>\nbe forfeited to Tenet. However, the penalty shall not apply if the Committee determines,<br \/>\nbased on the advice of counsel or a final determination by the Internal Revenue Service<br \/>\nor any court of competent jurisdiction, that by reason of the foregoing elective<br \/>\nprovisions of this Section 4.5 any Participant, Surviving Spouse or Eligible Children has<br \/>\nrecognized or will recognize gross income for federal income tax purposes under this Plan<br \/>\nin advance of payment to him or her of Plan benefits. Tenet shall notify all Participants<br \/>\n(and Surviving Spouses or Eligible Children of deceased Participants) of any such<br \/>\ndetermination. Wherever any such determination is made, Tenet shall refund all penalties<br \/>\nwhich were imposed hereunder on account of making lump sum payments at any time during or<br \/>\nafter the first year to which such determination applies (i.e., the first year when gross<br \/>\nincome is recognized for federal income tax purposes). Interest shall be paid on any such<br \/>\nrefunds based on an interest factor determined under Section 4.5b hereof. The Committee<br \/>\nmay also reduce or eliminate the penalty if it determines that this action will not cause<br \/>\nany Participant to recognize gross income for federal income<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<p align=\"CENTER\"><font size=\"2\">-19-<\/font><\/p>\n<hr size=\"2\" color=\"BLACK\" noshade>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"> <\/td>\n<td width=\"95%\"><font size=\"2\"><br \/>\ntax purposes under this Plan in advance of payment to him or her of Plan benefits.<br \/>\nNotwithstanding any other provision of this Plan, a penalty shall not apply if a retired<br \/>\nParticipant or the Surviving Spouse or Eligible Children of a deceased Participant<br \/>\nreceives a lump sum distribution due to a financial hardship. The Committee shall<br \/>\ndetermine whether a financial hardship exists in its sole discretion, but in good faith<br \/>\nand on a uniform, nondiscriminatory and reasonable basis. A hardship distribution shall<br \/>\nbe a cash payment not to exceed the amount necessary to relieve the hardship.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\"><\/font><\/td>\n<td width=\"5%\"><font size=\"2\">a.<\/font><\/td>\n<td width=\"90%\"><font size=\"2\">When<br \/>\nmonthly benefit payments have not yet commenced and the Participant is living on the<br \/>\nCommencement Date, the lump sum payment (prior to the ten percent (10%) reduction) shall<br \/>\nequal the lump sum value of the Participant\u0092s Early Retirement Benefit or Normal<br \/>\nRetirement Benefit as of the Commencement Date. The amount described in this Section 4.5a<br \/>\nshall include, in addition, in the case of a Participant who has a spouse or Eligible<br \/>\nChildren on the Commencement Date, the lump sum value, determined as of such date, of any<br \/>\nbenefit payable to a Surviving Spouse or Eligible Children by reason of the Participant\u0092s<br \/>\ndeath on or after such date assuming such spouse would qualify as a Surviving Spouse on<br \/>\nand after such date. The Committee has been authorized to administer the Plan and to interpret,<br \/>\nconstrue and apply its provisions in accordance with its terms. The Committee shall<br \/>\nadminister the Plan and shall establish, adopt or revise such rules and regulations as it<br \/>\nmay deem necessary or advisable for the administration of the Plan. All decisions of the<br \/>\nCommittee shall be by vote or written consent of the majority of its members and shall be<br \/>\nfinal and binding. Members of the Committee shall not be eligible to participate in the<br \/>\nPlan while serving as a member of the Committee.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">5.2<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>No<br \/>\nRight to Assets<\/u>. Neither a Participant nor any other person shall acquire by reason of<br \/>\nthe Plan any right in or title to any assets, funds or property of Tenet and its<br \/>\nsubsidiaries whatsoever including, without limiting the generality of the foregoing, any<br \/>\nspecific funds or assets which Tenet, in its sole discretion, may set aside in<br \/>\nanticipation of a liability hereunder. Tenet has established the 1994 Supplemental<br \/>\nExecutive Retirement Plan Trust, dated May 25, 1994 and amended and restated on July 25,<br \/>\n1994 (the \u0093Trust\u0094). Nothing herein shall constitute a contract of continuing employment or<br \/>\nin any manner obligate Tenet and its<br \/>\nSubsidiaries to continue the service of a Participant, or obligate a Participant<br \/>\nto continue in the service of Tenet and its Subsidiaries, and nothing herein<br \/>\nshall be construed as fixing or regulating the compensation paid to a<br \/>\nParticipant.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">5.4<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Right<br \/>\nto Terminate or Amend<\/u>. Except during any two year period after any Change of Control of<br \/>\nTenet, Tenet reserves the sole right to terminate the Plan at any time and to terminate<br \/>\nan Agreement with any Participant at any time. In the event of termination of the Plan or<br \/>\nof a Participant\u0092s Agreement, a Participant shall be entitled to only the vested<br \/>\nportion of his or her accrued benefits under Section 3 of the Plan as of the time of the<br \/>\ntermination of the Plan or his or her Agreement. All further vesting and benefit accrual<br \/>\nshall cease on the date of Plan or Agreement termination. Benefit payments would be in<br \/>\nthe amounts specified and would commence at the time specified in Section 3 as<br \/>\nappropriate. Any Employee Participant who<br \/>\nrefuses to provide such information or to take such action shall not be enrolled as or<br \/>\ncease to be a Participant under the Plan. No Retirement Benefits will be payable hereunder to any Participant (i) whose<br \/>\nEmployment with Tenet or a Subsidiary is terminated because of his or her willful<br \/>\nmisconduct or gross negligence in the performance of his or her<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<p align=\"CENTER\"><font size=\"2\">-25-<\/font><\/p>\n<hr size=\"2\" color=\"BLACK\" noshade>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"> <\/td>\n<td width=\"95%\"><font size=\"2\"><br \/>\nduties<br \/>\nor (ii) who within 3 years after Termination of Employment becomes an employee with or<br \/>\nconsultant to any third party engaged in any line of business in competition with Tenet<br \/>\nand its Subsidiaries (a) in a line of business in which Participant has performed<br \/>\nServices for Tenet and its Subsidiaries or (b) that accounts for more than ten percent<br \/>\n(10%) of the gross revenues of Tenet and its Subsidiaries taken as a whole.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><font size=\"2\"><b>Section 6 \u0096 Miscellaneous.<\/b><\/font> <\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.1<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Non-assignability<\/u>.<br \/>\nNeither a Participant nor any other person shall have any right to commute, sell, assign,<br \/>\ntransfer, pledge, anticipate, mortgage or otherwise encumber, transfer, hypothecate or<br \/>\nconvey in advance any provision hereunder, or any part thereof, which are, and all rights<br \/>\nto which are, expressly declared to be unassignable and non-transferable. No part of the<br \/>\namounts payable shall, prior to actual payment, be subject to seizure or sequestration<br \/>\nfor the payment of any debts, judgments, alimony or separate maintenance owed by a<br \/>\nParticipant or any other person, nor be transferable by operation of law in the event of<br \/>\na Participant\u0092s or any person\u0092s bankruptcy or insolvency. Tenet may assign this<br \/>\nPlan to any Subsidiary which employs any Participant.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.2<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Gender<br \/>\nand Number<\/u>. Wherever appropriate herein, the masculine may mean the feminine and the<br \/>\nsingular may mean the plural or vice versa.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.3<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Notice<\/u>.<br \/>\nAny notice required or permitted to be given to the Committee under the Plan shall be<br \/>\nsufficient if in writing and hand delivered, or sent by registered or certified mail, to<br \/>\nthe principal office of Tenet, directed to the attention of the Secretary of the<br \/>\nCommittee. Such notice shall be deemed given as of the date of delivery or, if delivery<br \/>\nis made by mail, as of the date shown on the postmark or on the receipt for registration<br \/>\nor certification.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<p align=\"CENTER\"><font size=\"2\">-26-<\/font><\/p>\n<hr size=\"2\" color=\"BLACK\" noshade>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.4<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Validity<\/u>.<br \/>\nIn the event any provision of this Plan is held invalid, void or unenforceable, the same<br \/>\nshall not affect, in any respect whatsoever, the validity of any other provision of this<br \/>\nPlan.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.5<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Applicable<br \/>\nLaw<\/u>. This Plan shall be governed and construed in accordance with the laws of the State<br \/>\nof California.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.6<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>Successors<br \/>\nin Interest<\/u>. This Plan shall inure to the benefit of, be binding upon, and be enforceable<br \/>\nby, any corporate successor to Tenet or successor to substantially all of the assets of<br \/>\nTenet.<\/font><\/td>\n<\/tr>\n<\/table>\n<p><\/p>\n<table width=\"100%\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"TOP\">\n<td width=\"5%\"><font size=\"2\">6.7<\/font><\/td>\n<td width=\"95%\"><font size=\"2\"><u>No<br \/>\nRepresentation on Tax Matters<\/u>.
