Immelt (&#8220;Lessee&#8221;).<\/p>\n<p align=\"center\"><strong>BACKGROUND: <\/strong><\/p>\n<p><strong>A.    <\/strong>Owner is the registered owner of certain civil aircraft<br \/>\nbearing the United States Registration Numbers and of the types set forth on<br \/>\nExhibit A to this Agreement (collectively, the &#8220;Aircraft&#8221; or individually an<br \/>\n&#8220;Aircraft&#8221;).<\/p>\n<p><strong>B.    <\/strong>Owner employs fully qualified flight crews to operate<br \/>\nthe Aircraft; and<\/p>\n<p><strong>C.    <\/strong>From time to time, Lessee may desire to lease the<br \/>\nAircraft from Owner for Lessee153s personal travel at Lessee153s discretion on a<br \/>\ntime sharing basis as defined in Section  91.501(c)(1) of the Federal Aviation<br \/>\nRegulations (&#8220;FAR&#8221;).<\/p>\n<p><strong>NOW, THEREFORE,<\/strong> Owner and Lessee agree as follows:<\/p>\n<p><strong>1.<\/strong>                Subject to the terms and conditions of this<br \/>\nAgreement, Owner agrees to lease the Aircraft to Lessee for Lessee153s personal<br \/>\ntravel at Lessee153s discretion pursuant to the provisions of FAR<br \/>\nSection  91.501(c)(1) and to provide a fully qualified flight crew for all<br \/>\noperations for flights scheduled in accordance with the terms of this Agreement<br \/>\nduring the period commencing on the date of this Agreement and terminating on<br \/>\nthe earlier of (a)  the termination of this Agreement by consent of Owner and<br \/>\nLessee, (b)  the date of Lessee153s termination of employment with Owner and<br \/>\n(c)  the date of Lessee153s death. Owner shall have the right to add or substitute<br \/>\naircraft of similar type, quality, and equipment, and to remove aircraft from<br \/>\nthe fleet, from time to time during the term of this Agreement. Owner shall send<br \/>\nLessee a revised Exhibit A upon each such change in the Aircraft.<\/p>\n<p><strong>2.<\/strong>                Lessee shall pay Owner for each flight conducted<br \/>\nunder this Agreement the actual expenses of each specific flight as authorized<br \/>\nby FAR Section  91.501(d)  as in effect from time to time. On the date of this<br \/>\nAgreement these expenses include and are limited to:<\/p>\n<\/p>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(a)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>fuel, oil, lubricants and other additives;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(b)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>travel expenses of the crew, including food, lodging and ground<br \/>\ntransportation;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(c)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>hangar and tie down costs away from the Aircraft153s base of operation;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p align=\"center\">-1-<\/p>\n<\/p>\n<hr>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(d)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>insurance obtained for the specific flight;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(e)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>landing fees, airport taxes and similar assessments;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(f)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>customs, foreign permit and similar fees directly related to the flight;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(g)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>in-flight food and beverages;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(h)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>passenger ground transportation;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(i)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>flight planning and weather contract services;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(j)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>an additional charge equal to one hundred percent (100%)  of the expenses<br \/>\nlisted in clause (a) above.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p><strong>3.<\/strong>                Owner will pay all expenses related to the<br \/>\noperation of each Aircraft when incurred and will provide quarterly invoices to<br \/>\nLessee for the expenses enumerated in Section  2 above. The Owner and Lessee<br \/>\nacknowledge that, with the exception of the expenses for in-flight food and<br \/>\nbeverages and passenger ground transportation, the payment of these expenses are<br \/>\nsubject to the federal excise tax imposed under Section  4261 of the Internal<br \/>\nRevenue Code. Lessee shall reimburse Owner for the expenses authorized by FAR<br \/>\nSection  91.501(d)  plus applicable federal excise taxes within fifteen<br \/>\n(15)  calendar days after receipt of the related invoice. Owner agrees to collect<br \/>\nand remit to the Internal Revenue Service for the benefit of Lessee all such<br \/>\nfederal excise taxes.<\/p>\n<p><strong>4.<\/strong>                In the event that Lessee desires to use the<br \/>\nAircraft pursuant to this Agreement, Lessee will so notify Owner and will<br \/>\nprovide Owner with requests for flight time and proposed flight schedules as far<br \/>\nas possible in advance of any given flight. Requests for flight time shall be in<br \/>\na form, whether oral or written, mutually convenient to and agreed upon by Owner<br \/>\nand Lessee. In addition to proposed schedules and flight times, Lessee shall<br \/>\nprovide at least the following information for each proposed flight at some time<br \/>\nprior to scheduled departure as required by Owner or Owner&#8217;s flight crew:<\/p>\n<\/p>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(a)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>departure point;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(b)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>destinations;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(c)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>date and time of flight;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(d)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>the identity of each anticipated passenger;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(e)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>the nature and extent of luggage or cargo to be carried;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(f)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>the date and time of a return flight, if any; and<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p align=\"center\">-2-<\/p>\n<\/p>\n<hr>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(g)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>any other information concerning the proposed flight that may be pertinent or<br \/>\nrequired by Owner or Owner&#8217;s flight crew.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p><strong>5.<\/strong>                Owner shall have sole and exclusive authority over<br \/>\nthe scheduling of the Aircraft, including which Aircraft is used for any<br \/>\nparticular flight.<\/p>\n<p><strong>6.<\/strong>                Owner shall be solely responsible for securing<br \/>\nmaintenance, preventive maintenance, and required or otherwise necessary<br \/>\ninspections on the Aircraft and shall take such requirements into account in<br \/>\nscheduling flights of the various Aircraft. No period of maintenance, preventive<br \/>\nmaintenance, or inspection shall be delayed or postponed for the purpose of<br \/>\nscheduling the Aircraft, unless such maintenance or inspection can be safely<br \/>\nconducted at a later time in compliance with all applicable laws and<br \/>\nregulations, and within the sound discretion of the pilot-in-command. The<br \/>\npilot-in- command shall have final and complete authority to cancel any flight<br \/>\nfor any reason or condition that in his or her judgment would compromise the<br \/>\nsafety of the flight.<\/p>\n<p><strong>7.<\/strong>                Owner shall be responsible for the physical and<br \/>\ntechnical operation of the Aircraft and the safe performance of all flights and<br \/>\nshall retain full authority and control, including exclusive operational<br \/>\ncontrol, and possession of the Aircraft at all times during the term of this<br \/>\nAgreement. Owner shall employ, pay for, and provide to Lessee a qualified flight<br \/>\ncrew for each flight undertaken under this Agreement. In accordance with<br \/>\napplicable FAR, the qualified flight crew provided by Owner will exercise all<br \/>\nrequired and\/or appropriate duties and responsibilities with respect to the<br \/>\nsafety of each flight conducted under this Agreement. The pilot-in-command shall<br \/>\nhave absolute discretion in all matters concerning the preparation of the<br \/>\nAircraft for flight and the flight itself, the load carried and its<br \/>\ndistribution, the decision whether or not a flight shall be undertaken, the<br \/>\nroute to be flown, the place where landings shall be made and all other matters<br \/>\nrelating to operation of the Aircraft. Lessee specifically agrees that the<br \/>\nflight crew shall have final and complete authority to delay or cancel any<br \/>\nflight for any reason or condition which, in the sole judgment of the<br \/>\npilot-in-command, could compromise the safety of the flight and to take any<br \/>\nother action which, in the sole judgment of the pilot in command, is<br \/>\nnecessitated by considerations of safety. Without limiting the generality of<br \/>\nSection  8, no such action of the pilot-in-command shall create or support any<br \/>\nliability for loss, injury, damage, or delay to Lessee or any other person.<\/p>\n<p><strong>8.<\/strong>                The Owner and Lessee agree that Owner shall not be<br \/>\nliable to Lessee or any other person for loss, injury, or damage occasioned by<br \/>\nthe delay or failure to furnish the Aircraft and crew pursuant to this Agreement<br \/>\nfor any reason.<\/p>\n<p><strong>9.<\/strong>                The risk of loss during the period when any<br \/>\nAircraft is operated on behalf of Lessee under this Agreement shall remain with<br \/>\nOwner, and Owner will retain all rights and benefits with respect to the<br \/>\nproceeds payable under policies of hull insurance maintained by Owner that may<br \/>\nbe payable as a result of any incident or occurrence while an Aircraft is being<br \/>\noperated on behalf of Lessee under this Agreement. Lessee shall be named as an<br \/>\nadditional insured on aviation liability insurance policies<\/p>\n<\/p>\n<p align=\"center\">-3-<\/p>\n<\/p>\n<hr>\n<p>maintained by Owner on the Aircraft with respect to flights conducted<br \/>\npursuant to this Agreement. The liability insurance policies on which Lessee is<br \/>\nnamed an additional insured shall provide that as to Lessee coverage shall not<br \/>\nbe invalidated or adversely affected by any action or inaction, omission or<br \/>\nmisrepresentation by Owner or any other person (other than Lessee). Any hull<br \/>\ninsurance policies maintained by Owner on any Aircraft used by Lessee under this<br \/>\nAgreement shall include a waiver of any rights of subrogation of the insurers<br \/>\nagainst Lessee.<\/p>\n<p><strong>10.<\/strong>            A copy of this Agreement shall be carried in the<br \/>\nAircraft and available for review upon the request of the FAA on all flights<br \/>\nconducted pursuant to this Agreement.<\/p>\n<p><strong>11.<\/strong>            Lessee represents, warrants and covenants to Owner<br \/>\nthat:<\/p>\n<\/p>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(a)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>he will use each Aircraft for and on his own account only and will not use<br \/>\nany Aircraft for the purposes of providing transportation of passengers or cargo<br \/>\nin air commerce for compensation or hire;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(b)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>he shall refrain from incurring any mechanics or other lien in connection<br \/>\nwith inspection, preventative maintenance, maintenance or storage of the<br \/>\nAircraft, whether permissible or impermissible under this Agreement, and he<br \/>\nshall not attempt to convey, mortgage, assign, lease or any way alienate the<br \/>\nAircraft or create any kind of lien or security interest involving the Aircraft<br \/>\nor do anything or take any action that might mature into such a lien;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(c)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>during the term of this Agreement, he will abide by and conform to all such<br \/>\nlaws, governmental, and airport orders, rules, and regulations as shall from<br \/>\ntime to time be in effect relating in any way to the operation and use of the<br \/>\nAircraft by a time-sharing lessee.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p><strong>12.<\/strong>            For purposes of this Agreement, the permanent base<br \/>\nof operation of the Aircraft shall be Stewart Newburgh Airport, 169 Route 17K,<br \/>\nNewburgh, NY, unless changed by Owner, in which event Owner shall notify Lessee<br \/>\nof the new permanent base of operation of the Aircraft.<\/p>\n<p><strong>13.<\/strong>            Owner and Lessee agree with respect to the<br \/>\nfollowing indemnification provisions:<\/p>\n<\/p>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"12%\"><\/td>\n<td width=\"5%\" valign=\"top\">\n<p>(a)<\/p>\n<\/td>\n<td valign=\"top\">\n<p align=\"left\">Owner hereby indemnifies Lessee and agrees to hold harmless<br \/>\nLessee from and against any liabilities, obligations, losses (excluding loss of<br \/>\nanticipated profits), damages, claims, actions, suits, costs, expenses and<br \/>\ndisbursements (&#8220;Losses&#8221;) imposed on, incurred by or asserted against Lessee<br \/>\narising out of or resulting from the ownership, lease, maintenance, repair,<br \/>\npossession, use, operation, condition, or other disposition or application of<br \/>\nthe<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p align=\"center\">-4-<\/p>\n<\/p>\n<hr>\n<table style=\"BORDER-COLLAPSE:COLLAPSE\" width=\"100%\" cellpadding=\"0\" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"17%\"><\/td>\n<td valign=\"top\">\n<p>Aircraft. Any changes or modifications to this Agreement must<br \/>\nbe in writing and signed by authorized representatives of both parties.
