This letter will confirm\n         the terms of a further amendment of such Factoring Agreement as\n         follows:\n\n              A.   Paragraph 7 is amended to read in its entirety as\n                   follows:  \"For your services hereunder with respect\n                   to our sales for each year beginning, April 1, 1997,\n                   you shall receive a commission equal to thirty-five\n                   one hundredths of one percent (.35%) of the net face\n                   value amount of each credit approved Receivable less\n                   selling discounts which shall be chargeable to our\n                   account with you on the last day of each month.\n\n              B.   Paragraph 13 is amended to substitute \"2001\" for\n                   \"2000\".\n\n              C.   Except as expressly specified provided herein, all of\n                   the representations, warranties, terms, covenants and\n                   conditions of the Factoring Agreement as previously\n                   and hereby amended shall remain in full force and effect.  \n                   The amendments set forth herein shall be limited precisely \n                   as set forth herein and shall not be deemed as amendment \n                   of, consent to or modification of any other term of \n                   provision of the Factoring Agreement.\n\n\n         Please confirm you agreement to the foregoing, where indicated\n         below.\n\n                                  Very truly yours,\n\n                                  CENTURY BUSINESS CREDIT CORPORATION\n\n\n                                  \/s\/ David L.
