{"id":41079,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/intellectual-property-security-agreement-credit-suisse-first.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"intellectual-property-security-agreement-credit-suisse-first","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/finance\/intellectual-property-security-agreement-credit-suisse-first.html","title":{"rendered":"Intellectual Property Security Agreement – Credit Suisse First Boston and Western Multiplex Corp."},"content":{"rendered":" INTELLECTUAL PROPERTY SECURITY AGREEMENT\n\n THIS INTELLECTUAL PROPERTY SECURITY AGREEMENT is entered into as of\nNovember 1, 1999 by and between CREDIT SUISSE FIRST BOSTON, as Agent for Banks\n(\"Agent\") and WESTERN MULTIPLEX CORPORATION, a Delaware corporation (\"Grantor\").\n\n RECITALS\n\n A. Banks have agreed to make certain advances of money and to extend\ncertain financial accommodation to Grantor (the \"Loans\") in the amounts and\nmanner set forth in that certain Credit Agreement by and among Grantor, Agent\nand Banks dated of even date herewith (as the same may be amended, modified or\nsupplemented from time to time, the \"Credit Agreement\"; capitalized terms used\nherein are used as defined in the Credit Agreement). Banks are willing to make\nthe Loans to Grantor, but only upon the condition, among others, that Grantor\nshall grant to Agent for the benefit of Banks a security interest in certain\nCopyrights, Trademarks and Patents to secure the obligations of Grantor under\nthe Credit Agreement.\n\n B. Pursuant to the terms of the Credit Agreement, Grantor has granted\nto Agent for the benefit of Banks a security interest in all of Grantor's right,\ntitle and interest, whether presently existing or hereafter acquired, in, to and\nunder all of the Collateral.\n\n NOW, THEREFORE, for good and valuable consideration, receipt of which\nis hereby acknowledged, and intending to be legally bound, as collateral\nsecurity for the prompt and complete payment when due of its obligations under\nthe Credit Agreement, Grantor hereby represents, warrants, covenants and agrees\nas follows:\n\n AGREEMENT\n\n To secure its obligations under the Credit Agreement, Grantor grants\nand pledges to Agent for the benefit of Banks a security interest in all of\nGrantor's right, title and interest in, to and under its current and future\nCopyrights, Patents and Trademarks (including without limitation those\ncopyright, patent and trademark registrations and applications listed on\nSchedules A, B and C hereto), and including without limitation all proceed\nthereof (such as, by way of example but not by way of limitation, license\nroyalties and proceeds of infringement suits), the right to sue for past,\npresent and future infringements, all rights corresponding thereto throughout\nthe world and all re-issues, divisions continuations, renewals, extensions and\ncontinuations-in-part thereof.\n\n This security interest is granted in conjunction with the security\ninterest granted to Agent for the benefit of Banks under the Security Agreement\ndated as of the date hereof. The rights and remedies of Agent and Banks with\nrespect to the security interest granted hereby are in addition to those set\nforth in the Credit Agreement, the Security Agreement and the other Loan\n\n\n 2\n \nDocuments, and those which are now or hereafter available to Agent and Banks as\na matter of law or equity. Each right, power and remedy of Agent or Banks\nprovided for herein or in the Credit Agreement or any of the Loan Documents, or\nnow or hereafter existing at law or in equity shall be cumulative and concurrent\nand shall be in addition to every right, power or remedy provided for herein and\nthe exercise by Agent or any Lender of any one or more of the rights, powers or\nremedies provided for in this Intellectual Property Security Agreement, the\nCredit Agreement or any of the other Loan Documents, or now or hereafter\nexisting at law or in equity, shall not preclude the simultaneous or later\nexercise by any person, including Agent or any Lender, of any or all other\nrights, powers or remedies.\n\n Counterparts.
