In accordance with the \"Administrative Regulations for\n                  Corporate Bonds\", and approved by the State Planning and\n                  Development Commission (Approval No. Jijingdiao[2001]218), the\n                  bond issuer, Guangdong Mobile Communication Company Limited\n                  (the \"Issuer\"), issued RMB5 billion of \"China Mobile\n                  Communication Corporate Bond, 2001\" due in 2011 (the \"Bonds\");\n\n         2.       The aforesaid bond issue is guaranteed by China Mobile (Hong\n                  Kong) Limited, a company and subsisting legal entity\n                  established in accordance with relevant laws of Hong Kong\n                  Special Administrative Region of the People's Republic of\n                  China (\"China, Hong Kong\"), which has the legal right to\n                  provide guarantee for the Bonds issued in accordance with\n                  \"Administrative Regulations for Corporate Bonds\" and\n                  \"Guarantee Law of the People's Republic of China\" and other\n                  relevant laws and regulations, and issued a joint and\n                  irrevocable guarantee for the performance of the Bonds (the\n                  \"Guarantee Letter from China Mobile (Hong Kong) Limited for\n                  Guangdong Mobile Communication Company Limited\");\n\n         3.       China Mobile Communications Corporation is a legal entity\n                  under the laws of the People's Republic of China, which has\n                  the legal right to provide guarantee in accordance with\n                  \"Guarantee Law of the People's Republic of China\" and other\n                  relevant laws and regulations;\n\n\n                                       1\n   2\n\n         4.       Upon the issuance of this Letter of Guarantee, China Mobile\n                  Communications Corporation has undergone fair disclosure of\n                  relevant information in accordance with laws of the People's\n                  Republic of China, and has the ability to fulfill the\n                  obligations of this Letter of Guarantee.\n\n\nIn accordance with obligations set in the \"Guarantee Letter from China Mobile\n(Hong Kong) Limited for Guangdong Mobile Communication Company Limited\", China\nMobile Communications Corporation hereby undertakes an unconditional and\nirrevocable guarantee for the due performance of the Bonds:\n\n         1.       Scope of Guarantee\n\n         The scope of guarantee of China Mobile Communications Corporation is:\nobligations undertook by China Mobile (Hong Kong) Limited for the issuance and\nrepayment of the Bonds in accordance with the \"Guarantee Letter from China\nMobile (Hong Kong) Limited for Guangdong Mobile Communication Company Limited\".\n\n         2.       Way of Guarantee\n\n         China Mobile Communications Corporation undertakes a joint guarantee\nfor the performance of the Bonds.\n\n         3.       Undertaking of Obligations of Guarantee\n\n         Within the period of guarantee set in article 4 hereunder, if the\nIssuer, Guangdong Mobile Communication Company Limited, is unable to pay the\nprincipal and any interest of the Bonds that are due and payable in accordance\nwith the issue terms and conditions of the \"Articles of Issuance of China Mobile\nCommunication Corporate Bond, 2001\" set for the issuance of the Bonds and\napproved by the State Planning and Development Commission; and China Mobile\n(Hong Kong) Limited is unable to perform its guaranteed obligations for the\nBonds, China Mobile Communications Corporation shall undertake the obligations\nin accordance with relevant laws, regulations and articles of this Letter of\nGuarantee.\n\n         After China Mobile Communications Corporation performed its obligations\nas set in this Letter of Guarantee, China Mobile (Hong Kong) Limited shall\nrecourse the Issuer by all necessary means, China Mobile Communications\nCorporation has the right of priority for repayment over amount of money\nrecourse by China Mobile (Hong Kong) Limited from the Issuer or other assets.\nChina Mobile Communications Corporation has the right to recourse directly from\nChina Mobile (Hong Kong) Limited and the Issuer whenever deems fit.\n\n\n                                       2\n   3\n\n\n         4.       Period of Guarantee\n\n         The period of guarantee of China Mobile Communications Corporation is\nthe same as the period of guarantee of China Mobile (Hong Kong) Limited as set\nin the \"Guarantee Letter from China Mobile (Hong Kong) Limited for Guangdong\nMobile Communication Company Limited\", i.e., from the first interest payment\ndate of the Bonds to one day before the expiry date of the Bonds in the next\ncalendar year. Not asking China Mobile Communications Corporation to perform its\nobligations during this period by China Mobile (Hong Kong) Limited will deem as\nwaiver of the obligations of China Mobile Communications Corporation.\n\n         5.       Disclosure of Information\n\n         China Mobile Communications Corporation shall disclose related\ninformation in accordance with legal requirements of the People's Republic of\nChina.\n\n         6.       Governing Law\n\n         China Mobile Communications Corporation hereby confirms, this Letter of\nGuarantee shall be governed by, and construed in accordance with, the laws of\nthe People's Republic of China.\n\n         7.       Amendment of Issuing Terms of the Bonds\n\n         Application for amendments of interest rate, period, payments for\nprincipal and interest of the Bonds from the Issuer must have prior written\napproval from China Mobile Communications Corporation. Upon approval of\namendments by related state authorities, China Mobile Communications Corporation\nwill continue to undertake the obligations of this Letter of Guarantee.\n\n         8.       Commencement Date of this Letter of Guarantee\n\n         Upon approval from related regulatory authorities, this Letter of\nGuarantee will be effective from the date of issuance of the Bonds. If the Bonds\nare not issued within six months after the execution of this Letter of\nGuarantee, this Letter of Guarantee will automatically be revoked.
