2.75% CONVERTIBLE SENIOR DEBENTURES DUE 2026 <\/strong>\n<\/p>\n

All capitalized terms used but not defined herein shall have the meanings
\nascribed to them in the Company Notice, dated November 16, 2011, and the
\naccompanying Letter of Transmittal and Purchase Notice (the “Purchase Notice”),
\nof Tech Data Corporation, a corporation duly organized and existing under the
\nlaws of the State of Florida (the “Company”), relating to the purchase by the
\nCompany, at the option of the holders thereof, of the Company153s 2.75%
\nConvertible Senior Debentures due 2026 (the “Debentures”) at a purchase price
\n(the “Purchase Price”) equal to $1,000 per $1,000 principal amount, plus any
\naccrued and unpaid interest, up to, but excluding, December 15, 2011, subject to
\nthe conditions set forth in the Indenture and the Debentures.<\/p>\n

A Purchase Notice may be withdrawn, for some or all of the Debentures for
\nwhich such Purchase Notice has been delivered, if the registered holder delivers
\nand the Depositary receives this completed and signed Notice of Withdrawal
\nbefore midnight, New York City time, on December 14, 2011.<\/p>\n

This Notice of Withdrawal is to be completed by registered holders of
\nDebentures desiring to withdraw a Purchase Notice, for some or all of the
\nDebentures for which a Holder has previously exercised the Put Option, if (i)
\nthe Put Option has been exercised by delivering a Purchase Notice to the
\nDepositary, or (ii) delivery of such Debentures has been previously made by
\nbook-entry transfer to the Depositary153s account at The Depository Trust Company
\n(“DTC”) pursuant to the book-entry transfer procedures described under the
\ncaption “Procedures to be Followed by Holders Electing to Exercise the Put
\nOption” in the Company Notice.<\/p>\n

HOLDERS WHO EXERCISED THE PUT OPTION AND DELIVERED THEIR DEBENTURES
\nTO THE DEPOSITARY THROUGH DTC153S AUTOMATED TENDER OFFER PROGRAM (“ATOP”) SHOULD
