{"id":41254,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/refinancing-amendment-to-credit-agreement-rite-aid-corp.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"refinancing-amendment-to-credit-agreement-rite-aid-corp","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/finance\/refinancing-amendment-to-credit-agreement-rite-aid-corp.html","title":{"rendered":"Refinancing Amendment &#8211; To Credit Agreement &#8211; Rite Aid Corp."},"content":{"rendered":"<p>REFINANCING AMENDMENT NO. 4 dated as of March 3, 2011 (this<br \/>\n&#8220;<u>Amendment<\/u>&#8220;), relating to the Credit Agreement dated as of June 27, 2001,<br \/>\nas amended and restated as of June 5, 2009 (as amended, supplemented or<br \/>\notherwise modified from time to time, the &#8220;<u>Credit Agreement<\/u>&#8220;), among Rite<br \/>\nAid Corporation, a corporation organized under the laws of the State of Delaware<br \/>\n(the &#8220;<u>Borrower<\/u>&#8220;), the lenders from time to time party thereto (the<br \/>\n&#8220;<u>Lenders<\/u>&#8220;), Citicorp North America, Inc., as administrative agent and<br \/>\ncollateral agent (in such capacities, the &#8220;<u>Administrative Agent<\/u>&#8220;), and<br \/>\nthe other agents party thereto.<\/p>\n<\/p>\n<p align=\"center\"><em>RECITALS<\/em><\/p>\n<p align=\"center\">\n<p>A. Capitalized terms used herein and not otherwise defined herein shall have<br \/>\nthe meanings assigned to such terms in the Credit Agreement. The rules of<br \/>\nconstruction specified in Section 1.03 of the Credit Agreement also apply to<br \/>\nthis Amendment.<\/p>\n<\/p>\n<p>B. The Credit Agreement permits the Borrower to obtain from any Lender or<br \/>\nAdditional Lender Refinancing Indebtedness in respect of any Indebtedness<br \/>\noutstanding under the Credit Agreement in the form of Other Term Loans pursuant<br \/>\nto a Refinancing Amendment.<\/p>\n<\/p>\n<p>C. On the Amendment Effective Date (as defined below), the Borrower intends<br \/>\nto incur additional Term Loans pursuant to Section 6.01(c) of the Credit<br \/>\nAgreement in an aggregate principal amount of at least $343,000,000 (the<br \/>\n&#8220;<u>Tranche 5 Term Loans<\/u>&#8220;) to be made available to the Borrower by the<br \/>\nlenders signatory hereto (the &#8220;<u>Tranche 5 Term Lenders<\/u>&#8220;). The proceeds of<br \/>\nthe Tranche 5 Term Loans will be used on the Amendment Effective Date (a) to<br \/>\nrepay all outstanding Tranche 3 Term Loans and accrued interest thereon and (b)<br \/>\nto pay fees and expenses incurred in connection with the foregoing.<\/p>\n<\/p>\n<p>D. This Amendment is a Refinancing Amendment effected pursuant to Section<br \/>\n6.01(c) of the Credit Agreement.<\/p>\n<\/p>\n<p align=\"center\"><em>AGREEMENTS<\/em><\/p>\n<p align=\"center\">\n<p>In consideration of the foregoing and for other good and valuable<br \/>\nconsideration, the receipt and sufficiency of which are hereby acknowledged, the<br \/>\nBorrower, the Subsidiary Loan Parties, the Tranche 5 Term Lenders and the<br \/>\nAdministrative Agent hereby agree as follows:<\/p>\n<\/p>\n<p align=\"center\">ARTICLE I<\/p>\n<p align=\"center\">\n<p align=\"center\"><u>Amendment<\/u><\/p>\n<p align=\"center\">\n<p>SECTION 1.1. <u>Amendment of Credit Agreement.<\/u> Pursuant to Section<br \/>\n6.01(c) of the Credit Agreement, effective as of the Amendment Effective Date,<br \/>\nfor all purposes of the Senior Loan Documents, (a) the Tranche 5 Term<br \/>\nCommitments (as defined below), the Tranche 5 Term Loans and the Tranche 5 Term<br \/>\nBorrowings shall constitute &#8220;Other Term Commitments&#8221;, &#8220;Other Term Loans&#8221; and<br \/>\n&#8220;Other Term Borrowings&#8221;, respectively and (b) each Tranche 5 Term<\/p>\n<\/p>\n<\/p>\n<hr>\n<\/p>\n<p>Lender shall become an &#8220;Additional Lender&#8221; and a &#8220;Lender&#8221; (if such Tranche 5<br \/>\nTerm Lender is not already a Lender prior to the effectiveness of this<br \/>\nAmendment). Certain terms of the Tranche 5 Term Loans are set forth in<br \/>\n<u>Exhibit A<\/u> attached hereto.<\/p>\n<\/p>\n<p>SECTION 1.2. <u>Tranche 5 Term Commitments.<\/u> i)Subject to the terms and<br \/>\nconditions set forth herein, each Tranche 5 Term Lender agrees to make a Tranche<br \/>\n5 Term Loan to the Borrower on the Amendment Effective Date in a principal<br \/>\namount not exceeding such Tranche 5 Term Lender153s Tranche 5 Term Commitment.<br \/>\nNotwithstanding anything to the contrary contained herein (and without affecting<br \/>\nany other provision hereof or of the Credit Agreement), the funded portion of<br \/>\neach Tranche 5 Term Loan to be made on the Amendment Effective Date (i.e., the<br \/>\namount advanced in cash to the Borrower on the Amendment Effective Date) shall<br \/>\nbe equal to 99.5% of the principal amount of such Tranche 5 Term Loan (it being<br \/>\nagreed that the Borrower shall be obligated to repay 100.0% of the principal<br \/>\namount of each such Tranche 5 Term Loan and interest shall accrue on 100.0% of<br \/>\nthe principal amount of each such Tranche 5 Term Loan, in each case as provided<br \/>\nhereunder and under the Credit Agreement). A Person shall become a Tranche 5<br \/>\nTerm Lender and a Lender under the Credit Agreement by executing and delivering<br \/>\nto the Administrative Agent, on or prior to the Amendment Effective Date, a<br \/>\nsignature page to this Amendment as a &#8220;Tranche 5 Term Lender&#8221;. The &#8220;<u>Tranche 5<br \/>\nTerm Commitment<\/u>&#8221; of any Tranche 5 Term Lender will be the amount of Tranche<br \/>\n5 Term Loans that such Person commits to make, as set forth on Schedule B<br \/>\nhereto. The commitments of the Tranche 5 Term Lenders are several and no Tranche<br \/>\n5 Term Lender shall be responsible for any other Tranche 5 Term Lender153s failure<br \/>\nto make Tranche 5 Term Loans.<\/p>\n<\/p>\n<p>(b) The obligation of each Tranche 5 Term Lender to make Tranche 5 Term Loans<br \/>\non the Amendment Effective Date is subject to the satisfaction of the following<br \/>\nconditions:<\/p>\n<\/p>\n<p>(i) After giving effect to the borrowing of the Tranche 5 Term Loans, the<br \/>\nconditions set forth in paragraphs (a), (b) and (c) of Section 4.02 of the<br \/>\nCredit Agreement shall be satisfied on and as of the Amendment Effective Date,<br \/>\nand the Tranche 5 Term Lenders shall have received a certificate of a Financial<br \/>\nOfficer dated the Amendment Effective Date to such effect.<\/p>\n<\/p>\n<p>(ii) The Collateral and Guarantee Requirement shall have been satisfied.<\/p>\n<\/p>\n<p>(iii) The Administrative Agent shall have received a favorable legal opinion<br \/>\nof each of (i) Skadden, Arps, Slate, Meagher &amp; Flom LLP, counsel to the<br \/>\nBorrower and (ii) Marc Strassler, General Counsel of the Borrower, in each case<br \/>\naddressed to the Administrative Agent and the Lenders under the Credit<br \/>\nAgreement, including the Tranche 5 Term Lenders, and dated the Amendment<br \/>\nEffective Date, in substantially the forms thereof delivered in connection with<br \/>\nRefinancing Amendment No. 3, dated as of August 19, 2010, modified, however, to<br \/>\naddress the Tranche 5 Term Loans and this Amendment, and covering such other<br \/>\nmatters relating to the Loan Parties, the other Senior Loan Documents, the<br \/>\nSenior Collateral and the transactions contemplated hereby to occur on the<br \/>\nAmendment Effective Date as the Administrative Agent may reasonably request, and<br \/>\notherwise reasonably satisfactory<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">2<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>to the Administrative Agent. The Borrower hereby requests such counsel to<br \/>\ndeliver such opinions.<\/p>\n<\/p>\n<p>(iv) The Administrative Agent shall have received such documents and<br \/>\ncertificates as the Administrative Agent or its counsel may reasonably request<br \/>\nrelating to the good standing of the Borrower and the organization and existence<br \/>\nof each Loan Party, the organizational documents of each Loan Party, the<br \/>\nresolutions of each Loan Party that authorize the transactions contemplated<br \/>\nhereby, the incumbency and authority of the Person or Persons executing and<br \/>\ndelivering the Amendment and the other documents contemplated hereby, all in<br \/>\nform and substance reasonably satisfactory to the Administrative Agent.<\/p>\n<\/p>\n<p>(v) The Administrative Agent shall have received a certificate, dated the<br \/>\nAmendment Effective Date and signed by a Financial Officer of the Borrower,<br \/>\ncertifying that the representations and warranties set forth in Section 2.1<br \/>\nhereof are true and correct as of the Amendment Effective Date.<\/p>\n<\/p>\n<p>(vi) The Administrative Agent shall have received a borrowing request in a<br \/>\nform acceptable to the Administrative Agent requesting that the Tranche 5 Term<br \/>\nLenders make the Tranche 5 Term Loans to the Borrower on the Amendment Effective<br \/>\nDate.<\/p>\n<\/p>\n<p>(vii) After giving effect to the borrowing of the Tranche 5 Term Loans, the<br \/>\nBorrowing Base Amount on the Amendment Effective Date shall be no less than the<br \/>\nsum of (A) the aggregate principal amount of Loans outstanding on the Amendment<br \/>\nEffective Date, (B) the LC Exposure on the Amendment Effective Date and (C) the<br \/>\naggregate principal amount of Additional Senior Debt outstanding on the<br \/>\nAmendment Effective Date. The Administrative Agent shall have received a<br \/>\ncompleted Borrowing Base Certificate dated the Amendment Effective Date and<br \/>\nsigned by a Financial Officer.<\/p>\n<\/p>\n<p>(viii) The conditions to effectiveness of this Amendment set forth in Section<br \/>\n1.3 hereof shall have been satisfied.<\/p>\n<\/p>\n<p>(ix) Each Subsidiary Guarantor shall have entered into a Reaffirmation<br \/>\nAgreement pursuant to which such Subsidiary Guarantor reaffirms its obligations<br \/>\nunder the Senior Subsidiary Guarantee Agreement and the other Senior Collateral<br \/>\nDocuments, in form and substance reasonably satisfactory to the Administrative<br \/>\nAgent.<\/p>\n<\/p>\n<p>SECTION 1.3. <u>Amendment Effectiveness.<\/u> The Amendment shall become<br \/>\neffective as of the first date (the &#8220;<u>Amendment Effective Date<\/u>&#8220;) on which<br \/>\nthe following conditions have been satisfied:<\/p>\n<\/p>\n<p>(a) The Administrative Agent (or its counsel) shall have received duly<br \/>\nexecuted counterparts hereof that, when taken together, bear the signatures of<br \/>\n(i) the Borrower, (ii) each Subsidiary Loan Party, (iii) each Tranche 5 Term<br \/>\nLender and (iv) the Administrative Agent. The aggregate amount of Tranche 5 Term<br \/>\nCommitments shall not exceed $343,000,000.<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">3<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>(b) The conditions to the making of the Tranche 5 Term Loans set forth in<br \/>\nSection 1.2(b) hereof shall have been satisfied.<\/p>\n<\/p>\n<p>(c) The principal of and accrued and unpaid interest on all outstanding<br \/>\nTranche 3 Term Loans, in each case as of the Amendment Effective Date, and all<br \/>\namounts owed in respect of the prepayment thereof pursuant to Section 2.16 of<br \/>\nthe Credit Agreement shall have been (or substantially simultaneously with the<br \/>\neffectiveness of this Amendment shall be) paid in full, and the Administrative<br \/>\nAgent shall have received evidence reasonably satisfactory to it of such<br \/>\npayment.<\/p>\n<\/p>\n<p>(d) To the extent invoiced at least two days prior to the Amendment Effective<br \/>\nDate, the Administrative Agent shall have received payment or reimbursement of<br \/>\nits reasonable out-of-pocket expenses in connection with this Amendment,<br \/>\nincluding the reasonable fees, charges and disbursements of counsel for the<br \/>\nAdministrative Agent.<\/p>\n<\/p>\n<p>(e) To the extent invoiced at least two days prior to the Amendment Effective<br \/>\nDate, CGMI shall have received, for the account of the Tranche 5 Term Lenders,<br \/>\npayment of all fees owed to such Tranche 5 Term Lenders by the Borrower on the<br \/>\nAmendment Effective Date in connection with this Amendment and the transactions<br \/>\ncontemplated hereby.<\/p>\n<\/p>\n<p>The Administrative Agent shall notify the Borrower, the Tranche 5 Term<br \/>\nLenders and the other Lenders of the Amendment Effective Date and such notice<br \/>\nshall be conclusive and binding. Notwithstanding the foregoing, the amendment<br \/>\neffected hereby shall not become effective, and the obligations of the Tranche 5<br \/>\nTerm Lenders hereunder to make Tranche 5 Term Loans will automatically<br \/>\nterminate, if each of the conditions set forth or referred to in Sections 1.2(b)<br \/>\nand 1.3 hereof has not been satisfied at or prior to 5:00 p.m., New York City<br \/>\ntime, on March 4, 2011.<\/p>\n<\/p>\n<p align=\"center\">ARTICLE II<\/p>\n<p align=\"center\">\n<p align=\"center\"><u>Miscellaneous<\/u><\/p>\n<p align=\"center\">\n<p>SECTION 2.1. <u>Representations and Warranties.<\/u> To induce the other<br \/>\nparties hereto to enter into this Amendment, the Borrower represents and<br \/>\nwarrants to each of the Lenders, including the Tranche 5 Term Lenders, and the<br \/>\nAdministrative Agent that, as of the Amendment Effective Date and after giving<br \/>\neffect to the transactions and amendments to occur on the Amendment Effective<br \/>\nDate, this Amendment has been duly authorized, executed and delivered by the<br \/>\nBorrower and constitutes, and the Credit Agreement, as amended hereby on the<br \/>\nAmendment Effective Date, will constitute, its legal, valid and binding<br \/>\nobligation, enforceable against it in accordance with its terms, subject to<br \/>\napplicable bankruptcy, insolvency, reorganization, moratorium or other laws<br \/>\naffecting creditors153 rights generally and subject to general principles of<br \/>\nequity, regardless of whether considered in a proceeding in equity or at law.\n<\/p>\n<\/p>\n<p>SECTION 2.2. <u>Effect of Amendment.<\/u> ii)Except as expressly set forth<br \/>\nherein, this Amendment shall not by implication or otherwise limit, impair,<br \/>\nconstitute a waiver of, or otherwise affect the rights and remedies of, the<br \/>\nLenders or the Agents under the Credit<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">4<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>Agreement or any other Senior Loan Document, and shall not alter, modify,<br \/>\namend or in any way affect any of the terms, conditions, obligations, covenants<br \/>\nor agreements contained in the Credit Agreement or any other Senior Loan<br \/>\nDocument, all of which are ratified and affirmed in all respects and shall<br \/>\ncontinue in full force and effect. Nothing herein shall be deemed to entitle any<br \/>\nLoan Party to a consent to, or a waiver, amendment, modification or other change<br \/>\nof, any of the terms, conditions, obligations, covenants or agreements contained<br \/>\nin the Credit Agreement or any other Senior Loan Document in similar or<br \/>\ndifferent circumstances. This Amendment shall apply to and be effective only<br \/>\nwith respect to the provisions of the Credit Agreement and the other Senior Loan<br \/>\nDocuments specifically referred to herein.<\/p>\n<\/p>\n<p>(b) On and after the Amendment Effective Date, each reference in the Credit<br \/>\nAgreement to &#8220;this Agreement&#8221;, &#8220;hereunder&#8221;, &#8220;hereof&#8221;, &#8220;herein&#8221; or words of like<br \/>\nimport, and each reference to the Credit Agreement, &#8220;thereunder&#8221;, &#8220;thereof&#8221;,<br \/>\n&#8220;therein&#8221; or words of like import in any other Senior Loan Document, shall be<br \/>\ndeemed a reference to the Credit Agreement, as amended hereby.
