(&#8220;AmeriCredit Canada&#8221;), a<br \/>\ncompany subsisting under the laws of Canada, AmeriCredit Corp. (&#8220;AmeriCredit&#8221;),<br \/>\na company subsisting under the laws of Texas, Merrill Lynch Financial Assets<br \/>\nInc. (the &#8220;Issuer&#8221;), a company subsisting under the laws of Canada and Merrill<br \/>\nLynch Canada Inc. (the &#8220;Underwriter&#8221;), a company subsisting under the laws of<br \/>\nCanada.<\/p>\n<p>     RECITALS:<\/p>\n<p>(a)  Pursuant to the provisions of a pooling and servicing agreement to be dated<br \/>\n     on or about May 17, 2002 between the Issuer, AmeriCredit Canada 2002-A<br \/>\n     Corp., BNY Trust Company of Canada (subject to regulatory approval) or The<br \/>\n     Trust Company of Bank of Montreal (pending such regulatory approval),<br \/>\n     AmeriCredit Canada and Bank One, NA, the Issuer will, on the date hereof,<br \/>\n     create and issue $45,000,000 3 months CDOR + 0.17% Class A-1 Certificates,<br \/>\n     Series 2002-A, $80,750,000 4.697% Class A-2 Certificates, Series 2002-A,<br \/>\n     $53,966,000 5.422% Class A-3 Certificates, Series 2002-A, $24,535,000<br \/>\n     7.070% Class B Certificates, Series 2002-A and $19,628,000 8.344% Class C<br \/>\n     Certificate, Series 2002-A, (collectively, the &#8220;Offered Certificates&#8221;),<br \/>\n     which Offered Certificates will be distributed by the Underwriter for<br \/>\n     resale to the public in the manner provided in the underwriting agreement<br \/>\n     (the &#8220;Underwriting Agreement&#8221;) dated as of May 10, 2002 between the Issuer,<br \/>\n     AmeriCredit Canada and the Underwriter;<\/p>\n<p>(b)  In furtherance of the issuance and sale of the Offered Certificates by the<br \/>\n     Issuer, the Issuer and the Underwriter have signed certificates attached to<br \/>\n     the short-form prospectus dated May 10, 2002 (the &#8220;Prospectus&#8221;) relating to<br \/>\n     the Offered Certificates;<\/p>\n<p>(c)  Pursuant to the Prospectus and in accordance with applicable securities<br \/>\n     legislation, the Issuer and the Underwriter (to the best of its knowledge)<br \/>\n     have certified that the Prospectus, together with the documents<br \/>\n     incorporated therein by reference, constitute full, true and plain<br \/>\n     disclosure of all material facts relating to the Offered Certificates and<br \/>\n     that, for the purpose of the Province of Quebec, the Prospectus, as<br \/>\n     supplemented by the permanent information record, contains no<br \/>\n     misrepresentation that is likely to affect the value or the market price of<br \/>\n     the Offered Certificates; and<\/p>\n<p>(d)  AmeriCredit Canada and AmeriCredit have agreed to indemnify the Issuer and<br \/>\n     the Underwriter from and against losses, claims, expenses and liabilities<br \/>\n     which the Issuer or the Underwriter may suffer or incur with respect to any<br \/>\n     Misrepresentation (as defined herein) contained in the Prospectus (as<br \/>\n     defined herein), or any amendment or supplement thereto, in accordance with<br \/>\n     the terms hereof.<\/p>\n<p>     In consideration of the foregoing and the mutual agreements contained<br \/>\nherein (the receipt and adequacy of which are acknowledged), the parties agree<br \/>\nas follows:<\/p>\n<p>                                       3<\/p>\n<p>                                   ARTICLE 1<br \/>\n                                 INTERPRETATION<\/p>\n<p>Section 1.1  Definitions.<\/p>\n<p>(1)  In this Indemnity Agreement, the following terms will have the following<br \/>\n     meanings:<\/p>\n<p>     &#8220;Claim&#8221; has the meaning ascribed thereto in Section 4.1 hereof.<\/p>\n<p>     &#8220;Indemnified Parties&#8221; means each of the Issuer and the Underwriter, and<br \/>\n     each of their officers, directors, employees, representatives and agents.<\/p>\n<p>     &#8220;Indemnity Agreement&#8221; means this Seller&#8217;s representation and indemnity<br \/>\n     covenant as amended, modified, restated or replaced from time to time, and<br \/>\n     the expressions &#8220;herein&#8221;, &#8220;hereof&#8221;, &#8220;hereto&#8221;, &#8220;hereunder&#8221;, and similar<br \/>\n     expressions refer to this Indemnity Agreement and not to any Article or<br \/>\n     Section hereof.<\/p>\n<p>     &#8220;Misrepresentation&#8221; means (i) an untrue statement of a material fact, or<br \/>\n     (ii) an omission to state a material fact that is required to be stated or<br \/>\n     that is necessary to make a statement not misleading in light of the<br \/>\n     circumstances in which it was made; and &#8220;material fact&#8221; means a fact that<br \/>\n     significantly affects, or that would reasonably be expected to have a<br \/>\n     significant effect on, the market price or value of the Offered<br \/>\n     Certificates.<\/p>\n<p>(2)  All capitalized terms used herein or in the recitals hereto without<br \/>\n     definition shall have the meaning ascribed thereto in the Prospectus.<\/p>\n<p>Section 1.2  Extended Meanings.<\/p>\n<p>     In this Indemnity Agreement, words importing the singular number include<br \/>\nthe plural and vice versa, and words importing gender include all genders.<\/p>\n<p>Section 1.3  Headings.<\/p>\n<p>     Article and Section headings are not to be considered part of this<br \/>\nIndemnity Agreement, are included solely for convenience of reference, and do<br \/>\nnot define, limit or enlarge the construction or interpretation hereof.<\/p>\n<p>Section 1.4  References to Sections and Articles.<\/p>\n<p>     Unless otherwise provided, all references herein to Sections or Articles<br \/>\nare references to Sections and Articles of this Indemnity Agreement.<\/p>\n<p>Section 1.5  Proper Law of Indemnity Agreement.<\/p>\n<p>     This Indemnity Agreement will be governed by the laws of the Province of<br \/>\nOntario and the laws of Canada applicable therein.<\/p>\n<p>                                       4<\/p>\n<p>Section 1.6       Invalidity of Provisions.<\/p>\n<p>         Save and except for any provision or covenant contained herein which is<br \/>\nfundamental to the subject matter of this Indemnity Agreement, the invalidity or<br \/>\nunenforceability of any provision or covenant hereof or herein contained will<br \/>\nnot affect the validity or enforceability of any other provision or covenant<br \/>\nhereof or herein contained and any such invalid or unenforceable provision or<br \/>\ncovenant will be deemed to be severable.<\/p>\n<p>                                  ARTICLE 2<br \/>\n                           REPRESENTATION AND WARRANTY<\/p>\n<p>Section 2.1       Representation and Warranty.<\/p>\n<p>         AmeriCredit Canada and AmeriCredit represent and warrant to the<br \/>\nIndemnified Parties that the Prospectus and any supplements to the Prospectus<br \/>\ncontain no Misrepresentation in the following sections of the Prospectus or any<br \/>\namendment to the Prospectus or any corresponding section of pages 1 and 2 of the<br \/>\nProspectus, the Summary in the Prospectus or definitions in Appendix &#8220;A&#8221; of the<br \/>\nProspectus or any amendment to the Prospectus:<\/p>\n<p>         (a)      The Seller;<\/p>\n<p>         (b)      The Servicer;<\/p>\n<p>         (c)      Guarantor;<\/p>\n<p>         (d)      Description of the Automobile Loan Pool;<\/p>\n<p>         (e)      Certain Legal Aspects of the Automobile Loans;<\/p>\n<p>         (f)      Cash Flow;<\/p>\n<p>         (g)      Use of Proceeds;<\/p>\n<p>         (h)      Description of the Certificates;<\/p>\n<p>         (i)      Hedging Contracts;<\/p>\n<p>         (j)      Yield and Prepayment Considerations;<\/p>\n<p>         (k)      Description of the Purchase Agreement and the Pooling and<br \/>\n                  Servicing Agreement;<\/p>\n<p>         (l)      Risk Factors\/ Investment Considerations;<\/p>\n<p>         (m)      Material Contracts; and<\/p>\n<p>         (n)      Transfer Agent and Registrar.<\/p>\n<p>                                       5<\/p>\n<p>                                   ARTICLE 3<br \/>\n                                FEES AND EXPENSES<\/p>\n<p>Section 3.1       Fees and Expenses Related to Indemnification.<\/p>\n<p>         The indemnity obligations of AmeriCredit Canada and AmeriCredit to the<br \/>\nIndemnified Parties in Article 4 shall include: (a) any and all reasonable<br \/>\ncharges, fees, costs, claims, expenses, and other obligations owing by the<br \/>\nIndemnified Parties of any kind in respect of any Claim, including without<br \/>\nlimitation any interest, fines or penalties payable; and (b) any and all<br \/>\nreasonable out-of-pocket expenses (including without limitation reasonable legal<br \/>\nfees and disbursements) incurred by the Indemnified Parties in investigating or<br \/>\nattempting to avoid any Claims or in enforcing any of their rights under this<br \/>\nIndemnity Agreement. All the foregoing obligations together with any amount<br \/>\nowing pursuant to section 4.1 hereto are collectively referred to herein as the<br \/>\n&#8220;Obligations&#8221;.<\/p>\n<p>                                    ARTICLE 4<br \/>\n                                   INDEMNITIES<\/p>\n<p>Section 4.1       Indemnification.<\/p>\n<p>(1)      AmeriCredit Canada and AmeriCredit hereby irrevocably and<br \/>\n         unconditionally agree to indemnify and save harmless each of the<br \/>\n         Indemnified Parties from and against 100% of all losses (except lost<br \/>\n         profits of the Underwriter in connection with the sale of the Offered<br \/>\n         Certificates), claims, costs, damages, demands, expenses and<br \/>\n         liabilities which any of the Indemnified Parties may suffer, incur or<br \/>\n         be the subject of (whether under the provisions of any statute or<br \/>\n         otherwise) (the &#8220;Claims&#8221;), from time to time, and which are in any way<br \/>\n         caused by or derived directly or indirectly by reason of, from or in<br \/>\n         consequence of:<\/p>\n<p>         (a) any Misrepresentation in the Prospectus or in any amendment<br \/>\n             thereto to the date hereof or in any document incorporated by<br \/>\n             reference therein with respect to items (a), (b), (c), (d) and<br \/>\n             (e) of Section 2.1 of this Indemnity Agreement; or<\/p>\n<p>         (b) any order made or inquiry, investigation or proceeding<br \/>\n             commenced or threatened by any regulatory authority or other<br \/>\n             authority in Canada or in any province or territory of Canada<br \/>\n             based upon any matter referred to in paragraph (a) above.<\/p>\n<p>(2)      AmeriCredit Canada and AmeriCredit hereby irrevocably and<br \/>\n         unconditionally agree to indemnify and save harmless each of the<br \/>\n         Indemnified Parties from and against 50% of all losses (except lost<br \/>\n         profits of the Underwriter in connection with the sale of the Offered<br \/>\n         Certificates), claims, costs, damages, demands, expenses and<br \/>\n         liabilities which any of the Indemnified Parties may suffer, incur or<br \/>\n         be the subject of (whether under the provisions of any statute or<br \/>\n         otherwise) (the &#8220;Claims&#8221;), from time to time, and which are in any way<br \/>\n         caused by or derived directly or indirectly by reason of, from or in<br \/>\n         consequence of:<\/p>\n<p>         (a) any Misrepresentation in the Prospectus or in any amendment thereto<br \/>\n             to the date hereof or in and document incorporated by reference<br \/>\n             therein with respect to items<\/p>\n<p>                                       6<\/p>\n<p>             (f), (g), (h), (i), (j), (k), (l), (m) or (n) of Section 2.1<br \/>\n             of this Indemnity Agreement; or<\/p>\n<p>         (b) any order made or inquiry, investigation or proceeding<br \/>\n             commenced or threatened by any regulatory authority or other<br \/>\n             authority in Canada or in any province or territory of Canada<br \/>\n             based upon any matter referred to in paragraph (a) above.<\/p>\n<p>Section 4.2       Absolute Liability.<\/p>\n<p>         The liability of AmeriCredit Canada and AmeriCredit under this<br \/>\nIndemnity Agreement shall be absolute, unconditional and remain undiminished<br \/>\nirrespective of:<\/p>\n<p>         (a) any contest by AmeriCredit Canada or AmeriCredit or by any<br \/>\n             other person or entity as to the amount of the Obligations or<br \/>\n             the validity or enforceability of this Indemnity Agreement;s<br \/>\n             and<\/p>\n<p>         (b) to the fullest extent permitted by law, any other<br \/>\n             circumstances which might otherwise constitute a defence<br \/>\n             available to, or a discharge of, AmeriCredit Canada or<br \/>\n             AmeriCredit in respect of the Obligations.<\/p>\n<p>Section 4.3       Joint and Several Liability.<\/p>\n<p>         The liability of AmeriCredit Canada and AmeriCredit under this<br \/>\nIndemnity Agreement shall be joint and several.<\/p>\n<p>Section 4.4       Method of Asserting Claims.<\/p>\n<p>(1)      If any Indemnified Party receives notice of or otherwise becomes aware<br \/>\n         of any Claim asserted against such Indemnified Party, the Indemnified<br \/>\n         Party concerned shall forthwith notify AmeriCredit Canada and<br \/>\n         AmeriCredit of the nature of such Claim in writing (provided that any<br \/>\n         failure to so notify shall not affect the liability of AmeriCredit<br \/>\n         Canada or AmeriCredit under this Section unless and only to the extent<br \/>\n         that AmeriCredit Canada or AmeriCredit shall be actually prejudiced<br \/>\n         thereby), which notice shall specify, in reasonable detail to the<br \/>\n         extent then known, the nature and estimated amount of the Claim. If<br \/>\n         AmeriCredit Canada or AmeriCredit receives notice of or otherwise<br \/>\n         becomes aware of any Claim, it shall forthwith notify any affected<br \/>\n         Indemnified Party of such Claim in writing, which notice shall specify,<br \/>\n         in reasonable detail to the extent then known, the nature and estimated<br \/>\n         amount of the Claim.<\/p>\n<p>(2)      AmeriCredit Canada or AmeriCredit shall, forthwith after the receipt of<br \/>\n         notice of a Claim from an Indemnified Party or the delivery of notice<br \/>\n         of a Claim to an Indemnified Party, as the case may be, either pay and<br \/>\n         settle such Claim, or subject as hereinafter provided, be entitled (but<br \/>\n         not required) to assume the defence on behalf of the Indemnified Party<br \/>\n         of any suit brought to enforce such a Claim; provided, however, that<br \/>\n         the defence shall be through legal counsel engaged and paid for solely<br \/>\n         by AmeriCredit Canada or AmeriCredit and acceptable to the Indemnified<br \/>\n         Party, acting reasonably, and no admission of liability or settlement<br \/>\n         shall be made by AmeriCredit Canada, AmeriCredit or the Indemnified<br \/>\n         Party without, in each case, the prior written consent of AmeriCredit<\/p>\n<p>                                       7<\/p>\n<p>         Canada and AmeriCredit and the Indemnified Party, such consent not to<br \/>\n         be unreasonably or arbitrarily withheld or delayed. An Indemnified<br \/>\n         Party shall have the right to employ separate counsel in any such suit<br \/>\n         and participate in the defence thereof, but the fees and expenses of<br \/>\n         such counsel shall be at the expense of such Indemnified Party unless:<br \/>\n         (a) the employment of such counsel has been authorized by AmeriCredit<br \/>\n         Canada or AmeriCredit; (b) AmeriCredit Canada or AmeriCredit, as the<br \/>\n         case may be, has not, within a reasonable time after receiving written<br \/>\n         notice, employed counsel to have charge of the defence of such action;<br \/>\n         or (c) the named parties to any such suit include the Indemnified Party<br \/>\n         and the Indemnified Party shall have been advised by counsel that there<br \/>\n         may be one or more legal defences available to the Indemnified Party<br \/>\n         which are different from or in addition to those available to<br \/>\n         AmeriCredit Canada or AmeriCredit, as the case may be (in which case<br \/>\n         AmeriCredit Canada or AmeriCredit, as the case may be, shall not have<br \/>\n         the right to assume the defence of such suit on behalf of the<br \/>\n         Indemnified Party but AmeriCredit Canada or AmeriCredit, as the case<br \/>\n         may be, shall be liable in accordance with the provisions of Section<br \/>\n         3.1 to pay the reasonable fees and disbursements of counsel for the<br \/>\n         Indemnified Party).<\/p>\n<p>(3)      If AmeriCredit Canada or AmeriCredit undertakes, conducts and controls<br \/>\n         the settlement or defence of such Claim, AmeriCredit Canada or<br \/>\n         AmeriCredit, as the case may be, shall permit the relevant Indemnified<br \/>\n         Party to participate in such settlement or defence, at the option of<br \/>\n         the Indemnified Party. Notwithstanding the foregoing, the prior written<br \/>\n         consent of such Indemnified Party shall be required, such consent not<br \/>\n         to be unreasonably or arbitrarily withheld or delayed, for any consent<br \/>\n         to judgment or other similar act, or any settlement AmeriCredit Canada<br \/>\n         or AmeriCredit proposes to enter into in respect of a Claim, which<br \/>\n         provides for or would result in: (a) the granting of equitable relief<br \/>\n         against such Indemnified Party; (b) any admission or deemed admission<br \/>\n         of liability or default on the part of such Indemnified Party; or (c)<br \/>\n         the granting of any other relief or remedy which, in the opinion of<br \/>\n         such Indemnified Party, acting reasonably, would otherwise impair the<br \/>\n         reputation of such Indemnified Party.<\/p>\n<p>(4)      If AmeriCredit Canada or AmeriCredit is unsuccessful in its defence of<br \/>\n         a Claim in whole or in part or fails to comply with the terms of<br \/>\n         settlement pertaining thereto and the person or entity making such<br \/>\n         Claim is entitled to assert a right to recover any amount from an<br \/>\n         Indemnified Party, any amount paid by such an Indemnified Party in<br \/>\n         satisfaction of such Claim shall be added to and form part of the<br \/>\n         Obligations.<\/p>\n<p>(5)      If AmeriCredit Canada or AmeriCredit does not undertake, conduct and<br \/>\n         control the settlement or defence of a Claim forthwith following the<br \/>\n         receipt of notice of such Claim, the relevant Indemnified Party shall<br \/>\n         have the right, but not the obligation, upon notice to AmeriCredit<br \/>\n         Canada and AmeriCredit to contest, settle or compromise the Claim in<br \/>\n         its sole discretion. Any payment made by such Indemnified Party to<br \/>\n         settle or compromise such Claim, together with the fees and expenses of<br \/>\n         counsel incurred in connection thereto, shall be added to and form part<br \/>\n         of the Obligations.<\/p>\n<p>(6)      AmeriCredit or AmeriCredit Canada shall make payment of the Obligations<br \/>\n         in respect of any Claim forthwith after payment of such Claim is<br \/>\n         properly made or owing by an Indemnified Party and a demand for payment<br \/>\n         is made in writing by such an Indemnified<\/p>\n<p>                                       8<\/p>\n<p>         Party to it, and all fees and expenses of counsel which an Indemnified<br \/>\n         Party is entitled to receive under this Agreement shall be reimbursed<br \/>\n         by AmeriCredit Canada or AmeriCredit as they are incurred.<\/p>\n<p>(7)      If any action is instituted against AmeriCredit Canada or AmeriCredit<br \/>\n         as a result of any matter referred to in Section 4.1 hereof or if any<br \/>\n         payment is made by AmeriCredit Canada or AmeriCredit pursuant to this<br \/>\n         Section, AmeriCredit Canada or AmeriCredit shall not make any claim for<br \/>\n         contribution against the Underwriter or any of the other Indemnified<br \/>\n         Parties.<\/p>\n<p>(8)      Notwithstanding any other Section or provision contained in this<br \/>\n         Indemnity Agreement, the rights to indemnity and contribution contained<br \/>\n         in Section 4.1 hereof shall survive the Closing Date and the sale of<br \/>\n         the Offered Certificates, and shall continue in full force and effect<br \/>\n         unaffected by any disposition or re-distribution by any purchaser of<br \/>\n         the Offered Certificates.<\/p>\n<p>(9)      Notwithstanding Section 4.1, the parties agree that AmeriCredit Canada<br \/>\n         and AmeriCredit shall not be responsible to any Indemnified Party with<br \/>\n         respect to any action or failure to act which constitutes negligence or<br \/>\n         wilful misconduct on the part of such Indemnified Party.<\/p>\n<p>(10)     The rights of indemnity contained in Section 4.1 hereof shall not enure<br \/>\n         to the benefit of the Underwriter if the Obligations arise from any<br \/>\n         Claim by any purchaser who was not provided with a copy of the<br \/>\n         Prospectus or any amendment or supplement thereto, if applicable, which<br \/>\n         corrects any Misrepresentation which is the basis of such claim and<br \/>\n         which was required under applicable Canadian securities laws to be<br \/>\n         delivered to such purchaser by the Underwriter.<\/p>\n<p>(11)     In the event of any Claim, the defence of which is being undertaken and<br \/>\n         controlled by AmeriCredit Canada or AmeriCredit, the relevant<br \/>\n         Indemnified Parties will use all reasonable efforts to make available<br \/>\n         to AmeriCredit Canada or AmeriCredit, as the case may be, those<br \/>\n         employees whose assistance, testimony or presence is necessary to<br \/>\n         assist AmeriCredit Canada or AmeriCredit, as the case may be, in<br \/>\n         evaluating and in defending any such Claim; provided that AmeriCredit<br \/>\n         Canada or AmeriCredit, as the case may be, shall be responsible for the<br \/>\n         reasonable expense associated with any employees made available by an<br \/>\n         Indemnified Party to AmeriCredit Canada or AmeriCredit hereunder, which<br \/>\n         expense shall be equal to an amount to be mutually agreed upon per<br \/>\n         person per hour or per day for each day or portion thereof that such<br \/>\n         employees are assisting AmeriCredit Canada or AmeriCredit and which<br \/>\n         expenses shall not exceed the actual cost to such Indemnified Party<br \/>\n         associated with such employees. Such expense shall be added to and form<br \/>\n         part of the Obligations.<\/p>\n<p>(12)     The relevant Indemnified Party shall make available to AmeriCredit<br \/>\n         Canada or AmeriCredit, as the case may be, or their respective<br \/>\n         representatives on a timely basis, all documents, records and other<br \/>\n         materials in the possession of such Indemnified Parties, at the expense<br \/>\n         of AmeriCredit Canada or AmeriCredit, as the case may be, reasonably<br \/>\n         required by AmeriCredit Canada or AmeriCredit for its use in defending<br \/>\n         any Claim and<\/p>\n<p>                                       9<\/p>\n<p>         shall otherwise cooperate on a timely basis with AmeriCredit Canada or<br \/>\n         AmeriCredit, as the case may be, in the defence of such Claim.<\/p>\n<p>Section 4.5    Contribution.<\/p>\n<p>         (a)   In order to provide for just and equitable contribution in<br \/>\n               circumstances in which the indemnity provided in Section 4.1<br \/>\n               hereof is due in accordance with its terms but is, for any<br \/>\n               reason, held to be unavailable to or unenforceable by the<br \/>\n               Underwriter or enforceable by the Underwriter otherwise than in<br \/>\n               accordance with its terms, to the extent permitted by applicable<br \/>\n               law, AmeriCredit Canada and AmeriCredit and the Underwriter shall<br \/>\n               contribute to the aggregate of all Obligations to the Underwriter<br \/>\n               in such proportions as is appropriate to reflect the relative<br \/>\n               benefits received by AmeriCredit Canada or AmeriCredit and the<br \/>\n               Underwriter from the distribution of the Offered Certificates and<br \/>\n               the relative benefits received by the Underwriter shall be deemed<br \/>\n               to be the aggregate fee payable by AmeriCredit Canada to the<br \/>\n               Underwriter under the Underwriting Agreement in connection with<br \/>\n               the sale of the Offered Certificates (plus or minus the amount by<br \/>\n               which the aggregate price paid to the Underwriter for the Offered<br \/>\n               Certificates by purchasers exceeds or is less than the proceeds<br \/>\n               of the Offered Certificates paid by the Underwriter to the<br \/>\n               Issuer), and AmeriCredit Canada or AmeriCredit shall be<br \/>\n               responsible for the balance; provided that, in any event, the<br \/>\n               Underwriter shall not be liable to contribute, in the aggregate,<br \/>\n               any amount in excess of such aggregate fee or any portion thereof<br \/>\n               actually received by such Underwriter.<\/p>\n<p>         (b)   In the event that the allocation provided by paragraph (a) above<br \/>\n               is not permitted by applicable law, AmeriCredit Canada or<br \/>\n               AmeriCredit and such Underwriter shall contribute to the<br \/>\n               aggregate of all Obligations to the Underwriter in such<br \/>\n               proportions as is appropriate to reflect not only the relative<br \/>\n               benefits referred to in paragraph (a) but also the relative fault<br \/>\n               of AmeriCredit Canada and AmeriCredit or the Issuer, on the one<br \/>\n               hand, and the Underwriter, on the other hand. The relative fault<br \/>\n               of AmeriCredit Canada, AmeriCredit and the Issuer and of the<br \/>\n               Underwriter shall be determined by reference to, among other<br \/>\n               things, whether a Misrepresentation or alleged Misrepresentation<br \/>\n               or order, inquiry, investigation or other matter or thing which<br \/>\n               resulted in such Obligations relates to information supplied by<br \/>\n               or steps or actions taken or done by or on behalf of AmeriCredit<br \/>\n               Canada, AmeriCredit or the Issuer, on the one hand, or to<br \/>\n               information supplied by or steps or actions taken or done by or<br \/>\n               on behalf of the Underwriter in its capacity as Underwriter, on<br \/>\n               the other hand, and the relative intent, knowledge, access to<br \/>\n               information and opportunity to correct or prevent such<br \/>\n               Misrepresentation or alleged Misrepresentations order, inquiry,<br \/>\n               investigation or other matter or thing (in the case of the<br \/>\n               Underwriter, in its capacity as Underwriter).<\/p>\n<p>         (c)   Subject to subsection 4.5(d) hereof, in the event that<br \/>\n               AmeriCredit Canada or AmeriCredit may be held to be entitled to<br \/>\n               contribution from the Underwriter under the provisions of any<br \/>\n               statute or otherwise pursuant to applicable law, the entitlement<br \/>\n               of AmeriCredit Canada or AmeriCredit, as the case may be, shall<br \/>\n               be<\/p>\n<p>                                       10<\/p>\n<p>               limited to an amount not exceeding the lesser of (a) the portion<br \/>\n               of the full amount of the loss or liability giving rise to such<br \/>\n               contribution for which the Underwriter is responsible, as<br \/>\n               determined pursuant to subsection 4.5(a) or (b) hereof; and (b)<br \/>\n               the amount of any fees actually received by the Underwriter under<br \/>\n               the terms hereof plus or minus the amount by which the aggregate<br \/>\n               price paid to the Underwriter for the Offered Certificates by<br \/>\n               purchasers exceeds or is less than the proceeds of the Offered<br \/>\n               Certificates paid by the Underwriter to the Issuer.<\/p>\n<p>         (d)   If any action is instituted against AmeriCredit Canada or<br \/>\n               AmeriCredit as a result of any matter referred to in Section 4.1<br \/>\n               hereof or if any payment is made by AmeriCredit Canada or<br \/>\n               AmeriCredit pursuant to this section, AmeriCredit Canada or<br \/>\n               AmeriCredit, as the case may be, shall not make any claim for<br \/>\n               contribution against the Underwriter or any of the other<br \/>\n               Indemnified Parties except to the extent permitted by Section<br \/>\n               4.2, Section 4.4 and Section 4.6 hereof.<\/p>\n<p>Section 4.6    Other Rights.<\/p>\n<p>         The rights to indemnity and contribution provided herein shall be in<br \/>\naddition to and not in derogation of any other right to contribution which the<br \/>\nUnderwriter or any other Indemnified Party may have by statute or otherwise<br \/>\npursuant to applicable law.<\/p>\n<p>Section 4.7    Subsequent Payments.<\/p>\n<p>         If, after payment by AmeriCredit Canada or AmeriCredit of any Claim,<br \/>\nany Indemnified Party should receive any payment in respect thereof from a third<br \/>\nparty, such Indemnified Party shall hold such payment in trust for, and promptly<br \/>\nupon receipt remit such payment to AmeriCredit Canada or AmeriCredit, as the<br \/>\ncase may be.<\/p>\n<p>                                   ARTICLE 5<br \/>\n                                  MISCELLANEOUS<\/p>\n<p>Section 5.1    Binding Effect.<\/p>\n<p>         (a)   The provisions of this Indemnity Agreement shall be binding upon<br \/>\n               and enure to the benefit of AmeriCredit Canada, AmeriCredit, the<br \/>\n               Issuer, the Underwriter and their respective successors and<br \/>\n               permitted assigns.<\/p>\n<p>         (b)   The Underwriter hereby holds AmeriCredit Canada&#8217;s and<br \/>\n               AmeriCredit&#8217;s obligations hereunder in trust for the benefit of<br \/>\n               all Indemnified Parties other than the signatories hereto.<\/p>\n<p>Section 5.2    Successors and Assigns<\/p>\n<p>         Any change or changes in the name or reorganization (whether by way of<br \/>\nreconstruction, consolidation, amalgamation, merger, transfer, sale, lease or<br \/>\notherwise) of AmeriCredit Canada or AmeriCredit or their respective businesses<br \/>\nshall not affect or in any way limit or lessen the liability of AmeriCredit<br \/>\nCanada or AmeriCredit hereunder. This Indemnity Agreement may not<\/p>\n<p>                                       11<\/p>\n<p>be assigned without the prior written consent of the other parties hereto and<br \/>\nshall be binding upon the parties hereto and their respective successors and<br \/>\npermitted assigns. The Underwriter or any other Indemnified Party shall be<br \/>\nentitled to assign any or all of the benefits hereunder without limitation in<br \/>\nthe event that such Person assigns any or all of its benefits under the<br \/>\nUnderwriting Agreement, but only to the extent of such assignment and only to<br \/>\nthe assignee of such benefits.<\/p>\n<p>Section 5.3  No Limitation.<\/p>\n<p>     This Indemnity Agreement is in addition to and without limitation of any<br \/>\nother indemnity or indemnities made in favour of the Indemnified Parties in<br \/>\nconnection with the transactions contemplated by the Prospectus.<\/p>\n<p>Section 5.4  Governing Law<\/p>\n<p>     This Indemnity Agreement shall be governed by and construed in accordance<br \/>\nwith the laws of the Province of Ontario and the laws of Canada applicable<br \/>\ntherein.<\/p>\n<p>Section 5.5  Attornment<\/p>\n<p>     For the purpose of all legal proceedings this Indemnity Agreement shall be<br \/>\ndeemed to have been performed in the Province of Ontario and the courts of the<br \/>\nProvince of Ontario shall have jurisdiction to entertain any action arising<br \/>\nunder this Agreement. AmeriCredit Canada, AmeriCredit, the Issuer and the<br \/>\nUnderwriter each hereby attorns to the jurisdiction of the courts of the<br \/>\nProvince of Ontario.<\/p>\n<p>Section 5.6  Notices.<\/p>\n<p>     All notices and other communications provided for hereunder must, unless<br \/>\notherwise stated herein, be in writing and faxed or delivered, as to each party<br \/>\nhereto, at its address set forth under its name on the signature pages hereof or<br \/>\nat such other address designated by such party in a written notice in the manner<br \/>\ncontemplated in this Section 5.4 to the other parties hereto. Any such notice or<br \/>\nother communication shall be deemed to have been given as of the date received,<br \/>\nif received prior to 4:00 p.m. on a Business Day; if received on a day other<br \/>\nthan a Business Day or on a Business Day after 4:00 p.m., any such notice been<br \/>\nshall deemed to have given on the next following Business Day.<\/p>\n<p>                                       12<\/p>\n<p>Section 5.7  Counterparts.<\/p>\n<p>     This Indemnity Agreement may be executed in counterparts (including<br \/>\ncounterparts by facsimile), each of which shall be deemed to be an original and<br \/>\nwhich together shall constitute one and the same agreement.<\/p>\n<p>     IN WITNESS WHEREOF the parties have executed this Indemnity Agreement.<\/p>\n<p>                                          AMERICREDIT FINANCIAL<br \/>\n                                          SERVICES OF CANADA LTD.<\/p>\n<p>                                  By:    ______________________________________<br \/>\n                                  Name:   Preston A.
