{"id":41359,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/warrant-agreement-corio-inc-and-cap-gemini-ernst-amp-amp.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"warrant-agreement-corio-inc-and-cap-gemini-ernst-amp-amp","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/finance\/warrant-agreement-corio-inc-and-cap-gemini-ernst-amp-amp.html","title":{"rendered":"Warrant Agreement &#8211; Corio Inc. and Cap Gemini Ernst &#038; Young U.S. LLC"},"content":{"rendered":"<pre>                                   CORIO, INC.\n                        FIRST WARRANT AMENDMENT AGREEMENT\n\n        This First Warrant Amendment Agreement (this \"AGREEMENT\") is made and\nentered into as of October 14, 2000 by and between Corio, Inc., a Delaware\ncorporation (the \"COMPANY\"), and Cap Gemini Ernst &amp; Young U.S. LLC (the\n\"INVESTOR\").\n\n                                  R E C I T A L\n\n        WHEREAS, the Investor is the successor and assignee of Ernst &amp; Young LLP\nin respect of a Warrant Rights Agreement entered into by and between the Company\nand Ernst &amp; Young LLP on April 20, 2000.\n\n        WHEREAS, the Company issued to the Investor on May 23, 2000, pursuant to\nthe Warrant Rights Agreement, a warrant, in the form attached hereto as Exhibit\nA (the \"FIRST WARRANT\"), to acquire up to 4,666,666 shares of the Company's\ncommon stock (the \"WARRANT SHARES\").\n\n        WHEREAS, on September 27, 2000, the Investor exercised the First Warrant\nin part by electing, pursuant to Section 1.2(c) of the First Warrant, a net\nexercise of 2,333,333 Warrant Shares to acquire 960,810 Warrant Shares.\n\n        WHEREAS, on October 9, 2000, the Company, pursuant to Section 1.4 of\nthe First Warrant, issued to the Investor a new First Warrant to acquire up to\nthe remaining 2,333,333 Warrant Shares issuable on the exercise of such First\nWarrant, in the form attached hereto as Exhibit B (the \"NEW FIRST WARRANT\").\n\n        WHEREAS, the Company and the Investor each desire to amend and restate\nthe First Warrant, to among other things, extend the period within which the New\nFirst Warrant may be exercised and to restrict the circumstances in which the\nNew First Warrant may be exercised by means of a \"NET EXERCISE\" (as such term is\ndefined in Section 1.2(c) of the New First Warrant) in the form attached hereto\nas Exhibit C (the \"AMENDED FIRST WARRANT\").\n\n        NOW, THEREFORE, in consideration of the foregoing and the mutual\npromises hereinafter set forth, and other good and valuable consideration, the\nreceipt and sufficiency of which are hereby acknowledged, the Company and the\nInvestor hereby agree as follows:\n\n        1. CANCELLATION OF NEW FIRST WARRANT. The New First Warrant to acquire\nup to 2,333,333 Warrant Shares issued by the Company to the Investor on October\n9, 2000 pursuant to Section 1.4 of the First Warrant shall be returned to the\nCompany and, upon such return, shall be cancelled in its entirety.\n\n        2. ISSUANCE OF AMENDED FIRST WARRANT. Upon receipt of the New First\nWarrant from the Investor, the Company shall issue forthwith to the Investor an\nAmended First Warrant executed by the Company.\n\n\n   2\n\n        IN WITNESS WHEREOF, the parties hereto have executed this Agreement as\nof the date first above written.\n\nCORIO, INC.
