That this corporation was originally incorporated on August 29, 1997 under the name Kibble, Inc., pursuant to the General\nCorporation Law. <\/p> \n<p>2. That the Amended and Restated Certificate\nof Incorporation was filed with the Delaware Secretary of State on May 27, 2003. <\/p> \n<p>3. Pursuant to Sections 242 and 228 of the General Corporation Law, the amendment herein set forth has been duly approved by the Board of Directors and stockholders of Netflix, Inc. <\/p> \n<p>4.
