The name\nof its registered agent at such address is The Corporation Trust Company.\n\nTHIRD: The nature of the business of the Corporation and the objects and\npurposes and business thereof proposed to be transacted, promoted or carried on\nare as follows:\n\n         To transact any and all lawful act or activity for which a corporation\n         may be incorporated under the laws of the State of Delaware.\n\nFOURTH: The total number of shares of all classes that the Corporation shall\nhave authority to issue is 250,000,000, of which 50,000,000 shares shall be\nPreferred Stock, par value $.10 per share, and 200,000,000 shares shall be\nCommon Stock, $.10 par value per share. All of such shares shall, upon issuance\nthereof, be fully paid and nonassessable.\n\n         The designations, preferences, limitations and relative rights of the\nshares of each class that the Corporation shall have authority to issue are as\nfollows:\n\n         A.       Preferred Stock. The Board of Directors is hereby expressly\n                  vested with the authority to adopt a resolution or resolutions\n                  providing for the issue of authorized but unissued shares of\n                  Preferred Stock, which shares may be issued from time to time\n                  in one or more series and in such amounts as may be determined\n                  by the Board of Directors in such resolution or resolutions.\n                  The designations, preferences, limitations or relative rights\n                  of the Preferred Stock and the qualifications, limitations or\n                  restrictions, if any, of such preferences and\/or rights\n                  (collectively, the \"Series Terms\") may vary between series in\n                  any and all respects and shall be such as are stated and\n                  expressed in a resolution or resolutions providing for the\n                  creation or revision of such Series Terms set forth in a\n                  Certificate of Designations (a \"Preferred Stock Series\n                  Resolution\") adopted by the Board of Directors; provided that\n                  all shares of any one series of Preferred Stock so designated\n                  by the Board of Directors shall be identical in all respects\n                  except that shares of any one series issued at different times\n                  may differ as to the dates from which dividends thereon may be\n                  cumulative. The powers of the Board of Directors with respect\n                  to the Series Terms of a particular series shall include, but\n                  not be limited to, determination of the following:\n\n\n   2\n\n\n\n\n\n                  1.       The right to receive dividends, if any, and the rate,\n                           dates, terms and other conditions on which such\n                           dividends shall be payable;\n\n                  2.       The nature of the dividend payable, if any, with\n                           respect to shares of such series as cumulative,\n                           noncumulative or partially cumulative;\n\n                  3.       The redemption rights of such series including the\n                           price at and the terms and conditions on which such\n                           shares may be redeemed;\n\n                  4.       The amount payable upon shares in the event of\n                           involuntary liquidation;\n\n                  5.       The amount payable upon shares in the event of\n                           voluntary liquidation;\n\n                  6.       Sinking fund provisions for the redemption or\n                           purchase of shares;\n\n                  7.       The terms and conditions on which shares may be\n                           converted, if the shares of any series are issued\n                           with the privilege of conversion;\n\n                  8.       Voting rights, if any; and\n\n                  9.       Repurchase obligations of the Corporation with\n                           respect to the shares of each series.\n\n                  Any of the Series Terms, including voting rights, of any\n                  series may be made dependent upon facts ascertainable outside\n                  this Certificate of Incorporation and the Preferred Stock\n                  Series Resolution, provided that the manner in which such\n                  facts shall operate upon such Series Terms is clearly and\n                  expressly set forth herein or in the Preferred Stock Series\n                  Resolution.\n\n                  Subject to the provisions of this Paragraph Fourth, shares of\n                  one or more series of Preferred Stock may be authorized or\n                  issued from time to time as shall be determined by and for\n                  such consideration as shall be fixed by the Board of\n                  Directors, in an aggregate amount not exceeding the total\n                  number of shares of Preferred Stock authorized herein. Except\n                  in respect of Series Terms fixed by the Board of Directors as\n                  permitted hereby, all shares of Preferred Stock shall be of\n                  equal rank and shall be identical.\n\n\n\n\n                                      -2-\n   3\n\n         B.       Common Stock.\n\n                  1.       Dividends. Subject to the provisions of any Preferred\n                           Stock Series Resolution, the Board of Directors may,\n                           in its discretion, out of funds legally available for\n                           the payment of dividends and at such times and in\n                           such manner as determined by the Board of Directors,\n                           declare and pay dividends on the Common Stock of the\n                           Corporation.\n\n                           No dividend (other than a dividend in capital stock\n                           ranking on a parity with the Common Stock or cash in\n                           lieu of fractional shares with respect to such stock\n                           dividend) shall be declared or paid on any share or\n                           shares of any class of stock or series thereof\n                           ranking on a parity with the Common Stock in respect\n                           of payment of dividends for any dividend period\n                           unless there shall have been declared, for the same\n                           dividend period, like proportionate dividends on all\n                           shares of Common Stock then outstanding.\n\n                  2.       Liquidation. In the event of any liquidation,\n                           dissolution or winding up of the Corporation, whether\n                           voluntary or involuntary, after payment or provision\n                           for payment of the debts and other liabilities of the\n                           Corporation and after payment of any preferential\n                           amount due to the holders of any other class or\n                           series of stock, the holders of the Common Stock\n                           shall be entitled to receive ratably any or all\n                           assets remaining to be paid or distributed.\n\n                  3.       Voting Rights. Subject to any special voting rights\n                           set forth in any Preferred Stock Series Resolution,\n                           the holders of the Common Stock of the Corporation\n                           shall be entitled at all meetings of shareholders to\n                           one vote for each share of such stock held by them.\n\n         C.       Prior, Parity or Junior Stock. Whenever reference is made in\n                  this Paragraph Fourth or in any Preferred Stock Series\n                  Resolution to shares \"ranking prior to\" another class or\n                  series of stock or \"on a parity with\" another class or series\n                  of stock, such reference shall mean and include all other\n                  shares of the Corporation in respect of which the rights of\n                  the holders thereof as to the payment of dividends or as to\n                  distributions in the event of a voluntary or involuntary\n                  liquidation, dissolution or winding up of the affairs of the\n                  Corporation are given preference over, or rank on an equality\n                  with, as the case may be, the rights of the holders of such\n                  other class or series of stock. Whenever reference is made to\n                  shares \"ranking junior to\" another class of stock, such\n                  reference shall mean and include all shares of the Corporation\n                  in respect of which the rights of the holders thereof as to\n                  the payment of dividends and as to distributions in the event\n                  of a voluntary or involuntary\n\n\n                                      -3-\n   4\n\n                  liquidation, dissolution or winding up of the affairs of the\n                  Corporation are junior and subordinate to the rights of the\n                  holders of such class or series of stock.\n\n                  Except as otherwise provided herein or in any Preferred Stock\n                  Series Resolution, each series of Preferred Stock ranks on a\n                  parity with each other series and each series ranks prior to\n                  the Common Stock. Common Stock ranks junior to the Preferred\n                  Stock.\n\n         D.       Liquidation. For the purposes of Section (2) of Section B of\n                  this Paragraph Fourth and for the purpose of the comparable\n                  sections of any Preferred Stock Series Resolution, the merger\n                  or consolidation of the Corporation into or with any other\n                  corporation, or the merger of any other corporation into it,\n                  or the sale, lease or conveyance of all or substantially all\n                  the assets, property or business of the Corporation, shall not\n                  be deemed to be a liquidation, dissolution or winding up of\n                  the Corporation.\n\n         E.       Reservation and Retirement of Shares. The Corporation shall at\n                  all times reserve and keep available, out of its authorized\n                  but unissued shares of Common Stock or out of shares of Common\n                  Stock held in its treasury, the full number of shares of\n                  Common Stock into which all shares of any series of Preferred\n                  Stock having conversion privileges from time to time\n                  outstanding are convertible.\n\n                  Unless otherwise provided in a Preferred Stock Series\n                  Resolution with respect to a particular series of Preferred\n                  Stock, all shares of Preferred Stock redeemed or acquired (as\n                  a result of conversion or otherwise) shall be retired and\n                  restored to the status of authorized but unissued shares.\n\n         F.       Preemptive Rights.\n\n                  1.       No holder of shares of Preferred Stock or Common\n                           Stock of the Corporation shall have any preemptive\n                           right to purchase or subscribe for or receive any\n                           shares of any class, or series thereof, of stock of\n                           the Corporation, whether now or hereafter authorized,\n                           or any warrants, options, bonds, debentures or other\n                           securities convertible into, exchangeable for or\n                           carrying any right to purchase any shares of any\n                           class, or series thereof, of stock; but such\n                           additional shares of stock and such warrants,\n                           options, bonds, debentures or other securities\n                           convertible into, exchangeable for or carrying any\n                           right to purchase any shares of any class, or series\n                           thereof, of stock may be issued or disposed of by the\n                           Board of Directors to such persons, and on such terms\n                           and for such lawful consideration, as in its\n                           discretion it shall deem advisable.\n\n\n\n\n                                      -4-\n   5\n\n                  2.       The stockholders of the Corporation shall have no\n                           rights to acquire the shares of Common Stock of the\n                           Corporation now held in the treasury of the\n                           Corporation or any shares of Common Stock of the\n                           Corporation hereafter acquired by the Corporation and\n                           held as treasury shares.\n\n         G.       No Cumulative Voting. Cumulative voting shall not be allowed\n                  in the election of Directors or for any other purpose.\n\n         H.       Repurchases of Capital Stock. A director of the<br \/>\nCorporation shall not be personally liable to the Corporation or its<br \/>\nstockholders for monetary damages for breach of fiduciary duty as a director,<br \/>\nexcept for liability (i) for any breach of the director&#8217;s duty of loyalty to the<br \/>\nCorporation or its stockholders, (ii) for acts or omissions not in good faith or<br \/>\nwhich involve intentional misconduct or a knowing violation of law, (iii) under<br \/>\nSection 174 of the Delaware General Corporation Law, or (iv) for any transaction<br \/>\nfrom which the director derived an improper personal benefit. In addition to the<br \/>\ncircumstances in which a director of the Corporation is not personally liable as<br \/>\nset forth in the preceding sentence, a director shall not be liable to the<br \/>\nfullest extent permitted by any amendment to the Delaware General Corporation<br \/>\nlaw hereafter enacted that further limits the liability of a director.<\/p>\n<p>         Any repeal or modification of the foregoing paragraph by the<br \/>\nstockholders of the Corporation shall not adversely affect any right or<br \/>\nprotection of a director of the Corporation with respect to any matter occurring<br \/>\nor any cause of action, suit or claim that, but for this Article Ninth, would<br \/>\naccrue or arise, prior to the time of such repeal or modification.<\/p>\n<p>TENTH: Indemnification and Insurance.<\/p>\n<p>         A.       Right to Indemnification. Each person who was or is made a<br \/>\n                  party or is threatened to be made a party to or is involved in<br \/>\n                  any action, suit or proceeding, whether civil, criminal,<br \/>\n                  administrative or investigative (hereinafter a &#8220;proceeding&#8221;),<br \/>\n                  by reason of the fact that he or she, or a person of whom he<br \/>\n                  or she is the legal representative, is or was a director or<br \/>\n                  officer, of the Corporation or is or was serving at the<br \/>\n                  request of the Corporation as a director, officer, employee or<br \/>\n                  agent of another corporation or of a partnership, joint<br \/>\n                  venture, trust or other enterprise, including service with<br \/>\n                  respect to employee benefit plans, whether the basis of such<br \/>\n                  proceeding is alleged action in an official capacity as a<br \/>\n                  director, officer, employee or agent or in any other capacity<br \/>\n                  while serving as a director, officer, employee or agent, shall<br \/>\n                  be indemnified and held harmless by the Corporation to the<br \/>\n                  fullest extent authorized by the Delaware General Corporation<br \/>\n                  Law, as the same exists or may hereafter be amended (but, in<br \/>\n                  the case of any such amendment, only to the extent that such<br \/>\n                  amendment permits the Corporation to provide broader<br \/>\n                  indemnification rights than said law permitted the Corporation<br \/>\n                  to provide prior to such amendment), against all expense,<br \/>\n                  liability and loss (including attorneys&#8217; fees, judgments,<br \/>\n                  fines, ERISA excise taxes or penalties and amounts paid or to<br \/>\n                  be paid in settlement) reasonably incurred or suffered by such<br \/>\n                  person in connection therewith and such indemnification shall<br \/>\n                  continue as to a person who has ceased to be a director,<br \/>\n                  officer, employee or agent and shall inure to the benefit of<br \/>\n                  his or her heirs, executors and administrators; provided,<br \/>\n                  however, that, except as provided in <\/p>\n<p>                                      -6-<br \/>\n   7<\/p>\n<p>                  paragraph (b) hereof, the Corporation shall indemnify any such<br \/>\n                  person seeking indemnification in connection with a proceeding<br \/>\n                  (or part thereof) initiated by such person only if such<br \/>\n                  proceeding (or part thereof) was authorized by the board of<br \/>\n                  directors of the Corporation. The right to indemnification<br \/>\n                  conferred in this Section shall be a contract right and shall<br \/>\n                  include the right to be paid by the Corporation the expenses<br \/>\n                  incurred in defending any such proceeding in advance of its<br \/>\n                  final disposition; provided, however, that, if the Delaware<br \/>\n                  General Corporation Law requires, the payment of such expenses<br \/>\n                  incurred by a director or officer in his or her capacity as a<br \/>\n                  director of officer (and not in any other capacity in which<br \/>\n                  service was or is rendered by such person while a director or<br \/>\n                  officer, including, without limitation, service to an employee<br \/>\n                  benefit plan) in advance of the final disposition of a<br \/>\n                  proceeding, shall be made only upon delivery to the<br \/>\n                  Corporation of an undertaking, by or on behalf of such<br \/>\n                  director or officer, to repay all amounts so advanced if it<br \/>\n                  shall ultimately be determined that such director or officer<br \/>\n                  is not entitled to be indemnified under this Paragraph A or<br \/>\n                  otherwise. The Corporation may, by action of its Board of<br \/>\n                  Directors, provide indemnification to employees and agents of<br \/>\n                  the Corporation with the same scope and effect as the<br \/>\n                  foregoing indemnification of directors and officers.<\/p>\n<p>         B.       Right of Claimant to Bring Suit. If a claim under Paragraph A<br \/>\n                  of this Paragraph Tenth is not paid in full by the Corporation<br \/>\n                  within ninety days after a written claim has been received by<br \/>\n                  the Corporation, the claimant may at any time thereafter bring<br \/>\n                  suit against the Corporation to recover the unpaid amount of<br \/>\n                  the claim and, if successful in whole or in part, the claimant<br \/>\n                  shall be entitled to be paid also the expense of prosecuting<br \/>\n                  such claim. It shall be a defense to any such action (other<br \/>\n                  than an action brought to enforce a claim for expenses<br \/>\n                  incurred in defending any proceeding in advance of its final<br \/>\n                  disposition where the required undertaking, if any is<br \/>\n                  required, has been tendered to the Corporation) that the<br \/>\n                  claimant has not met the standards of conduct which make it<br \/>\n                  permissible under the Delaware General Corporation Law for the<br \/>\n                  Corporation to indemnify the claimant for the amount claimed,<br \/>\n                  but the burden of proving such defense shall be on the<br \/>\n                  Corporation. Neither the failure of the Corporation (including<br \/>\n                  its Board of Directors, independent legal counsel, or its<br \/>\n                  stockholders) to have made a determination prior to the<br \/>\n                  commencement of such action that indemnification of the<br \/>\n                  claimant is proper in the circumstances because he or she has<br \/>\n                  met the applicable standard of conduct set forth in the<br \/>\n                  Delaware General Corporation Law, nor an actual determination<br \/>\n                  by the Corporation (including its Board of Directors,<br \/>\n                  independent legal counsel, or its stockholders) that the<br \/>\n                  claimant has <\/p>\n<p>                                      -7-<br \/>\n   8<\/p>\n<p>                  not met such applicable standard or conduct, shall be a<br \/>\n                  defense to the action or create a presumption that the<br \/>\n                  claimant has not met the applicable standard of conduct.<\/p>\n<p>         C.       Non-Exclusivity of Rights. The right to indemnification and<br \/>\n                  the payment of expenses incurred in defending a proceeding in<br \/>\n                  advance of its final disposition conferred in this Paragraph<br \/>\n                  shall not be exclusive of any other right which any person may<br \/>\n                  have or hereafter acquire under any statute, provision of the<br \/>\n                  Certificate of Incorporation, bylaw, agreement, vote of<br \/>\n                  stockholders or disinterested directors or otherwise.<\/p>\n<p>         D.       Insurance. If, upon such liquidation, dissolution or winding up of the<br \/>\n         Company, the assets of the Company available for distribution to the<br \/>\n         holders of the Series A Shares and the holders of Parity Shares, if<br \/>\n         any, shall be insufficient to permit the distribution in full of the<br \/>\n         amounts receivable as aforesaid by the holders of the Series A Shares<br \/>\n         and the amounts receivable by the holders of Parity Shares, if any,<br \/>\n         then all such assets of the Company shall be distributed ratably among<br \/>\n         the holders of the Series A Shares and the holders of Parity Shares, if<br \/>\n         any, in proportion to the amounts that each would have been entitled to<br \/>\n         receive if such assets were sufficient to permit distribution in full<br \/>\n         as aforesaid. Neither the consolidation or merger of the Company with<br \/>\n         or into any corporation or corporations, nor the sale, lease or<br \/>\n         transfer by the Company of all or any part of its assets, nor the<br \/>\n         reduction of the authorized or issued shares of the Company of any<br \/>\n         class, whether now or hereafter authorized, shall be deemed to be a<br \/>\n         liquidation, dissolution or winding up of the Company for the purposes<br \/>\n         of this Section 1. Written notice of any voluntary or involuntary<br \/>\n         liquidation, dissolution or winding up of the Company, setting the<br \/>\n         payment date and the place where the amounts to be distributed shall be<br \/>\n         paid and containing a reference to the conversion option granted by<br \/>\n         Section 2 hereof, shall be given not less than thirty (30) days prior<br \/>\n         to the payment date stated therein to the holders of record of the<br \/>\n         Series A Shares at their respective addresses as the same shall appear<br \/>\n         on the stock ledger of the Company.<\/p>\n<p>         2.       Conversion.<\/p>\n<p>                  (a) Subject to the terms and conditions of this Section 2, the<br \/>\n         Series A Shares shall be convertible, at any time and from time to<br \/>\n         time, at the option of the holder thereof, into Common Shares by<br \/>\n         surrender of the certificate or certificates for the Series A Shares to<br \/>\n         be so converted, duly endorsed, at the principal office of the Company<br \/>\n         (or at such other place or places as may be designated by the Company<br \/>\n         from time to time by notice sent to the holders of the Series A Shares<br \/>\n         at their respective addresses as the same shall appear on the stock<br \/>\n         ledger of the Company) or at the corporate trust office of any transfer<br \/>\n         agent for the Series A Shares at any time during normal business hours,<br \/>\n         together with notice that the holder elects to convert such Series A<br \/>\n         Shares, or a stated number of such shares, in accordance with the<br \/>\n         provisions of this Section 2. Such notice shall also state the name or<br \/>\n         names (with addresses) in which the certificate or certificates for<br \/>\n         Common Shares shall be issued. The number of Common Shares that any<br \/>\n         such holder shall receive in return for each Series A Share converted<br \/>\n         by such holder shall be computed by dividing (x) $1.1364 (as adjusted<br \/>\n         for any stock split, reverse stock split, stock dividend or similar<br \/>\n         event resulting in a change in the Series A Shares) by (y) the<br \/>\n         Conversion Price then in effect.<\/p>\n<p>                                      -2-<br \/>\n   11<\/p>\n<p>                  (b) As promptly as practicable after exercise by any holder of<br \/>\n         Series A Shares of such holder&#8217;s option to convert Series A Shares<br \/>\n         pursuant to the provisions of this Section 2, the Company shall deliver<br \/>\n         or cause to be delivered to or upon the written order of such holder<br \/>\n         one or more certificates representing the number of Common Shares<br \/>\n         issuable upon such conversion, issued in such name or names as such<br \/>\n         holder may direct, together with, if the certificate or certificates<br \/>\n         surrendered evidence a greater number of Series A Shares than the<br \/>\n         number of Series A Shares to be converted, one or more certificates<br \/>\n         evidencing the Series A Shares not to be converted, issued in such name<br \/>\n         or names as such holder may direct, and accompanied by any cash in<br \/>\n         respect of any fractional interest in a Common Share issuable upon such<br \/>\n         conversion. Each such conversion shall be deemed to have been made<br \/>\n         immediately prior to the close of business on the day the option to<br \/>\n         convert is exercised, and all rights of the converting holder as the<br \/>\n         holder of the Series A Shares surrendered for conversion shall cease at<br \/>\n         such time and the person or persons in whose name or names the<br \/>\n         certificate or certificates for the Common Shares issuable upon<br \/>\n         conversion are to be issued shall be treated for all purposes as having<br \/>\n         become the record holder or holders thereof at such time, except that,<br \/>\n         if the date of exercise of the conversion option is a date when the<br \/>\n         stock ledger of the Company is closed, such person or persons shall be<br \/>\n         deemed to have become the holder or holders of such shares at the close<br \/>\n         of business on the next succeeding date on which the stock ledger is<br \/>\n         open.<\/p>\n<p>                  (c) The initial Conversion Price shall be $0.2841. The<br \/>\n         Conversion Price shall be subject to adjustment as follows:<\/p>\n<p>                           A. If the Company shall pay a dividend or make any<br \/>\n                  other distribution to all holders of the Common Shares payable<br \/>\n                  in Common Shares or shall subdivide its outstanding Common<br \/>\n                  Shares into a greater number of shares, the Conversion Price<br \/>\n                  in effect immediately prior thereto shall be proportionately<br \/>\n                  reduced, and if the Company shall combine its outstanding<br \/>\n                  Common Shares into a smaller number of shares, the Conversion<br \/>\n                  Price in effect immediately prior thereto shall be<br \/>\n                  proportionately increased. An adjustment made pursuant to this<br \/>\n                  subdivision A shall become effective as of the date the record<br \/>\n                  is taken for such dividend or distribution or such subdivision<br \/>\n                  or combination or, if no record is taken, the date as of which<br \/>\n                  the record holders of Common Shares entitled to such payment<br \/>\n                  or other distribution or to participate in such subdivision or<br \/>\n                  combination are determined.<\/p>\n<p>                                      -3-<br \/>\n   12<\/p>\n<p>                           B. If on or after December 24, 1986, the Company<br \/>\n                  issues or sells, or in accordance with subdivision C below is<br \/>\n                  deemed to have issued or sold, any Common Shares (other than<br \/>\n                  (i) Common Shares issued or sold pursuant to the exercise of<br \/>\n                  options, warrants or rights outstanding as of December 24,<br \/>\n                  1986, (ii) by reason of the grant of options under the Tom<br \/>\n                  Brown, Inc. Incentive Stock Option Plan, to purchase up to a<br \/>\n                  total of 600,000 Common Shares (as adjusted pursuant to the<br \/>\n                  provisions of the plan designed to protect against dilution)<br \/>\n                  at a per share purchase price of not less than 100% of the<br \/>\n                  fair market value of a Common Share on the date of grant and<br \/>\n                  Common Shares issued or sold pursuant to the exercise of such<br \/>\n                  options, (iii) issuances or sales of Common Shares for which<br \/>\n                  an adjustment of the Conversion Price is made pursuant to<br \/>\n                  subdivision A above, or (iv) pursuant to transactions for<br \/>\n                  which appropriate provision is made pursuant to Section 2(d)<br \/>\n                  or 2(e) hereof) for a consideration per share less than the<br \/>\n                  Conversion Price or the Market Price, as the case may be, in<br \/>\n                  effect immediately prior to such time, then forthwith upon<br \/>\n                  such issuance or sale the Conversion Price shall be adjusted<br \/>\n                  to that Conversion Price determined by multiplying the<br \/>\n                  Conversion Price then in effect by a fraction (1) the<br \/>\n                  numerator of which shall be the number of Common Shares<br \/>\n                  outstanding immediately prior to the issuance or sale of such<br \/>\n                  additional Common Shares plus the number of Common Shares<br \/>\n                  which the aggregate consideration received by the Company for<br \/>\n                  the total number of Common Shares so issued or sold would<br \/>\n                  purchase at the Conversion Price or the Market Price, as the<br \/>\n                  case may be, in effect immediately before such adjustment, and<br \/>\n                  (2) the denominator of which shall be the number of Common<br \/>\n                  Shares outstanding immediately after the issuance or sale of<br \/>\n                  such Common Shares.<\/p>\n<p>                           C. For the purposes of determining the adjusted<br \/>\n                  Conversion Price under subdivision B above, the following<br \/>\n                  shall be applicable:<\/p>\n<p>                                    (i) If on or after December 24, 1986, the<br \/>\n                           Company in any manner grants any right or option to<br \/>\n                           subscribe for or to purchase Common Shares or any<br \/>\n                           stock or other securities convertible into or<br \/>\n                           exchangeable for Common <\/p>\n<p>                                      -4-<br \/>\n   13<\/p>\n<p>                           Shares (such rights or options being herein called<br \/>\n                           &#8220;Options&#8221; and such convertible or exchangeable stock<br \/>\n                           or securities being herein called &#8220;Convertible<br \/>\n                           Securities&#8221;) and the lowest price per share for which<br \/>\n                           any one Common Share is issuable upon the exercise of<br \/>\n                           any such Option or upon conversion or exchange of any<br \/>\n                           such Convertible Security is less than the Conversion<br \/>\n                           Price or the Market Price, as the case may be, in<br \/>\n                           effect immediately prior to the time of the granting<br \/>\n                           of such Option, then the Conversion Price shall be<br \/>\n                           adjusted as provided in subdivision B above on the<br \/>\n                           basis that the maximum number of Common Shares<br \/>\n                           issuable upon the exercise of all such Options and<br \/>\n                           upon conversion or exchange of all such Convertible<br \/>\n                           Securities shall be deemed to have been issued as of<br \/>\n                           the date of such grant and the aggregate<br \/>\n                           consideration for such maximum number of additional<br \/>\n                           Common Shares shall be deemed to be the minimum<br \/>\n                           consideration received or receivable by the Company<br \/>\n                           (if any) upon the issuance of such additional Common<br \/>\n                           Shares on the exercise of the Options or the<br \/>\n                           conversion or exchange of the Convertible Securities.<br \/>\n                           For the purposes of this paragraph (i), the &#8220;lowest<br \/>\n                           price per share for which any one Common Share is<br \/>\n                           issuable&#8221; shall be equal to the sum of the lowest<br \/>\n                           amounts of consideration (if any) received or<br \/>\n                           receivable by the Company with respect to any one<br \/>\n                           Common Share upon the granting of the Option, upon<br \/>\n                           the exercise of the Option, and upon the conversion<br \/>\n                           or exchange of the Convertible Security. No further<br \/>\n                           adjustment of the Conversion Price shall be made upon<br \/>\n                           the actual issue of such Common Shares or of such<br \/>\n                           Convertible Securities upon the exercise of such<br \/>\n                           Option or upon the actual issue of such Common Shares<br \/>\n                           upon conversion or exchange of such Convertible<br \/>\n                           Securities.<\/p>\n<p>                                    (ii) If on or after December 24, 1986, the<br \/>\n                           Company in any manner issues or sells any Convertible<br \/>\n                           Security and the lowest price per share for which any<br \/>\n                           one Common Share is issuable upon conversion or<br \/>\n                           exchange thereof is less than the Conversion Price or<br \/>\n                           the Market Price, as the case may be, in effect<br \/>\n                           immediately <\/p>\n<p>                                      -5-<br \/>\n   14<\/p>\n<p>                           prior to the time of such issuance or sale, then the<br \/>\n                           Conversion Price shall be adjusted as provided in<br \/>\n                           subdivision B above on the basis that the maximum<br \/>\n                           number of Common Shares issuable upon conversion or<br \/>\n                           exchange of all such Convertible Securities shall be<br \/>\n                           deemed to have been issued as of the date of such<br \/>\n                           issue or sale and the aggregate consideration for<br \/>\n                           such maximum number of additional Common Shares shall<br \/>\n                           be deemed to be the minimum consideration received or<br \/>\n                           receivable by the Company (if any) upon the issuance<br \/>\n                           of such additional Common Shares or the issuance or<br \/>\n                           sale of such Convertible Securities and the<br \/>\n                           conversion or exchange thereof. For the purposes of<br \/>\n                           this paragraph (ii), the &#8220;lowest price per share for<br \/>\n                           which any one Common Share is issuable&#8221; shall be<br \/>\n                           equal to the sum of the lowest amounts of<br \/>\n                           consideration (if any) received or receivable by the<br \/>\n                           Company with respect to any one Common Share upon the<br \/>\n                           issuance or sale of such Convertible Security and<br \/>\n                           upon the conversion or exchange of such Convertible<br \/>\n                           Security. No further adjustment of the Conversion<br \/>\n                           Price shall be made upon the actual issue of such<br \/>\n                           Common Shares upon conversion or exchange of such<br \/>\n                           Convertible Security, and if any such issue or sale<br \/>\n                           of such Convertible Security is made upon exercise of<br \/>\n                           any Options for which adjustments of the Conversion<br \/>\n                           Price had been or are to be made pursuant to other<br \/>\n                           provisions of this subdivision C, no further<br \/>\n                           adjustment of the Conversion Price shall be made by<br \/>\n                           reason of such issue or sale.<\/p>\n<p>                                    (iii) If the purchase price provided for in<br \/>\n                           any Option, the additional consideration (if any)<br \/>\n                           payable upon the issue, conversion or exchange of any<br \/>\n                           Convertible Security, or the rate at which any<br \/>\n                           Convertible Security is convertible into or<br \/>\n                           exchangeable for Common Shares changes at any time,<br \/>\n                           the Conversion Price in effect at the time of such<br \/>\n                           change shall be readjusted to the Conversion Price<br \/>\n                           that would have been in effect at such time had such<br \/>\n                           Option or Convertible Security originally provided<br \/>\n                           for such changed purchase price, changed additional<br \/>\n                           consideration or changed conversion rate, as the case<br \/>\n                           may be, <\/p>\n<p>                                      -6-<br \/>\n   15<\/p>\n<p>                           at the time initially granted, issued or sold;<br \/>\n                           provided, however, that if such adjustment of the<br \/>\n                           Conversion Price shall result in an increase in the<br \/>\n                           Conversion Price then in effect, such adjustment<br \/>\n                           shall not be effective until thirty (30) days after<br \/>\n                           notice thereof has been given to all holders of the<br \/>\n                           Series A Shares at their respective addresses as the<br \/>\n                           same shall appear on the stock ledger of the Company.<\/p>\n<p>                                    (iv) Upon the expiration of any Option or<br \/>\n                           the termination of any right to convert or exchange<br \/>\n                           any Convertible Security without the exercise of any<br \/>\n                           such Option or right, the Conversion Price then in<br \/>\n                           effect shall be adjusted to the Conversion Price that<br \/>\n                           would have been in effect at the time of such<br \/>\n                           expiration or termination had such Option or<br \/>\n                           Convertible Security, to the extent outstanding<br \/>\n                           immediately prior to such expiration or termination,<br \/>\n                           never been issued; provided, however, that if the<br \/>\n                           Company shall accelerate the expiration of any Option<br \/>\n                           or the termination of any right to convert or<br \/>\n                           exchange any Convertible Security, such adjustment<br \/>\n                           shall not be effective until thirty (30) days after<br \/>\n                           notice of such acceleration has been given to all<br \/>\n                           holders of the Series A Shares.<\/p>\n<p>                                    (v) If any Common Share, Option or<br \/>\n                           Convertible Security is issued or sold or deemed to<br \/>\n                           have been issued or sold for cash, the consideration<br \/>\n                           received therefor shall be deemed to be the amount<br \/>\n                           received by the Company therefor, without deduction<br \/>\n                           therefrom of any expenses incurred or any<br \/>\n                           underwriting commissions or concessions paid or<br \/>\n                           allowed by the Company in connection therewith.<br \/>\n                           Except as provided below in this subdivision (v), in<br \/>\n                           case any Common Share, Option or Convertible Security<br \/>\n                           is issued or sold or deemed to have been issued or<br \/>\n                           sold for a consideration other than cash, the amount<br \/>\n                           of the consideration other than cash received by the<br \/>\n                           Company shall be the fair value of such<br \/>\n                           consideration, determined in good faith by the Board<br \/>\n                           of Directors of the Company, except where such<br \/>\n                           consideration consists of securities, in which case<br \/>\n                           the amount of consideration <\/p>\n<p>                                      -7-<br \/>\n   16<\/p>\n<p>                           received by the Company shall be the Market Price<br \/>\n                           thereof as of the date of receipt, but in each such<br \/>\n                           case without deduction of any expenses incurred or<br \/>\n                           any underwriting commission or concessions paid or<br \/>\n                           allowed by the Company in connection therewith. In<br \/>\n                           computing the Market Price of a note or other<br \/>\n                           obligation that is not listed on any securities<br \/>\n                           exchange or quoted in the NASDAQ System or for which<br \/>\n                           market quotations are not otherwise readily<br \/>\n                           available, the total consideration to be received by<br \/>\n                           the Company thereunder (including interest) shall be<br \/>\n                           discounted to present value at the prime rate of<br \/>\n                           interest of InterFirst Bank Dallas, N.A., (or its<br \/>\n                           successor in interest) in effect at the time the note<br \/>\n                           or obligation is deemed to have been issued. If any<br \/>\n                           Common Share, Option or Convertible Security is<br \/>\n                           issued in connection with any merger in which the<br \/>\n                           Company is the surviving corporation, the amount of<br \/>\n                           consideration therefor will be deemed to be the fair<br \/>\n                           value, as determined in good faith by the Board of<br \/>\n                           Directors, of such portion of the net assets and<br \/>\n                           business of the nonsurviving corporation as is<br \/>\n                           attributable to such Common Share, Option or<br \/>\n                           Convertible Security, as the case may be. If any<br \/>\n                           Common Share, Option or Convertible Security is<br \/>\n                           issued in payment or satisfaction of any dividend<br \/>\n                           upon any class of stock other than Common Shares, the<br \/>\n                           amount of consideration therefor will be deemed to be<br \/>\n                           equal to the amount of such dividend so paid or<br \/>\n                           satisfied.<\/p>\n<p>                                    (vi) In case any Option is issued in<br \/>\n                           connection with the issue or sale of other securities<br \/>\n                           of the Company, together comprising one integrated<br \/>\n                           transaction in which no specific consideration is<br \/>\n                           allocated to such Option by the parties thereto, the<br \/>\n                           Option shall be deemed to have been granted for<br \/>\n                           consideration of $0.01.<\/p>\n<p>                                    (vii) If the purchase price provided for in<br \/>\n                           any option, warrant or right referred to in clause<br \/>\n                           (i) or (ii) of the parenthetical in subdivision B<br \/>\n                           above shall change at any time (other than by reason<br \/>\n                           of the provisions designed to protect against<br \/>\n                           dilution), then such change shall be <\/p>\n<p>                                      -8-<br \/>\n   17<\/p>\n<p>                           deemed the issuance of a new Option as of the date of<br \/>\n                           such change for the purposes of said subdivision B.<\/p>\n<p>                  (d) If the Company shall distribute (pursuant to a dividend or<br \/>\n         otherwise) to all holders of the Common Shares of its capital stock<br \/>\n         (other than Common Shares), evidences of indebtedness, assets or other<br \/>\n         property (excluding dividends payable in cash out of surplus<br \/>\n         (determined in accordance with generally accepted accounting<br \/>\n         principles, consistently applied)), or options, warrants or rights to<br \/>\n         subscribe for or to purchase securities of the Company or other<br \/>\n         property, then, in each such case, appropriate provision shall be made<br \/>\n         (without any adjustment of the Conversion Price) to ensure that the<br \/>\n         holder of each Series A Share then outstanding shall have the right to<br \/>\n         receive, upon conversion of such Series A Share, with respect to the<br \/>\n         Common Shares such holder shall receive upon conversion and in addition<br \/>\n         thereto and without payment of any consideration therefor, such capital<br \/>\n         stock, evidences of indebtedness, assets or other property, or such<br \/>\n         options, warrants or rights, that such holder would have received upon<br \/>\n         such distribution had such holder been the holder of record of the<br \/>\n         number of Common Shares into which such Series A Share could have been<br \/>\n         converted immediately prior to such distribution on the date on which<br \/>\n         the record was taken for such distribution, or, if no record was taken,<br \/>\n         the date as of which the record holders of Common Shares entitled to<br \/>\n         such distribution were determined.<\/p>\n<p>                  (e) In case of (i) any reclassification or change of the<br \/>\n         outstanding Common Shares (other than a change in par value, or from<br \/>\n         par value to no par value, or from no par value to par value, or a<br \/>\n         change in the Common Shares as a result of a subdivision or combination<br \/>\n         for which an adjustment of the Conversion Price is made pursuant to<br \/>\n         subdivision A of Section 2(c), or (ii) any consolidation or merger of<br \/>\n         the Company or any Subsidiary with or into another entity, or (iii) any<br \/>\n         sale or conveyance to another corporation of the assets of the Company<br \/>\n         as an entirety or substantially as an entirety, as a result of which in<br \/>\n         any such case the holders of all the Common Shares are entitled to<br \/>\n         receive (either directly or upon subsequent liquidation pursuant to a<br \/>\n         plan of liquidation adopted in connection with such transaction) stock<br \/>\n         or other securities or property with respect to or in exchange for the<br \/>\n         Common Shares, then, in each such case, without any adjustment of the<br \/>\n         Conversion Price, effective as of the effective time of any such<br \/>\n         reclassification, change, consolidation, merger, sale or conveyance, as<br \/>\n         the case may be, the holder of each Series A Share then outstanding<br \/>\n         shall have the right to receive or acquire, upon conversion of such<br \/>\n         Series A Share, in lieu of or in addition to the <\/p>\n<p>                                      -9-<br \/>\n   18<\/p>\n<p>         Common Shares theretofore receivable upon such conversion, the kind and<br \/>\n         amount of shares of stock and other securities and property receivable<br \/>\n         upon such reclassification, change, consolidation, merger, sale or<br \/>\n         conveyance by a holder of the number of Common Shares into which such<br \/>\n         Series A Share could have been converted immediately prior to such<br \/>\n         reclassification, change, consolidation, merger, sale or conveyance.<br \/>\n         The Company shall not effect any such consolidation, merger, sale or<br \/>\n         conveyance unless prior to or simultaneously with the consummation<br \/>\n         thereof the successor corporation (if other than the Company) resulting<br \/>\n         from such consolidation or merger or the entity purchasing such assets<br \/>\n         assumes by written instrument (in form reasonably satisfactory to the<br \/>\n         holders of a majority of the Series A Shares then outstanding) the<br \/>\n         obligation to deliver to each such holder such shares of stock or other<br \/>\n         securities or property as, in accordance with the foregoing provisions<br \/>\n         of this subsection (e), such holder may be entitled to receive or<br \/>\n         acquire. In each such case, appropriate adjustments shall be made in<br \/>\n         the application of the provisions of this Section 2 with respect to the<br \/>\n         rights and interests thereafter of the holders of the Series A Shares,<br \/>\n         to the end that the provisions of this Section 2 shall thereafter be<br \/>\n         applicable, as nearly as reasonably may be, to the stock or other<br \/>\n         securities or property thereafter deliverable in lieu of Common Shares<br \/>\n         upon the conversion of Series A Shares. The provisions of this<br \/>\n         subsection (e) shall similarly apply to successive reclassifications,<br \/>\n         changes, consolidations, mergers, sales and conveyances. If the<br \/>\n         occurrence of any one event shall give rise to an adjustment under both<br \/>\n         this subsection (e) and Section 2(d) hereof, then the terms of this<br \/>\n         subsection (e) shall control.<\/p>\n<p>                  (f) If on or after December 24, 1986, the Company shall take<br \/>\n         any action affecting the Common Shares, other than an action described<br \/>\n         in subsections (c), (d) or (e) above, which, in the opinion of the<br \/>\n         Board of Directors of the Company, would have a material adverse effect<br \/>\n         upon the conversion option granted by this Section 2, the Conversion<br \/>\n         Price shall be adjusted in such manner and at such time as the Board<br \/>\n         may in good faith determine to be equitable in the circumstances.<\/p>\n<p>                  (g) Except as otherwise provided in this Section 2, if an<br \/>\n         adjustment to the Conversion Price is required under more than one<br \/>\n         subsection or subdivision of this Section 2, then the Conversion Price<br \/>\n         shall be adjusted in the manner provided herein which will result in<br \/>\n         the greater reduction in the Conversion Price.<\/p>\n<p>                  (h) Any determination as to fair value or as to whether any<br \/>\n         adjustment (including an adjustment of the Conversion Price) is<br \/>\n         required hereunder, or as to the amount of any such adjustment, if<\/p>\n<p>                                      -10-<br \/>\n   19<\/p>\n<p>         required, shall be binding upon the holders of the Series A Shares and<br \/>\n         the Company if made in good faith by the Board of Directors of the<br \/>\n         Company.<\/p>\n<p>                  (i) Whenever the Conversion Price is adjusted as provided in<br \/>\n         this Section 2, then, in each such case, the Company shall notify the<br \/>\n         transfer agent, if any, for the Series A Shares and shall promptly give<br \/>\n         to the holders of the Series A Shares who are holders of record not<br \/>\n         more than fifteen (15) days before the date such notice is given, a<br \/>\n         notice stating (i) the event requiring the adjustment, (ii) the method<br \/>\n         by which the adjustment was calculated (including a description of the<br \/>\n         basis on which the Board of Directors of the Company made any<br \/>\n         determination hereunder), and (iii) the adjusted Conversion Price then<br \/>\n         and thereafter effective under this Section 2. An affidavit of the<br \/>\n         transfer agent for the Series A Shares or of the Secretary of the<br \/>\n         Company that any such notice has been given shall, in the absence of<br \/>\n         fraud, be prima facie evidence of the facts stated therein.<\/p>\n<p>                  (j) In case at any time:<\/p>\n<p>                           (i) the Board of Directors of the Company shall<br \/>\n                  declare a dividend (or any other distribution) on the Common<br \/>\n                  Shares; or<\/p>\n<p>                           (ii) the Board of Directors of the Company shall<br \/>\n                  authorize the granting to all holders of the Common Shares of<br \/>\n                  options, warrants or rights to subscribe for or to purchase<br \/>\n                  any shares of stock of any class or of any other options,<br \/>\n                  warrants or rights; or<\/p>\n<p>                           (iii) the Board of Directors of the Company shall<br \/>\n                  authorize any reclassification of the Common Shares, any<br \/>\n                  consolidation or merger of the Company or any Subsidiary with<br \/>\n                  or into another corporation, or the sale or conveyance of all<br \/>\n                  or a substantial portion of the assets of the Company; or<\/p>\n<p>                           (iv) the Board of Directors of the Company shall<br \/>\n                  authorize the voluntary liquidation, dissolution or winding up<br \/>\n                  of the Company;<\/p>\n<p>         then the Company shall cause to be given to each holder of Series A<br \/>\n         Shares, as promptly as possible but in any event at least twenty (20)<br \/>\n         days (sixty (60) days in the case of any merger or consolidation to<br \/>\n         which the Company or any Subsidiary is a party or the sale or<br \/>\n         conveyance of all or a substantial portion of the Company&#8217;s assets)<\/p>\n<p>                                      -11-<br \/>\n   20<\/p>\n<p>         prior to the applicable date hereinafter specified, a notice stating<br \/>\n         (1) the date on which a record is to be taken for the purposes of such<br \/>\n         dividend, distribution or granting of options, warrants or rights, or,<br \/>\n         if a record is not to be taken, the date as of which the holders of<br \/>\n         Common Shares of record to be entitled to such dividend, distribution<br \/>\n         or options, warrants or rights are to be determined, or (2) the date on<br \/>\n         which such reclassification, consolidation, merger, sale, conveyance,<br \/>\n         liquidation, dissolution or winding up is expected to become effective,<br \/>\n         the terms of such transaction, and the date as of which it is expected<br \/>\n         that holders of Common Shares of record shall be entitled to exchange<br \/>\n         their Common Shares for securities or other property deliverable upon<br \/>\n         such reclassification, consolidation, merger, sale, conveyance,<br \/>\n         liquidation, dissolution or winding up. Failure to give any such notice<br \/>\n         or any defect therein shall not affect the validity of the proceedings<br \/>\n         referred to in clauses (i), (ii), (iii) and (iv) above. Nothing<br \/>\n         contained in this subsection (j) shall be deemed to adversely affect<br \/>\n         the rights of the holders of the Series A Shares, under the Delaware<br \/>\n         General Corporation Law or under the Certificate of Incorporation of<br \/>\n         the Company, to be given notice of, or to vote upon, a proposal to<br \/>\n         effect any transaction described in this subsection (j).<\/p>\n<p>                  (k) No fractional Common Shares shall be issued upon the<br \/>\n         conversion of Series A Shares. If more than one Series A Share shall be<br \/>\n         surrendered for conversion at one time by the same holder, the number<br \/>\n         of full Common Shares issuable upon conversion thereof shall be<br \/>\n         computed on the basis of the aggregate number of Series A Shares so<br \/>\n         surrendered. Upon the issuance thereof upon conversion, all in<br \/>\n         accordance with the provisions of this Section 2, such Common Shares<br \/>\n         shall be validly issued, fully paid and nonassessable. Series A Shares<br \/>\n         converted pursuant to this Section 2 shall be cancelled and shall not<br \/>\n         be reissued. Upon any conversion, no adjustment shall be made for<br \/>\n         dividends on the Common Shares payable to holders of record of Common<br \/>\n         Shares on a date prior to the date of such conversion.<\/p>\n<p>                  (m) The issuance of certificates for Common Shares shall be<br \/>\n         made without charge for any tax in respect of such issuance. Voting Rights. Dividends.<\/p>\n<p>                  (a) The holders of the Series A Shares shall be entitled to<br \/>\n         receive out of funds legally available therefor, cumulative cash<br \/>\n         dividends at the rate of 6% per annum of the Liquidation Value per<br \/>\n         Series A Share ($1.1364, as adjusted for any stock split, reverse stock<br \/>\n         split, stock dividend or similar event resulting in a change in the<br \/>\n         Series A Shares) (the &#8220;Dividend Rate&#8221;), payable on June 30 of each year<br \/>\n         in which any Series A Shares shall be outstanding, commencing June 30,<br \/>\n         1987, to the holders of record of such Series A Shares on the<br \/>\n         respective dates fixed for such purpose by the Board of Directors of<br \/>\n         the Company in advance of payment of each dividend. Dividends on each<br \/>\n         Series A Share shall be cumulative from the date of issue thereof. The<br \/>\n         first dividend payable with respect to any Series A Share shall be<br \/>\n         computed by multiplying the Dividend Rate by a fraction of which (i)<br \/>\n         the numerator shall be the number of days from the date of issue of<br \/>\n         such Series A Share through the date as of which such first dividend is<br \/>\n         payable, inclusive, and (ii) the denominator shall be 360.<\/p>\n<p>                  (b) All other equity securities of the Company, including,<br \/>\n         without limitation, the Senior Shares, if any, and the Junior Shares,<br \/>\n         if any, shall rank junior to the Series A Shares in the payment of<br \/>\n         dividends.<\/p>\n<p>                  (c) To the extent any dividend accrues on a Series A Share,<br \/>\n         and is not fully paid in the manner specified in Section 4(a) hereof,<br \/>\n         such dividend (or, if paid in part, the unpaid portion thereof) shall<br \/>\n         be added to the Liquidation Value of such Series A Share and shall<br \/>\n         remain a part of such Liquidation Value until such dividend (or unpaid<br \/>\n         portion thereof) is paid. In addition, any such unpaid dividend shall<br \/>\n         not result in an adjustment to the Conversion Price, and any such<br \/>\n         unpaid dividend shall no longer be payable to a holder of such Series A<br \/>\n         Share upon the effective date of the conversion thereof into Common<br \/>\n         Shares.<\/p>\n<p>                  (d) If at any time the Company pays less than the total amount<br \/>\n         of dividends then accrued and payable with respect to the Series A<br \/>\n         Shares, such payment shall be distributed ratably among the holders of<br \/>\n         the Series A Shares based upon the aggregate Liquidation Value of the<br \/>\n         Series A Shares then held by each such holder.<\/p>\n<p>                                      -14-<br \/>\n   23<\/p>\n<p>                  (e) So long as any Series A Shares shall remain outstanding,<br \/>\n         no dividend whatsoever (other than a dividend payable in Common Shares)<br \/>\n         shall be declared or paid on any Junior Shares, nor shall any Junior<br \/>\n         Shares be redeemed or purchased by the Company or any Subsidiary<br \/>\n         thereof, nor shall any monies be paid to or made available for a<br \/>\n         sinking fund for the redemption or purchase of any Junior Shares,<br \/>\n         unless in each such instance full dividends on all outstanding Series A<br \/>\n         Shares for all past dividend periods and the dividend on all<br \/>\n         outstanding Series A Shares for the then current dividend period shall<br \/>\n         have been paid and sufficient funds set apart therefor.<\/p>\n<p>         5. Liquidation. In the event of any<br \/>\n                                    liquidation, dissolution or winding up of<br \/>\n                                    the Corporation, whether voluntary or<br \/>\n                                    involuntary, after payment or provision for<br \/>\n                                    payment of the debts and other liabilities<br \/>\n                                    of the Corporation and after payment of any<br \/>\n                                    preferential amount due to the holders of<br \/>\n                                    any other class or series of stock, the<br \/>\n                                    holders of the Common Stock shall be<br \/>\n                                    entitled to receive ratably any or all<br \/>\n                                    assets remaining to be paid or distributed.<\/p>\n<p>                           3.       Voting Rights. Liquidation. For the purposes of Section (2) of<br \/>\n                           Section B of this Paragraph Fourth and for the<br \/>\n                           purpose of the comparable sections of any Preferred<br \/>\n                           Stock Series Resolution, the merger or consolidation<br \/>\n                           of the Corporation into or with any other<br \/>\n                           corporation, or the merger of any other corporation<br \/>\n                           into it, or the sale, lease or conveyance of all or<br \/>\n                           substantially all the assets, property or business of<br \/>\n                           the Corporation, shall not be deemed to be a<br \/>\n                           liquidation, dissolution or winding up of the<br \/>\n                           Corporation.<\/p>\n<p>                  E. Voting Rights. Certain Restrictions.<\/p>\n<p>                           (A) Whenever quarterly dividends or other dividends<br \/>\n                  or distributions payable on the Series B Preferred Stock as<br \/>\n                  provided in Section II are in arrears, thereafter and until<br \/>\n                  all accrued and unpaid dividends and distributions, whether or<br \/>\n                  not declared, on shares of Series B Preferred Stock<br \/>\n                  outstanding shall have been paid in full, the corporation<br \/>\n                  shall not:<\/p>\n<p>                                    (i) declare or pay dividends on, make any<br \/>\n                           other distributions on, or redeem or purchase or<br \/>\n                           otherwise acquire for consideration any shares of<br \/>\n                           stock ranking junior (as to dividends) to the Series<br \/>\n                           B Preferred Stock;<\/p>\n<p>                                    (ii) declare or pay dividends on or make any<br \/>\n                           other distributions on any shares of stock ranking on<br \/>\n                           a parity (as to dividends) with the Series B<br \/>\n                           Preferred Stock, except dividends paid ratably on the<br \/>\n                           Series B Preferred Stock and all such parity stock on<br \/>\n                           which dividends are payable or in arrears in<br \/>\n                           proportion to the total amounts to which the holders<br \/>\n                           of all such shares are then entitled; or<\/p>\n<p>                                    (iii) purchase or otherwise acquire for<br \/>\n                           consideration any shares of Series B Preferred Stock,<br \/>\n                           or any shares of stock ranking on a parity (as to<br \/>\n                           dividends) with the Series B Preferred Stock, except<br \/>\n                           in accordance with a purchase offer made in writing<br \/>\n                           or by publication (as determined by the Board of<br \/>\n                           Directors) to all holders of such shares upon such<br \/>\n                           terms as the Board of Directors, after consideration<br \/>\n                           of the respective annual dividend rates and other<br \/>\n                           relative rights and preferences of the respective<br \/>\n                           series and classes, shall determine in good faith<br \/>\n                           will result in fair and equitable treatment among the<br \/>\n                           respective series or classes.<\/p>\n<p>                                      -4-<br \/>\n   55<\/p>\n<p>                           (B) The corporation shall not permit any subsidiary<br \/>\n                  of the corporation to purchase or otherwise acquire for<br \/>\n                  consideration any shares of stock of the corporation unless<br \/>\n                  the corporation could, under paragraph (A) of this Section IV,<br \/>\n                  purchase or otherwise acquire such shares at such time and in<br \/>\n                  such manner.<\/p>\n<p>                  V. Reacquired Shares. Any shares of Series B Preferred Stock<br \/>\n         purchased or otherwise acquired by the corporation in any manner<br \/>\n         whatsoever shall be retired and cancelled promptly after the<br \/>\n         acquisition thereof. All such shares shall upon their cancellation<br \/>\n         become authorized but unissued shares of Preferred Stock and may be<br \/>\n         reissued as part of a series of Preferred Stock to be created by<br \/>\n         resolution or resolutions of the Board of Directors, subject to the<br \/>\n         conditions and restrictions on issuance set forth herein.<\/p>\n<p>                  VI. Liquidation, Dissolution or Winding Up. Upon any<br \/>\n         liquidation, dissolution or winding up of the corporation, no<br \/>\n         distribution shall be made (1) to the holders of shares of stock<br \/>\n         ranking junior (as to amounts payable upon liquidation, dissolution or<br \/>\n         winding up) to the Series B Preferred Stock unless, prior thereto, the<br \/>\n         holders of Series B Preferred Stock shall have received an amount per<br \/>\n         share (rounded to the nearest cent) equal to the greater of (a) $100.00<br \/>\n         per share, or (b) an amount per share, subject to the provision for<br \/>\n         adjustment hereinafter set forth, equal to 100 times the aggregate<br \/>\n         amount to be distributed per share to holders of Common Stock, plus, in<br \/>\n         either case, an amount equal to accrued and unpaid dividends and<br \/>\n         distributions thereon, whether or not declared, to the date of such<br \/>\n         payment, or (2) to the holders of stock ranking on a parity (as to<br \/>\n         amounts payable or upon liquidation, dissolution or winding up) with<br \/>\n         the Series B Preferred Stock and all other such parity stock in<br \/>\n         proportion to the total amounts to which the holders of all such shares<br \/>\n         are entitled upon such liquidation, dissolution or winding up. Optional Redemptions.<\/p>\n<p>                  (a) The Corporation may, at its option, at any time beginning<br \/>\non or after March 15, 2001, redeem all, or any number less than all, of the<br \/>\noutstanding shares of Series A Preferred Stock. The Series A Preferred Stock may<br \/>\nnot be redeemed, in whole or in part prior to March 15, 2001. All redemptions of<br \/>\nshares of Series A Preferred Stock at the option of the Corporation shall be<br \/>\neffected at the redemption price of $25.00 per share plus, in each case, an<br \/>\namount equal to all dividends (whether or not earned or declared) accrued and<br \/>\nunpaid on such share of Series A Preferred Stock to the date of redemption.<\/p>\n<p>                  (b) The Corporation may not purchase, redeem or otherwise<br \/>\nacquire for value any shares of Series A Preferred Stock or shares of any other<br \/>\nseries of Preferred Stock then outstanding ranking on a parity with the Series A<br \/>\nPreferred Stock unless all accumulated dividends on all shares of Series A<br \/>\nPreferred Stock then outstanding shall have been paid or declared and a sum<br \/>\nsufficient for the payment thereof set apart.<\/p>\n<p>                  (c) Notice of any proposed redemption of shares of Series A<br \/>\nPreferred Stock at the option of the Corporation shall be given by the<br \/>\nCorporation by mailing a copy of such notice no less than thirty (30) days nor<br \/>\nmore than sixty (60) days prior to the date fixed for such redemption to holders<br \/>\nof record of the shares of Series A Preferred Stock to be redeemed at their<br \/>\nrespective addresses appearing on the books of the Corporation. Said notice<br \/>\nshall specify the shares called for redemption, the redemption price and the<br \/>\nplace at which and the date on which the shares called for redemption will, upon<br \/>\npresentation and surrender of the certificates of stock evidencing such shares,<br \/>\nbe redeemed and the redemption price therefor paid. From and<br \/>\nafter the date fixed in any such notice as the date of redemption of shares of<br \/>\nSeries A Preferred Stock, unless default shall be made by the Corporation in<br \/>\nproviding monies at the time and place specified for the payment of the<br \/>\nredemption price pursuant to such notice, all dividends on the Series A<br \/>\nPreferred Stock thereby called for redemption shall cease to accrue, such shares<br \/>\nof Series A Preferred Stock shall no longer be deemed to be outstanding and all<br \/>\nrights of the holders thereof as stockholders of the Corporation with respect to<br \/>\nshares of Series A Preferred Stock, except the right to receive the redemption<br \/>\nprice plus accrued dividends to the date of redemption, shall cease and<br \/>\nterminate.<\/p>\n<p>                                      -3-<br \/>\n   63<\/p>\n<p>                  (d) Upon the occurrence of a change of control of the<br \/>\nCorporation, the holders of the shares of Series A Preferred Stock not<br \/>\npreviously called for redemption shall have the right to cause the Series A<br \/>\nPreferred Stock to be redeemed by the Corporation, as a whole or in part, within<br \/>\nthe time period specified in and subject to the procedures set forth<br \/>\nhereinafter, at the redemption price of $25.50 per share plus, in each case, an<br \/>\namount equal to all dividends (whether or not earned or declared) accrued and<br \/>\nunpaid on such shares of Series A Preferred Stock to the date of redemption. A<br \/>\nchange of control of the Corporation shall be deemed to have occurred if and<br \/>\nwhen a change of control of the Corporation shall occur pursuant to the<br \/>\nprovisions of the Joint Venture Agreement between the Corporation and K N<br \/>\nEnergy, Inc., a Kansas corporation (&#8220;KNE&#8221;), as the same may be amended from time<br \/>\nto time. Unless the Corporation shall have elected to redeem all of the shares<br \/>\nof Series A Preferred Stock pursuant to paragraph 3(a) above, not more than ten<br \/>\n(10) days after the occurrence of a change of control of the Corporation, the<br \/>\nCorporation shall mail a notice thereof to each holder of record of shares of<br \/>\nSeries A Preferred Stock at its address appearing on the books of the<br \/>\nCorporation. Said notice shall set forth: (i) a summary description of such<br \/>\nchange of control; (ii) the date such change of control occurred; (iii) that<br \/>\neach holder of record of Series A Preferred Stock not previously called for<br \/>\nredemption by the Corporation may require the Corporation to redeem all or any<br \/>\npart of such holder&#8217;s shares by surrendering the certificates representing such<br \/>\nshares no later than the redemption date; (iv) the redemption date, which shall<br \/>\nbe the first business day next succeeding ten (10) days after the giving of such<br \/>\nnotice; (v) the redemption price; (vi) that on the redemption date, the<br \/>\nredemption price will become due and payable with respect to each share of<br \/>\nSeries A Preferred Stock elected to be redeemed and that dividends thereon shall<br \/>\ncease to accrue on and after said date, unless the Corporation shall default in<br \/>\nredeeming such shares; and (vii) the place or places where certificates<br \/>\nrepresenting shares of Series A Preferred Stock are to be surrendered for<br \/>\npayment of the redemption price. In order for any shares of Series A Preferred<br \/>\nStock to be redeemed at the election of the holder thereof, the Corporation must<br \/>\nreceive a certificate representing such shares at the place or places where such<br \/>\nshares are to be surrendered for payment of the redemption price, on or before<br \/>\nthe redemption date, accompanied by written notice to the Corporation<br \/>\ninstructing the Corporation to redeem such shares. Such notice duly received<br \/>\nshall be irrevocable. If the Corporation shall fail to give any notice of the<br \/>\noccurrence of a change of control as required by this paragraph 3(d), then the<br \/>\nholders of the Series A Preferred Stock not previously called for redemption<br \/>\nshall have the continuing right to require the Corporation to redeem their<br \/>\nshares at the redemption price specified herein, until the Corporation shall<br \/>\nhave given such notice as aforesaid, whereupon such rights shall be subject to<br \/>\nthe limitations and procedures set forth in this paragraph 3(d).<\/p>\n<p>                  (e) All shares of Series A Preferred Stock which shall at any<br \/>\ntime have been redeemed, whether at the option of the Corporation or the holder<br \/>\nthereof, shall, after such redemption, have the status of authorized but<br \/>\nunissued <\/p>\n<p>                                      -4-<br \/>\n   64<\/p>\n<p>shares of Preferred Stock, without designation as to series until such<br \/>\nshares are once more designated as part of a particular series by the Board of<br \/>\nDirectors or an Authorized Board Committee.<\/p>\n<p>         4.       Conversion Rights.<\/p>\n<p>                  (a) Each share of the Series A Preferred Stock shall be<br \/>\nconvertible at the option of the holder thereof, at any time prior to the<br \/>\nredemption of such share as hereinabove provided, into fully paid and<br \/>\nnonassessable shares of Common Stock at the initial conversion rate of 1.6660<br \/>\nshares of Common Stock for each share of Series A Preferred Stock, subject to<br \/>\nadjustment as provided in paragraph 4(e).<\/p>\n<p>                  (b) The Common Stock deliverable upon conversion of Series A<br \/>\nPreferred Stock shall be Common Stock of the Corporation of the par value of<br \/>\n$.10 per share, as constituted at the date of this certificate, except as<br \/>\notherwise provided in subdivisions (i), (vii) and (ix) of paragraph 4(e).<\/p>\n<p>                  (c) In order for any holder of Series A Preferred Stock to<br \/>\nconvert the same into Common Stock, such holder shall surrender the certificate<br \/>\nor certificates for such Series A Preferred Stock at the principal office of the<br \/>\nCorporation, which certificate or certificates, if the Corporation shall so<br \/>\nrequest, shall be duly endorsed to the Corporation or in blank, or accompanied<br \/>\nby proper instruments of transfer to the Corporation or in blank, and, subject<br \/>\nto the provisions of paragraph 4(g), shall be accompanied by payment of any<br \/>\napplicable stock transfer or other taxes, and such holder shall give written<br \/>\nnotice to the Corporation at such office that such holder elects so to convert<br \/>\nsuch Series A Preferred Stock, and state in writing therein the name or names in<br \/>\nwhich such holder wishes the certificate or certificates for Common Stock to be<br \/>\nissued. The Corporation shall not be required to convert any shares of Series A<br \/>\nPreferred Stock while the stock transfer books of the Corporation are closed for<br \/>\nany purpose; but the surrender of Series A Preferred Stock for conversion during<br \/>\nany period while such books are so closed shall become effective for conversion<br \/>\nimmediately upon reopening of such books, as if the surrender had been made on<br \/>\nthe date of such reopening, and conversion shall be at the conversion rate in<br \/>\neffect at such date.<\/p>\n<p>                  No adjustments in respect of, or payments of dividends on,<br \/>\nshares surrendered for conversion or any dividend on the Common Stock issued<br \/>\nupon conversion, shall be made upon the conversion of any shares of Series A<br \/>\nPreferred Stock. Without limiting the generality of the foregoing, if any shares<br \/>\nshall be converted subsequent to the close of business on the record date next<br \/>\npreceding a Dividend Payment Date but on or prior to the opening of business on<br \/>\nsuch Dividend Payment Date, the registered holder of such shares at the close of<br \/>\nbusiness on such record date shall not be entitled to receive the dividend<br \/>\notherwise payable on such shares on such Dividend Payment Date.<\/p>\n<p>                  (e) The conversion rate shall be subject to adjustment as<br \/>\n         follows:<\/p>\n<p>                           (i) In case the Corporation shall (A) pay a dividend<br \/>\n         on its Common Stock in shares of its Common Stock, (B) subdivide its<br \/>\n         outstanding shares of Common Stock, or (C) combine its outstanding<br \/>\n         shares of Common Stock into a smaller number of shares, the conversion<br \/>\n         rate in effect at the time of the record date of such dividend,<br \/>\n         subdivision, or combination shall be proportionately adjusted so that<br \/>\n         the holder of any Series A Preferred Stock surrendered for conversion<br \/>\n         after such time shall be entitled to receive the number and kind of<br \/>\n         shares which he would have owned or have been entitled to receive had<br \/>\n         such Series A Preferred Stock been converted immediately prior to such<br \/>\n         time. Such adjustment shall be made successively whenever any event<br \/>\n         listed above shall occur.<\/p>\n<p>                           (ii) In case the Corporation shall issue rights or<br \/>\n         warrants to all holders of its Common Stock entitling them (for a<br \/>\n         period expiring within 45 days after the record date for the<br \/>\n         determination of stockholders entitled to receive such rights or<br \/>\n         warrants) to subscribe for or purchase shares of Common Stock at a<br \/>\n         price per share less than the Current Market Price (as defined below)<br \/>\n         per share of Common Stock on such record date, the number of shares of<br \/>\n         Common Stock into which each share of Series A <\/p>\n<p>                                      -6-<br \/>\n   66<\/p>\n<p>         Preferred Stock shall be convertible thereafter shall be determined by<br \/>\n         multiplying the number of shares of Common Stock into which such shares<br \/>\n         of Series A Preferred Stock were convertible immediately prior to such<br \/>\n         record date by a fraction of which the numerator shall be the number of<br \/>\n         shares of Common Stock outstanding on such record date plus the number<br \/>\n         of additional shares of Common Stock offered for subscription or<br \/>\n         purchase and of which the denominator shall be the number of shares of<br \/>\n         Common Stock outstanding on such record date plus the number of shares<br \/>\n         of Common Stock which the aggregate offering price of the total number<br \/>\n         of shares so offered would purchase at such Current Market Price. Such<br \/>\n         adjustment shall be made successively whenever such rights or warrants<br \/>\n         are issued, and shall become effective retroactively immediately after<br \/>\n         the record date for the determination of stockholders entitled to<br \/>\n         receive such rights or warrants; provided, however, if all the shares<br \/>\n         of Common Stock offered for subscription or purchase are not delivered<br \/>\n         upon the exercise of such rights or warrants, upon the expiration of<br \/>\n         such rights or warrants the conversion rate shall be readjusted to the<br \/>\n         conversion rate which would have been in effect had the numerator and<br \/>\n         the denominator of the foregoing fraction and the resulting adjustment<br \/>\n         been made based upon the number of shares of Common Stock actually<br \/>\n         delivered upon the exercise of such rights or warrants rather than upon<br \/>\n         the number of shares of Common Stock offered for subscription or<br \/>\n         purchase. For the purposes of this subdivision (ii), the number of<br \/>\n         shares of Common Stock at any time outstanding shall not include shares<br \/>\n         held in the treasury of the Company but shall include shares issuable<br \/>\n         in respect of scrip certificates issued in lieu of fractions of shares<br \/>\n         of Common Stock.<\/p>\n<p>                           (iii) In case the Corporation shall distribute to all<br \/>\n         holders of its Common Stock shares of its capital stock (other than<br \/>\n         Common Stock), evidences of indebtedness or assets of the Corporation<br \/>\n         (excluding dividends paid in, or distributions of, cash from the<br \/>\n         retained earnings of the Corporation) or subscription rights or<br \/>\n         warrants (excluding those referred to in subdivision (ii) above), the<br \/>\n         number of shares of Common Stock into which each share of Series A<br \/>\n         Preferred Stock shall be convertible thereafter shall be determined by<br \/>\n         multiplying the number of shares of Common Stock into which such share<br \/>\n         of Series A Preferred Stock was convertible immediately prior to such<br \/>\n         record date by a fraction of which the numerator shall be the Current<br \/>\n         Market Price per share of the Common Stock on the record date for the<br \/>\n         determination of stockholders entitled to receive such distribution and<br \/>\n         of which the denominator shall be such Current Market Price per share<br \/>\n         of Common Stock less the fair market value (as determined by the Board<br \/>\n         of Directors or an Authorized Board Committee thereof, whose<br \/>\n         determination shall be conclusive) of the portion of the capital stock,<br \/>\n         evidences of indebtedness, assets or subscription rights or warrants<br \/>\n         distributed applicable to one share of <\/p>\n<p>                                      -7-<br \/>\n   67<\/p>\n<p>         Common Stock. Such adjustment shall be made successively whenever any<br \/>\n         such distribution is made, and shall become effective retroactively<br \/>\n         after such record date.<\/p>\n<p>                           (iv) For the purpose of any computation under<br \/>\n         subdivisions (ii) and (iii) above, the &#8220;Current Market Price&#8221; per share<br \/>\n         of Common Stock on any date shall be deemed to be the average of the<br \/>\n         daily Closing Prices for the thirty (30) consecutive business days<br \/>\n         commencing forty-five (45) business days before such date. Where used<br \/>\n         herein, the &#8220;Closing Price&#8221; for each day shall be the reported last<br \/>\n         sale price regular way or, in case no such reported sale takes place on<br \/>\n         such day, the average of the reported closing bid and asked prices<br \/>\n         regular way, in either case as reported on the New York Stock Exchange<br \/>\n         Composite Transactions reporting system or, if not so quoted, on the<br \/>\n         New York Stock Exchange, or, if at any time the Common Stock is not<br \/>\n         listed or admitted to trading on such Exchange, on the principal<br \/>\n         national securities exchange on which the Common Stock is listed or<br \/>\n         admitted to trading, or if the Common Stock is not listed or admitted<br \/>\n         to trading on any national securities exchange, on the National<br \/>\n         Association of Securities Dealers Automated Quotation National Market<br \/>\n         (&#8220;NASDAQ&#8221;), or, if the Common Stock is not listed or admitted to<br \/>\n         trading on any national securities exchange or quoted on NASDAQ, the<br \/>\n         average of the closing bid and asked prices in the over-the-counter<br \/>\n         market as furnished by any New York Stock Exchange member firm selected<br \/>\n         from time to time by the Board of Directors or an Authorized Board<br \/>\n         Committee for such purposes.<\/p>\n<p>                           (v) In any case in which this paragraph 4(e) shall<br \/>\n         require that an upward adjustment of the conversion rate as a result of<br \/>\n         any event that becomes effective after a record date or effective date<br \/>\n         for such event, the Corporation may elect to defer until after the<br \/>\n         occurrence of such event (A) issuing to the holder of any shares of<br \/>\n         Series A Preferred Stock converted after such record date and before<br \/>\n         the occurrence of such event the additional shares of Common Stock<br \/>\n         issuable upon such conversion over and above the shares of Common Stock<br \/>\n         issuable upon such conversion on the basis of the conversion rate prior<br \/>\n         to adjustment and (B) paying to such holder any amount in cash in lieu<br \/>\n         of a fractional share of Common Stock pursuant to subdivision (viii)<br \/>\n         below; and, in lieu of the shares the issuance of which is so deferred,<br \/>\n         the Corporation shall issue or cause its Transfer Agent to issue due<br \/>\n         bills or other appropriate evidence of the right to receive such<br \/>\n         shares.<\/p>\n<p>                           (vi) No adjustment in the conversion rate applicable<br \/>\n         to a share of Series A Preferred Stock shall be required unless such<br \/>\n         adjustment would require an increase or decrease of at least 1% in such<br \/>\n         rate; provided, however, that the Corporation may make any such<br \/>\n         adjustment at its election; and provided, further, however, that any<br \/>\n         adjustments which by reason of this subdivision (vi) are not made shall<br \/>\n         be carried forward and <\/p>\n<p>                                      -8-<br \/>\n   68<\/p>\n<p>         taken into account in any subsequent adjustment. All calculations under<br \/>\n         this paragraph 4(e) shall be made to the nearest one-hundredth of a<br \/>\n         share. Anything in this paragraph 4(e) notwithstanding, the Corporation<br \/>\n         shall be entitled to make such increases in the conversion rate, in<br \/>\n         addition to those required by this paragraph 4(e), as it in its<br \/>\n         discretion shall determine to be advisable in order that any dividend<br \/>\n         of capital stock, subdivision or combination of shares, distribution of<br \/>\n         rights or warrants to purchase capital stock or other securities, or<br \/>\n         distribution of securities convertible into or exchangeable for capital<br \/>\n         stock, hereafter made by the Corporation to its stockholders shall not<br \/>\n         be taxable.<\/p>\n<p>                           (vii) In case of any consolidation of the Corporation<br \/>\n         into, or merger of the Corporation with or into, any other corporation<br \/>\n         (other than a consolidation or merger in which the Corporation is the<br \/>\n         continuing corporation and which does not result in any<br \/>\n         reclassification, change or conversion of outstanding shares of Common<br \/>\n         Stock), or in case of any sale or transfer of all or substantially all<br \/>\n         of the assets of the Corporation, or in case of any reclassification of<br \/>\n         its shares of Common Stock (other than a change in par value, or from<br \/>\n         par value to no par value, or from no par value to par value, or as a<br \/>\n         result of a subdivision or combination), the holder of each share of<br \/>\n         Series A Preferred Stock then outstanding shall have the right<br \/>\n         thereafter to convert such share into the kind and amount of shares of<br \/>\n         capital stock and other securities, cash and other property receivable<br \/>\n         upon such consolidation, merger, sale, transfer or reclassification by<br \/>\n         a holder of the number of shares of Common Stock of the Corporation<br \/>\n         into which such share of Series A Preferred Stock might have been<br \/>\n         converted immediately prior to such consolidation, merger, sale,<br \/>\n         transfer or reclassification. In any such event, effective provision<br \/>\n         shall be made, in the articles or certificate of incorporation of the<br \/>\n         resulting or surviving corporation or other corporation issuing or<br \/>\n         delivering such shares of capital stock, other securities, cash or<br \/>\n         other property or otherwise, so that the provisions set forth herein<br \/>\n         for the protection of the conversion rights of the Series A Preferred<br \/>\n         Stock shall thereafter be applicable, as nearly as reasonably may be,<br \/>\n         to any such other shares of capital stock and other securities, cash<br \/>\n         and other property deliverable upon conversion of the Series A<br \/>\n         Preferred Stock remaining outstanding or other convertible stock or<br \/>\n         securities received by the holders in place thereof; and any such<br \/>\n         resulting or surviving corporation or other corporation issuing or<br \/>\n         delivering such shares of capital stock, other securities, cash or<br \/>\n         other property shall expressly assume the obligation to deliver, upon<br \/>\n         the exercise of the conversion privilege, such shares of capital stock,<br \/>\n         securities, cash or other property as the holders of the Series A<br \/>\n         Preferred Stock remaining outstanding, or other convertible stock or<br \/>\n         securities received by the holders in place thereof, shall be entitled<br \/>\n         to receive, pursuant to the provisions hereof, and to make provision<br \/>\n         for the protection of the conversion right as above provided. In case<br \/>\n         shares of capital stock, securities, cash or other property other than<br \/>\n         Common Stock <\/p>\n<p>                                      -9-<br \/>\n   69<\/p>\n<p>         shall be issuable or deliverable upon conversion as aforesaid, then all<br \/>\n         references to Common Stock in this paragraph 4(e) shall be deemed to<br \/>\n         apply, so far as provided and as nearly as is reasonable, to any such<br \/>\n         shares of capital stock, other securities, cash or other property.<\/p>\n<p>                           (viii) No fractional interests in Common Stock shall<br \/>\n         be issued upon conversion of shares of Series A Preferred Stock.<br \/>\n         Instead of any fractional share of Common Stock which would otherwise<br \/>\n         be issuable upon conversion of any share of Series A Preferred Stock,<br \/>\n         the Corporation will pay a cash adjustment in respect of such<br \/>\n         fractional interest in an amount equal to the same fraction of the<br \/>\n         Closing Price per share of Common Stock determined as of the business<br \/>\n         day preceding the date of conversion.<\/p>\n<p>                           (ix) In the event that at any time, as a result of<br \/>\n         any adjustment made pursuant to this paragraph 4(e), the holder of any<br \/>\n         share of Series A Preferred Stock thereafter surrendered for conversion<br \/>\n         shall become entitled to receive any shares of the Corporation other<br \/>\n         than shares of its Common Stock, the number of such other shares so<br \/>\n         receivable upon conversion of any share of Series A Preferred Stock<br \/>\n         shall be subject to adjustment from time to time in a manner and on<br \/>\n         terms as nearly equivalent as practicable to the provision with respect<br \/>\n         to the Common Stock contained in subdivisions (i) to (viii), inclusive,<br \/>\n         above, with respect to the Common Stock.<\/p>\n<p>                           (x) Whenever any adjustment is required in the number<br \/>\n         of shares into which each share of Series A Preferred Stock is<br \/>\n         convertible, the Corporation shall forthwith mail to the holders of<br \/>\n         record of the Series A Preferred Stock a statement describing in<br \/>\n         reasonable detail the adjustment and the method of calculation used.<\/p>\n<p>                  (f) Upon any conversion of shares of Series A Preferred Stock,<br \/>\nthe shares so converted shall have the status of authorized and unissued shares<br \/>\nof Preferred Stock, unclassified as to series, and the number of shares of<br \/>\nPreferred Stock which the Corporation shall have authority to issue shall not be<br \/>\ndecreased by the conversion of shares of Series A Preferred Stock. The<br \/>\nCorporation shall at all times reserve and keep available, out of its authorized<br \/>\nand unissued stock or stock held as treasury stock, solely for the purpose of<br \/>\neffecting the conversion of the Series A Preferred Stock, such number of shares<br \/>\nof its Common Stock as shall from time to time be sufficient to effect the<br \/>\nconversion of all shares of Series A Preferred Stock from time to time<br \/>\noutstanding. For the purpose of this paragraph 4(f), the full number of shares<br \/>\nof Common Stock issuable upon the conversion of all outstanding shares of Series<br \/>\nA Preferred Stock shall be computed as if at the time of computation of such<br \/>\nnumber of shares of Common Stock all outstanding shares of Series A Preferred<br \/>\nStock were held by a single holder. The Corporation shall use all reasonable<br \/>\nefforts from time to time, in accordance with the laws of the State of Delaware,<br \/>\nto cause its shareholders to approve an increase in the authorized number of<br \/>\nshares of its Common Stock if <\/p>\n<p>                                      -10-<br \/>\n   70<\/p>\n<p>at any time the number of shares of its Common Stock not outstanding shall not<br \/>\nbe sufficient to permit the conversion of all the then outstanding Series A<br \/>\nPreferred Stock.<\/p>\n<p>                  (g) The Corporation will pay any and all issue or other taxes<br \/>\nthat may be payable in respect of any issue or delivery of shares of Common<br \/>\nStock on conversion of Series A Preferred Stock pursuant thereto. The<br \/>\nCorporation shall not, however, be required to pay any tax which may be payable<br \/>\nin respect of any transfer involved in the issue or delivery of Common Stock in<br \/>\na name other than that in which the certificate representing the Series A<br \/>\nPreferred Stock so converted was registered, and no such issue or delivery shall<br \/>\nbe made unless and until the person requesting such issue has paid to the<br \/>\nCorporation the amount of such tax, or has established, to the satisfaction of<br \/>\nthe Corporation, that such tax has been paid.<\/p>\n<p>                  (h) Before taking any action which would cause an adjustment<br \/>\nreducing the conversion rate such that the conversion price (for purposes of<br \/>\nthis paragraph, an amount equal to $25.00 divided by the conversion rate<br \/>\napplicable to a share of Series A Preferred Stock as in effect from time to<br \/>\ntime) would be below the then par value of the Common Stock, the Corporation<br \/>\nwill take any corporate action which may, in the opinion of its counsel, be<br \/>\nnecessary in order that the Corporation may validly and legally issue fully paid<br \/>\nand nonassessable shares of Common Stock at the conversion rate as so adjusted.<\/p>\n<p>         5.       Exchange.<\/p>\n<p>                  (a) The shares of Series A Preferred Stock shall be<br \/>\nexchangeable, in whole or in part, at the option of the Corporation on any<br \/>\nDividend Payment Date at any time on or after March 15, 1999, and prior to March<br \/>\n15, 2001, for fully paid and nonassessable shares of Common Stock at the<br \/>\nexchange rate of 1.6660 shares of Common Stock for each share of Series A<br \/>\nPreferred Stock; provided that (i) on or prior to the date of exchange the<br \/>\nCorporation shall have declared and paid or set apart for payment to the holders<br \/>\nof outstanding shares of Series A Preferred Stock all accumulated and unpaid<br \/>\ndividends to the date of exchange, and (ii) the Current Market Price (as defined<br \/>\nin subdivision (iv) of paragraph 4(e) above) of the Common Stock is above<br \/>\n$18.375 (the &#8220;Threshold Price&#8221;). The Common Stock deliverable upon exchange of<br \/>\nSeries A Preferred Stock shall be Common Stock of the Corporation of the par<br \/>\nvalue of $.10 per share, as constituted at the date of this certificate, except<br \/>\nas otherwise provided in subdivisions (i), (vii) and (ix) of paragraph 4(e)<br \/>\nwhich shall be applicable as provided in the next sentence. The exchange rate<br \/>\nshall be subject to adjustment in the same manner and under the same<br \/>\ncircumstances as the conversion rate is subject to adjustment as provided in<br \/>\nparagraph 4(e), and the Threshold Price shall be subject to adjustment in the<br \/>\nsame manner and under the same circumstances, mutatis mutandis, as the exchange<br \/>\nrate is subject to adjustment. The Corporation will mail to each holder of<br \/>\nrecord of shares of Series A Preferred Stock at his address appearing on the<br \/>\nbooks of the Corporation written notice of <\/p>\n<p>                                      -11-<br \/>\n   71<\/p>\n<p>any change in the exchange rate or the Threshold Price and a summary description<br \/>\nof the basis of such change. The Corporation will mail to each holder of record<br \/>\nof the shares of Series A Preferred Stock at his address appearing on the books<br \/>\nof the Corporation written notice of its intention to exchange no less than<br \/>\nthirty (30) nor more than sixty (60) days prior to the date fixed for the<br \/>\nexchange (the &#8220;Exchange Date&#8221;). Each such notice shall state: (i) the Exchange<br \/>\nDate, (ii) the place or places where certificates for such shares of Series A<br \/>\nPreferred Stock are to be surrendered for exchange into shares of Common Stock,<br \/>\nand (iii) that dividends on the shares of Series A Preferred Stock to be<br \/>\nexchanged will cease to accrue on such Exchange Date.<\/p>\n<p>                  (b) If notice has been mailed as aforesaid, from and after the<br \/>\nExchange Date (unless default shall be made by the Corporation in issuing shares<br \/>\nof Common Stock in exchange for, or making the final dividend payment on, the<br \/>\noutstanding shares of Series A Preferred Stock on the Exchange Date), dividends<br \/>\non the shares of Series A Preferred Stock shall cease to accrue, and said shares<br \/>\nshall no longer be deemed to be issued and outstanding, and all rights of the<br \/>\nholders thereof as holders of shares of Series A Preferred Stock of the<br \/>\nCorporation (except the right to receive from the Corporation the shares of<br \/>\nCommon Stock) in respect of such shares of Series A Preferred Stock shall cease<br \/>\nand terminate. Upon surrender in accordance with said notice of the certificates<br \/>\nfor any shares of Series A Preferred Stock so exchanged (properly endorsed or<br \/>\nassigned for transfer, if the Corporation shall so require and the notice shall<br \/>\nso state), such shares shall be exchanged by the Corporation for shares of<br \/>\nCommon Stock as aforesaid.<\/p>\n<p>                  (c) All shares of Series A preferred Stock which shall at any<br \/>\ntime have been exchanged for shares of Common Stock of the Corporation shall,<br \/>\nafter such exchange, have the status of authorized but unissued shares of<br \/>\nPreferred Stock, without designation as to series, until such shares are once<br \/>\nmore designated as part of a particular series by the Board of Directors.<\/p>\n<p>                  (d) The Corporation will, as soon as practicable after the<br \/>\nsurrender for exchange of certificates representing shares of Series A Preferred<br \/>\nStock, deliver at said place for surrender to the person for whose account such<br \/>\nSeries A Preferred Stock was so surrendered, or to his nominee or nominees,<br \/>\ncertificates for the number of shares of Common Stock to which he shall be<br \/>\nentitled as aforesaid, together with any cash adjustment of any fraction of a<br \/>\nshare as hereinafter provided.<\/p>\n<p>                  (e) The Corporation will pay any and all issue or other taxes<br \/>\nthat may be payable in respect of any issue or delivery of shares of Common<br \/>\nStock on exchange of Series A Preferred Stock pursuant to this paragraph 5. The<br \/>\nCorporation shall not, however, be required to pay any tax which may be payable<br \/>\nin respect of any transfer involved in the issue or delivery of Common Stock in<br \/>\na name other than that in which the certificate representing the Series A<br \/>\nPreferred Stock so exchanged was registered, and no such issue or delivery shall<\/p>\n<p>                                      -12-<br \/>\n   72<\/p>\n<p>be made unless and until the person requesting such issue has paid to the<br \/>\nCorporation the amount of such tax, or has established, to the satisfaction of<br \/>\nthe Corporation, that such tax has been paid.<\/p>\n<p>                  (f) Before taking any action which would cause an adjustment<br \/>\nreducing the exchange rate such that the exchange price (for purposes of this<br \/>\nparagraph, an amount equal to $25.00 divided by the exchange rate applicable to<br \/>\na share of Series A Preferred Stock as in effect from time to time) would be<br \/>\nbelow the then par value of the Common Stock, the Corporation will take any<br \/>\ncorporate action which may, in the opinion of its counsel, be necessary in order<br \/>\nthat the Corporation may validly and legally issue fully paid and nonassessable<br \/>\nshares of Common Stock at the exchange rate as so adjusted.<\/p>\n<p>         6.       Number of Shares.<\/p>\n<p>                  The Board of Directors of the Corporation reserves the right<br \/>\nby subsequent amendment of this resolution from time to time to decrease the<br \/>\nnumber of shares which constitute the Series A Preferred Stock (but not below<br \/>\nthe number of shares thereof then outstanding) and, subject to anything to the<br \/>\ncontrary set forth in the Certificate of Incorporation of the Corporation<br \/>\napplicable to the Preferred Stock, to subdivide the number of shares, the stated<br \/>\nvalue per share and the liquidation value per share of the Series A Preferred<br \/>\nStock and in other respect to amend, within the limitations provided by law,<br \/>\nthis resolution and the Certificate of Incorporation of the Corporation.<\/p>\n<p>         7.       Liquidation Rights.<\/p>\n<p>                  Upon the dissolution, liquidation or winding up of the<br \/>\nCorporation, whether voluntary or involuntary, the holders of the Series A<br \/>\nPreferred Stock shall be entitled to receive out of the assets of the<br \/>\nCorporation available for distribution to stockholders, the amount of $25.00 per<br \/>\nshare plus an amount equal to all dividends on such shares (whether or not<br \/>\nearned or declared) accrued and unpaid thereon to the date of final<br \/>\ndistribution, before any payment or distribution shall be made on the Common<br \/>\nStock or on any other class of stock ranking junior to the Series A Preferred<br \/>\nStock with respect to distributions upon dissolution, liquidation or winding up.<br \/>\nFor purposes of this paragraph 7, the merger or consolidation of the Corporation<br \/>\nor the sale of all or substantially all of the Corporation&#8217;s assets, shall not<br \/>\nbe deemed to be a liquidation, dissolution or winding up of the Corporation. After the payment to the holders of the shares of the Series A<br \/>\nPreferred Stock of the full preferential amounts provided for in this paragraph<br \/>\n7, the holders of the Series A Preferred Stock as such shall have no right or<br \/>\nclaim to any of the remaining assets of the Corporation.<\/p>\n<p>         8.       Voting Rights.<\/p>\n<p>                  The shares of Series A Preferred Stock shall have the<br \/>\nfollowing voting rights:<\/p>\n<p>                  (a) So long as any shares of the Series A Preferred Stock<br \/>\nremain outstanding, the Corporation will not, either directly or indirectly,<br \/>\nwithout the affirmative vote at a meeting or the written consent with or without<br \/>\na meeting of the holders of at least 66 2\/3% of the shares of Series A Preferred<br \/>\nStock then outstanding, amend, alter or repeal any of the provisions of the<br \/>\nCertificate of the Designations, Powers, Preferences and Rights of the Series A<br \/>\nPreferred Stock or the Certificate of Incorporation of the Corporation, or<br \/>\nauthorize any reclassification of the Series A Preferred Stock, so as in any<br \/>\nsuch case to affect adversely the preferences, special rights or powers of the<br \/>\nSeries A Preferred Stock or authorize any capital stock of the Corporation<br \/>\nranking, either as to payment of dividends or upon liquidation, dissolution or<br \/>\nwinding up of the Corporation, prior to the Preferred Stock.<\/p>\n<p>                  (b) So long as any shares of the Series A Preferred Stock<br \/>\nremain outstanding, the Corporation will not, either directly or indirectly,<br \/>\nwithout the affirmative vote at a meeting or the written consent with or without<br \/>\na meeting of the holders of at least a majority in voting power of shares of the<br \/>\nSeries A Preferred Stock then outstanding, increase the authorized number of<br \/>\nshares of Preferred Stock or create, or increase the authorized number of shares<br \/>\nof, any other class of capital stock of the Corporation ranking on a parity with<br \/>\nthe Preferred Stock either as to payment of dividends or upon liquidation,<br \/>\ndissolution or winding up of the Corporation.<\/p>\n<p>                  (c) If at any time dividends payable on the Series A Preferred<br \/>\nStock are in arrears and unpaid in an amount equal to or exceeding the amount of<br \/>\ndividends payable thereon for four quarterly dividend periods, the total number<br \/>\nof directors on the Corporation&#8217;s Board of Directors shall be limited to a<br \/>\nmaximum of nine and the holders of the outstanding shares of Series A Preferred<br \/>\nStock will have the exclusive right, voting separately as a class without regard<br \/>\nto series, to designate a special class of two directors of the Corporation (the<br \/>\n&#8220;Special Directors&#8221;) at the next annual or special meeting of stockholders of<br \/>\nthe Corporation irrespective of whether such meeting otherwise would involve the<br \/>\nelection of directors, and the membership of the Board of Directors of the<br \/>\nCorporation shall be increased by the number of the Special Directors so<br \/>\ndesignated.
