{"id":41720,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/342a-lakeside-drive-foster-city-ca-lease-wcb-sixteen-lp-and.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"342a-lakeside-drive-foster-city-ca-lease-wcb-sixteen-lp-and","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/land\/342a-lakeside-drive-foster-city-ca-lease-wcb-sixteen-lp-and.html","title":{"rendered":"342A Lakeside Drive (Foster City, CA) Lease &#8211; WCB Sixteen LP and Gilead Sciences Inc."},"content":{"rendered":"<pre>\n                                  AMENDMENT NO. 2 TO\n                     VINTAGE PARK RESEARCH AND DEVELOPMENT LEASE\n                                       (WCB 16)\n\n\n         THIS AMENDMENT NO. 2 TO VINTAGE PARK RESEARCH AND DEVELOPMENT LEASE is\nmade and entered into as of June 24, 1996 by and between WCB SIXTEEN LIMITED\nPARTNERSHIP, a Delaware limited partnership ('Landlord'), and GILEAD SCIENCES,\nINC., a Delaware corporation ('Tenant').\n\n         Landlord's predecessor-in-interest, Vintage Park Associates, and\nTenant entered into that certain Vintage Park Research and Development Lease\ndated March 27, 1992, as amended by that certain Amendment No. 1 dated October\n11, 1993 (collectively, the 'Lease'), with respect to space in the Buildings\ncommonly known as 342A, 344B, 346, 353 and 368 Lakeside Drive, Foster City,\nCalifornia.  Landlord and Tenant now desire to amend the Lease in order, among\nother things, to reflect a transfer of the Landlord's interest in certain\nportions of the premises, and to change the date for expiration of the term, all\nas more fully set forth below and, accordingly, Landlord and Tenant hereby agree\nas follows:\n\n         1.   TRANSFER OF LANDLORD'S INTEREST.  As of December 21, 1994 (the\n'Transfer Date'), Landlord's interest in those Buildings commonly known as 342A\nLakeside Drive and 368 Lakeside Drive, together with the portions of the\npremises therein (the 'WCB 16 Premises'), were transferred to WCB Sixteen\nLimited Partnership, a Delaware limited partnership ('WCB Sixteen').  From and\nafter the Transfer Date, WCB Sixteen shall be deemed the Landlord with respect\nto the WCB 16 Premises under the terms of the Lease and hereby assumes all of\nthe obligations of Landlord under the terms of this Lease with respect to the\nWCB 16 Premises accruing from and after the Transfer Date.  Tenant hereby\nattorns to WCB Sixteen as the Landlord under the Lease from and after the\nTransfer Date.  Simultaneously, on the Transfer Date, the Landlord's interest in\nthe Lease with respect to those portions of the premises located within 344, 346\nand 353 Lakeside Drive (collectively, the 'WCB 17 Premises') were transferred to\nWCB Seventeen Limited Partnership which from and after the transfer date became\nthe Landlord under the Lease with respect to the WCB 17 Premises.\nSimultaneously with the execution of this Amendment, Tenant and WCB Seventeen\nLimited Partnership shall enter into Amendment No. 2 to this Lease under which\nWCB Seventeen Limited Partnership assumes the obligations of the Landlord under\nthe terms of this Lease with respect to the WCB 17 Premises accruing from and\nafter the Transfer Date.\n\n\n                                         -1-\n\n\n\n         2.   AMENDMENT OF BASIC LEASE INFORMATION.  Those portions of the\nBasic Lease Information of the Lease set forth below are hereby amended to read\nas follows:\n\nPremises and Building:\n\n    342A Lakeside Drive           Approximately 28,335 sq. ft., as\n                                  outlined on EXHIBIT A to Amendment No. 1\n\n    Ground Floor of 368           Approximately 21,742 sq.\n    Lakeside Drive                ft., as outlined on EXHIBIT A to Amendment\n                                  No. 1\n\nTerm Commencement:\n\n    342A and 368 Lakeside\n    Drive:                        August 1, 1995\n\nTerm Expiration:\n\n    342A Lakeside Drive           July 31, 1996\n    and 368 Lakeside Drive\n\nBase Rent:\n\n342A and 368 Lakeside Drive:\n\n    February 1, 1996 through\n    March 31, 1996                $55,084.70\n\n    April 1, 1996 through\n    July 31, 1996                 $57,588.55\n\nTenant's Percentage Share:\n\n    342A Lakeside Drive:          87%\n\n    368 Lakeside Drive:           59.34%\n\nLandlord's Address for Notice:\n\n    WCB Sixteen Limited Partnership\n    c\/o WCB Properties\n    393 Vintage Park Drive, Suite 200\n    Foster City, CA  94404\n\n\n         3.   DELETION OF PARAGRAPH 20.  Paragraph 20 of the Lease is hereby\ndeleted with respect to the WCB 16 Premises.\n\n\n                                         -2-\n\n\n\n         4.   AMENDMENT OF PARAGRAPH 24.  The language added to paragraph 24 of\nthe Lease pursuant to paragraph 4 of Amendment No. 1 is hereby deleted.\n\n\n         5.   RATIFICATION.
