(the 'Assignor') to Search Exploration, Inc., whose\nmailing address is 1500 Three Lincoln Centre, 5430 LBJ Freeway, Dallas, Texas\n75240 (the 'Assignee').\n\n                              W I T N E S S E T H\n\n         WHEREAS, pursuant to the Action by the Unanimous Written Consent of\nthe Board of Directors of Search Exploration, Inc. adopted September 20, 1993\n(the 'Board Resolution'), Assignee purported to grant to Assignor a\nproportionate share (as set forth in the Board Resolution) of a two percent\n(2%) overriding royalty interest in Assignee's share of the Placid Venture oil\nand gas leases (the 'Subject Interest') located in Tom Green, Nolan, and Coke\nCounties, Texas as described more particularly on Exhibit 'A' hereto (the\n'Leases');\n\n         WHEREAS, Assignee has yet to execute and deliver a formal conveyance\nof such Subject Interest to Assignor evidencing its ownership thereof;\n\n         NOW THEREFORE, for good and valuable consideration as set forth\nherein, the sufficiency of which is hereby acknowledged, Assignor does hereby\nassign, transfer, set over and deliver, upon  the terms, conditions, and\nwarranties set forth below, unto Assignee, its successors in title and assigns,\neffective upon the execution of this Assignment, the Subject Interest and any\nand all claims, rights, title, or interest that Assignor may own in and to the\nLeases.\n\n         Assignor hereby represents and warrants to Assignee, its successors in\ntitle and assigns, as of the date of this Assignment, that Assignor has not,\neither directly or indirectly, transferred, conveyed, sold, assigned, pledged\nor encumbered all or any part of the Subject Interest.\n\n         Assignor hereby releases any and all claims and rights to the Subject\nInterest and the Leases to which it may have any claim or have been entitled to\nunder the Board Resolution.\n\n         In consideration of this Assignment and relinquishment of all claims\nand rights to such\n\n\n\n\n\n                                       1\n\nSubject Interest or any of the Leases pursuant to the Board Resolution, upon\nexecution and delivery of this Assignment, Assignor shall be entitled to\nreceive, under certain conditions, the shares of common stock, $.01 par value,\nof Harken Energy Corporation, a Delaware corporation ('Harken'), pursuant to\nSections 1.08 and 1.10 of that certain Agreement and Plan of Merger dated\nNovember 8, 1994 and amended on March ___, 1995 (as amended, the 'Merger\nAgreement'), by and among Assignee, Harken, and Search Acquisition Corp., a\nDelaware corporation.\n\n         This Assignment and the assignment, transfer and conveyance of the\nSubject Interest made herein is expressly made subject to the consummation of\nthe transactions contemplated by the Merger Agreement.\n\n         The provisions of this Assignment shall be binding upon all the heirs,\nsuccessors, representatives and assigns of the Assignor and Assignee.
