{"id":41955,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/riata-corporate-park-austin-tx-amendment-to-lease-agreement.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"riata-corporate-park-austin-tx-amendment-to-lease-agreement","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/land\/riata-corporate-park-austin-tx-amendment-to-lease-agreement.html","title":{"rendered":"Riata Corporate Park (Austin, TX) Amendment to Lease Agreement &#8211; Carramerica Realty L.P. and 3dfx Interactive Inc."},"content":{"rendered":"<pre>\n\n                          AMENDMENT TO LEASE AGREEMENT\n\n\n        THIS AMENDMENT TO LEASE AGREEMENT (this \"Amendment\") is entered into to\nbe effective as of July 1, 1999, by and between CARRAMERICA REALTY, L.P., t\/a\nRiata Corporate Park (\"Landlord\"), and 3DFX INTERACTIVE, INC., a California\ncorporation (\"Tenant\").\n\n                                   WITNESSETH:\n\n        WHEREAS, Landlord and Tenant entered into that certain Lease dated as of\nJuly 23, 1998 (the \"Lease\"), pertaining to the lease of certain premises (the\n\"Premises\") located in Building 5 of that certain office building project\nlocally known as \"Riata Corporate Park\" and having the local address of 12357\nRiata Trace Parkway, Building 1, Austin, Texas (the \"Building\");\n\n        WHEREAS, Tenant desires to lease from Landlord certain other space\nsituated in the Building, and Landlord has agreed to lease to Tenant such other\nspace, and, accordingly, Landlord and Tenant desire to further modify the terms\nand provisions of the Lease as hereinafter provided.\n\n        NOW, THEREFORE, for and in consideration of the premises and mutual\ncovenants herein contained and other good and valuable consideration, the\nreceipt and sufficiency of which is hereby acknowledged, the parties hereby\nagree as follows:\n\n        1. Expansion Space. For a term commencing on the Effective Date (as\nhereinafter defined) and continuing until the expiration of the term of the\nLease (as herein modified), Landlord hereby leases and demises to Tenant, and\nTenant hereby leases from Landlord, an aggregate of 16,741 rentable square feet\nof space in the Building (the \"Expansion Space\"), such space being known as\nSuite 210 and being more particularly depicted on the floor plan attached hereto\nas Exhibit A. As of the Effective Date, the Expansion Space shall, for all\npurposes, be deemed to be included within the term \"Premises\" as used in the\nLease and shall be subject in all respect to the terms, provisions and\nconditions set forth therein.\n\n        2. Rentable Square Footage; Proportionate Share. Landlord and Tenant\nhereby acknowledge and agree that, as of the Effective Date, the \"Rentable\nSquare Footage\" of the Premises shall comprise a total of 27,165 square feet,\nand that \"Tenant's Proportionate Share\" shall thereupon equal 29.74% (based upon\na total of 91,332 Rentable Square Feet in the Building).\n\n        3. Termination Date. Notwithstanding anything to the contrary in the\nLease, Landlord and Tenant hereby agree that the initial Term of the Lease shall\nexpire, as to the entire Premises (as modified by this Amendment), on August 31,\n2004 (the \"Termination Date\").\n\n        4. Lease Year. Landlord and Tenant agree that the term \"Lease Year\"\nshall have the meaning ascribed to it under the Lease, except that the last\nLease Year shall consist only of the number of months necessary to permit the\nLease to end on the Termination Date.\n\n\n\n   2\n\n        5. Base Rent. Tenant Improvements. Landlord shall improve the Expansion Space in<br \/>\naccordance with the applicable terms and provisions of Appendix C attached to<br \/>\nthe Lease; provided, however, that &#8220;Landlord&#8217;s Contribution&#8221; with respect to the<br \/>\nExpansion Space shall equal $10.00 per Rentable Square Foot within the Expansion<br \/>\nSpace. Landlord agrees that it shall diligently pursue the completion of such<br \/>\nimprovements on or before September 1, 1999, and Tenant covenants to use good<br \/>\nfaith efforts to assist Landlord in the pursuit of such completion.<\/p>\n<p>        7. Acceptance; Effective Date. Tenant shall be required to accept the<br \/>\nExpansion Space and to commence payment of the Base Rent specified in paragraph<br \/>\n5 above as of the Effective Date. For purposes hereof, the &#8220;Effective Date&#8221;<br \/>\nshall mean the first to occur of (i) the date that Tenant first occupies the<br \/>\nExpansion Space for its intended purpose or (ii) the date that Landlord<br \/>\nsubstantially completes the improvements contemplated under Paragraph 6 above<br \/>\nand tenders the Expansion Space to Tenant.<\/p>\n<p>        8. Miscellaneous.<\/p>\n<p>                a. All terms and conditions of the Lease not expressly modified<br \/>\nby this Amendment shall remain in full force and effect, and, in the event of<br \/>\nany inconsistencies between this Amendment and the terms of the Lease, the terms<br \/>\nset forth in this Amendment shall govern and control. Except as expressly<br \/>\namended hereby, the Lease shall remain in full force and effect as of the date<br \/>\nthereof.<\/p>\n<p>                b. This Amendment may be executed in one or more counterparts<br \/>\nwhich shall be construed together as one document.<\/p>\n<p>                c. Captions used herein are for convenience only and are not to<br \/>\nbe utilized to ascribe any meaning to the contents thereof. Unless defined<br \/>\ndifferently herein or the context clearly requires otherwise, all terms used in<br \/>\nthis Amendment shall have the meanings ascribed to them under the Lease.<\/p>\n<p>                d. The term &#8220;Building&#8221;<br \/>\nmeans the building known as &#8220;Riata Corporate Park Building 5&#8221; with a local<br \/>\naddress of 12357 Riata Trace Parkway, Building 1, Austin, Texas, and situated on<br \/>\nthe land legally described in Appendix A. &#8220;Premises&#8221; means that part of the<br \/>\nBuilding leased to Tenant described in the Schedule and outlined on Appendix A.<br \/>\nThe Building is part of an office development (the &#8220;Project&#8221;) known as &#8220;Riata<br \/>\nCorporate Park,&#8221; the extent and configuration of which shall be determined by<br \/>\nLandlord from time to time.<\/p>\n<p>        The following schedule (the &#8220;Schedule&#8221;) is an integral part of this<br \/>\nLease. LEASE AGREEMENT.<\/p>\n<p>        A. Lease of Premises. On the terms stated in this Lease, Landlord leases<br \/>\nthe Premises to Tenant, and Tenant leases the Premises from Landlord, for the<br \/>\nTerm beginning on the Commencement Date and ending on the Termination Date<br \/>\nunless extended or sooner terminated pursuant to this Lease.<\/p>\n<p>        B. Determination of Rentable Square Fee. Landlord and Tenant acknowledge<br \/>\nand agree that the Rentable Square Footage as stated in the Schedule is an<br \/>\napproximation and cannot be conclusively determined until after completion of<br \/>\nconstruction of the Premises and the Building. Within sixty (60) days of the<br \/>\nCompletion Date, the Rentable Square Footage of the Premises shall be determined<br \/>\nand certified in writing by Landlord&#8217;s architect using the modified &#8220;BOMA&#8221;<br \/>\nstandard, as described below. Upon Tenant&#8217;s receipt of such certification, Base<br \/>\nRent, Tenant&#8217;s Proportionate Share and other appropriate terms contained herein<br \/>\nshall be adjusted accordingly. For purposes of this determination, Rentable<br \/>\nSquare Footage for the Premises shall be the sum of (i) the square footage of<br \/>\nTenant&#8217;s Usable Area within the first (1st) floor of the Building plus (ii) an<br \/>\n&#8220;add-on factor&#8221; for Tenant&#8217;s share of General Common Area and the Floor Common<br \/>\nArea for the 1st floor. The current estimate for the add-on-factor for the 1st<br \/>\nfloor of the Building is 18.6 % times Tenant&#8217;s Usable Area within the 1st floor.<\/p>\n<p>        C. Definitions.<\/p>\n<p>                (1) Usable Area. &#8220;Usable Area&#8221; is computed by measuring to the<br \/>\n        finished surface of the office side of the corridor and other permanent<br \/>\n        walls, to the center of partitions that separate the Premises from<br \/>\n        adjoining Usable Areas, and to the inside finished surface of the<br \/>\n        dominant portion of the permanent outer building walls. Deductions are<br \/>\n        not made for columns and projections necessary to the building.<\/p>\n<p>                (2) General Common Areas. &#8220;General Common Areas&#8221; are defined as<br \/>\n        all areas intended for use by all building tenants (including building<br \/>\n        lobby, mailroom, elevator equipment rooms, security office and fire<br \/>\n        sprinkler rooms).<\/p>\n<p>                (3) Floor Common Areas. &#8220;Floor Common Areas&#8221; are defined as all<br \/>\n        areas for use by tenants of a single floor only, and include restrooms,<br \/>\n        janitor&#8217;s closets, mechanical, electrical, telephone rooms and building<br \/>\n        corridors, calculated by subtracting all Usable Area on a multi-tenant<br \/>\n        floor from the Usable Area for such floor as determined for occupancy by<br \/>\n        a single tenant.<\/p>\n<p>        2. RENT.<\/p>\n<p>        A. Types f Rent. (South)<br \/>\n               ABA Number 061-000-052<br \/>\n               Account Number 3261312955<\/p>\n<p>or in such other manner as Landlord may notify Tenant:<\/p>\n<p>                (1) Base Rent in monthly installments in advance, the first<br \/>\n        monthly installment payable concurrently with the execution of this<br \/>\n        Lease and thereafter on or before the first day of each month of the<br \/>\n        Term in the amount set forth on the Schedule.<\/p>\n<p>                (2) Operating Cost Share Rent in an amount equal to the Tenant&#8217;s<br \/>\n        Proportionate Share of the Operating Costs for the applicable Fiscal<br \/>\n        Year of the Lease, paid monthly in advance in an estimated amount.<br \/>\n        Definitions of Operating Costs and Tenant&#8217;s Proportionate Share, and the<br \/>\n        method for billing and payment of Operating Cost Share Rent are set<br \/>\n        forth in Sections 2B, 2C and 2D.<\/p>\n<p>                (3) Additional Rent in the amount of all costs, expenses,<br \/>\n        liabilities, and amounts which Tenant is required to pay under this<br \/>\n        Lease, excluding Base Rent and Operating Cost Share Rent, but including<br \/>\n        any interest for late payment of any item of Rent.<\/p>\n<p>                (4) Rent as used in this Lease means Base Rent, Operating Cost<br \/>\n        Share Rent and Additional Rent. Tenant&#8217;s&#8221;agreement to pay Rent is an<br \/>\n        independent covenant, with no right of setoff, deduction or counterclaim<br \/>\n        of any kind.<\/p>\n<p>        B. Payment of Operating Cost Share Rent.<\/p>\n<p>                (1) Payment of Estimated Operating Cost Share Rent. Landlord<br \/>\n        shall estimate the Operating Costs of the Project (including Taxes, as<br \/>\n        defined below) by April 1 of each Fiscal Year, or as soon as reasonably<br \/>\n        possible thereafter. Landlord may revise these estimates whenever it<br \/>\n        obtains more accurate information, such as the final real estate tax<br \/>\n        assessment or tax rate for the Project.<\/p>\n<p>                Within ten (10) days after receiving the original or revised<br \/>\n        estimate from Landlord, Tenant shall pay Landlord one-twelfth (1\/12th)<br \/>\n        of Tenant&#8217;s Proportionate Share of the estimated Operating Costs,<br \/>\n        multiplied by the number of months that have elapsed in the applicable<br \/>\n        Fiscal Year to the date of such payment including the current month,<br \/>\n        minus payments previously made by Tenant for the months elapsed. On the<br \/>\n        first day of each month thereafter, Tenant shall pay Landlord<br \/>\n        one-twelfth (1\/12th) of Tenant&#8217;s Proportionate Share of this estimate,<br \/>\n        until a new estimate becomes applicable.<\/p>\n<p>                (2) Correction of Operating Cost Share Rent. Landlord shall<br \/>\n        deliver to Tenant a report for the previous Fiscal Year (the &#8220;Operating<br \/>\n        Cost Report&#8221;) by May 15 of each year, or as soon as reasonably possible<br \/>\n        thereafter, setting forth (a) the actual Operating Costs incurred, (b)<br \/>\n        the amount of Operating Cost Share Rent due from Tenant, and (c) the<br \/>\n        amount of Operating Cost Share Rent paid by Tenant. Within twenty (20)<br \/>\n        days after such<\/p>\n<p>                                       3<br \/>\n   12<\/p>\n<p>        delivery, Tenant shall pay to Landlord the amount due minus the amount<br \/>\n        paid. If the amount paid exceeds the amount due, Landlord shall apply<br \/>\n        the excess to Tenant&#8217;s payments of Operating Cost Share Rent next coming<br \/>\n        due.<\/p>\n<p>        C. Definitions.<\/p>\n<p>                (1) Included Operating Costs. &#8220;Operating Costs&#8221; means any<br \/>\n        expenses, costs and disbursements of any kind, paid or incurred by<br \/>\n        Landlord in connection with the management [including an annual<br \/>\n        management fee, which shall not exceed five percent (5 %) of Rent (net<br \/>\n        of the management fee) for such year], maintenance, operation,<br \/>\n        insurance, repair, replacement and other related activities in<br \/>\n        connection with any part of the Building or the Project and of the<br \/>\n        personal property, fixtures, machinery, equipment, systems and apparatus<br \/>\n        used in connection therewith, including the cost of providing those<br \/>\n        services required to be furnished by Landlord under this Lease.<br \/>\n        Operating Costs shall also include Taxes and the costs of any capital<br \/>\n        improvements which reduce Operating Costs or improve safety, and those<br \/>\n        made to keep the Project in compliance with governmental requirements<br \/>\n        applicable from time to time (collectively, &#8220;Included Capital Items&#8221;);<br \/>\n        provided, that the costs of any Included Capital Item shall be amortized<br \/>\n        by Landlord, together with an amount equal to interest at ten percent<br \/>\n        (10%) per annum, over the estimated useful life of such item and such<br \/>\n        amortized costs are only included in Operating Costs for that portion of<br \/>\n        the useful life of the Included Capital Item which falls within the<br \/>\n        Term.<\/p>\n<p>                If the Building is not fully occupied during any portion of any<br \/>\n        Fiscal Year, Landlord may adjust (an &#8220;Equitable Adjustment&#8221;) Operating<br \/>\n        Costs to equal what would have been incurred by Landlord had the<br \/>\n        Building been fully occupied. This Equitable Adjustment shall apply only<br \/>\n        to Operating Costs which are variable and therefore increase as<br \/>\n        occupancy of the Building increases. Landlord may incorporate the<br \/>\n        Equitable Adjustment in its estimates of Operating Costs.<\/p>\n<p>                If Landlord does not furnish any particular service whose cost<br \/>\n        would have constituted an Operating Cost to a tenant other than Tenant<br \/>\n        who has undertaken to perform such service itself, Operating Costs shall<br \/>\n        be increased by the amount which Landlord would have incurred if it had<br \/>\n        furnished the service to such tenant.<\/p>\n<p>                (2)     Excluded Operating Costs. Operating Costs shall not<br \/>\n                        include:<\/p>\n<p>                (a)     costs of alterations of tenant premises;<\/p>\n<p>                (b)     costs of capital improvements other than Included<br \/>\n                        Capital Items;<\/p>\n<p>                (c)     interest and principal payments on mortgages or any<br \/>\n                        other debt costs, or rental payments on any ground lease<br \/>\n                        of the Project;<\/p>\n<p>                (d)     real estate brokers&#8217; leasing commissions;<\/p>\n<p>                (e)     legal fees, space planner fees and advertising expenses<br \/>\n                        incurred with regard to leasing the Building or portions<br \/>\n                        thereof;<\/p>\n<p>                                       4<br \/>\n   13<\/p>\n<p>                (f)     any cost or expenditure for which Landlord is<br \/>\n                        reimbursed, by insurance proceeds or otherwise, except<br \/>\n                        by Operating Cost Share Rent;<\/p>\n<p>                (g)     the cost of any service furnished to any office tenant<br \/>\n                        of the Building which Landlord does not make available<br \/>\n                        to Tenant;<\/p>\n<p>                (h)     depreciation (except on any Included Capital Items);<\/p>\n<p>                (i)     franchise or income taxes imposed upon Landlord, except<br \/>\n                        to the extent imposed in lieu of all or any part of<br \/>\n                        Taxes;<\/p>\n<p>                (j)     costs of correcting defects in construction of the<br \/>\n                        Building (as opposed to the cost of normal repair,<br \/>\n                        maintenance and replacement expected with the<br \/>\n                        construction materials and equipment installed in the<br \/>\n                        Building in light of their specifications);<\/p>\n<p>                (k)     legal and auditing fees which are for the benefit of<br \/>\n                        Landlord such as collecting delinquent rents, preparing<br \/>\n                        tax returns and other financial statements, and audits<br \/>\n                        other than those incurred in connection with the<br \/>\n                        preparation of reports required pursuant to Section 2B<br \/>\n                        above;<\/p>\n<p>                (l)     the wages of any employee for services not related<br \/>\n                        directly to the management, maintenance, operation and<br \/>\n                        repair of the Project; and<\/p>\n<p>                (m)     fines, penalties and interest.<\/p>\n<p>                (3) Taxes. &#8220;Taxes&#8221; means any and all taxes, assessments and<br \/>\n        charges of any kind, general or special, ordinary or extraordinary,<br \/>\n        levied against the Project, which Landlord shall pay or become obligated<br \/>\n        to pay in connection with the ownership, leasing, renting, management,<br \/>\n        use, occupancy, control or operation of the Project or of the personal<br \/>\n        property, fixtures, machinery, equipment, systems and apparatus used in<br \/>\n        connection therewith. Taxes shall include real estate taxes, personal<br \/>\n        property taxes, sewer rents, water rents, special or general<br \/>\n        assessments, transit taxes, ad valorem taxes, assessments by any<br \/>\n        property owners association or under any deed or other restrictive<br \/>\n        covenants and any tax levied on the rents hereunder or the interest of<br \/>\n        Landlord under this Lease (the &#8220;Rent Tax&#8221;). Taxes shall also include all<br \/>\n        fees and other costs and expenses paid by Landlord in reviewing any tax<br \/>\n        and in seeking a refund or reduction of any Taxes, whether or not the<br \/>\n        Landlord is ultimately successful.<\/p>\n<p>                For any year, the amount to be included in Taxes (a) from taxes<br \/>\n        or assessments payable in installments, shall be the amount of the<br \/>\n        installments (with any interest) due and payable during such year, and<br \/>\n        (b) from all other Taxes, shall at Landlord&#8217;s election be the amount<br \/>\n        accrued, assessed, or otherwise imposed for such year or the amount due<br \/>\n        and payable in such year. Any refund or other adjustment to any Taxes by<br \/>\n        the taxing authority, shall apply during the year in which the<br \/>\n        adjustment is made.<\/p>\n<p>                                       5<br \/>\n   14<\/p>\n<p>                Taxes shall not include any net income (except Rent Tax),<br \/>\n        capital, stock, succession, transfer, franchise, gift, estate or<br \/>\n        inheritance tax, except to the extent that such tax shall be imposed in<br \/>\n        lieu of any portion of Taxes.<\/p>\n<p>                (4) Lease Year. &#8220;Lease Year&#8221; means each consecutive twelve-month<br \/>\n        period beginning with the Commencement Date, except that if the<br \/>\n        Commencement Date is not the first day of a calendar month, then the<br \/>\n        first Lease Year shall be the period from the Commencement Date through<br \/>\n        the final day of the twelve months after the first day of the following<br \/>\n        month, and each subsequent Lease Year shall be the twelve months<br \/>\n        following the prior Lease Year.<\/p>\n<p>                (5) Fiscal Year. &#8220;Fiscal Year&#8221; means the calendar year, except<br \/>\n        that the first Fiscal Year and the last Fiscal Year of the Term may be a<br \/>\n        partial calendar year.<\/p>\n<p>        D. Computation of Base Rent and Rent Adjustments.<\/p>\n<p>                (1) Prorations. If this Lease begins on a day other than the<br \/>\n        first day of a month, Base Rent and Operating Cost Share Rent shall be<br \/>\n        prorated for such partial month based on the actual number of days in<br \/>\n        such month. If this Lease begins on a day other than the first day, or<br \/>\n        ends on a day other than the last day, of the Fiscal Year, Operating<br \/>\n        Cost Share Rent shall be prorated for the applicable Fiscal Year.<\/p>\n<p>                (2) Default Interest. Any sum due from Tenant to Landlord not<br \/>\n        paid when due shall bear interest from the date due until paid at<br \/>\n        eighteen percent (18%) per annum.<\/p>\n<p>                (3) Rent Adjustments. The square footage of the Premises and the<br \/>\n        Building set forth in the Schedule are conclusively deemed to be the<br \/>\n        actual square footage thereof, without regard to any subsequent<br \/>\n        remeasurement of the Premises or the Building. If any Operating Cost<br \/>\n        paid in one Fiscal Year relates to more than one Fiscal Year, Landlord<br \/>\n        may proportionately allocate such Operating Cost among the related<br \/>\n        Fiscal Years. Operating Costs allocable to the Project as a whole (as<br \/>\n        opposed to a single building within the Project), including all<br \/>\n        maintenance, repair, replacement, insurance, Taxes and other Operating<br \/>\n        Costs associated with the parking and driveway areas, landscaping,<br \/>\n        project and directional signage and other common areas within the<br \/>\n        Project, shall be allocated among the completed buildings in the Project<br \/>\n        based upon the relative Rentable Square Feet within such buildings, and<br \/>\n        Operating Cost Share Rent shall include Tenant&#8217;s Proportionate Share of<br \/>\n        such Operating Costs allocated to the Building.<\/p>\n<p>                (4) Miscellaneous. So long as Tenant is in default of any<br \/>\n        obligation under this Lease, Tenant shall not be entitled to any refund<br \/>\n        of any amount from Landlord. If this Lease is terminated for any reason<br \/>\n        prior to the annual determination of Operating Cost Share Rent, either<br \/>\n        party shall pay the full amount due to the other within fifteen (15)<br \/>\n        days after Landlord&#8217;s notice to Tenant of the amount when it is<br \/>\n        determined. Landlord may commingle any payments made with respect to<br \/>\n        Operating Cost Share Rent, without payment of interest.<\/p>\n<p>                                       6<br \/>\n   15<\/p>\n<p>        3. PREPARATION AND CONDITION OF PREMISES; POSSESSION SURRENDER OF<br \/>\nPREMISES.<\/p>\n<p>        A. Condition of Premises. Except to the extent of the Tenant<br \/>\nImprovements item on the Schedule, Landlord is leasing the Premises to Tenant<br \/>\n&#8220;as is&#8221;, without any obligation to alter, remodel, improve, repair or decorate<br \/>\nany part of the Premises. Landlord shall cause the Premises to be completed in<br \/>\naccordance with the Tenant Improvement Agreement attached as Appendix C.<\/p>\n<p>        B. Tenant&#8217;s Possession. Tenant&#8217;s taking possession of any portion of the<br \/>\nPremises shall be conclusive evidence that the Premises was in good order,<br \/>\nrepair and condition. If Landlord authorizes Tenant to take possession of any<br \/>\npart of the Premises prior to the Commencement Date for purposes of doing<br \/>\nbusiness, all terms of this Lease shall apply to such pre-Term possession,<br \/>\nincluding Base Rent at the rate set forth for the First Lease Year in the<br \/>\nSchedule prorated for any partial month.<\/p>\n<p>        C. Maintenance. Throughout the Term, Tenant shall maintain the Premises<br \/>\nin their condition as of the Completion Date, loss or damage caused by the<br \/>\nelements, ordinary wear, and fire and other casualty excepted, and at the<br \/>\ntermination of this Lease, or Tenant&#8217;s right to possession, Tenant shall return<br \/>\nthe Premises to Landlord in broom-clean condition. To the extent Tenant fails to<br \/>\nperform either obligation, Landlord may, but need not, restore the Premises to<br \/>\nsuch condition and Tenant shall pay the cost thereof.<\/p>\n<p>        4. PROJECT SERVICES. Landlord shall furnish services as follows:<\/p>\n<p>        A. Heating and Air Conditioning. During the normal business hours of<br \/>\n7:00 a.m. to 6:00 p.m., Monday through Friday, and 8:00 a.m. to 1:00 p.m. on<br \/>\nSaturday, excluding New Year&#8217;s Day, Memorial Day, Independence Day, Labor Day,<br \/>\nThanksgiving Day, Christmas Day, and any other holiday taken by tenants<br \/>\noccupying at least one-half (1\/2) of the Rentable Square Feet of office space in<br \/>\nthe Building, as announced from time to time by Landlord. Landlord shall furnish<br \/>\nheating and air conditioning to provide a comfortable temperature, in Landlord&#8217;s<br \/>\njudgment, for normal business operations, except to the extent Tenant installs<br \/>\nequipment which adversely affects the temperature maintained by the air<br \/>\nconditioning system. If Tenant installs such equipment, Landlord may install<br \/>\nsupplementary air conditioning units in the Premises, and Tenant shall pay to<br \/>\nLandlord upon demand as Additional Rent the cost of installation, operation and<br \/>\nmaintenance thereof.<\/p>\n<p>        Landlord shall furnish heating and air conditioning after business hours<br \/>\nif Tenant provides Landlord reasonable prior notice, and pays Landlord all then<br \/>\ncurrent charges for such additional heating or air conditioning.<\/p>\n<p>        B. Elevators. Landlord shall provide passenger elevator service during<br \/>\nnormal business hours to Tenant in common with Landlord and all other tenants.<br \/>\nLandlord shall provide limited passenger service at other times, except in case<br \/>\nof an emergency. Subject to any contrary specifications set forth in the Plans<br \/>\n(as defined in Appendix C), the Building will be serviced by three (3) 3,000<br \/>\npound hydraulic passenger elevators rated at 150 feet per minute, featuring a<br \/>\ncardkey access system for after-hours use.<\/p>\n<p>                                       7<br \/>\n   16<\/p>\n<p>        C. Electricity. Landlord shall make available to the Premises<br \/>\nelectricity with a minimum capacity of eight (8) watts per Rentable Square Feet.<br \/>\nTenant shall not install or operate in the Premises any electrically operated<br \/>\nequipment or other machinery, other than business machines and equipment<br \/>\nnormally employed for general office use which do not require high electricity<br \/>\nconsumption for operation, without obtaining the prior written consent of<br \/>\nLandlord. If any or all of Tenant&#8217;s equipment requires electricity consumption<br \/>\nin excess of that which is necessary to operate normal office equipment, such<br \/>\nconsumption (including consumption for computer or telephone rooms and special<br \/>\nHVAC equipment) shall be submetered by Landlord at Tenant&#8217;s expense, and Tenant<br \/>\nshall reimburse Landlord as Additional Rent for the cost of its submetered<br \/>\nconsumption based upon Landlord&#8217;s average cost of electricity. Such Additional<br \/>\nRent shall be in addition to Tenant&#8217;s obligations pursuant to Section 2A(2) to<br \/>\npay its Proportionate Share of Operating Costs.<\/p>\n<p>        D. Water. Landlord shall furnish hot and cold tap water for drinking and<br \/>\ntoilet purposes. Tenant shall pay Landlord for water furnished for any other<br \/>\npurpose as Additional Rent at rates fixed by Landlord. Tenant shall not permit<br \/>\nwater to be wasted.<\/p>\n<p>        E. Janitorial Service. Landlord shall furnish janitorial service as<br \/>\ngenerally provided to other tenants in the Building, such service to be provided<br \/>\nno less than five (5) days per week on an after-normal-business-hours schedule.<\/p>\n<p>        F. Parking. Landlord shall provide parking areas for the Project, as<br \/>\ndesignated by Landlord from time to time, for the nonexclusive use by Tenant and<br \/>\nits employees and other invitees, without charge, in common with Landlord and<br \/>\nother tenants of Project and their respective employees and other invitees.<br \/>\nTenants shall not use greater than four (4) parking spaces within the Project<br \/>\n(including visitor parking spaces) for every one thousand(1,000) Rentable Square<br \/>\nFeet contained within the Premises. Tenant shall have no right to exclusive<br \/>\nparking with respect to any parking spaces within the Project, and Tenant shall<br \/>\nnot tow cars or otherwise enforce its parking rights against third parties.<br \/>\nTenant shall not allow its employees or other invitees to park within any public<br \/>\nstreets adjacent to the Project. Landlord shall not be responsible for enforcing<br \/>\nTenant&#8217;s parking rights against third parties and Landlord shall have no<br \/>\nliability to Tenant due to Tenant&#8217;s inability to utilize parking spaces within<br \/>\nthe Project; however, Landlord shall have the right, but not the obligation, to<br \/>\nimpose reasonable rules and regulations as Landlord may deem necessary to<br \/>\nregulate parking within the Project, including registration of license plate<br \/>\nnumbers for vehicles driven by Tenant&#8217;s employees, issuance and monitoring of<br \/>\nparking tags or permits and\/or designation of exclusive parking spaces.<\/p>\n<p>        G. Interruption of Services. If any of the Building equipment or<br \/>\nmachinery ceases to function properly for any cause Landlord shall use<br \/>\nreasonable diligence to repair the same promptly. Landlord&#8217;s inability to<br \/>\nfurnish, to any extent, the Project services set forth in this Section 4, or any<br \/>\ncessation thereof resulting from any causes, including any entry for repairs<br \/>\npursuant to this Lease, and any renovation, redecoration or rehabilitation of<br \/>\nany area of the Project shall not render Landlord liable for damages to either<br \/>\nperson or property or for interruption or loss to Tenant&#8217;s business, nor be<br \/>\nconstrued as an eviction of Tenant, nor work an abatement of any portion of<br \/>\nRent, nor relieve Tenant from fulfillment of any covenant or agreement hereof.<br \/>\nHowever, in the event of an interruption in any of the Project services<br \/>\ndescribed in Sections 4A, 4C, 4D and 4E which renders a material portion of the<br \/>\nPremises<\/p>\n<p>                                       8<br \/>\n   17<\/p>\n<p>untenantable for a period of five (5) consecutive business days or more, then,<br \/>\nprovided the restoration of such service(s) is within Landlord&#8217;s reasonable<br \/>\ncontrol, monthly Rent shall be abated proportionately from the date such<br \/>\ninterruption exceeds the 5-business day period until such service(s) are<br \/>\nrestored.<\/p>\n<p>        5. ALTERATIONS AND REPAIRS.<\/p>\n<p>        A. Landlord&#8217;s Consent and Conditions. Tenant shall not make any<br \/>\nimprovements or alterations to the Premises (the &#8220;Work&#8221;) without in each<br \/>\ninstance submitting plans and specifications for the Work to Landlord and<br \/>\nobtaining Landlord&#8217;s prior written consent. Tenant shall pay Landlord&#8217;s standard<br \/>\ncharge for review of the plans and all other items submitted by Tenant. Landlord<br \/>\nwill be deemed to be acting reasonably in withholding its consent for any Work<br \/>\nwhich (a) impacts the base structural components or systems of the Building, (b)<br \/>\nimpacts any other tenant&#8217;s premises, or (c) is visible from outside the<br \/>\nPremises.<\/p>\n<p>        Tenant shall reimburse Landlord for actual costs incurred for review of<br \/>\nthe plans and all other items submitted by Tenant. Tenant shall pay for the cost<br \/>\nof all Work, provided that Work in connection with the Initial Improvements<br \/>\nshall be subject to the Tenant Improvement Agreement. All Work shall become the<br \/>\nproperty of Landlord upon its installation, except for Tenant&#8217;s trade fixtures<br \/>\nand for items which Landlord requires Tenant to remove at Tenant&#8217;s cost at the<br \/>\ntermination of the Lease pursuant to Section 5E. Tenant shall designate those<br \/>\nitems which it considers to be its trade fixtures in any request for Landlord&#8217;s<br \/>\napproval of alterations. Any alterations not designated as such in Tenant&#8217;s<br \/>\nrequest shall be deemed not to be trade fixtures. All Initial Improvements<br \/>\nconstructed under Appendix C shall become the property of Landlord upon<br \/>\ninstallation, and shall be surrendered to Landlord with the Premises at the<br \/>\ntermination of this Lease or of Tenant&#8217;s right to possession.<\/p>\n<p>        The following requirements shall apply to all Work:<\/p>\n<p>                (1) Prior to commencement, Tenant shall furnish to Landlord<br \/>\n        building permits, certificates of insurance satisfactory to Landlord,<br \/>\n        and, at Landlord&#8217;s request, security for payment of all costs.<\/p>\n<p>                (2) Tenant shall perform all Work so as to maintain peace and<br \/>\n        harmony among other contractors serving the Project and shall avoid<br \/>\n        interference with other work to be performed or services to be rendered<br \/>\n        in the Project.<\/p>\n<p>                (3) The Work shall be performed in a good and workmanlike<br \/>\n        manner, meeting the standard for construction and quality of materials<br \/>\n        in the Building, and shall comply with all insurance requirements and<br \/>\n        all applicable governmental laws, ordinances and regulations<br \/>\n        (&#8220;Governmental Requirements&#8221;).<\/p>\n<p>                (4) Tenant shall perform all Work so as to minimize or prevent<br \/>\n        disruption to other tenants, and Tenant shall comply with all reasonable<br \/>\n        requests of Landlord in response to complaints from other tenants.<\/p>\n<p>                                       9<br \/>\n   18<\/p>\n<p>                (5) Tenant shall perform all Work in compliance with Landlord&#8217;s<br \/>\n        &#8220;Policies, Rules and Procedures for Construction Projects&#8221; in effect at<br \/>\n        the time the Work is performed.<\/p>\n<p>                (6) Tenant shall permit Landlord to supervise all Work. Landlord<br \/>\n        may charge a supervisory fee not to exceed fifteen percent (15%) of<br \/>\n        labor, material, and all other costs of the Work, if Landlord&#8217;s<br \/>\n        employees or contractors perform the Work.<\/p>\n<p>                (7) Upon completion, Tenant shall furnish Landlord with<br \/>\n        contractor&#8217;s affidavits and full and final statutory waivers of liens<br \/>\n        from all contractors and subcontractors, as-built plans and<br \/>\n        specifications, and receipted bills covering all labor and materials,<br \/>\n        and all other close-out documentation required in Landlord&#8217;s &#8220;Policies,<br \/>\n        Rules and Procedures for Construction Projects&#8221;.<\/p>\n<p>        B. Damage to Systems. If any part of the mechanical, electrical or other<br \/>\nsystems in the Premises shall be damaged, Tenant shall promptly notify Landlord,<br \/>\nand Landlord shall repair such damage. Landlord may also at any reasonable time<br \/>\nmake any repairs or alterations which Landlord deems necessary for the safety or<br \/>\nprotection of the Project, or which Landlord is required to make by any court or<br \/>\npursuant to any Governmental Requirement. Tenant shall at its expense make all<br \/>\nother repairs necessary to keep the Premises, and Tenant&#8217;s fixtures and personal<br \/>\nproperty, in good order, condition and repair; to the extent Tenant fails to do<br \/>\nso within ten (10) days after written demand by Landlord (or with no demand in<br \/>\nthe case of an emergency), Landlord may make such repairs itself. The cost of<br \/>\nany repairs made by Landlord on account of Tenant&#8217;s default, or on account of<br \/>\nthe mis-use or neglect by Tenant or its invitees, contractors or agents anywhere<br \/>\nin the Project, shall become Additional Rent payable by Tenant on demand.<\/p>\n<p>        C. No Liens. Tenant has no authority to cause or permit any lien or<br \/>\nencumbrance of any kind to affect Landlord&#8217;s interest in the Project; any such<br \/>\nlien or encumbrance shall attach to Tenant&#8217;s interest only. If any mechanic&#8217;s<br \/>\nlien shall be filed or claim of lien made for work or materials furnished to<br \/>\nTenant, then Tenant shall at its expense within ten (10) days thereafter either<br \/>\ndischarge or contest the lien or claim. If Tenant contests the lien or claim,<br \/>\nthen Tenant shall (i) within such ten (10) day period, provide Landlord adequate<br \/>\nsecurity for the lien or claim by bonding in accordance with the Texas Property<br \/>\nCode, (ii) contest the lien or claim in good faith by appropriate proceedings<br \/>\nthat operate to stay its enforcement, and (iii) pay promptly any final adverse<br \/>\njudgment entered in any such proceeding. If Tenant does not comply with these<br \/>\nrequirements, Landlord may discharge the lien or claim, and the amount paid, as<br \/>\nwell as attorney&#8217;s fees and other expenses incurred by Landlord, shall become<br \/>\nAdditional Rent payable by Tenant on demand.<\/p>\n<p>        D. Ownership of Improvements. All Work as defined in this Section 5,<br \/>\npartitions, hardware, equipment, machinery and all other improvements and all<br \/>\nfixtures except trade fixtures, constructed in the Premises by either Landlord<br \/>\nor Tenant, (i) shall become Landlord&#8217;s property upon installation without<br \/>\ncompensation to Tenant, unless Landlord consents otherwise in writing, and (ii)<br \/>\nshall at Landlord&#8217;s option either (a) be surrendered to Landlord with the<br \/>\nPremises at the termination of the Lease or of Tenant&#8217;s right to possession, or<br \/>\n(b) be removed in accordance with Subsection 5E below (unless Landlord at the<br \/>\ntime it gives its consent to the performance of such construction expressly<br \/>\nwaives in writing the right to require such removal).<\/p>\n<p>                                       10<br \/>\n   19<\/p>\n<p>        E. Removal at Termination. Upon the termination of this Lease or<br \/>\nTenant&#8217;s right of possession Tenant shall remove from the Building its trade<br \/>\nfixtures, furniture, moveable equipment and other personal property, any<br \/>\nimprovements which Landlord elects shall be removed by Tenant pursuant to<br \/>\nSection 5D, and any improvements made by Tenant to any portion of the Building<br \/>\nor the Project other than the Premises. Tenant shall repair all damage caused by<br \/>\nthe installation or removal of any of the foregoing items. If Tenant does not<br \/>\ntimely remove such property, then Tenant shall be conclusively presumed to have,<br \/>\nat Landlord&#8217;s election (i) conveyed such property to Landlord without<br \/>\ncompensation or (ii) abandoned such property, and Landlord may dispose of or<br \/>\nstore any part thereof in any manner at Tenant&#8217;s sole cost, without waiving<br \/>\nLandlord&#8217;s right to claim from Tenant all expenses arising out of Tenant&#8217;s<br \/>\nfailure to remove the property, and without liability to Tenant or any other<br \/>\nperson. Landlord shall have no duty to be a bailee of any such personal<br \/>\nproperty. If Landlord elects abandonment, Tenant shall pay to Landlord, upon<br \/>\ndemand, any expenses incurred for removal, repair or disposition.<\/p>\n<p>        6. USE OF PREMISES. Tenant shall use the Premises only for general<br \/>\noffice purposes. Tenant shall not allow any use of the Premises which will<br \/>\nnegatively affect the cost of coverage of Landlord&#8217;s insurance on the Project.<br \/>\nTenant shall not allow any inflammable or explosive liquids or materials to be<br \/>\nkept on the Premises. Tenant shall not allow any use of the Premises which would<br \/>\ncause the value or utility of any part of the Premises to diminish or would<br \/>\ninterfere with any other tenant or with the operation of the Project by<br \/>\nLandlord. Tenant shall not permit any nuisance or waste upon the Premises, or<br \/>\nallow any offensive noise or odor in or around the Premises.<\/p>\n<p>        If any governmental authority shall deem the Premises to be a &#8220;place of<br \/>\npublic accommodation&#8221; under the Americans with Disabilities Act or any other<br \/>\ncomparable law as a result of Tenant&#8217;s use, Tenant shall either modify its use<br \/>\nto cause such authority to rescind its designation or be responsible for any<br \/>\nalterations, structural or otherwise, required to be made to the Building, the<br \/>\nProject or the Premises under such laws.<\/p>\n<p>        7. GOVERNMENTAL REQUIREMENTS AND BUILDING RULES. Tenant shall comply<br \/>\nwith all Governmental Requirements applying to its use of the Premises. Tenant<br \/>\nshall also comply with all reasonable rules established for the Project from<br \/>\ntime to time by Landlord. The present rules and regulations are contained in<br \/>\nAppendix B. Failure by another tenant to comply with the rules or failure by<br \/>\nLandlord to enforce them shall not relieve Tenant of its obligation to comply<br \/>\nwith the rules or make Landlord responsible to Tenant in any way. Landlord shall<br \/>\nuse reasonable efforts to apply the rules and regulations uniformly with respect<br \/>\nto Tenant and tenants in the Project under leases containing rules and<br \/>\nregulations similar to this Lease. In the event of alterations and repairs<br \/>\nperformed by Tenant, Tenant shall comply with the provisions of Section 5 of<br \/>\nthis Lease and also Landlord&#8217;s &#8220;Policies, Rules and Regulations for Construction<br \/>\nProjects&#8221;.<\/p>\n<p>        8. WAIVER OF CLAIMS; INDEMNIFICATION; INSURANCE.<\/p>\n<p>        A. Waiver of Claims. To the extent permitted by law, Tenant waives any<br \/>\nclaims it may have against Landlord or its officers, directors, employees or<br \/>\nagents for business<\/p>\n<p>                                       11<br \/>\n   20<\/p>\n<p>interruption or damage to property sustained by Tenant as the result of any act<br \/>\nor omission of Landlord, to the extent typically covered under policies of &#8220;All<br \/>\nRisks&#8221; Property Insurance.<\/p>\n<p>        To the extent permitted by law, Landlord waives any claims it may have<br \/>\nagainst Tenant or its officers, directors, employees or agents for loss of rents<br \/>\n(other than Rent) or damage to property sustained by Landlord as the result of<br \/>\nany act or omission of Tenant, to the extent typically covered under policies of<br \/>\n&#8220;All Risks&#8221; Property Insurance.<\/p>\n<p>        B. Indemnification. Tenant shall indemnify, defend and hold harmless<br \/>\nLandlord and its officers, directors, employees and agents against any claim by<br \/>\nany third party for injury to any person or damage to or loss of any property<br \/>\noccurring in the Project and arising from the use or occupancy of the Premises<br \/>\nor from any other act or omission or negligence of Tenant or any of Tenant&#8217;s<br \/>\nemployees or agents. Tenant&#8217;s obligations under this section shall survive the<br \/>\ntermination of this Lease.<\/p>\n<p>        Landlord shall indemnify, defend and hold harmless Tenant and its<br \/>\nofficers, directors, employees and agents against any claim by any third party<br \/>\nfor injury to any person or damage to or loss of any property occurring in the<br \/>\nProject and arising from any act or omission or negligence of Landlord or any of<br \/>\nLandlord&#8217;s employees or agents. Landlord&#8217;s obligations under this section shall<br \/>\nsurvive the termination of this Lease.<\/p>\n<p>        C. Tenant&#8217;s Insurance. Tenant shall maintain insurance as follows, with<br \/>\nsuch other terms, coverages and insurers, as Landlord shall reasonably require<br \/>\nfrom time to time:<\/p>\n<p>                (1) Commercial General Liability Insurance, with (a) Contractual<br \/>\n        Liability including the indemnification provisions contained in this<br \/>\n        Lease, (b) a severability of interest endorsement, (c) limits of not<br \/>\n        less than Two Million Dollars ($2,000,000) combined single limit per<br \/>\n        occurrence and not less than Two Million Dollars ($2,000,000) in the<br \/>\n        aggregate for bodily injury, sickness or death, and property damage, and<br \/>\n        umbrella coverage of not less than Five Million Dollars ($5,000,000).<\/p>\n<p>                (2) Property Insurance against &#8220;All Risks&#8221; of physical loss<br \/>\n        covering the replacement cost of all improvements, fixtures and personal<br \/>\n        property. Tenant waives all rights of subrogation, and Tenant&#8217;s property<br \/>\n        insurance shall include a waiver of subrogation in favor of Landlord and<br \/>\n        its employees and agents.<\/p>\n<p>                (3) Workers&#8217; compensation or similar insurance in form and<br \/>\n        amounts required by law, and Employer&#8217;s Liability with not less than the<br \/>\n        following limits:<\/p>\n<table>\n                             <s>                                <c><br \/>\n                             Each Accident                      $500,000<br \/>\n                             Disease&#8211;Policy Limit              $500,000<br \/>\n                             Disease&#8211;Each Employee             $500,000<br \/>\n<\/c><\/s><\/table>\n<p>                Such insurance shall contain a waiver of subrogation provision<br \/>\n        in favor of Landlord and its employees and agents.<\/p>\n<p>        Tenant&#8217;s insurance shall be primary and not contributory to that carried<br \/>\nby Landlord, its agents, or mortgagee. Landlord, and if any, Landlord&#8217;s building<br \/>\nmanager or agent, mortgagee<\/p>\n<p>                                       12<br \/>\n   21<\/p>\n<p>and ground lessor shall be named as additional insureds as respects to insurance<br \/>\nrequired of the Tenant in Section 8C(l). The company or companies writing any<br \/>\ninsurance which Tenant is required to maintain under this Lease, as well as the<br \/>\nform of such insurance, shall at all times be subject to Landlord&#8217;s approval,<br \/>\nand any such company shall be licensed to do business in the state in which the<br \/>\nBuilding is located. Such insurance companies shall have an A.M. Best rating of<br \/>\nA VI or better.<\/p>\n<p>        Tenant shall cause any contractor of Tenant performing work on the<br \/>\nPremises to maintain insurance as follows, with such other terms, coverages and<br \/>\ninsurers, as Landlord shall reasonably require from time to time:<\/p>\n<p>                (1) Commercial General Liability Insurance, including<br \/>\n        contractor&#8217;s liability coverage, contractual liability coverage,<br \/>\n        completed operations coverage, broad form property damage endorsement,<br \/>\n        and contractor&#8217;s protective liability coverage, to afford protection<br \/>\n        with limits, for each occurrence, of not less than One Million Dollars<br \/>\n        ($1,000,000) with respect to personal injury, death or property damage.<\/p>\n<p>                (2) Workers&#8217; compensation or similar insurance in form and<br \/>\n        amounts required by law, and Employer&#8217;s Liability with not less than the<br \/>\n        following limits:<\/p>\n<table>\n                             <s>                                <c><br \/>\n                             Each Accident                      $500,000<br \/>\n                             Disease&#8211;Policy Limit              $500,000<br \/>\n                             Disease&#8211;Each Employee             $500,000<br \/>\n<\/c><\/s><\/table>\n<p>                Such insurance shall contain a waiver of subrogation provision<br \/>\n        in favor of Landlord and its employees and agents.<\/p>\n<p>        Tenant&#8217;s contractor&#8217;s insurance shall be primary and not contributory to<br \/>\nthat carried by Tenant, Landlord, their agents or mortgagees. Tenant and<br \/>\nLandlord, and if any, Landlord&#8217;s building manager or agent, mortgagee or ground<br \/>\nlessor shall be named as additional insured on Tenant&#8217;s contractor&#8217;s insurance<br \/>\npolicies.<\/p>\n<p>        D. Insurance Certificates. Tenant shall deliver to Landlord certificates<br \/>\nevidencing all required insurance no later than five (5) days prior to the<br \/>\nCommencement Date and each renewal date. Each certificate will provide for<br \/>\nthirty (30) days prior written notice of cancellation to Landlord and Tenant.<\/p>\n<p>        E. Landlord&#8217;s Insurance. Landlord shall maintain &#8220;All-Risk&#8221; property<br \/>\ninsurance at replacement cost, including loss of rents, on the Building, and<br \/>\nCommercial General Liability insurance policies covering the common areas of the<br \/>\nBuilding and the Project, each with such terms, coverages and conditions as are<br \/>\nnormally carried by reasonably prudent owners of properties similar to the<br \/>\nProject. With respect to property insurance, Landlord and Tenant mutually waive<br \/>\nall rights of subrogation, and the respective &#8220;All-Risk&#8221; coverage property<br \/>\ninsurance policies carried by Landlord and Tenant shall contain enforceable<br \/>\nwaiver of subrogation endorsements.<\/p>\n<p>                                       13<br \/>\n   22<\/p>\n<p>        9. FIRE AND OTHER CASUALTY.<\/p>\n<p>        A. Termination. If a fire or other casualty causes substantial damage to<br \/>\nthe Building or the Premises, Landlord shall engage a registered architect to<br \/>\ncertify within one (1) month of the casualty to both Landlord and Tenant the<br \/>\namount of time needed to restore the Building and the Premises to tenantability,<br \/>\nusing standard working methods. If the time needed exceeds nine (9) months from<br \/>\nthe beginning of the restoration, or two (2) months therefrom if the restoration<br \/>\nwould begin during the last twelve (12) months of the Lease, then in the case of<br \/>\nthe Premises, either Landlord or Tenant may terminate this Lease, and in the<br \/>\ncase of the Building, Landlord may terminate this Lease, by notice to the other<br \/>\nparty within ten (10) days after the notifying party&#8217;s receipt of the<br \/>\narchitect&#8217;s certificate. The termination shall be effective thirty (30) days<br \/>\nfrom the date of the notice and Rent shall be paid by Tenant to that date, with<br \/>\nan abatement for any portion of the Premises which has been untenantable after<br \/>\nthe casualty.<\/p>\n<p>        B. Restoration. If a casualty causes damage to the Building or the<br \/>\nPremises but this Lease is not terminated for any reason, then subject to the<br \/>\nrights of any mortgagees or ground lessors, Landlord shall obtain the applicable<br \/>\ninsurance proceeds and diligently restore the Building and the Premises subject<br \/>\nto current Governmental Requirements. Tenant shall replace its damaged<br \/>\nimprovements, personal property and fixtures. Rent shall be abated on a per them<br \/>\nbasis during the restoration for any portion of the Premises which is<br \/>\nuntenantable, except to the extent that Tenant&#8217;s negligence caused the casualty.<\/p>\n<p>        10. EMINENT DOMAIN. If a part of the Project is taken by eminent domain<br \/>\nor deed in lieu thereof which is so substantial that the Premises cannot<br \/>\nreasonably be used by Tenant for the operation of its business, then either<br \/>\nparty may terminate this Lease effective as of the date of the taking. If any<br \/>\nsubstantial portion of the Project is taken without affecting the Premises, then<br \/>\nLandlord may terminate this Lease as of the date of such taking. Rent shall<br \/>\nabate from the date of the taking in proportion to any part of the Premises<br \/>\ntaken. The entire award for a taking of any kind shall be paid to Landlord.<br \/>\nTenant may pursue a separate award for its trade fixtures and moving expenses in<br \/>\nconnection with the taking, but only if such recovery does not reduce the award<br \/>\npayable to Landlord. All obligations accrued to the date of the taking shall be<br \/>\nperformed by the party liable to perform said obligations, as set forth herein.<\/p>\n<p>        11. RIGHTS RESERVED TO LANDLORD. Landlord may exercise at any time any<br \/>\nof the following rights respecting the operation of the Project without<br \/>\nliability to the Tenant of any kind:<\/p>\n<p>        A. Name. To change the name or street address of the Project or the<br \/>\nBuilding or the suite number(s) of the Premises.<\/p>\n<p>        B. Signs. To install and maintain any signs within the Project and on<br \/>\nthe exterior and in the interior of the Building, and to approve at its sole<br \/>\ndiscretion, prior to installation, any of Tenant&#8217;s signs in the Premises visible<br \/>\nfrom the common areas or the exterior of the Building.<\/p>\n<p>        C. Window Treatments. To approve, at its discretion, prior to<br \/>\ninstallation, any shades, blinds, ventilators or window treatments of any kind,<br \/>\nas well as any lighting within the Premises that may be visible from the<br \/>\nexterior of the Building or any interior common area.<\/p>\n<p>                                       14<br \/>\n   23<\/p>\n<p>        D. Keys. To retain and use at any time passkeys to enter the Premises or<br \/>\nany door within the Premises. Tenant shall not alter or add any lock or bolt.<\/p>\n<p>        E. Access. To have access to inspect the Premises, and to perform its<br \/>\nobligations, or make repairs, alterations, additions or improvements, as<br \/>\npermitted by this Lease.<\/p>\n<p>        F. Preparation for Reoccupancy. To decorate, remodel, repair, alter or<br \/>\notherwise prepare the Premises for reoccupancy at any time after Tenant abandons<br \/>\nthe Premises, without relieving Tenant of any obligation to pay Rent.<\/p>\n<p>        G. Heavy Articles. To approve the weight, size, placement and time and<br \/>\nmanner of movement within the Building of any safe, central filing system or<br \/>\nother heavy article of Tenant&#8217;s property. Tenant shall move its property<br \/>\nentirely at its own risk.<\/p>\n<p>        H. Show Premises. To show the Premises to prospective purchasers,<br \/>\ntenants, brokers, lenders, investors, rating agencies or others at any<br \/>\nreasonable time, provided that Landlord gives prior notice to Tenant and does<br \/>\nnot materially interfere with Tenant&#8217;s use of the Premises.<\/p>\n<p>        I. Relocation of Tenant. To relocate the Tenant, upon thirty days&#8217; prior<br \/>\nwritten notice, from all or part of the Premises (the &#8220;Old Premises&#8221;) to another<br \/>\narea in the Project (the &#8220;new premises&#8221;), provided that:<\/p>\n<p>                (1) the size of the new premises is at least equal to the size<br \/>\n        of the Old Premises and (i) in the event of a partial relocation,<br \/>\n        contiguous space within the Old Premises on any single floor must remain<br \/>\n        intact; and (ii) if the Rentable Square Feet within the new premises is<br \/>\n        greater than the Old Premises, Base Rent and Tenant&#8217;s Proportionate<br \/>\n        Share shall be increased proportionately;<\/p>\n<p>                (2) Landlord pays the cost of moving the Tenant and improving<br \/>\n        the new premises to the standard of the Old Premises, including all<br \/>\n        costs of wiring, cabling and other costs necessary for the relocation of<br \/>\n        Tenant&#8217;s telephones, data transmission and other business communications<br \/>\n        equipment. Tenant shall cooperate with Landlord in all reasonable ways<br \/>\n        to facilitate the move, including supervising the movement of files or<br \/>\n        fragile equipment, designating new locations for furniture, equipment<br \/>\n        and new telephone and electrical outlets, and determining the color of<br \/>\n        paint in the new premises.<\/p>\n<p>        J. Use of Lockbox. To designate a lockbox. collection agent for<br \/>\ncollections of amounts due Landlord. In that case, the date of payment of Rent<br \/>\nor other sums shall be the date of the agent&#8217;s receipt of such payment or the<br \/>\ndate of actual collection if payment is made in the form of a negotiable<br \/>\ninstrument thereafter dishonored upon presentment. However, Landlord may reject<br \/>\nany payment for all purposes as of the date of receipt or actual collection by<br \/>\nmailing to Tenant within 21 days after such receipt or collection a check equal<br \/>\nto the amount sent by Tenant.<\/p>\n<p>        K. Repairs and Alterations. To make repairs or alterations to the<br \/>\nProject or the Building and in doing so transport any required material through<br \/>\nthe Premises, to close entrances, doors, corridors, elevators and other<br \/>\nfacilities in the Project or the Building, to open<\/p>\n<p>                                       15<br \/>\n   24<\/p>\n<p>any ceiling in the Premises, or to temporarily suspend services or use of common<br \/>\nareas in the Project or the Building. Landlord may perform any such repairs or<br \/>\nalterations during ordinary business hours, except that Tenant may require any<br \/>\nWork in the Premises to be done after business hours if Tenant pays Landlord for<br \/>\novertime and any other expenses incurred. Landlord may do or permit any work on<br \/>\nany nearby building, land, street, alley or way.<\/p>\n<p>        L. Landlord&#8217;s Agents. If Tenant is in default under this Lease,<br \/>\npossession of Tenant&#8217;s funds or negotiation of Tenant&#8217;s negotiable instrument by<br \/>\nany of Landlord&#8217;s agents shall not waive any breach by Tenant or any remedies of<br \/>\nLandlord under this Lease.<\/p>\n<p>        M. Building Services. To install, use and maintain through the Premises,<br \/>\npipes, conduits, wires and ducts serving the Building, provided that such<br \/>\ninstallation, use and maintenance does not unreasonably interfere with Tenant&#8217;s<br \/>\nuse of the Premises.<\/p>\n<p>        N. Other Actions. To take any other action which Landlord deems<br \/>\nreasonable in connection with the operation, maintenance or preservation of the<br \/>\nProject or the Building.<\/p>\n<p>        12. TENANT&#8217;S DEFAULT. Any of the following shall constitute a default by<br \/>\nTenant:<\/p>\n<p>        A. Rent Default. Tenant fails to pay any Rent when due;<\/p>\n<p>        B. Assignment\/Sublease or Hazardous Substances Default. Tenant defaults<br \/>\nin its obligations under Section 17 Assignment and Sublease or Section 28<br \/>\nHazardous Substances;<\/p>\n<p>        C. Other Performance Default. Tenant fails to perform any other<br \/>\nobligation to Landlord under this Lease, and, in the case of only the first five<br \/>\n(5) such failures during the Term of this Lease, this failure continues for ten<br \/>\n(10) days after written notice from Landlord, except that if Tenant begins to<br \/>\ncure its failure within the ten (10) day period but cannot reasonably complete<br \/>\nits cure within such period, then, so long as Tenant continues to diligently<br \/>\nattempt to cure its failure, the ten (10) day period shall be extended to thirty<br \/>\n(30) days, or such lesser period as is reasonably necessary to complete the<br \/>\ncure;<\/p>\n<p>        D. Credit Default. One of the following credit defaults occurs:<\/p>\n<p>                (1) Tenant commences any proceeding under any law relating to<br \/>\n        bankruptcy, insolvency, reorganization or relief of debts, or seeks<br \/>\n        appointment of a receiver, trustee, custodian or other similar official<br \/>\n        for the Tenant or for any substantial part of its property, or any such<br \/>\n        proceeding is commenced against Tenant and either remains undismissed<br \/>\n        for a period of thirty days or results in the entry of an order for<br \/>\n        relief against Tenant which is not fully stayed within seven days after<br \/>\n        entry;<\/p>\n<p>                (2) Tenant becomes insolvent or bankrupt, does not generally pay<br \/>\n        its debts as they become due, or admits in writing its inability to pay<br \/>\n        its debts, or makes a general assignment for the benefit of creditors;<\/p>\n<p>                (3) Any third party obtains a levy or attachment under process<br \/>\n        of law against Tenant&#8217;s leasehold interest.<\/p>\n<p>                                       16<br \/>\n   25<\/p>\n<p>        E. Vacation or Abandonment Default. Tenant vacates or abandons the<br \/>\nPremises for more than sixty (60) consecutive days.<\/p>\n<p>        13. LANDLORD REMEDIES.<\/p>\n<p>        A. Termination of Lease or Possession. If Tenant defaults, Landlord may<br \/>\nelect by notice to Tenant either to terminate this Lease or to terminate<br \/>\nTenant&#8217;s possession of the Premises without terminating this Lease. In either<br \/>\ncase, Tenant shall immediately vacate the Premises and deliver possession to<br \/>\nLandlord, and Landlord may repossess the Premises and may, at Tenant&#8217;s sole<br \/>\ncost, remove any of Tenant&#8217;s signs and any of its other property, without<br \/>\nrelinquishing its right to receive Rent or any other right against Tenant.<\/p>\n<p>        B. Lease Termination Damages. If Landlord terminates the Lease, Tenant<br \/>\nshall pay to Landlord all Rent due on or before the date of termination, plus<br \/>\nLandlord&#8217;s reasonable estimate of the aggregate Rent that would have been<br \/>\npayable from the date of termination through the Termination Date, reduced by<br \/>\nthe rental value of the Premises calculated as of the date of termination for<br \/>\nthe same period, taking into account anticipated vacancy prior to reletting,<br \/>\nreletting expenses and market concessions, both discounted to present value at<br \/>\nthe rate of five percent (5 %) per annum. If Landlord shall relet any part of<br \/>\nthe Premises for any part of such period before such present value amount shall<br \/>\nhave been paid by Tenant or finally determined by a court, then the amount of<br \/>\nRent payable pursuant to such reletting (taking into account vacancy prior to<br \/>\nreletting and any reletting expenses or concessions) shall be deemed to be the<br \/>\nreasonable rental value for that portion of the Premises relet during the period<br \/>\nof the reletting.<\/p>\n<p>        C. Possession Termination Damages. If Landlord terminates Tenant&#8217;s right<br \/>\nto possession without terminating the Lease and Landlord takes possession of the<br \/>\nPremises itself, Landlord may relet any part of the Premises for such Rent, for<br \/>\nsuch time, and upon such terms as Landlord in its sole discretion shall<br \/>\ndetermine, without any obligation to do so prior to renting other vacant areas<br \/>\nin the Project. Any proceeds from reletting the Premises shall first be applied<br \/>\nto the expenses of reletting, including redecoration, repair, alteration,<br \/>\nadvertising, brokerage, legal, and other reasonably necessary expenses. If the<br \/>\nreletting: proceeds after payment of expenses are insufficient to pay the full<br \/>\namount of Rent under this Lease, Tenant shall pay such deficiency to Landlord<br \/>\nmonthly upon demand as it becomes due. Any excess proceeds shall be retained by<br \/>\nLandlord.<\/p>\n<p>        D. Landlord&#8217;s Remedies Cumulative. All of Landlord&#8217;s remedies under this<br \/>\nLease shall be in addition to all other remedies Landlord may have at law or in<br \/>\nequity. Waiver by Landlord of any breach of any obligation by Tenant shall be<br \/>\neffective only if it is in writing, and shall not be deemed a waiver of any<br \/>\nother breach, or any subsequent breach of the same obligation. Landlord&#8217;s<br \/>\nacceptance of payment by Tenant shall not constitute a waiver of any breach by<br \/>\nTenant, and if the acceptance occurs after Landlord&#8217;s notice to Tenant, or<br \/>\ntermination of the Lease or of Tenant&#8217;s right to possession, the acceptance<br \/>\nshall not affect such notice or termination. Acceptance of payment by Landlord<br \/>\nafter commencement of a legal proceeding or final judgment shall not affect such<br \/>\nproceeding or judgment. Landlord may advance such monies and take such other<br \/>\nactions for Tenant&#8217;s account as reasonably may be required to cure or mitigate<br \/>\nany default by Tenant. Tenant shall immediately reimburse Landlord for any such<\/p>\n<p>                                       17<br \/>\n   26<\/p>\n<p>advance, and such sums shall bear interest at the default interest rate under<br \/>\nSection 2D(2) above until paid.<\/p>\n<p>        E. Waiver of Trial by Jury. EACH PARTY WAIVES TRIAL BY JURY IN THE EVENT<br \/>\nOF ANY LEGAL PROCEEDING BROUGHT BY THE OTHER IN CONNECTION WITH THIS LEASE. EACH<br \/>\nPARTY SHALL BRING ANY ACTION AGAINST THE OTHER IN CONNECTION WITH THIS LEASE IN<br \/>\nA FEDERAL OR STATE COURT LOCATED IN TRAVIS COUNTY, TEXAS, CONSENTS TO THE<br \/>\nJURISDICTION OF SUCH COURTS, AND WAIVES ANY RIGHT TO HAVE ANY PROCEEDING<br \/>\nTRANSFERRED FROM SUCH COURTS ON THE GROUND OF IMPROPER VENUE OR INCONVENIENT<br \/>\nFORUM.<\/p>\n<p>        F. Litigation Costs. The non-prevailing party shall pay the prevailing<br \/>\nparty&#8217;s reasonable attorneys&#8217; fees and other costs in enforcing this Lease,<br \/>\nwhether or not suit is filed.<\/p>\n<p>        14. SURRENDER. Upon termination of this Lease or Tenant&#8217;s right to<br \/>\npossession, Tenant shall return the Premises to Landlord in good order and<br \/>\ncondition, ordinary wear and casualty damage excepted. If Landlord requires<br \/>\nTenant to remove any alterations, then Tenant shall remove the alterations in a<br \/>\ngood and workmanlike manner and restore the Premises to its condition prior to<br \/>\ntheir installation.<\/p>\n<p>        15. HOLDOVER. Tenant shall have no right to holdover possession of the<br \/>\nPremises after the expiration or termination of this Lease without Landlord&#8217;s<br \/>\nprior written consent, which consent may be withheld in Landlord&#8217;s sole and<br \/>\nabsolute discretion. If, however, Tenant retains possession of any part of the<br \/>\nPremises after the Term, Tenant shall become a month-to-month tenant for the<br \/>\nentire Premises upon all of the terms of this Lease as might be applicable to<br \/>\nsuch month-to-month tenancy, except that Tenant shall pay all of Base Rent and<br \/>\nOperating Cost Share Rent at 150% of the rate in effect immediately prior to<br \/>\nsuch holdover, computed on a monthly basis for each full or partial month Tenant<br \/>\nremains in possession. Tenant shall also pay Landlord all of Landlord&#8217;s direct<br \/>\nand consequential damages resulting from Tenant&#8217;s holdover. No acceptance of<br \/>\nRent or other payments by Landlord under these holdover provisions shall operate<br \/>\nas a waiver of Landlord&#8217;s right to regain possession upon demand, or any other<br \/>\nof Landlord&#8217;s remedies.<\/p>\n<p>        16. SUBORDINATION TO GROUND LEASES AND MORTGAGES.<\/p>\n<p>        A. Subordination. This Lease shall be subordinate to any present or<br \/>\nfuture ground lease or mortgage respecting the Building or any other portion of<br \/>\nthe Project, and any amendments to such ground lease or mortgage, at the<br \/>\nelection of the ground lessor or mortgagee as the case may be, effected by<br \/>\nnotice to Tenant in the manner provided in this Lease. The subordination shall<br \/>\nbe effective upon such notice, but at the request of Landlord or ground lessor<br \/>\nor mortgagee, Tenant shall within ten (10) days of the request, execute and<br \/>\ndeliver to the requesting party any reasonable documents provided to evidence<br \/>\nthe subordination. Any mortgagee has the right, at its option, to subordinate<br \/>\nits mortgage to the terms of this lease, without notice to, nor the consent of,<br \/>\nTenant.<\/p>\n<p>                                       18<br \/>\n   27<\/p>\n<p>        B. Termination of Ground Lease or Foreclosure of Mortgage. If any ground<br \/>\nlease is terminated or mortgage foreclosed or deed in lieu of foreclosure given<br \/>\nand the ground lessor, mortgagee, or purchaser at a foreclosure sale shall<br \/>\nthereby become the owner of the Building, at the option of such ground lessor,<br \/>\nmortgagee or purchaser, Tenant shall attorn to such ground lessor or mortgagee<br \/>\nor purchaser without any deduction or setoff by Tenant, and this Lease shall<br \/>\ncontinue in effect as a direct lease between Tenant and such ground lessor,<br \/>\nmortgagee or purchaser. The ground lessor or mortgagee or purchaser shall be<br \/>\nliable as Landlord only during the time such ground lessor or mortgagee or<br \/>\npurchaser is the owner of the Building. At the request of Landlord, ground<br \/>\nlessor or mortgagee, Tenant shall execute and deliver within ten (10) days of<br \/>\nthe request any document furnished by the requesting party to evidence Tenant&#8217;s<br \/>\nagreement to attorn.<\/p>\n<p>        C. Security Deposit. Any ground lessor or mortgagee shall be responsible<br \/>\nfor the return of any security deposit by Tenant only to the extent the security<br \/>\ndeposit is received by such ground lessor or mortgagee.<\/p>\n<p>        D. Notice and Right to Cure. The Building is subject to any ground lease<br \/>\nand mortgage identified with name and address of ground lessor or mortgagee in<br \/>\nAppendix D to this Lease (as the same may be amended from time to time by<br \/>\nwritten notice to Tenant). Tenant agrees to send by registered or certified mail<br \/>\nto any ground lessor or mortgagee identified either in such Appendix or in any<br \/>\nlater notice from Landlord to Tenant a copy of any notice of default sent by<br \/>\nTenant to Landlord. If Landlord fails to cure such default within the required<br \/>\ntime period under this Lease, but ground lessor or mortgagee begins to cure<br \/>\nwithin ten (10) days after such period and proceeds diligently to complete such<br \/>\ncure, then ground lessor or mortgagee shall have such additional time as is<br \/>\nnecessary to complete such cure, including any time necessary to obtain<br \/>\npossession if possession is necessary to cure, and Tenant shall not begin to<br \/>\nenforce its remedies so long as the cure is being diligently pursued.<\/p>\n<p>        E. Definitions. As used in this Section 16, &#8220;mortgage&#8221; shall include<br \/>\n&#8220;deed of trust&#8221; and &#8220;mortgagee&#8221; shall include &#8220;beneficiary&#8221; under such deed of<br \/>\ntrust, &#8220;mortgagee&#8221; shall include the mortgagee of any ground lessee, and &#8220;ground<br \/>\nlessor&#8221;, &#8220;mortgagee&#8221;, and &#8220;purchaser at a foreclosure sale&#8221; shall include, in<br \/>\neach case, all of its successors and assigns, however remote.<\/p>\n<p>        17. ASSIGNMENT AND SUBLEASE.<\/p>\n<p>        A. In General. Tenant shall not, without the prior consent of Landlord<br \/>\nin each case, (i) make or allow any assignment or transfer, by operation of law<br \/>\nor otherwise, of any part of Tenant&#8217;s interest in this Lease, (ii) grant or<br \/>\nallow any lien or encumbrance, by operation of law or otherwise, upon any part<br \/>\nof Tenant&#8217;s interest in this Lease, (iii) sublet any part of the Premises, or<br \/>\n(iv) permit anyone other than Tenant and its employees to occupy any part of the<br \/>\nPremises. Tenant shall remain primarily liable for all of its obligations under<br \/>\nthis Lease, notwithstanding any assignment or transfer. No consent granted by<br \/>\nLandlord shall be deemed to be a consent to any subsequent assignment or<br \/>\ntransfer, lien or encumbrance, sublease or occupancy. Tenant shall pay all of<br \/>\nLandlord&#8217;s attorneys&#8217; fees and other expenses incurred in connection with any<br \/>\nconsent requested by Tenant or in reviewing any proposed assignment or<br \/>\nsubletting. Any assignment or transfer, grant of lien or encumbrance, or<br \/>\nsublease or occupancy without Landlord&#8217;s prior written consent shall be void. If<br \/>\nTenant shall assign this Lease or sublet the<\/p>\n<p>                                       19<br \/>\n   28<\/p>\n<p>Premises in its entirety any rights of Tenant to renew this Lease, extend the<br \/>\nTerm or to lease additional space in the Project shall be extinguished thereby<br \/>\nand will not be transferred to the assignee or subtenant, all such rights being<br \/>\npersonal to the Tenant named herein.<\/p>\n<p>        B. Landlord&#8217;s Consent. Landlord will not unreasonably withhold its<br \/>\nconsent to any proposed assignment or subletting. It shall be reasonable for<br \/>\nLandlord to withhold its consent to any assignment or sublease if (i) Tenant is<br \/>\nin default under this Lease, (ii) the proposed assignee or sublessee is a tenant<br \/>\nin the Project or an affiliate of such a tenant or a party that Landlord has<br \/>\nidentified as a prospective tenant in the Project, (iii) the financial<br \/>\nresponsibility, nature of business, and character of the proposed assignee or<br \/>\nsubtenant are not all reasonably satisfactory to Landlord, (iv) in the<br \/>\nreasonable judgment of Landlord the purpose for which the assignee or subtenant<br \/>\nintends to use the Premises (or a portion thereof) is not in keeping with<br \/>\nLandlord&#8217;s standards for the Project or the Building or are in violation of the<br \/>\nterms of this Lease or any other leases in the Project, (v) the proposed<br \/>\nassignee or subtenant is a government entity, or (vi) the proposed assignment is<br \/>\nfor less than the entire Premises or for less than the remaining Term of the<br \/>\nLease. The foregoing shall not exclude any other reasonable basis for Landlord<br \/>\nto withhold its consent.<\/p>\n<p>        C. Procedure. Tenant shall notify Landlord of any proposed assignment or<br \/>\nsublease at least thirty (30) days prior to its proposed effective date. The<br \/>\nnotice shall include the name and address of the proposed assignee or subtenant,<br \/>\nits corporate affiliates in the case of a corporation and its partners in a case<br \/>\nof a partnership, an execution copy of the proposed assignment or sublease, and<br \/>\nsufficient information to permit Landlord to determine the financial<br \/>\nresponsibility and character of the proposed assignee or subtenant. As a<br \/>\ncondition to any effective assignment of this Lease, the assignee shall execute<br \/>\nand deliver in form satisfactory to Landlord at least fifteen (15) days prior to<br \/>\nthe effective date of the assignment, an assumption of all of the obligations of<br \/>\nTenant under this Lease. As a condition to any effective sublease, subtenant<br \/>\nshall execute and deliver in form satisfactory to Landlord at least fifteen (15)<br \/>\ndays prior to the effective date of the sublease, an agreement to comply with<br \/>\nall of Tenant&#8217;s obligations under this Lease, and at Landlord&#8217;s option, an<br \/>\nagreement (except for the economic obligations which subtenant will undertake<br \/>\ndirectly to Tenant) to attorn to Landlord under the terms of the sublease in the<br \/>\nevent this Lease terminates before the sublease expires.<\/p>\n<p>        D. Transfers to Affiliates. Notwithstanding any provision to the<br \/>\ncontrary in this Lease, Tenant may assign this Lease or sublet all or any<br \/>\nportion of the Premises to an Affiliate without the prior written consent of<br \/>\nLandlord, provided that (i) Tenant notifies Landlord at least thirty (30) days<br \/>\nin advance of such transfer, which notice shall include the identity of the<br \/>\ntransferee, (ii) such transferee agrees in writing to assume and fully perform<br \/>\nand observe all of the obligations of Tenant under this Lease, (iii) Tenant is<br \/>\nnot then in default under this Lease, and (iv) Tenant remains liable for the<br \/>\nperformance of Tenant&#8217;s obligations under this Lease. As used herein,<br \/>\n&#8220;Affiliate&#8221; means any person or entity controlling, controlled by or under<br \/>\ncommon control with Tenant. &#8220;Control&#8221; as used herein means the power, directly<br \/>\nor indirectly, to direct or cause the direction of the management and policies<br \/>\nof the controlled person or entity.<\/p>\n<p>        E. Excess Payments. If Tenant shall assign this Lease or sublet any part<br \/>\nof the Premises for consideration in excess of the pro-rata portion of Rent<br \/>\napplicable to the space<\/p>\n<p>                                       20<br \/>\n   29<\/p>\n<p>subject to the assignment or sublet, then Tenant shall pay to Landlord as<br \/>\nAdditional Rent 50% of any such excess immediately upon receipt.<\/p>\n<p>        F. Recapture. Landlord may, by giving written notice to Tenant within<br \/>\nthirty (30) days after receipt of Tenant&#8217;s notice of assignment or subletting,<br \/>\nterminate this Lease with respect to the space described in Tenant&#8217;s notice, as<br \/>\nof the effective date of the proposed assignment or sublease and all obligations<br \/>\nunder this Lease as to such space shall expire except as to any obligations that<br \/>\nexpressly survive any termination of this Lease.<\/p>\n<p>        18. CONVEYANCE BY LANDLORD. If Landlord shall at any time transfer its<br \/>\ninterest in the Building or this Lease, Landlord shall be released of any<br \/>\nobligations occurring after such transfer, except the obligation to return to<br \/>\nTenant any security deposit not delivered to its transferee, and Tenant shall<br \/>\nlook solely to Landlord&#8217;s successors for performance of such obligations. This<br \/>\nLease shall not be affected by any such transfer.<\/p>\n<p>        19. ESTOPPEL CERTIFICATE. Tenant shall, within ten (10) days of<br \/>\nreceiving a request from Landlord, execute, acknowledge in recordable form, and<br \/>\ndeliver to Landlord or its designee a certificate stating, subject to a specific<br \/>\nstatement of any applicable exceptions, that the Lease as amended to date is in<br \/>\nfull force and effect, that the Tenant is paying Rent and other charges on a<br \/>\ncurrent basis, and that to the best of the knowledge of Tenant, Landlord has<br \/>\ncommitted no uncured defaults and Tenant has no offsets or claims. Tenant may<br \/>\nalso be required to state the date of commencement of payment of Rent, the<br \/>\nCommencement Date, the Termination Date, the Base Rent, the current Operating<br \/>\nCost Share Rent estimate, the status of any improvements required to be<br \/>\ncompleted by Landlord, the amount of any security deposit, and such other<br \/>\nmatters as may be reasonably requested. Failure to deliver such certificate and<br \/>\nstatement within the time required shall be conclusive evidence against Tenant<br \/>\nthat this Lease, with any amendments identified by Landlord, is in full force<br \/>\nand effect, that there are no uncured defaults by Landlord, that not more than<br \/>\none month&#8217;s Rent has been paid in advance, that Tenant has not paid any security<br \/>\ndeposit, and that Tenant has no claims or offsets against Landlord.<\/p>\n<p>        20. SECURITY DEPOSIT. Tenant shall deposit with Landlord on the date of<br \/>\nthis Lease security (the &#8220;Security Deposit&#8221;) for the performance of all of its<br \/>\nobligations in the amount of $175,000.00, which security shall be in the form of<br \/>\nan unconditional and irrevocable letter of credit (the &#8220;Letter of Credit&#8221;) (i)<br \/>\nin the form attached hereto as Appendix G, (ii) naming Landlord as beneficiary,<br \/>\n(iii) expressly allowing Landlord to draw upon it at any time from time to time<br \/>\nby delivering to the issuer notice that Landlord is entitled to draw thereunder,<br \/>\n(iv) drawable on an FDIC-insured financial institution satisfactory to Landlord,<br \/>\nand (v) redeemable in Austin, Texas. If Tenant does not provide Landlord with a<br \/>\nsubstitute Letter of Credit complying with all of the requirements hereof at<br \/>\nleast ten (10) days before the stated expiration date of the current Letter of<br \/>\nCredit then Landlord shall have the right to draw upon the current Utter of<br \/>\nCredit and hold the funds drawn as the Security Deposit. Provided that no<br \/>\ndefault by Tenant shall then exist under this Lease and no event shall exist<br \/>\nwhich, with the giving of notice or the passage of time or both, would<br \/>\nconstitute a default by Tenant under this Lease, at the end of each of the first<br \/>\nfour (4) years of the Term of this Lease, Landlord shall accept a replacement<br \/>\nLetter of Credit or an amendment to the Letter of Credit pursuant to which the<br \/>\nUtter of Credit is reduced by $35,000.00. If Tenant defaults under this Lease,<br \/>\nLandlord may use any part of the Security Deposit to make any defaulted payment,<br \/>\nto pay for Landlord&#8217;s cure of any defaulted<\/p>\n<p>                                       21<br \/>\n   30<\/p>\n<p>obligation, or to compensate Landlord for any loss or damage resulting from any<br \/>\ndefault. To the extent any portion of the Security Deposit is used, Tenant shall<br \/>\nwithin five (5) business days after demand from Landlord restore the Security<br \/>\nDeposit to its full amount. If Tenant shall perform all of its obligations under<br \/>\nthis Lease and return the Premises to Landlord at the end of the Term, Landlord<br \/>\nshall cause the Letter of Credit to terminate according to its terms and return<br \/>\nany remaining Security Deposit to Tenant within thirty (30) days after the end<br \/>\nof the Term. The Security Deposit shall not serve as a measure of Landlord&#8217;s<br \/>\ndamages for any default under this Lease.<\/p>\n<p>        21. FORCE MAJEURE. Landlord shall not be in default under this Lease to<br \/>\nthe extent Landlord is unable to perform any of its obligations on account of<br \/>\nany strike or labor problem, energy shortage, governmental pre-emption or<br \/>\nprescription, national emergency, or any other cause of any kind beyond the<br \/>\nreasonable control of Landlord (&#8220;Force Majeure&#8221;).<\/p>\n<p>        22. NOTICES. All notices, consents, approvals and similar communications<br \/>\nto be given by one party to the other under this Lease, shall be given in<br \/>\nwriting, mailed or personally delivered as follows:<\/p>\n<p>        A. To Tenant as follows:<\/p>\n<p>               3DFX Interactive, Inc.<br \/>\n               4435 Fortran Drive<br \/>\n               San Jose, California  95134<br \/>\n               Attn:  Gerald Ruckman<\/p>\n<p>or to such other person at such other address as Tenant may designate by notice<br \/>\nto Landlord.<\/p>\n<p>        Mailed notices shall be sent by United States certified or registered<br \/>\nmail, or by a reputable national overnight courier service, postage prepaid.<br \/>\nMailed notices shall be deemed to have been given on the earlier of actual<br \/>\ndelivery or three (3) business days after posting in the<\/p>\n<p>                                       22<br \/>\n   31<\/p>\n<p>United States mail in the case of registered or certified mail, and one business<br \/>\nday in the case of overnight courier.<\/p>\n<p>        23. QUIET POSSESSION. So long as Tenant shall perform all of its<br \/>\nobligations under this Lease, Tenant shall enjoy peaceful and quiet possession<br \/>\nof the Premises against any party claiming through the Landlord.<\/p>\n<p>        24. REAL ESTATE BROKER. Tenant represents to Landlord that Tenant has<br \/>\nnot dealt with any real estate broker with respect to this Lease except for any<br \/>\nbroker(s) listed in the Schedule, and no other broker is in any way entitled to<br \/>\nany broker&#8217;s fee or other payment in connection with this Lease. Tenant shall<br \/>\nindemnify and defend Landlord against any claims by any other broker or third<br \/>\nparty for any payment of any kind in connection with this Lease. Landlord shall<br \/>\nbe responsible for all commissions owing to Landlord&#8217;s Real Estate Broker and<br \/>\nTenant&#8217;s Real Estate Broker in connection with the Lease pursuant to separate<br \/>\nwritten agreements with such brokers.<\/p>\n<p>        25. MISCELLANEOUS.<\/p>\n<p>        A. Successors and Assigns. Subject to the limits on Tenant&#8217;s assignment<br \/>\ncontained in Section 17, the provisions of this Lease shall be binding upon and<br \/>\ninure to the benefit of all successors and assigns of Landlord and Tenant.<\/p>\n<p>        B. Date Payments Are Due. Except for payments to be made by Tenant under<br \/>\nthis Lease which are due upon demand or are due in advance (such as Base Rent),<br \/>\nTenant shall pay to Landlord any amount for which Landlord renders a statement<br \/>\nof account within ten days of Tenant&#8217;s receipt of Landlord&#8217;s statement.<\/p>\n<p>        C. Meaning of &#8220;Landlord,&#8221; &#8220;Re-Entry,&#8221; &#8220;including&#8221; and &#8220;Affiliate.&#8221; The<br \/>\nterm &#8220;Landlord&#8221; means only the owner of the Project and the lessor&#8217;s interest in<br \/>\nthis Lease from time to time. The words &#8220;re-entry&#8221; and &#8220;re-enter&#8221; are not<br \/>\nrestricted to their technical legal meaning. The words &#8220;including&#8221; and similar<br \/>\nwords shall mean &#8220;without limitation.&#8221; The word &#8220;affiliate&#8221; shall mean a person<br \/>\nor entity controlling, controlled by or under common control with the applicable<br \/>\nentity. &#8220;Control&#8221; shall mean the power directly or indirectly, by contract or<br \/>\notherwise, to direct the management and policies of the applicable entity.<\/p>\n<p>        D. Time of the Essence. Time is of the essence of each provision of this<br \/>\nLease.<\/p>\n<p>        E. No Option. This document shall not be effective for any purpose until<br \/>\nit has been executed and delivered by both parties; execution and delivery by<br \/>\none party shall not create any option or other right in the other party.<\/p>\n<p>        F. Severability. The unenforceability of any provision of this Lease<br \/>\nshall not affect any other provision.<\/p>\n<p>        G. Governing Law. This Lease shall be governed in all respects by the<br \/>\nlaws of the state in which the Project is located, without regard to the<br \/>\nprinciples of conflicts of laws.<\/p>\n<p>                                       23<br \/>\n   32<\/p>\n<p>        H. Lease Modification. Tenant agrees to modify this Lease in any way<br \/>\nrequested by a mortgagee which does not cause increased expense to Tenant or<br \/>\notherwise materially adversely affect Tenant&#8217;s interests under this Lease.<\/p>\n<p>        I. No Oral Modification. No modification of this Lease shall be<br \/>\neffective unless it is a written modification signed by both parties.<\/p>\n<p>        J. Landlord&#8217;s Right to Cure. If Landlord breaches any of its obligations<br \/>\nunder this Lease, Tenant shall notify Landlord in writing and shall take no<br \/>\naction respecting such breach so long as Landlord promptly begins to cure the<br \/>\nbreach and diligently pursues such cure to its completion. Landlord may cure any<br \/>\ndefault by Tenant; any expenses incurred shall become Additional Rent due from<br \/>\nTenant on demand by Landlord.<\/p>\n<p>        K. Captions. The captions used in this Lease shall have no effect on the<br \/>\nconstruction of this Lease.<\/p>\n<p>        L. Authority. Landlord and Tenant each represents to the other that it<br \/>\nhas full power and authority to execute and perform this Lease.<\/p>\n<p>        M. Landlord&#8217;s Enforcement of Remedies. Landlord may enforce any of its<br \/>\nremedies under this Lease either in its own name or through an agent.<\/p>\n<p>        N. Entire Agreement. This Lease, together with all Appendices,<br \/>\nconstitutes the entire agreement between the parties. No representations or<br \/>\nagreements of any kind have been made by either party which are not contained in<br \/>\nthis Lease.<\/p>\n<p>        O. Landlord&#8217;s Title. Landlord&#8217;s title shall always be paramount to the<br \/>\ninterest of the Tenant, and nothing in this Lease shall empower Tenant to do<br \/>\nanything which might in any way impair Landlord&#8217;s title.<\/p>\n<p>        P. Light and Air Rights. Landlord does not grant in this Lease any<br \/>\nrights to light and air in connection with the Building or the Project. Landlord<br \/>\nreserves to itself, all land within the Project, the Building below the improved<br \/>\nfloor of each floor of the Premises, the Building above the ceiling of each<br \/>\nfloor of the Premises, the exterior of the Premises and the areas on the same<br \/>\nfloor outside the Premises, along with the areas within the Premises required<br \/>\nfor the installation and repair of utility lines and other items required to<br \/>\nserve other tenants of the Building.<\/p>\n<p>        Q. Singular and Plural. Wherever appropriate in this Lease, a singular<br \/>\nterm shall be construed to mean the plural where necessary, and a plural term<br \/>\nthe singular. For example, if at any time two parties shall constitute Landlord<br \/>\nor Tenant, then the relevant term shall refer to both parties together.<\/p>\n<p>        R. No Recording by Tenant. Tenant shall not record in any public records<br \/>\nany memorandum or any portion of this Lease.<\/p>\n<p>        S. Exclusivity. Landlord does not grant to Tenant in this Lease any<br \/>\nexclusive right except the right to occupy its Premises.<\/p>\n<p>                                       24<br \/>\n   33<\/p>\n<p>        T. No Construction Against Drafting Party. The rule of construction that<br \/>\nambiguities are resolved against the drafting party shall not apply to this<br \/>\nLease.<\/p>\n<p>        U. Survival. All obligations of Landlord and Tenant under this Lease<br \/>\nshall survive the termination of this Lease.<\/p>\n<p>        V. Rent Not Based on Income. No rent or other payment in respect of the<br \/>\nPremises shall be based in any way upon net income or profits from the Premises.<br \/>\nTenant may not enter into or permit any sublease or license or other agreement<br \/>\nin connection with the Premises which provides for a rental or other payment<br \/>\nbased on net income or profit.<\/p>\n<p>        W. Building Manager and Service Providers. Landlord may perform any of<br \/>\nits obligations under this Lease through its employees or third parties hired by<br \/>\nthe Landlord.<\/p>\n<p>        X. Late Charge and Interest on Late Payments. Without limiting the<br \/>\nprovisions of Section 12A, if Tenant fails to pay any installment of Rent or<br \/>\nother charge to be paid by Tenant pursuant to this Lease within five (5)<br \/>\nbusiness days after the same becomes due and payable, then Tenant shall pay a<br \/>\nlate charge equal to the greater of five percent (5%) of the amount of such<br \/>\npayment or $250. In addition, interest shall be paid by Tenant to Landlord on<br \/>\nany late payments of Rent from the date due until paid at the rate provided in<br \/>\nSection 2D(2). Such late charge and interest shall constitute Additional Rent<br \/>\ndue and payable by Tenant to Landlord upon the date of payment of the delinquent<br \/>\npayment referenced above.<\/p>\n<p>        Y. Tenant&#8217;s Financial Statements. Within ten (10) days after Landlord&#8217;s<br \/>\nwritten request therefor, Tenant shall deliver to Landlord the current audited<br \/>\nannual and quarterly financial statements of Tenant, and annual audited<br \/>\nfinancial statements of the two (2) years prior to the current year&#8217;s financial<br \/>\nstatements, each with an opinion of a certified public accountant and including<br \/>\na balance sheet and profit and loss statement, all prepared in accordance with<br \/>\ngenerally accepted accounting principles consistently applied.<\/p>\n<p>        Z. Usury Savings. All agreements between Landlord and Tenant, whether<br \/>\nnow existing or hereafter arising and whether written or oral, are hereby<br \/>\nexpressly limited so that in no contingency or event whatsoever shall the amount<br \/>\ncontracted for, charged or received by Landlord for the use, forbearance or<br \/>\nretention of money hereunder or otherwise exceed the maximum amount which<br \/>\nLandlord is legally entitled to contract for, charge or collect under the<br \/>\napplicable state or federal law. If, from any circumstance whatsoever,<br \/>\nfulfillment of any provision hereof at the time performance of such provision<br \/>\nshall be due shall involve transcending the limit of validity prescribed by law,<br \/>\nthen the obligation to be fulfilled shall be automatically reduced to the limit<br \/>\nof such validity, and if from any such circumstance Landlord shall ever receive<br \/>\nas interest or otherwise an amount in excess of the maximum that can be legally<br \/>\ncollected, then such amount which would be excessive interest shall be applied<br \/>\nto the reduction of rent hereunder, and if such amount which would be excessive<br \/>\ninterest exceeds such rent, then such additional amount shall be refunded to<br \/>\nTenant.<\/p>\n<p>        AA. Waiver of Warranties. TENANT HEREBY WAIVES THE BENEFIT OF ALL<br \/>\nWARRANTIES, EXPRESSED OR IMPLIED, WITH RESPECT TO THE PREMISES INCLUDING,<br \/>\nWITHOUT LIMITATION, ANY IMPLIED WARRANTY<\/p>\n<p>                                       25<br \/>\n   34<\/p>\n<p>THAT THE PREMISES ARE SUITABLE FOR ANY COMMERCIAL OR OTHER PARTICULAR PURPOSE.<\/p>\n<p>        26. UNRELATED BUSINESS INCOME. If Landlord is advised by its counsel at<br \/>\nany time that any part of the payments by Tenant to Landlord under this Lease<br \/>\nmay be characterized as unrelated business income under the United States<br \/>\nInternal Revenue Code and its regulations, then Tenant shall enter into any<br \/>\namendment proposed by Landlord to avoid such income, so long as the amendment<br \/>\ndoes not require Tenant to make more payments or accept fewer services from<br \/>\nLandlord, than this Lease provides.<\/p>\n<p>        27. HAZARDOUS SUBSTANCES. Tenant shall not cause or permit any Hazardous<br \/>\nSubstances to be brought upon, produced, stored, used, discharged or disposed of<br \/>\nin or near the Project unless Landlord has consented to such storage or use in<br \/>\nits sole discretion. &#8220;Hazardous Substances&#8221; include those hazardous substances<br \/>\ndescribed in the Comprehensive Environmental Response, Compensation and<br \/>\nLiability Act of 1980, as amended, 42 U.S.C. Section 9601 et seq., the Resource<br \/>\nConservation and Recovery Act, as amended, 42 U.S.C. Section 6901 et seq., any<br \/>\nother applicable federal, state or local law, and the regulations adopted under<br \/>\nthese laws (collectively, &#8220;Environmental Law&#8221;). If any lender or governmental<br \/>\nagency shall require testing for Hazardous Substances in the Premises, Tenant<br \/>\nshall pay for such testing. Tenant agrees to indemnify and hold Landlord<br \/>\nharmless from all claims, demands, actions, liabilities, costs, expenses,<br \/>\ndamages and obligations of any nature arising from the contamination of the<br \/>\nProject with Hazardous Substances as a result of or arising out of the use or<br \/>\noccupancy of the Premises by Tenant. The foregoing indemnification shall survive<br \/>\nthe termination or expiration of this Lease. To the best of Landlord&#8217;s actual<br \/>\nknowledge, no Hazardous Substances are present within the Project as of the date<br \/>\nhereof in violation of Environmental Law, and Landlord does not intend to<br \/>\nutilize Hazardous Substances during construction activities within the Project<br \/>\nexcept in compliance with Environmental Law.<\/p>\n<p>        28. EXCULPATION. Landlord shall have no personal liability under this<br \/>\nLease; its liability shall be limited to its interest in the Building, and shall<br \/>\nnot extend to any other property or assets of the Landlord. In no event shall<br \/>\nany officer, director, employee, agent, shareholder, partner, member or<br \/>\nbeneficiary of Landlord be personally liable for any of Landlord&#8217;s obligations<br \/>\nhereunder.<\/p>\n<p>        29. LANDLORD&#8217;S LIEN. LANDLORD SHALL HAVE AND TENANT HEREBY GRANTS TO<br \/>\nLANDLORD A CONTINUING SECURITY INTEREST FOR ALL RENT AND OTHER SUMS OF MONEY<br \/>\nBECOMING DUE HEREUNDER FROM TENANT, UPON ALL GOODS, WARES, EQUIPMENT, FIXTURES,<br \/>\nFURNITURE, INVENTORY, ACCOUNTS, CONTRACT RIGHTS, CHATTEL PAPER AND OTHER<br \/>\nPERSONAL PROPERTY OF TENANT SITUATED ON THE PREMISES, WHICH IS LOCATED AT 12357<br \/>\nRIATA TRACE PARKWAY, AUSTIN, TEXAS, AND SUCH PROPERTY SHALL NOT BE REMOVED<br \/>\nTHEREFROM WITHOUT THE CONSENT OF LANDLORD UNTIL ALL ARREARAGES IN RENT AS WELL<br \/>\nAS ANY AND ALL OTHER SUMS OF MONEY THEN DUE TO LANDLORD HEREUNDER SHALL FIRST<br \/>\nHAVE BEEN PAID AND DISCHARGED. PRODUCTS OF COLLATERAL ARE ALSO COVERED. IN THE<br \/>\nEVENT OF A DEFAULT UNDER THIS LEASE, LANDLORD SHALL HAVE, IN ADDITION TO ANY<br \/>\nOTHER REMEDIES PROVIDED HEREIN OR BY LAW, ALL RIGHTS AND<\/p>\n<p>                                       26<br \/>\n   35<\/p>\n<p>REMEDIES UNDER THE UNIFORM COMMERCIAL CODE, INCLUDING WITHOUT LIMITATION THE<br \/>\nRIGHT TO SELL THE PROPERTY DESCRIBED IN THIS PARAGRAPH AT PUBLIC OR PRIVATE SALE<br \/>\nUPON FIVE (5) DAYS NOTICE TO TENANT. TENANT HEREBY AGREES TO EXECUTE SUCH OTHER<br \/>\nINSTRUMENTS NECESSARY OR DESIRABLE IN LANDLORD&#8217;S DISCRETION TO PERFECT THE<br \/>\nSECURITY INTEREST HEREBY CREATED. ANY STATUTORY LIEN FOR RENT IS NOT HEREBY<br \/>\nWAIVED, THE EXPRESS CONTRACTUAL LIEN HEREIN GRANTED BEING IN ADDITION AND<br \/>\nSUPPLEMENTARY THERETO. LANDLORD AND TENANT AGREE THAT THIS LEASE AND SECURITY<br \/>\nAGREEMENT SERVES AS A FINANCING STATEMENT AND THAT A COPY OR PHOTOGRAPHIC OR<br \/>\nOTHER REPRODUCTION OF THIS PORTION OF THIS LEASE MAY BE FILED OF RECORD BY<br \/>\nLANDLORD AND HAVE THE SAME FORCE AND EFFECT AS THE ORIGINAL. THIS SECURITY<br \/>\nAGREEMENT AND FINANCING STATEMENT ALSO COVERS FIXTURES LOCATED AT THE PREMISES,<br \/>\nAND MAY BE FILED FOR RECORD IN THE REAL ESTATE RECORDS. TENANT WARRANT THAT THE<br \/>\nCOLLATERAL SUBJECT TO THE SECURITY INTEREST GRANTED HEREIN IS NOT PURCHASED OR<br \/>\nUSED BY TENANT FOR PERSONAL, FAMILY OR HOUSEHOLD PURPOSES.<\/p>\n<p>        30. TENANT&#8217;S EQUIPMENT. Tenant may, at its sole cost, install, maintain,<br \/>\nand from time to time replace telecommunication devices on the roof of the<br \/>\nBuilding (&#8220;Tenant&#8217;s Equipment&#8221;). Tenant shall obtain Landlord&#8217;s prior approval<br \/>\nof the proposed size, weight and location of Tenant&#8217;s Equipment, method for<br \/>\nfastening Tenant&#8217;s Equipment to the roof, and method for connecting Tenant&#8217;s<br \/>\nEquipment to the Premises, and Tenant will at its sole cost comply with all<br \/>\nGovernmental Requirements and the conditions of any bond or warranty maintained<br \/>\nby Landlord on the roof in connection therewith. Landlord may supervise any roof<br \/>\npenetration. Tenant shall repair any damage to the Building caused by Tenant&#8217;s<br \/>\ninstallation, maintenance, replacement, use or removal of Tenant&#8217;s Equipment.<br \/>\nTenant&#8217;s Equipment shall remain the property of Tenant, and Tenant may remove<br \/>\nTenant&#8217;s Equipment at its cost at any time during the Term. Tenant shall<br \/>\nprotect, defend, indemnify and hold harmless Landlord from and against claims,<br \/>\ndamages, liabilities, costs and expenses of every kind and nature, including<br \/>\nattorneys&#8217; fees, incurred by or asserted against Landlord arising out of<br \/>\nTenant&#8217;s installation, maintenance, replacement, use or removal of Tenant&#8217;s<br \/>\nEquipment.
