{"id":41983,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/a320-purchase-agreement-avsa-sarl-and-united-air-lines-in5.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"a320-purchase-agreement-avsa-sarl-and-united-air-lines-in5","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/a320-purchase-agreement-avsa-sarl-and-united-air-lines-in5.html","title":{"rendered":"A320 Purchase Agreement &#8211; AVSA SARL and United Air Lines Inc."},"content":{"rendered":"<pre>                         AMENDMENT NO. 6\n\n                 TO THE A320 PURCHASE AGREEMENT\n                   dated as of August 10, 1992\n\n                             between\n\n                         AVSA, S.A.R.L.\n\n                               and\n\n                     UNITED AIR LINES, INC.\n\n\nThis Amendment No. 6 (hereinafter referred to as the 'Amendment')\nis entered into as of January 31, 1997, by and between AVSA,\nS.A.R.L., a societe a responsabilite limitee organized and\nexisting under the laws of the Republic of France, having its\nregistered office located at 2, Rond Point Maurice Bellonte,\n31700 Blagnac (France) (hereinafter referred to as the 'Seller'),\nand UNITED AIR LINES, INC., a corporation organized and existing\nunder the laws of the State of Delaware, United States of\nAmerica, having its principal corporate offices located at 1200\nEast Algonquin Road, Elk Grove Village, Illinois 60007\n(hereinafter referred to as the 'Buyer').\n\n                            WITNESSETH:\n\nWHEREAS, the Buyer and the Seller have entered into an A320\nPurchase Agreement, dated as of August 10, 1992 (which agreement,\nas previously amended by and supplemented with all Exhibits,\nAppendices, Letter Agreements, and Amendments attached thereto is\nhereinafter called the 'Agreement'), which Agreement relates to\nthe sale by the Seller and the purchase by the Buyer of certain\nfirmly ordered Airbus Industrie A320-200 model aircraft and\ncertain Airbus Industrie A320-200 model option aircraft.\nAmendment No. 1 to the Agreement was signed on November 24, 1993.\nAmendment No. 2 to the Agreement was signed on April 22, 1994.\nAmendment No. 3 to the Agreement was signed on March 31, 1995.\nAmendment No. 4 to the Agreement was signed on November 27, 1995.\nAmendment No. 5 to the Agreement was signed on August 22, 1996.\n\nWHEREAS, the Buyer and the Seller agree to amend Subparagraph 8.1\nof Letter Agreement No. 4 to the Agreement.\n\nUnited - A320\nA:\\AM6.2\n\nWHEREAS, capitalized terms used herein and not otherwise defined\nin this Amendment will have the meaning assigned to them in the\nAgreement.  The terms 'herein,' 'hereof,' and 'hereunder' and\nwords of similar import refer to this Amendment.\n\nNOW, THEREFORE, IT IS AGREED AS FOLLOWS:\n\nI.  FLIGHT CREW TRAINING CREDITS\n    ----------------------------\n\n    Subparagraph 8.1 of Letter Agreement No. 4 to the Agreement\n    is hereby amended by the addition of the following sentence\n    at the end of such subparagraph.\n\n    QUOTE\n\n    The Seller also agrees to make available to the Buyer, at\n    Buyer's option, [*CONFIDENTIAL MATERIAL OMITTED AND FILED\n    SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION\n    PURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT] for flight\n    crew training on the A319 aircraft to be purchased by the\n    Buyer under the terms of the A319 Purchase Agreement between\n    the Buyer and the Seller and dated as of August 22, 1996.\n\n    UNQUOTE\n\n2.  EFFECT OF AMENDMENT\n    -------------------\n\n    The Agreement will be deemed amended to the extent herein\n    provided, and, except as specifically amended hereby, will\n    continue in full force and effect in accordance with its\n    original terms.\n\n3.  CONFIDENTIALITY\n    ---------------\n\nSubject to any legal or governmental requirements of disclosure,\nthe parties (which for this purpose will include their employees,\nagents and advisors) will maintain strictly confidential the\nterms and conditions of this Amendment and any information,\nreports or other data furnished hereunder or in connection with\nthe negotiation of this Amendment without limiting the generality\nof the foregoing.  The Buyer will use its reasonable best efforts\nto limit the disclosure of the contents of this Amendment to the\nextent legally permissible in any filing required to be made by\nthe Buyer with any governmental agency and will make such\napplications as will be necessary to implement the foregoing.\nThe Buyer and the Seller will consult with each other prior to\nthe making of any public disclosure or filing permitted hereunder\nof this Amendment or the terms and conditions hereof.  Each party\nwill inform the other of receipt of any legal demand, whether by\nsubpoena, discovery request or otherwise, for disclosure of this\nAmendment or its contents.
