Amendment 1 was signed\nNovember 24, 1993.  Amendment 2 was signed April 22, 1994.\n\nWHEREAS, the Buyer and the Seller agree to amend the Agreement by\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE\nSECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR\nCONFIDENTIAL TREATMENT].\n\n\nWHEREAS, capitalized terms used herein and not otherwise defined\nin this Amendment shall have the meaning assigned to them in the\nAgreement. EFFECT OF AMENDMENT\n\n<\/font>     The Agreement shall be deemed amended to the extent herein\n     provided, and, except as specifically amended hereby, shall\n     continue in full force and effect in accordance with its\n     original terms.\n\n4.  CONFIDENTIALITY\n\n     Subject to any legal or governmental requirements of\n     disclosure, the parties (which for this purpose shall\n     include their employees, agents and advisors) shall maintain\n     strictly confidential the terms and conditions of this\n     Amendment and any information, reports or other data\n     furnished hereunder or in connection with the negotiation of\n     this Amendment.  Without limiting the generality of the\n     foregoing, the Buyer shall use its best efforts to limit the\n     disclosure of the contents of this Amendment to the extent\n     legally permissible in any filing required to be made by the\n     Buyer with any governmental agency and shall make such\n     applications as shall be necessary to implement the\n     foregoing.  The Buyer and Seller shall consult with each\n     other prior to the making of any public disclosure or filing\n     permitted hereunder of this Amendment or the terms and\n     conditions hereof.  Each party will inform the other of\n     receipt of any legal demand, whether by subpoena, discovery\n     request or otherwise, for disclosure of this Amendment or\n     its contents.
