{"id":42007,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/advisory-services-agreement-global-telesystems-ltd-and-pc2.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"advisory-services-agreement-global-telesystems-ltd-and-pc2","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/advisory-services-agreement-global-telesystems-ltd-and-pc2.html","title":{"rendered":"Advisory Services Agreement &#8211; Global Telesystems Ltd. and PCG Telecom Services LLC"},"content":{"rendered":"<pre>\n                                FIRST AMENDMENT\n                                       TO\n                          ADVISORY SERVICES AGREEMENT\n\n\n     FIRST AMENDMENT, dated as of June 27, 1997 (this 'Amendment'), to the\n                                                       ---------          \nAdvisory Services Agreement referred to below, between Global Telesystems Ltd.,\na company organized under the laws of Bermuda (the 'Company') and PCG Telecom\nServices LLC, a Delaware limited liability company ('Service Co.').\n\n\n                             W I T N E S S E T H :\n                             -------------------  \n\n\n     WHEREAS, the Company and Service Co. are parties to the Advisory Services\nAgreement, dated as of March 25, 1997 (as heretofore amended, supplemented or\notherwise modified, the 'Existing Agreement'; and as amended by this Amendment\nand as may be further amended, supplemented or otherwise modified from time to\ntime, the 'Agreement');\n\n     WHEREAS, capitalized terms used herein and not otherwise defined herein\nshall have the meanings assigned to them in the Agreement; and\n\n     WHEREAS, the Company and Service Co. have agreed to amend certain terms of\nthe Existing Agreement, but only on the terms and subject to the conditions set\nforth herein;\n\n     NOW, THEREFORE, in consideration of the premises and mutual agreements\ncontained herein, the parties hereby agree as follows:\n\n     1.   Defined Terms.  Capitalized terms used herein and not otherwise\n          -------------\ndefined herein shall have the meanings assigned to them in the Agreement.\n\n     2.   Amendment to Section 2(a).  Section 2(a) of the Existing Agreement is\n          -------------------------                                            \nhereby amended by deleting the second sentence of said Section in its entirety\nand by substituting, in lieu thereof, the following:\n\n  'The Fee shall be payable in quarterly installments, in arrears, on the last\n  business day of each February, May, August and November; provided, however,\n                                                           --------  ------- \n  that the Fee payable in respect of Presale Proceeds (as defined in the Credit\n  Agreement referred to below) shall not be payable until the earlier of (i) the\n  Initial Principal Payment Date (as defined in the Credit Agreement) and (ii)\n  the date of System Final Completion (as defined in the Credit Agreement),\n  provided that with respect to this clause (ii) only, if the Debt Reserve\n  Account does not have a balance therein in an amount equal to at least the\n  amount referred to in clause fourth of Section 8.08(a) of the Credit Agreement\n                               ------\n  as of the date of System Final Completion, no more than $500,000 of the Fee\n  payable\n\n \n                                                                               2\n     \n  with respect to Presale Proceeds shall be payable on such date, with the\n  remainder of such Fee payable on and after the Initial Principal Payment Date\n  in accordance with Article VIII of the Credit Agreement. For purposes of this\n  Section 2(a), the 'Credit Agreement' means the Credit Agreement, dated as of\n  June __, 1997, among the Company, the lenders from time to time parties\n  thereto, Deutsche Bank AG, New York Branch, and Canadian Imperial Bank of\n  Commerce, as Lead Agents, Deutsche Bank AG, New York Branch, as the\n  Administrative Agent, Canadian Imperial Bank of Commerce, as the Syndication\n  Agent, the Documentation Agent and the Issuing Bank, and Deutsche Morgan\n  Grenfell Inc. and CIBC Wood Gundy Securities Corp., as the Arrangers, as the\n  same may be amended, supplemented or otherwise modified from time to time.'\n\n     3.   Conditions Precedent to Effectiveness. This Amendment shall become\n          -------------------------------------\neffective upon its execution and delivery by each of the parties hereto. This\nAmendment shall no longer be effective once all obligations under the Credit\nAgreement shall have been paid in full and the commitments thereunder shall have\nbeen terminated.\n\n     4.   Limited Effect. Except as expressly amended as provided for herein,\n          --------------\nthe Existing Agreement shall continue to be, and shall remain, in full force and\neffect in accordance with its terms. This Amendment shall be limited solely for\nthe purposes and to the extent expressly set forth herein and nothing herein\nexpress or implied shall constitute an amendment, supplement, modification or\nwaiver to or of any other term, provision or condition of the Agreement.\n\n     5.   GOVERNING LAW. THIS AMENDMENT AND THE RIGHTS AND OBLIGATIONS OF THE\n          -------------\nPARTIES HEREUNDER SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE\nLAW OF THE STATE OF NEW YORK.\n\n     6.   Counterparts.
