A \ncomplete version of this exhibit has been filed separately with the \nSecurities and Exchange Commission.\n\n                                       1\n\n\n\n                                    ARTICLE I\n                                   Definitions\n\nSECTION 1.1    Definitions. Capitalized terms not otherwise defined in \nthis Amendment are used with the definitions assigned to them in the \nJoint Venture License Agreement.\n\nSECTION 1.2    Construction. In this Amendment, unless the context \nrequires otherwise, references to Sections are to Sections of the \nJoint Venture License Agreement. Section headings are inserted for \nreference only and shall not affect the construction of this \nAmendment.\n\n                                   ARTICLE II\n                                   Amendments\n\nSECTION 2.1    The Joint Venture License Agreement shall be amended as \nmore particularly set out below. In all other respects, the Joint \nVenture License Agreement shall remain in full force and effect.\n\n(a)  Section 1.7 shall be deleted in its entirety, and replaced with \nthe following text:\n\n     *****\n\n                                   ARTICLE III\n                                  Miscellaneous\n\nSECTION 3.1    Miscellaneous.\n\n(a)  This Amendment is limited as specified and shall not constitute a\n     modification, amendment or waiver of any other provision of the Joint\n     Venture License Agreement or any other provision of any other FASL\n     Agreement. Except as specifically amended by this Amendment, the Joint\n     Venture License Agreement shall remain in full force and effect and is\n     hereby ratified and confirmed.\n\n(b)  This Amendment may be executed in counterparts, each of which shall be\n     deemed an original, and all of which shall constitute one and the same\n     instrument.\n\nConfidential treatment has been requested for portions of this exhibit.
