HOFFMANN-LA \nROCHE LTD., a Swiss corporation, of Grenzacherstrasse 124, Basel, \nSwitzerland (hereinafter referred to as \"ROCHE PARENT\"), and ROCHE \nMOLECULAR SYSTEMS, INC., a Delaware corporation, of 1145 Atlantic \nAvenue, Suite 100, Alameda, California 94501 (hereinafter referred to \nas \"RMS\" and collectively with ROCHE PARENT, \"ROCHE\"). \n\n\n                                           BACKGROUND \n\nWHEREAS, CHIRON and ROCHE currently own or control certain patent \nrights relating to the human immunodeficiency virus (\"HIV\"), as \ndefined below. \n\nWHEREAS, CHIRON and ROCHE entered into that certain Settlement \nAgreement dated as of October 10, 2000 (the \"Settlement Agreement\") \npertaining to the settlement of the certain litigation matters \ndescribed therein. \n\nWHEREAS, in consideration of and subject to the execution and delivery \nof the Settlement Agreement, CHIRON granted licenses to ROCHE under \ncertain patent rights relating to HIV for use in assays for the \ndetection of nucleic acid sequences for use in Blood Screening, \nsubject to certain geographic and time limitations, under that certain \nBlood Screening HCV\/HIV Probe License Agreement dated as of October 10, \n2000 (the \"Interim Agreement\"). \n\nWHEREAS, CHIRON and ROCHE now desire to enter into a long term, \nworldwide collaboration in Blood Screening, superceding the terms and \nconditions of the Interim Agreement, all on the terms and conditions \nset forth herein. \n\nNOW, THEREFORE, in consideration of the above provisions and the mutual \ncovenants contained herein, CHIRON and ROCHE hereby agree as follows: \n\n\nARTICLE 1\nDEFINITIONS \n\nIn this Agreement the following words and phrases shall have the \nfollowing meanings: \n\n    1.1 \"ADR\" means Alternative Dispute Resolution in accordance with<\/pre>\n","protected":false},"template":"","meta":{"_acf_changed":false,"_stopmodifiedupdate":true,"_modified_date":"","_cloudinary_featured_overwrite":false},"corporate_contracts_companies":[7085],"corporate_contracts_industries":[9407],"corporate_contracts_types":[9613,9616],"class_list":["post-42097","corporate_contracts","type-corporate_contracts","status-publish","hentry","corporate_contracts_companies-chiron-corp","corporate_contracts_industries-drugs__pharma","corporate_contracts_types-operations","corporate_contracts_types-operations__ip"],"acf":[],"_links":{"self":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts\/42097","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts"}],"about":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/types\/corporate_contracts"}],"wp:attachment":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/media?parent=42097"}],"wp:term":[{"taxonomy":"corporate_contracts_companies","embeddable":true,"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts_companies?post=42097"},{"taxonomy":"corporate_contracts_industries","embeddable":true,"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts_industries?post=42097"},{"taxonomy":"corporate_contracts_types","embeddable":true,"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts_types?post=42097"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
