BROADBAND ACCESS EQUIPMENT CONTRACT<\/b><\/p>\n

This
\nBroadband Access Equipment Contract (\u0093Broadband Access Equipment Contract\u0094) is
\neffective as of October 1, 2002 (the \u0093Effective Date\u0094), by and between Reliance
\nInfocomm Limited, a company incorporated and registered under the Companies
\nAct, 1956 and having its registered office at Avdesh House, Pritam Nagar, 1st
\nSlope, Ellis Bridge, Ahmedabad 380006, Republic of India (hereinafter referred
\nto as \u0093Reliance\u0094 which expression, unless repugnant to the context or meaning
\nthereof, shall mean and include its successors and permitted assigns), and
\nUTStarcom Inc., a company incorporated under the laws of Delaware and having
\nits principal offices at 1275 Harbor Bay Parkway, Alameda, California 94502,
\nU.S.A\u00a0 (hereinafter referred to as the
\n\u0093Vendor\u0094 which expression, unless repugnant to the context or meaning thereof,
\nshall mean and include its permitted successors and assigns and, together with
\nReliance, the \u0093Parties\u0094 and each, a \u0093Party\u0094).<\/p>\n
RECITALS<\/b>:<\/p>\n
\n
A.\u00a0 Reliance desires to purchase from the Vendor
\ncertain Equipment appropriate for the efficient and effective installation,
\noperation, management and maintenance of the Broadband Access Reliance Network,
\nincluding the Initial Broadband Access Reliance Network; and<\/p>\n
B.\u00a0 The Vendor, desires to provide to Reliance
\nsuch Equipment and shall, including, without limitation manufacture, supply and
\ndeliver such Equipment, in accordance with the terms and conditions set forth
\nherein.<\/p>\n
NOW<\/b>, THEREFORE<\/b>, in consideration
\nof the mutual promises and covenants herein contained, and other good and
\nvaluable consideration, the receipt and sufficiency of which is hereby
\nacknowledged, the Parties hereby agree as follows:<\/p>\n
1\u00a0\u00a0\u00a0\u00a0\u00a0 BACKGROUND AND OBJECTIVES<\/b><\/a><\/h1>\n
1.1\u00a0 Background<\/b><\/a><\/h2>\n
Reliance
\ndesires to obtain certain Equipment to support its Initial Broadband Access
\nReliance Network and the Broadband Access Reliance Network in the Territory.
\nThe Vendor shall perform all specific Vendor responsibilities set forth in this
\nBroadband Access Equipment Contract, including applicable Purchase Orders and
\nthe Specifications. The Vendor shall review the Broadband Access Reliance
\nNetwork work performed and shall report on any exception. Notwithstanding the
\nforegoing sentence, Vendor shall be responsible for providing the Equipment
\nunder this Broadband Access Equipment Contract in accordance with the
\nSpecifications, including without limitation the Timetables. This Broadband
\nAccess Equipment Contract is subject to the terms and conditions set forth in
\nthe Broadband Access Network General Terms and Conditions executed by the
\nParties as of the date hereof (the \u0093General Terms\u0094).<\/p>\n
1.2\u00a0 Objectives<\/b><\/a><\/h2>\n
Reliance
\nrequires equipment that fully supports: (a) the Initial Broadband Access
\nReliance Network and the Broadband Access Reliance Network, including all cost,
\nperformance and functional requirements set forth in the relevant Documents;
\n(b) Interoperability; and (c) Reliance\u0092s business requirements described in the
\nDocuments (collectively, the \u0093Objectives\u0094).\u00a0
\nThe Vendor represents, warrants and covenants that the Equipment shall
\nbe<\/p>\n
\n

\n<\/div>\n

fully
\ncompatible with and fully supports the Objectives, as shall be demonstrated to
\nReliance, in part, in the Acceptance Tests.<\/p>\n
2\u00a0\u00a0\u00a0\u00a0\u00a0 DEFINITIONS<\/b><\/a><\/h1>\n
As
\nused in this Broadband Access Equipment Contract, the following terms have the
\nfollowing meanings.\u00a0 In addition to the
\nterms listed below, certain additional capitalised terms are defined in the
\nGeneral Terms, the attachments to this Broadband Access Equipment Contract and
\nin other applicable Documents.\u00a0 Unless
\notherwise specifically provided, all section, schedule and exhibit references
\nare to this Broadband Access Equipment Contract.<\/p>\n
\u0093Base Price\u0094<\/b><\/p>\n
has
\nthe meaning as ascribed hereto in Section 5.2.2.<\/p>\n
\u0093Effective Date\u0094<\/b><\/p>\n

\nthe meaning ascribed thereto in the prefatory paragraph to this Broadband
\nAccess Equipment Contract.<\/p>\n

\na table of list prices applicable to Equipment supplied by Vendor to Reliance
\nas amended from time to time as set forth herein. The Price List as of the
\nEffective Date is set forth in Exhibit A.<\/p>\n
\u0093Broadband Access Equipment Contract\u0094<\/b><\/p>\n

\nBroadband Access Equipment Contract, including all schedules, exhibits and
\nother attachments hereto.<\/p>\n
3\u00a0\u00a0\u00a0\u00a0\u00a0 SCOPE OF WORK, RESPONSIBILITIES AND MILESTONES<\/b><\/a><\/h1>\n
3.1\u00a0 Scope of
\nWork<\/b><\/a>.<\/h2>\n
3.1.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Vendor shall provide to
\nReliance the Equipment set forth in the Specifications as amended from time to
\ntime by mutual written agreement between the Parties. Vendor\u0092s obligations
\nhereunder shall include, but not be limited to, the obligation to manufacture,
\nsupply (including inspection and expediting) and deliver the Equipment in and
\nwithin the Broadband Access Reliance Network as designated by Reliance in
\naccordance with the Broadband Access Equipment Contract.\u00a0 All Equipment shall comply with the
\nSpecifications and the Standards and shall be the latest and best in class,
\nunless otherwise specified by Reliance in writing. The Vendor shall coordinate
\nits efforts hereunder with all Subcontractors, Third Party Providers and the
\nOther Contractors, to ensure compliance with any and all supply and logistics
\nrequirements and all Governmental Entities. All Equipment, requiring
\ncertification shall be certified by independent and<\/h3>\n
\n

\n<\/div>\n

<\/p>\n

appropriate professionals
\nlicensed or properly qualified to perform such certification in all appropriate
\njurisdictions, reasonably acceptable and at no cost to Reliance, if such
\ncertification is, required by Applicable Law or the Specifications.<\/p>\n
\n
3.1.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Vendor shall deliver only
\nsuch Equipment as are specifically ordered by Reliance pursuant to a Purchase
\nOrder. Reliance shall not be obligated to pay for any Equipment not covered by
\na Purchase Order.<\/h3>\n
3.2\u00a0 Minimum Purchase Commitment<\/b><\/a><\/h2>\n
Notwithstanding anything to the contrary,
\nReliance agrees that it shall, between [***] from Vendor (the \u0093Minimum
\nCommitted Quantity\u0094) subject to Vendor\u0092s continued conformance with the terms
\nset forth in the Documents.<\/p>\n
\n
3.3\u00a0 Spare and Replacement Parts<\/b><\/a>.<\/h2>\n
3.3.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Vendor shall provide to
\nReliance the type and quantity of the spare and replacement parts to be
\nmaintained by Reliance (the \u0093Spares\u0094) in relation to the Equipment, including
\nwithout limitation spare and replacement parts for all Upgrades and
\nEnhancements purchased by Reliance, and in accordance with industry standards
\napplicable for similar networks, as set forth on Exhibit B hereto (the \u0093Initial
\nSpares\u0094). Vendor shall also recommend storage locations for such Spares.\u00a0 Vendor warrants that the Initial Spares
\nshall be sufficient for the maintenance and repair of all of the Equipment
\nduring the lifetime of the Equipment to maintain and enable the Broadband
\nAccess Reliance Network to operate in accordance with the Specifications at all
\ntimes, provided that Reliance maintains the Spares and the Initial Broadband
\nAccess Reliance Network in accordance with the procedures set forth in the
\nSpecifications. With respect to Expansions, Reliance shall purchase additional
\nSpares to support the growth of the Broadband Access Reliance Network.\u00a0 Vendor shall similarly recommend the type,
\nquantity and storage locations of such Spares with respect to Expansions
\nnecessary to support the growth of the Broadband Access Reliance Network.<\/h3>\n
3.3.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Reliance shall purchase
\nspare and replacement parts, subject to the limitations set forth in this
\nSection 3.3.2, at prices no greater than [***] for the respective items of
\nEquipment corresponding to the spare and replacement parts determined in
\naccordance with Section 5.2 below. In the event that any additional spare
\nand replacement parts are required, which were not initially included in the
\nInitial Spares, such additional spare and replacement parts shall be provided
\nby the Vendor at [***] within the applicable time period set forth in the
\nSpecifications if such additional spares are required by Reliance for reasons
\nattributable to the Vendor as a result of Vendor having to comply with the
\nService Levels and\/or mean time to repair (\u0093MTTR\u0094) as specified in Annexure 1A
\nto the Specifications (Technical Support Services) and\/or Performance Criteria
\nas specified in the Specifications.<\/h3>\n
3.3.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 To the extent that spare
\nparts need to be acquired from Third Party Providers (other than
\nSubcontractors), the Vendor shall use all reasonable commercial<\/h3>\n

\nsuppliers a supply of spare and replacement parts in connection with the supply
\nof the related Equipment, at a price to be mutually agreed between the Parties.
\nAll spare parts obtained by the Vendor at [***] from Third Party Providers

\nreplacement parts utilized to replace parts that became Defective in the
\nBroadband Access Reliance Network or were consumed in connection with the
\nVendor\u0092s performance of its obligations under the Equipment Warranty and were
\nreplaced from the Spares inventory.\u00a0 The
\nSpares inventory shall be replaced by Vendor in accordance with the procedures
\nset forth in Chapter 20 of the Specifications, and shall comply with the

\nFollowing the expiration of the applicable Product Warranty Period, the Vendor
\nshall at all times provide spare and replacement parts at the [***] as set

\nfrom the Spares inventory and provide Reliance with the applicable spare and
\nreplacement parts for such New Products.<\/h3>\n
3.4\u00a0 Test Bed<\/b><\/a><\/h2>\n
3.4.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 For the purpose of testing
\nthe Vendor shall provide the Equipment set forth in the Specifications at [***]
\nto Reliance and such Equipment shall be shipped to the Reliance designated
\nlocation not later than [***] after the Effective Date of the Broadband Access
\nEquipment Contract if specifically requested for by Reliance in writing.<\/h3>\n
3.4.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Vendor shall supply and
\ninstall [***] to Reliance the Test Bed Laboratory and at least one of each type
\nof new Equipment set forth in any Purchase Order or that is planned to be
\nbought by Reliance before the end of the next succeeding [***].<\/h3>\n

\nachieving Interoperability, Reliance may bring other infrastructure vendor\u0092s
\nequipment into the Test Bed Laboratory. Notwithstanding anything to the
\ncontrary, the Vendor shall share with these other infrastructure vendors that
\nReliance brings into the Test Bed Laboratory all necessary interface
\ninformation to facilitate meeting the Timetables, upon suitable conditions of
\nconfidentiality.<\/h3>\n
3.4.4\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Vendor shall provide all
\napplicable Technical Support Services including but not limited to Updates and
\nUpgrades to and for the Equipment installed in the Test Bed Laboratory.<\/h3>\n

<\/p>\n

3.5\u00a0 Shipment<\/b><\/a><\/h2>\n
Vendor
\nshall ensure that all Equipment constituting a COT\/LET, RT, CPE and or any
\nother equipment related to DLC are shipped in a single shipment. Vendor shall
\nnot ship Equipment constituting only a part of a COT\/LET, RT, CPE or any other
\nequipment related to DLC (other than expansion or spare or replacement parts)
\nexcept after prior written approval from Reliance. The Vendor shall ship all
\nSpares or circuit packs in accordance with the instructions contained in the
\nrelevant Purchase Order.<\/p>\n
3.6\u00a0 Material and Inventory Management Systems<\/b><\/a><\/h2>\n
Vendor
\nshall take all reasonable actions necessary to ensure that Vendor\u0092s material
\n& inventory management system integrates and interfaces with Reliance\u0092s
\nmaterial & inventory management system. The extent of integration and
\ninterfacing shall be as mutually agreed.<\/p>\n
3.7\u00a0 Capacity
\nChanges<\/b><\/a><\/h2>\n
Vendor shall provide Reliance with procedures
\nand capabilities in order to allow Reliance to move Equipment and components in
\nconnection with changing capacities within and among Network Elements purchased
\nthroughout the Broadband Access Reliance Network.<\/p>\n
\n
3.8\u00a0 Applicability<\/b><\/a><\/h2>\n
Parties agree that all Purchase Orders for
\nEquipment issued by Reliance to Vendor on or after September 1, 2002 shall be
\nsubject to and governed by this Broadband Access Equipment Contract. The
\nParties further agree that Purchase Order number 13008676 dated August 21, 2002
\nshall, except for payment terms, performance bank guaranty related terms,
\nannual price improvement related terms and deemed Acceptance related terms,
\nalso be governed by the terms of this Broadband Access Equipment Contract.<\/p>\n
\n
3.9\u00a0 Marketing Fund<\/b><\/h2>\n
Vendor
\nshall credit Reliance against amounts payable by Reliance to Vendor for
\nEquipment purchases a sum of [***] as Vendor\u0092s contribution to a marketing fund
\nfor the Equipment. Vendor shall credit such sum to Reliance quarterly in
\nadvance.<\/p>\n

6.2.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 In the event of any breach
\nof the Equipment Warranty, the Vendor shall promptly repair or replace the
\ndefective or nonconforming Equipment or otherwise cure any Defects and
\nDeficiencies so that the Equipment and Broadband Access Reliance Network shall
\nperform in accordance with the Specifications.\u00a0
\nIf the Vendor fails or refuses\u00a0
\nto promptly repair, replace and\/or cure such defect, Reliance may, in
\naddition to exercising any other remedies available to it under the contract,
\nlaw and\/or equity, \u00a0at its option ;<\/h3>\n

\nReliance\u0092s request against Vendor recommendations and inconsistent with this
\nBroadband Access Equipment Contract, excluding normal maintenance or parameter
\nchanges;<\/h4>\n
c\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 damage or Deficiencies resulting from a failure by
\nReliance to follow the Specifications;<\/h4>\n
d\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 damage resulting from the gross negligence or
\nwillful misconduct of Reliance, or any of its employees, agents or contractors

\nsuch failure or failed to comply with Vendor\u0092s project management
\nresponsibilities which contributed to such failure), provided that this shall
\nnot limit the Vendor\u0092s obligations as to Interoperability pursuant to the terms
\nof the Documents;<\/h4>\n
except when any such damage or Deficiencies is done, made or caused by
\nVendor or any Subcontractor or their employees or agents.<\/p>\n
6.3\u00a0 Repair and
\nReturn<\/b><\/a>.<\/h2>\n
6.3.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The provisions of Repair and
\nReturn Services required to be provided during the Equipment Warranty and
\nTechnical Support Services are specified in Annexure 1A to the Specifications.
\nIn the event of a breach of the Equipment Warranty, the Parties shall follow
\nthe procedures set forth in the Specifications.<\/h3>\n

\nof any breach of the Equipment Warranty, Reliance will notify within a

\nrequires the installation or provision of additional equipment, software
\nand\/or services, the Vendor shall provide such equipment, software and\/or
\nservices, at [***] to Reliance. Where Reliance cannot remove and reinstall the
\nDefective Equipment without incurring significant time and expense, Vendor

\nPeriod and the period that the Technical Support Services is in effect, the
\nVendor shall be [***] associated with: (a) removing or disconnecting the
\nEquipment subject to the warranty claim as set forth in the Specifications; (b)
\ndismantling and reinstalling surrounding equipment and property in connection
\nwith removing or disconnecting the Equipment that is the subject of such
\nwarranty claim as set forth in the Specifications; and (c) all on-site and
\noff-site repair and related activities (including without limitation
\nreinstallation after repair) for Equipment as set forth in the Specifications.<\/h3>\n
\n
6.4\u00a0 \u00a0\u00a0\u00a0\u00a0 Other Services To Be
\nProvided By The Vendor Under Warranty Services-<\/b><\/a><\/h2>\n
During the Product
\nWarranty Period, in addition to the warranty obligations described in this
\nBroadband Access Equipment Contract, the Vendor shall also provide, [***], all
\nservices as set forth in Annexure 1A to the Specifications..<\/p>\n
6.5\u00a0 \u00a0\u00a0\u00a0 Third Party Provider
\nWarranties<\/b><\/a>.<\/h2>\n
a)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 With respect to Equipment furnished by any Third
\nParty Provider (excluding Subcontractors), all warranties given to the Vendor
\nby such Third Party Provider shall inure, to the extent applicable or permitted
\nby law, to the benefit of Reliance, and Reliance shall have the right, at its
\nsole discretion, to enforce such warranties directly and\/or through the Vendor.
\nAll warranties with respect to such Equipment provided by such Third Party
\nProviders shall be given to Reliance on a pass-through basis.<\/h3>\n
b)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Vendor shall be responsible for monitoring and
\nmanaging of all warranties and warranty services provided by Third Party
\nProviders if required, by mutual agreement between the Parties. In the event of
\nany dispute with respect to either identifying or resolving any problems or
\ndefects or their root cause in the Network, the Vendor shall be responsible to
\nestablish the co-ordination among all Persons connected to such
\nproblems\/defects and establish the process of problem resolution and ensure an
\nearly solution.<\/h3>\n
6.6\u00a0 \u00a0 Disclaimer<\/b><\/a><\/h2>\n
The
\nforegoing Warranties are in lieu of all other express and implied warranties of
\nmerchantability and fitness for a particular purpose.<\/p>\n
7\u00a0\u00a0\u00a0\u00a0\u00a0 TERMINATION AND EVENTS OF DEFAULT<\/b><\/a><\/h1>\n
7.1\u00a0 Reliance\u0092s Right of Termination<\/b><\/a>.<\/h2>\n
7.1.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Reliance may suspend all or
\nany portion of this Broadband Access Equipment Contract, in accordance with the
\nterms of Sections 3.15 of the General Terms.\u00a0 Reliance also has the right to terminate all or any portion of
\nthis Broadband Access Equipment Contract upon the occurrence of any<\/h3>\n

\nAccess Equipment Contract in accordance with the terms of Section 23.2 of
