BROAD BAND ACCESS SERVICES CONTRACT<\/b><\/p>\n

This
\nBroadband Access Services Contract (\u0093Broadband Access Services Contract\u0094) is
\neffective as of October 1, (the \u0093Effective Date\u0094), by and between Reliance
\nInfocomm Limited, a company incorporated and registered under the Companies
\nAct, 1956 and having its Registered Office at Avdesh House, Pritam Nagar, 1st Slope,
\nEllis Bridge, Ahmedabad 380006, Republic of India (hereinafter referred to as
\n\u0093Reliance\u0094 which expression, unless repugnant to the context or meaning
\nthereof, shall mean and include its successors and permitted assigns), and
\nUTStarcom Inc., a company incorporated under the laws of Delaware and having
\nits principal offices at 1275 Harbor Bay Parkway Alameda, California 94502,
\nU.S.A (hereinafter referred to as the \u0093Vendor\u0094 which expression, unless
\nrepugnant to the context or meaning thereof, shall mean and include its
\npermitted successors and assigns and, together with Reliance, the \u0093Parties\u0094 and
\neach, a \u0093Party\u0094).<\/p>\n
RECITALS<\/b>:<\/p>\n
\n
A.\u00a0 Reliance desires to purchase from the Vendor
\ncertain Services appropriate for the efficient and effective installation,
\ncommissioning, operation, management and maintenance of the Broadband Access
\nReliance Network, including the Initial Broadband Access Reliance Network; and<\/p>\n
B.\u00a0 The Vendor desires to provide to Reliance
\nsuch Services in accordance with the terms and conditions set forth herein.<\/p>\n
NOW<\/b>, THEREFORE<\/b>, in consideration
\nof the mutual promises and covenants herein contained, and other good and
\nvaluable consideration, the receipt and sufficiency of which is hereby
\nacknowledged, the Parties hereby agree as follows:<\/p>\n
1<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 BACKGROUND
\nAND OBJECTIVES<\/h1>\n
1.1<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Background<\/h2>\n
Reliance
\ndesires to obtain certain Services to support\u00a0
\nthe Broadband Access Reliance Network in the Territory.\u00a0 The Vendor shall perform all specific Vendor
\nresponsibilities set forth in this Broadband Access Services Contract,
\nincluding applicable Purchase Orders and the Specifications. This Broadband
\nAccess Services Contract is subject to the terms and conditions set forth in
\nthe Broadband Access Network General Terms and Conditions executed by the
\nParties as of the date hereof (the \u0093General Terms\u0094).<\/p>\n
1.2<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Objectives<\/h2>\n
Reliance
\nrequires services that fully support: (a) the Initial Broadband Access Reliance
\nNetwork and the Broadband Access Reliance Network, including all cost,
\nperformance and functional requirements set forth in the relevant Documents;
\n(b) Interoperability as set forth in the Specifications; and (c) Reliance\u0092s
\nbusiness requirements described in this Broadband Access Services Contract
\n(collectively, the \u0093Objectives\u0094).\u00a0 The
\nVendor represents, warrants and covenants that the Services are fully
\ncompatible with and fully supports the Objectives, as shall be demonstrated to
\nReliance, in part, in the Acceptance Tests.<\/p>\n

\nGeneral Terms, the attachments to this Broadband Access Services Contract and
\nin other applicable Documents.\u00a0 Unless
\notherwise specifically provided, all section, schedule and exhibit references
\nare to this Broadband Access Services Contract.<\/p>\n

\u0093Services Warranty Period\u0094<\/b><\/p>\n

\nrespect to all Services that relate to Products that form a portion of the
\nBroadband Access Reliance Network, a period of [***] following Acceptance\u00a0 of such portion of the Broadband Access
\nReliance Network.For Services provided by the Vendor under the TSS, there shall
\nbe a warranty period of [***] from satisfactory acceptance by Reliance of the
\nrepair or replacement by the Vendor of any Network Element provided that in the
\nevent such repairs occur during the applicable Product Warranty Period, then
\nthe warranty period shall be the greater of [***].\u00a0 With respect to all other Services, the Services Warranty Period

3.1<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Scope of Work.<\/h2>\n
3.1.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Vendor shall provide to
\nReliance the Services set forth in the relevant Purchase Order pursuant to and
\nin accordance with this Broadband Access Services Contract. All Services shall
\ncomply with the relevant Specifications and the Standards. The Vendor shall
\ncoordinate its efforts hereunder with all Subcontractors, Third Party Providers
\nand the Other Contractors, to ensure compliance with any and all supply and
\ntransportation requirements and all Governmental Entities.\u00a0 All Services, requiring certification shall
\nbe certified by independent and appropriate professionals licensed or properly
\nqualified to perform such certification in all appropriate jurisdictions,
\nreasonably acceptable and at no cost to Reliance, if such certification is
\nrequired by Applicable Law or the Specifications. Vendor shall provide to
\nReliance, necessary installation certificates, as per EPCG regulations for
\nwhich the Parties will mutually agree on a format and procedure.<\/h3>\n
3.1.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Reliance shall purchase the
\nServices described herein by Purchase Orders pursuant to the price list set
\nforth in Exhibit A and shall pay for such Services pursuant to Section 5.2.
\nVendor shall perform only such Services as are specifically ordered by Reliance
\npursuant to a Purchase Order. Reliance currently intends that Vendor shall
\nprovide Services (other than Technical Support Services) with respect to the
\nInitial Broadband Access Reliance Network only. Reliance shall not be obligated
\nto pay for any Services not covered by a Purchase Order.<\/h3>\n
3.2<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Services<\/h2>\n
3.2.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Vendor shall provide all
\nServices purchased under a Purchase Order and in accordance with the relevant
\nSpecifications on an end-to-end basis to ensure successful completion of the
\nWork (provided, however, that installation and commissioning Services shall be
\nlimited to the Services requested ordered in the applicable Purchase Order),

\nconfidentiality and\/or licensing agreements) to assure the timely achievement
\nof each of the mutually agreed Interoperability Milestones in accordance with
\nthe Time Tables and schedules set forth in the relevant Purchase Orders.<\/p>\n
3.4<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Testing and Acceptance<\/h2>\n
Vendor
\nhereby agrees to strictly adhere to the testing and acceptance procedure set
\nforth in the Specifications. Reliance shall co-operate on a commercially
\nreasonable basis with Vendor to ensure the successful completion of testing and
\nacceptance activities.<\/p>\n
3.5<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Training Services<\/h2>\n
3.5.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The Vendor shall provide to
\nReliance, access to all the training courses and the right to use (\u0093RTU\u0094) to
\nall the training courses and training course materials for which Vendor owns
\nintellectual property rights and\/or the license to use and as are available
\nfrom time to time that are relevant to the Products supplied for the Broadband
\nAccess Reliance Network (the \u0093Training Services\u0094). The RTU shall be provided
\nwith permission to reproduce the course material for training Reliance
\npersonnel, including associates and contractors retained for installation,
\ncommissioning and operational support of the Broadband Access Reliance Network.
\nVendor shall update such course material for all such courses from time to
\ntime. Vendor shall provide all Training Services in accordance with the
\nSpecifications either at the Vendor\u0092s global training centers or at Reliance
\ntraining facilities in the Republic of India, with such location to be decided and
\nadvised by Reliance. The Parties shall mutually determine the method and manner
\nof the provision of Training Services, including without limitation, class
\nplanning, scheduling and co-ordination. The Training Services shall be provided
\nby qualified and experienced training personnel, as approved by Reliance.
\nVendor shall provide Reliance with the resumes of all of Vendor\u0092s and any
\nSubcontractor\u0092s training personnel to enable Reliance to determine, in its sole
\ndiscretion, which training personnel should provide the Training Services. Such
\ntraining personnel shall have at least [***] of Access Network training
\nexperience in the field in which they are proposed to train. Vendor shall also
\nbe obliged to train Reliance\u0092s trainers and shall perform, with Reliance\u0092s
\napproval, skills audits for all Reliance personnel trained to be instructors
\nfor Reliance. Periodically, mutually agreed training schedules shall be agreed
\nupon for imparting such training courses. The content of these training courses
\nshall be focussed on the implementation, operation and maintenance of the
\nRelianceBroadband Access\u00a0 Network.<\/h3>\n
3.5.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Vendor shall, during the
\nterm of this Broadband Access Services Contract, provide to Reliance all
\nupdated course materials relating to the Products for all Training Services
\nprovided to Reliance hereunder from time to time.<\/h3>\n

\nVendor for all Trainer Days as set forth in Exhibit A hereto. Reliance shall
\nhave the right, in its sole discretion, to determine the method and manner of
\nutilisation of the above mentioned Trainer Days. Notwithstanding anything to
\nthe contrary set forth above, Reliance shall not be liable to pay for Vendor
\ntrainer personnel\u0092s rest and recreation.<\/h3>\n
3.6<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Management Services<\/h2>\n
Vendor
\nshall provide the management Services described in the Specifications at the
\nrates set forth in of Exhibit A. Vendor shall provide sufficient resources to
\ncomplete the Work specified in the Specifications and associated Purchase Orders
\nfor the Work. No Services described in Section 3.2.1(c,) shall be provided
\nunless the Parties mutually agree to a budget for such Services prior to
\naccepting a Purchase Order.<\/p>\n
3.7<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Knowledge Management System<\/h2>\n
Vendor
\nagrees that, among other things, all value engineered standards,
\nspecifications, designs, and relevant Vendor practices, including but not
\nlimited to testing and commissioning procedures, technical and standard
\ndocumentation for facilities, maintenance and operational procedures and standards,\u00a0 documentation, reports, drawings, etc.,
\nrelating to the implementation, management and operation of the Broadband
\nAccess Reliance Network shall be delivered to Reliance, provided that the
\nMaterials are utilised solely for the implementation, operation and management
\nof the Broadband Access Reliance Network and are subject to the confidentiality
\nprovisions set forth in Section 24.14 of the General Terms and this
\nSection.\u00a0 Upon delivery of such
\nmaterials to Reliance, Vendor grants to Reliance a [***] license solely for use
\nin the Territory to internally use, execute, to make sufficient copies for its
\nown internal use, and to modify and translate them and\/or combine them with
\nother materials (at Reliance\u0092s own risk) in order to prepare other works for
\nReliance\u0092s own internal use, provided, however that Reliance shall not have the
\nright to license or sell any software that is a Derivative Work of software
\ndelivered by Vendor pursuant to this Section 3.9 Reliance acknowledges that all
\ninformation and materials delivered under this Section 3.9 are delivered on an
\n\u0093as-is-where-is\u0094 basis. Notwithstanding the above, for any software and\/or
\nother Materials originating from or being proprietary from a third party, if
\nthe Vendor has any limitation under a license and\/or other agreement with such
\nthird party, Vendor will advise Reliance on how such third party software
\nand\/or Materials can be acquired or used, to enable Reliance to decide whether
\nto acquire or use such third party software and\/or Materials. Wherever possible,
\nVendor shall attempt, on a reasonable efforts basis, to obtain such third
\nparty\u0092s consent for use of such software and\/or Materials by Reliance without
\nan additional charge to Reliance. Vendor shall use its knowledge management
\nsystem for the performance of the Services and shall provide Reliance and the
\nUsers access to Vendor\u0092s knowledge database during the term of this Broadband
\nAccess Services Contract. Vendor shall facilitate, during the performance of
\nServices, tapping of its pool of consultants, and industry experts as
\nreasonably requested by Reliance. Reliance agrees that Reliance shall be
\nresponsible to procure any hardware necessary to utilise any materials provided
\nto Reliance under this Section and to pay for<\/h3>\n

\nVendor Personnel<\/h2>\n
3.8.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Vendor and Reliance shall
\nfollow the mobilization procedure as per the \u0093PAF and Roster process\u0094 attached
\nto the General Terms for each of the Key Personnel and those Vendor Personnel
\nmobilized to provide the Services and who are charged to Reliance on a per diem
\nbasis.<\/h3>\n
3.8.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Unless otherwise mutually
\nagreed between the Parties in writing prior to their mobilization on the job,
\nthe Vendor shall engage only those personnel to perform Services, that at all

\nprovide multiple resumes in advance for Reliance\u0092s review. Reliance shall
\nrequest further information, approve, or disapprove such individuals as set

\nletters for expediting visa and entry approvals for such individuals to enable
\nsuch individuals to travel to India as required after completion of the
\napproval process set forth in the Documents.<\/h3>\n

\nVendor Personnel will be subject to approval by Reliance (acting reasonably and
\nin a timely manner) prior to starting any work.<\/h3>\n

\nout Services under section 3.2.1(a) above, the engagement of the
\nSubcontractors\u0092 personnel are not covered under this Section 3.10. These
\nSubcontractors will be contracted by the Vendor as set forth in the General
\nTerms. However, Reliance shall have the right, with Vendor\u0092s approval, to pay
\nsuch Subcontractors directly.<\/h3>\n

\npersonnel are no longer employed by the Vendor or are otherwise prevented by
\nreasons of health issues at the time or other issues beyond Vendor\u0092s control,
\nVendor and Reliance shall identify the best alternative and mobilize

\nTechnical Support Services during the Product Warranty Period. Reliance shall

\nfollowing the expiry of the applicable Product Warranty Period. Parties have
\nagreed that the Vendor shall provide the TSS for an initial period of [***].<\/h3>\n

\nServices shall be the Net Price for such services specified in the Services
\nPrice List All amounts in excess of the Net Price paid by Reliance to the
\nVendor for Services shall be handled in accordance with the provisions of the
\nGeneral Terms. The Net Prices set forth in the Services Price List are [***].<\/h3>\n

5.2<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Invoicing Terms<\/h2>\n
All Installation and Commissioning Services
\nprovided by Vendor to Reliance shall be invoiced as set forth in this Section
\nand paid in accordance with Section 13 of the General Terms.<\/p>\n

Where Services are provided which are not
\nrendered for Products, such Services shall be invoiced and paid in accordance
\nwith Section 13 of the General Terms and mutually agreed milestones.<\/p>\n

5.3<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Payments for Services<\/h2>\n
The
\nvalue of the Services described in Section 3.2.1(a) shall be denominated in
\n[***] in accordance with the provisions of the General Terms, unless otherwise
\nagreed by the Parties. The amount paid is inclusive of all and any taxes levied
\nby any Governmental Entity on the provision of Services provided by the Vendor.<\/p>\n
6<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 WARRANTIES<\/h1>\n
6.1<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0  Services Warranty.<\/h2>\n
The
\nVendor warrants that, during the Services Warranty Period, all Services shall
\nconform with and perform in accordance with the Specifications and shall be
\nfree from Defects and Deficiencies (the \u0093 Services Warranty\u0094).<\/p>\n
6.2<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Breach of Warranty.<\/h2>\n
6.2.1 In the event of any breach of the Services Warranty, the Vendor
\nshall promptly repair, replace, provide additional services or otherwise
\ncorrect (including re-performance of Services) at [***], any Defective Services
\nso that the Services and Broadband Access Reliance Network comply with the Specifications.\u00a0 If the Vendor<\/p>\n

fails or refuses\u00a0 to promptly
\ncure any such Defective Services, Reliance may, in addition to exercising any
\nother remedies available to it\u00a0 under
\nthe contract, law and\/or equity, Reliance may at its option.(i) elect to have
\nsuch Defective Services, replaced, repaired or corrected by any third party,
\nand Vendor shall in such an event (a) provide all technical details,
\ndocumentation, and other information required for such repair replacement or
\ncorrection; and (b) reimburse Reliance for all costs and expenses incurred in
\nconnection with such repair replacement or correction; or<\/p>\n
(ii) elect to have the Vendor provide (a) a credit or refund based on
\nthe original purchase price of such Defective Services, as the case may be.<\/p>\n
The warranty period for all
\nrepaired, replaced or corrected\u00a0
\nServices shall be the longer of<\/p>\n
\n

6.2.2 Notwithstanding the
\nforegoing, the Vendor shall have no liability pursuant to this Section 6.2
\nfor:<\/h3>\n
a)damage caused by an event of Force Majeure
\nother than to the extent that the Services should have been able to withstand
\nany such Force Majeure event, in accordance with the Documents;<\/p>\n
b) alterations by Reliance and\/or the Vendor
\nat Reliance\u0092s request against Vendor recommendations and inconsistent with this
\nBroadband Access Services Contract, excluding normal maintenance or parameter
\nchanges;<\/p>\n
c)damage or Deficiencies resulting from a
\nfailure by Reliance to follow the Specifications; or<\/p>\n
d) damage resulting from the gross negligence
\nor willful misconduct of Reliance, or any of its employees, agents or
\ncontractors (other than the Vendor and its Subcontractors); or<\/p>\n
e) performance or damages directly resulting
\nfrom the failure of the equipment or software (or any related services) not
\nprovided by the Vendor or any Subcontractors (excluding OMC Products for which
\nVendor is responsible), provided that this shall not limit the Vendor\u0092s
\nobligations as to Interoperability pursuant to the terms of the Documents;<\/p>\n
except
\nwhen any such damage or Deficiencies is done, made or caused by Vendor or any
\nSubcontractor or their employees or agents.<\/p>\n
6.3<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Cure Procedures.<\/h2>\n
6.3.1\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 If Reliance claims a breach
\nof any warranty , its shall notify the Vendor of the breach within a reasonable
\nperiod of time after its determination that the breach has occurred. For
\nprovision of repair, replacement and correction of Defective Services, Reliance
\nshall allow the Vendor to inspect the Work on-site and to perform any repairs,
\nreplacements and corrections\u00a0 that can
\nbe performed on Site<\/h3>\n

without disrupting the
\noperation of the Broadband Access Reliance Network or any other the Network
\nElement relating to such Services.<\/p>\n

6.3.2\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 In the event that the remedy
\nof any breach by the Vendor of the Services Warranty requires the installation
\nor provision of replacement equipment, software and\/or services, the Vendor
\nshall provide such equipment, software and\/or services, at no cost or expense
\nto Reliance.<\/h3>\n
6.3.3\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 During the Services Warranty
\nPeriod, the Vendor shall be solely responsible for all costs and expenses
\nassociated with: (a) cure, repair, replacement\u00a0
\nor correction of the Services subject to the warranty claim; (b) dismantling
\nand reinstalling equipment and property in connection with cure or correction
\nof the Services that are the subject of such warranty claim; and (c) all
\non-site and off-site repair and related activities for Services.<\/h3>\n
\n
6.4<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Other Services To Be
\nProvided By The Vendor Under Warranty Services-<\/h2>\n
During
\nthe Service Warranty Period, in addition to the warranty obligations described
\nherein in this Service Contract, the Vendor shall also provide all services as
\nset forth in Annexure 1A to the Specifications (Technical Support Services) in
\naccordance with the Documents.<\/p>\n
6.5<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Third Party Provider
\nWarranties.<\/h2>\n
a)
\nWith respect to Services furnished by any Third Party Provider (other than
\nSubcontractors), all warranties given to the Vendor by such Third Party
\nProvider shall inure, to the extent applicable or permitted by law, to the
\nbenefit of Reliance, and Reliance shall have the right, at its sole discretion,
\nto enforce such warranties directly and\/or through the Vendor.\u00a0 All warranties with respect to such Services
\nprovided by such Third Party Providers shall be given to Reliance in accordance
\nwith the General Terms.<\/p>\n
b)
\nIn the event of any dispute with respect to either identifying or resolving any
\nproblems or defects or their root cause in the Network, the Vendor shall be
\nresponsible to establish the co-ordination among all Persons connected to such
\nproblems\/defects and establish the process of problem resolution and ensure an
\nearly solution.<\/p>\n
6.6<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Disclaimer<\/h2>\n
The
\nforegoing warranties are in lieu of all the other express and implied
\nwarranties, of merchantability and fitness for a particular purpose.<\/p>\n
7<\/b><\/a>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 TERMINATION
\nAND EVENTS OF DEFAULT<\/h1>\n

The Vendor shall have the option to suspend or terminate this Broadband

Reliance and the Vendor have read
