The<br \/>\nSellers shall be liable for any damage to the goods on account of improper packing. <\/p>\n<p>    5.2  Detailed<br \/>\nPacking List shall be placed in each case which shall indicate the name of goods, total of cases, installation and maintenance manual. Related technical<br \/>\ndocuments shall be shipped with the goods. <\/p>\n<dl compact>\n<dt>6<\/dt>\n<dd>SHIPPING<br \/>\nMARK <\/dd>\n<\/dl>\n<\/ul>\n<p>    On<br \/>\nthe surface of each package, the package number, measurements, the lifting positions, such cautions as &#8220;DO NOT STACK UP SIDE DOWN&#8221;, &#8220;HANDLE WITH CARE&#8221;, &#8220;KEEP AWAY FROM MOISTURE&#8221;<br \/>\nand the shipping mark. <\/p>\n<hr noshade>\n<ul>\n<dl compact>\n<dt>7<\/dt>\n<dd>DELIVERY\n<\/dd>\n<\/dl>\n<\/ul>\n<ul>\n<p>    7.1  After<br \/>\nthe arrival of the goods at the place of destination, the packages shall be opened by the Buyers in the presence of the Seller, shall be checked and signed<br \/>\njointly by the representatives of the Buyer and Seller as the acceptance of the goods. The transport documents shall be the certificates of acceptance. <\/p>\n<p>    7.2  The<br \/>\nSeller shall bear all expenses and risks involved in the handling of the goods until the moment the goods has been delivered. The title to the goods and the<br \/>\nrisks of the goods are transferred to the buyer upon delivery. <\/p>\n<p>    7.3  In<br \/>\ncase of missing parts or damage due to the Seller&#8217;s faulty packing, the Buyer shall make a detailed record on the site, or apply for reinspection by the China<br \/>\nCommodity Inspection Bureau, or the representatives of the Buyer and Seller make and sign a protocol, Such protocol may be utilized as proper evidence for replacement of missed or damaged parts. If<br \/>\nthe Buyer opens the package without presence of the Seller, or fails to make the application in written to for replacement of missed or damaged parts within [***] after the<br \/>\narrival of the goods at the destination, the Buyer shall be deemed to accept the goods. <\/p>\n<dl compact>\n<dt>8<\/dt>\n<dd>INSURANCE\n<\/dd>\n<\/dl>\n<\/ul>\n<p>    The<br \/>\ninsurance shall be effected by the Seller for [***] of the Contract Amount. <\/p>\n<ul>\n<dl compact>\n<dt>9<\/dt>\n<dd>PAYMENT<br \/>\nTERMS: <\/dd>\n<\/dl>\n<\/ul>\n<p>    All<br \/>\npayments by the Buyer to the Seller shall be paid by telegraphic transfer to the RiTanLu Office, ChaoYang Branch, Beijing, I&amp;C Bank of China, account number is<br \/>\n[***]. <\/p>\n<ul>\n<p>    9.1  The<br \/>\npayment conditions for equipment are as follows: <\/p>\n<ul>\n<ul>\n<p>    9.1.1  Down<br \/>\nPayment: <\/p>\n<\/ul>\n<\/ul>\n<\/ul>\n<p>    [***]<br \/>\ndown payment of the total contract price for goods being [***] shall be paid by the Buyer to the Seller within<br \/>\n[***] from the date of signing of this contract. The total<br \/>\namount of penalty shall not exceed [***] of the total delayed payment. <\/p>\n<dl compact>\n<dt>10<\/dt>\n<dd>INSTALLATION\n<\/dd>\n<\/dl>\n<\/ul>\n<ul>\n<p>    10.1  The<br \/>\nBuyer takes responsibility of [***]. <\/p>\n<p>    10.2  The<br \/>\nSeller takes responsibility of [***] during the period of installation. <\/p>\n<dl compact>\n<dt>11<\/dt>\n<dd>WARRANTY <\/dd>\n<\/dl>\n<p>    11.1  The<br \/>\nSeller warrants items supplied hereunder to be free from defects in workmanship and material. The Seller&#8217;s warranty for Equipment and Material will commence<br \/>\nupon delivery of <\/p>\n<\/ul>\n<p align=\"CENTER\">2<\/p>\n<hr noshade>\n<ul>\n<p>\nthe goods and will continue for a period of [***]. During the Warranty period the Seller will, [***] either repair or replace items not conforming to<br \/>\nthe above warranty. If the Buyer determines that any items should be returned, the Seller shall bear [***] for items returned to the Seller in the PRC and return of the<br \/>\nrepaired or replaced items to the installation site. <\/p>\n<p>    11.2  The<br \/>\nSeller warrants to provide debug for the software. <\/p>\n<p>    11.3  The<br \/>\nforegoing warranty does not extend to any items which has: <\/p>\n<ul>\n<p>    11.3.1  Been<br \/>\ndamaged by misusing, accident; <\/p>\n<p>    11.3.2  Been<br \/>\nwired, repaired or altered by anyone other than the Seller or its representative; <\/p>\n<p>    11.3.3  Been<br \/>\nimproperly installed, stored, handled or maintained by anyone other than the Seller or its representative; <\/p>\n<p>    11.3.4  Been<br \/>\nremoved from its original site of installation, or to expendable components such as fuses, light bulbs, motor brushes and the like. <\/p>\n<\/ul>\n<dl compact>\n<dt>12<\/dt>\n<dd>CLAIMS\n<\/dd>\n<\/dl>\n<\/ul>\n<p>    Within<br \/>\n[***] after the goods delivered, the Buyer shall have right to make a claim to the Seller if the quality, specifications or quantities of the goods is<br \/>\nnot in conformity with what has been stipulated in the contract. <\/p>\n<ul>\n<dl compact>\n<dt>13<\/dt>\n<dd>FORCE<br \/>\nMAJEURE: <\/dd>\n<\/dl>\n<\/ul>\n<p><\/p>\n<p>    The<br \/>\nSeller shall not be liable for any loss, damage, delay or failure of performance resulting directly or indirectly from any cause which is beyond its reasonable control including,<br \/>\nbut not limited to the laws, regulations, acts or failure to act of any governmental authority. <\/p>\n<ul>\n<dl compact>\n<dt>14<\/dt>\n<dd>LATE<br \/>\nDELIVERY AND PENALTY: <\/dd>\n<\/dl>\n<\/ul>\n<p>    In<br \/>\ncase of delayed shipment, except for force majeure, the Seller shall pay to the Buyer for every [***] of delay a penalty amounting to<br \/>\n[***] of the total value of the goods whose shipment has been delayed. Any fractional part of a [***] is to be considered as a full<br \/>\n[***]. The total amount of penalty shall not, however, exceed [***] of the total value of the goods involved in late shipment and is to be deducted from<br \/>\nthe amount due at the time of payment. <\/p>\n<ul>\n<dl compact>\n<dt>15<\/dt>\n<dd>ARBITRATION\n<\/dd>\n<\/dl>\n<\/ul>\n<p>    Both<br \/>\nparties shall strictly execute the contract in accordance with the relevant laws and regulations of P.R.C. All disputes in connection with the execution of the contract hereof<br \/>\nshall be settled through mutual understanding and friendly negotiation. In case no settlement can be reached through negotiations, either party can apply to the appropriate organization for<br \/>\narbitration or mediation. The arbitration fee shall be borne by the losing party. <\/p>\n<ul>\n<dl compact>\n<dt>16<\/dt>\n<dd>LIMITATION<br \/>\nOF LIABILITY <\/dd>\n<\/dl>\n<\/ul>\n<ul>\n<p>    16.1  In<br \/>\nthe event of any breach of this Contract by Seller, or of any loss or injury to the Buyer arising out of this Contract for which the Seller is liable to the<br \/>\nBuyer, the Seller&#8217;s total cumulative liability for all such breaches, losses, and injuries shall be the [***] of: <\/p>\n<ul>\n<p>    a  The<br \/>\n[***] value of the injury or loss to the Buyer. <\/p>\n<p>    b  The<br \/>\n[***] payments made to the Seller. <\/p>\n<\/ul>\n<p>    16.2  The<br \/>\nSeller shall not be liable for any consequential or incidental loss or damage resulting from this Contract. <\/p>\n<\/ul>\n<p align=\"CENTER\">3<\/p>\n<hr noshade>\n<ul>\n<dl compact>\n<dt>17<\/dt>\n<dd>VALIDITY,<br \/>\nTERMINATION OF THE CONTRACT AND MISCELLANEOUS. <\/dd>\n<\/dl>\n<p>    17.1  This<br \/>\nContract will come into force after being sealed by both parties and signed by the representatives of both parties. <\/p>\n<p>    17.2  This<br \/>\nContract will be terminated after both parties have fulfilled their respective duties and obligations. <\/p>\n<p>    17.3  Seller<br \/>\nhereby licenses the software contained within the products for use by the Buyer.
