{"id":42354,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/inside-washington-production-agreement-gannett-television-and.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"inside-washington-production-agreement-gannett-television-and","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/inside-washington-production-agreement-gannett-television-and.html","title":{"rendered":"Inside Washington Production Agreement &#8211; Gannett Television and CTR Productions Inc."},"content":{"rendered":"<pre>\n                        AGREEMENT BETWEEN\n          GANNETT TELEVISION and CTR PRODUCTIONS, INC.\n\n\n     AGREEMENT made and entered into as of the third day of\nJanuary, 1995, by and between Gannett Television, ('Gannett')\nwith its principal office at 1100 Wilson Blvd. Arlington,\nVirginia, and CTR Productions, Inc. ('Producer'), a corporation\norganized under the laws of Washington, D.C., with its principal\noffice at 3116 Fessenden Street, NW, Washington, DC 20008.\n\nWITNESSETH:\n\n     1.   Producer agrees to cause Carl T. Rowan ('Artist') to\nrender the services hereinafter required of Artist in a timely\nand professional manner in accordance with all terms, provisions\nand conditions hereof.\n\n     2.   Producer shall require Artist to appear live, or by\nArtist's recorded performance, in the weekly news analysis series\nentitled INSIDE WASHINGTON ('the Series'), or in the same program\nseries under a different title, for a total of 44 appearances a\nyear.  Reappearances for retapings or live broadcasts shall not\nconstitute an appearance to be counted against the agreed upon\ntotal of 44 appearances.\n\n          Artist will provide Gannett with adequate advance\nnotice of the dates which he will not appear on the Series.\n\n     3.   This Agreement shall be in effect for a consecutive\nperiod of two (2) years, commending January 1, 1995 and\ncontinuing through December 31, 1996.\n\n     4.   Gannett agrees to pay to Producer, and Producer agrees\nto accept as full consideration for all services to be rendered\nby Producer and Artist hereunder and all rights granted to\nGannett hereunder:\n\n          a.   For the first year of this Agreement, January 1,\n1995-December 31, 1995, the sum of Two Thousand Six Hundred\nDollars ($2,600) per appearance, for a total of One Hundred\nFourteen Thousand Dollars ($114,000), payable in equal monthly\ninstallments; and\n\n          b.   For the second year of this Agreement, January 1,\n1996-December 31, 1996, the sum of Two Thousand Eight Hundred\nDollars ($2,800) per appearance, for a total of One Hundred\nTwenty-Three Thousand Two Hundred Dollars ($123,200), payable in\nequal monthly installments.\n\n          c.   All checks are to be made payable to CTR\nProductions, Inc., 3116 Fessenden Street, NW, Washington, DC\n20008.\n\n5.   If this Agreement is terminated by Gannett, for any reason,\nbefore the end date of this Agreement, Producer will be entitled\nto receive a lump sum severance payment equal to the entirety of\nthe remaining salary due under the terms of this Agreement.\n\n6.   In addition to the foregoing payments, Gannett shall\ndisburse to Producer each month during the Term such sum as\nGannett would otherwise be required to contribute to the pension\nand welfare fund of the American Federation of Television and\nRadio Artists ('AFTRA') on behalf of Artist.  Producer hereby\nexpressly assumes the obligation to remit such sum, in turn, to\nAFTRA, and hereby agrees to indemnify and hold harmless Gannett\nfrom any accountability therefor.\n\n7.   Producer warrants, represents and agrees that Artist is and\nwill remain a member in good standing of AFTRA throughout the\nTerm.\n\n8.   Producer warrants, represents and agrees that Producer\nand\/or Artist shall be responsible for such tax obligations as\nmay arise pursuant hereto, and that Producer and Artist will hold\nGannett harmless respecting all such tax obligations.\n\n9.   It is understood and agreed that, in consideration of the\nsums to be remitted by Gannett to Producer, Gannett shall have\nthe right in perpetuity to broadcast or cause to be broadcast and\nrebroadcast on television, cable and radio any of the appearances\nand performances rendered by Artist hereunder without payment of\nany additional sums and without frequency or territorial\nlimitation.\n\n10.  Producer and Artist agree that during the Term, or any\nextension thereof, Artist's services on radio and television will\nbe exclusive to Gannett, provided, however, that Gannett agrees\nthat Artist shall be permitted to appear on competing and other\nradio and television stations or programs for the purpose for\npublicizing and promoting books and other publications authored\nby Artist, or to promote Project Excellence, Artist's scholarship\nprogram.  Further, this Agreement will in no way limit Artist's\nability to continue indefinitely in whatever form Artist desires,\nthe regularly scheduled radio programs Artist currently performs\nunder sponsorship of the K-Mart Corporation, and, further, Artist\nis in no way prohibited under this Agreement from appearing, as a\nguest commentator, at Artist's sole discretion, on national\nnetwork originated news interview programs such as MEET THE\nPRESS, THIS WEEK WITH DAVID BRINKLEY, and FACE THE NATION.\n\n11.  Producer certifies that Artist is entirely familiar with the\nprovisions of Section 317 and 508 of the Federal Communications\nAct of 1934, as amended, certifies that Artist recognizes\nArtist's responsibilities and personal liabilities thereunder,\nand warrants that Artist will fully comply therewith throughout\nthe Term.\n\n12.  Neither Producer nor Gannett may assign this Agreement\nwithout the prior written consent of the other.\n\n13.  This agreement sets forth the entire agreement and\nunderstanding of the parties, and supersedes any prior or\ncontemporaneous understandings and agreements, whether written or\noral, with respect to the subject matter herein, and may only be\nmodified by a written instrument duly executed by each party.\n\n     IN WITNESS WHEREOF, the parties hereto, intending to be\nlegally bound hereby, have executed and delivered this Agreement\nas of the date first set forth above.\n\n\nCTR Productions, Inc. Rowan, do hereby consent, confirm\nand agree as follows:\n\n     1.   That CTR Productions, Inc. ('Producer') has full power\nand authority from me to enter into the Agreement and obligate me\nto perform the services required of me thereunder, and to grant,\nrelease and assign any rights, property and interest as set forth\nin the Agreement.\n\n     2.   That all representations and warranties made by\nProducer in the Agreement concerning me are true and correct as\nof the date hereof.\n\n     3.   That I shall comply with all terms and conditions of\nthe Agreement, and shall faithfully fulfill by responsibilities\nand obligations thereunder to the best of my ability.\n\n     4.   That all monies due under the Agreement are to be\nremitted directly and solely to Producer, and that the remission\nof such monies to Producer in accordance with the Agreement will\nrelieve and discharge Gannett Television of any obligations it\nmight otherwise have to me, to AFTRA, and\/or any other entity by\nreason of the services to be rendered to me under the Agreement.\n\n\n\n\ns\/ Carl T.
