Box 66100\nChicago, Illinois 60666\n\nSubject:  Letter Agreement No. 6-1162-MDH-077\n          Purchase Agreement No. 1663\n          BFE Seat Program\n\nReference is made to Purchase Agreement No. 1663 dated December\n18, 1990 (the Purchase Agreement) between The Boeing Company\n(Boeing), and United Air Lines, Inc. (Buyer), relating to the\nsale by Boeing and the Purchase by Buyer of thirty-four (34)\nModel 777-222 aircraft (hereinafter referred to as the Aircraft).\n\nThis Letter Agreement will become part of the Purchase Agreement\nand will evidence our further agreement with respect to the\nmatters set forth below.\n\nAll terms used herein and in the Purchase Agreement, and not\ndefined herein, shall have the same meaning as in the Purchase\nAgreement.\n\nBoeing has proposed to Buyer and Buyer has accepted Change\nProposal MC 2525MP7082 'Business Class Seats - Install PTC\ninstead of SICMA - Passenger Cabin' {the Master Change}. B\/E Aerospace shall be responsible for providing a designated\nengineering representative {DER}.  The DER will be responsible\nfor obtaining from the FAA the Technical Standard Order (TSO)\ncertification for the B\/E Aerospace Seats.\n\n2.  Buyer shall be responsible to freeze the design of\ncertification critical items of the B\/E Aerospace Seats by no\nlater than May 15, 1996.
