Box 66100\nChicago, IL 60666\n\nSubject:      Letter Agreement No. 6-1162-MMF-084 to\n              Purchase Agreement   No. 1670 - \n\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE\nSECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR \nCONFIDENTIAL TREATMENT]\n\nLadies and Gentlemen:\n\nReference is made to Purchase Agreement No. 1670 as\namended and supplemented, including all letter\nagreements thereto, the 'Purchase Agreement' between\nThe Boeing Company (Boeing) and United Air Lines, Inc.\n(Buyer) relating to the sale by Boeing and the purchase\nby Buyer of new Boeing model 747-400 aircraft.\n\nThis letter agreement (Letter Agreement), when accepted\nby Buyer, will become part of the Purchase Agreement\nand will evidence our further agreement with respect to\nthe matters set forth below.\n\nAll terms used herein and in the Purchase Agreement,\nand not defined herein, shall have the same meaning as\nin the Purchase Agreement.  If there is any\ninconsistency between the terms of this Letter\nAgreement and the Purchase Agreement, the terms of this\nLetter Agreement will govern.\n\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT\nTO A REQUEST FOR CONFIDENTIAL TREATMENT]\n\n       WHEREAS, Supplemental Agreement No. 6 to the\nPurchase Agreement, which Buyer and Seller are\nsimultaneously signing and delivering, effects the\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO\nA REQUEST FOR CONFIDENTIAL TREATMENT] and acceleration\nof the delivery of two (2) new Boeing model 747-400 to\nMay and June 1996 (1996 747-400), and\n\n       WHEREAS, in consideration of the purchase of the\ntwo (2) new 1996 747-400s by Buyer and Buyer's desire\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO\nA REQUEST FOR CONFIDENTIAL TREATMENT] as discussed\nherein in paragraph 1 below, for each 747-400\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO\nA REQUEST FOR CONFIDENTIAL TREATMENT] in Supplemental\nAgreement No. 6 to the Purchase Agreement,\n\n       NOW, THEREFORE, in consideration of the\nforegoing premises and the agreements hereinafter set\nforth, the parties hereto agree as follows:\n\n\n\n\n\n\n\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT\nTO A REQUEST FOR CONFIDENTIAL TREATMENT]\n\n\n\n\n\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT\nTO A REQUEST FOR CONFIDENTIAL TREATMENT]\n\n\n\n\n3.  Boeing and Buyer agree that the existence and\nterms of this Letter Agreement are confidential\ninformation and each agrees for the benefit of the\nother that they will treat such information as\nprivileged and confidential and will not, without the\nprior written consent of the other party, disclose such\ninformation to any other party except as may be\nrequired by (i) applicable law or governmental\nregulations or (ii) order of any court or governing\nagency having jurisdiction.  In connection with any\nsuch required disclosure, the disclosing party shall\nrequest and use its best reasonable efforts to obtain\nconfidential treatment of such information.  Each party\nagrees to reasonably cooperate with the other in making\nand supporting such request for confidential treatment.\n\n\n\n\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT\nTO A REQUEST FOR CONFIDENTIAL TREATMENT]\n\n\n\n\n5.  This Letter Agreement contains the entire\nagreement of the parties with respect to the subject\nmatter hereof and supersedes any previous proposals,\nunderstandings, commitments or representations\nwhatsoever, oral or written.  This Letter Agreement\nshall not be varied except by written agreement of the\nsame or subsequent date signed on behalf of Buyer and\nBoeing by their respective duly authorized\nrepresentatives.\n\nIf the foregoing correctly sets forth your\nunderstanding of our agreement with respect to the\nmatters addressed above, please indicate your\nacceptance and approval below.\n\nVery truly yours,\n\nTHE BOEING COMPANY\n\n\n\nBy \/s\/ M.
