{"id":42520,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/market-agreement-stamps-com-inc-and-cydcor-ltd.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"market-agreement-stamps-com-inc-and-cydcor-ltd","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/market-agreement-stamps-com-inc-and-cydcor-ltd.html","title":{"rendered":"Market Agreement &#8211; Stamps.com Inc. and Cydcor Ltd."},"content":{"rendered":"<pre>                                                          CONFIDENTIAL\n\n                      Addendum No. 1 to Market Agreement\n\n     This Addendum No. 1 to Market Agreement (this \"Addendum\") is made as of \nAugust 1, 2000 (the \"Effective Date\") by and between Stamps.com Inc., a Delaware\ncorporation with offices at 3420 Ocean Park Boulevard, Suite 1040, Santa Monica,\nCalifornia 90405 (\"Client\") and Cydcor Limited, an Ontario corporation with\noffices at 155 Gordon Baker Road, Suite 212, Willowdale, Ontario, M2H 3N5\n(\"Manager\").\n\n     WHEREAS, the parties have entered into a Market Agreement dated as of May \n15, 2000 (the \"Agreement\"); and\n\n     WHEREAS, the parties wish to modify and supplement the provisions of such\nAgreement.\n\n     NOW, THEREFORE, in consideration of the mutual promises set forth below, \nthe parties agree as follows:\n\n     1.   Pursuant to Section 8 of the Agreement, the parties agree to extend \nthe Agreement for an additional period of two (2) years from the Effective Date\nof this Addendum (the \"New Term\").\n\n     2.   During the New Term, the Payment Schedule attached hereto as Exhibit A\n                                                                       ---------\nshall apply:\n\n     3.   As additional consideration for Manager's commitments hereunder, \nClient shall deliver to Manager as of the Effective Date of this Addendum, a \nWarrant Issuance Agreement substantially in the form attached hereto as \nExhibit B.\n---------     \n\n     4.   Capitalized terms used but not defined herein shall have the meaning \ngiven them in the Agreement.\n\n     5.   Except as expressly set forth herein, the terms and conditions of the\nAgreement shall continue in full force and effect.\n\n     6.   This Addendum may be executed in one or more counterparts, each of \nwhich when executed shall be deemed to be an original but all of which taken \ntogether shall constitute one and the same instrument.\n \n\n \n\n     7.
