MASTER HP PARTNER AGREEMENT <\/strong><\/p>\n

This Agreement sets forth the general terms and conditions that will govern
\nyour appointment and the appointment of your Subsidiaries listed in Exhibit A as
\na non-exclusive partner (or “partner”) for the purchase, resale or sublicense of
\nHP Products and Support.<\/p>\n

“You” and “your” mean your company that has signed this Agreement (and a
\nLocal Implementation Agreement), as well as your Subsidiaries that have signed a
\nLocal Implementation Agreement. “We,” “us,” “our” and “HP” mean the
\nHewlett-Packard company that has signed this Agreement (and a Local
\nImplementation Agreement), as well as all HP Affiliates that have entered into a
\nLocal Implementation Agreement. The term “parties” refers to both you (and your
\nsubsidiaries that have signed a Local Implementation Agreement) and us (and our
\nAffiliates that have signed a Local Implementation Agreement), and the term
\n“party” may be used to refer to any such entities individually.<\/p>\n

This letter, together with the attached Master HP Partner Terms, the Local
\nImplementation Agreements and all other Addenda and Transaction Documents
\nestablishes the entire Master HP Partner Agreement (“Agreement”).<\/p>\n

We look forward to establishing mutually beneficial relationship with you
\nthrough this Agreement.<\/p>\n

“Subsidiary<\/em>” means any of your subsidiary companies, or any

\ncontent applicable to this Agreement, or any mutually agreed or accepted

Subject to the execution of a Local Implementation Agreement (“LIA”)
\nsubstantially in the form of Exhibit A referencing this Agreement, you and your
\nSubsidiaries may be appointed as authorized, non-exclusive partners for the
\npurchase and resale through distribution, and when authorized by HP the
\nsublicense of Products subject to the terms and conditions of this Agreement.\n<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

b.<\/p>\n<\/td>\n

Local Implementation Agreements shall be entered into by you and us, and by
\neach of your qualified Subsidiaries and an HP Affiliate operating in, or
\nsourcing products to, the Territory where each of your Subsidiaries operate.
\nUpon signing a Local Implementation Agreement, the terms of this Agreement will
\napply between the parties that have entered into a LIA pursuant to this Section
\n2(b). A Local Implementation Agreement may include supplemental
\nTerritory-specific terms to reflect local laws or business practices that will
\ntake precedence over any other inconsistent terms in this Agreement, as well as
\nall relevant Addenda, Exhibits and appendices relevant to the partnership
\nappointment in the relevant Territory. Each of the parties signing a Local
\nImplementation Agreement will perform only in the Territory designated in the
\nrelevant Local Implementation Agreement and will be solely responsible for
\nclaims arising out of its own performance.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

The nature and scope of your authorization are detailed in the Addendum (or
\nAddenda) that describe(s) your roles and responsibilities as an HP authorized
\npartner (“HP Partner Roles and Responsibilities Addendum” or “HP Partner
\nAuthorization Addendum”). The Products covered by this authorization, including
\nany discounts and commitment levels, are detailed in the Product Exhibits or the
\nHP Partner Portal. Other policies, procedures, terms and conditions applicable
\nto this Agreement as per their respective terms and as updated from time to
\ntime, are contained in the OPM or posted on the HP Partner Portal. Specific
\nterms and conditions or authorization level for each LIA will be included in,
\nappended to, or incorporated by reference into, the relevant Local
\nImplementation Agreement(s).<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

All Products must be purchased for resale purpose only, and not for internal
\npurposes. You may purchase from HP or an HP authorized distributor in the
\nTerritory and as indicated in the HP Partner Roles and Responsibilities
\nAddendum. You may not purchase Products for resale purposes from any
\nunauthorized sources. When you purchase Products directly from us, the HP
\nPartner Terms of Purchase will apply for such purchases.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

You may resell Products to Customers as and if specified in the HP Partner
\nRoles and Responsibilities Addendum. You may not resell Products to any of your

You will conduct your business under this Agreement only in the Territory
\nand, to the extent allowed by applicable law, importation into or exportation
\nout of the Territory of Products is prohibited unless we authorize you to do so
\nin writing. The Territory where you or your eligible Subsidiaries may conduct
\nbusiness under a Local Implementation Agreement will be designated in such Local
\nImplementation Agreement. You will not directly or indirectly resell Products
\nwithin the Territory if the Products have not been acquired directly from HP or
\nfrom an HP authorized distributor, or you know or have reasons to believe that
\nthe purchaser or any third party will export for sale or resell Products to, or
\nimport into any country outside the Territory.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

Name or Location Change<\/u>. You must notify us immediately in writing if
\nyou change your company name or legal form, or need to add, close or change an
\nHP-approved sold-to address or an HP-authorized location.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

b.<\/p>\n<\/td>\n

Ownership Change<\/u>. In case of an ownership change, you will notify us
\nin writing and provide the required information within five (5) days prior to
\nthe intended date of change, or on the earliest date you are legally permitted
\nto provide such information, but not later than five (5) business days after the
\nchange has occurred. “Ownership Change” means merger, acquisition, consolidation
\nor other reorganization that results in an entity controlling twenty percent
\n(20%) or more of your company153s capital stock or assets, or which assumes
\nmanagement of your operations or your company153s acquisition of twenty percent
\n(20%) or more of the capital stock or assets of another entity. After we receive
\nall required documents to evaluate your status change or as soon as we believe
\nwe are in a position to decide, we will notify you of our consent or refusal to
\ncontinue your Agreement. If we refuse, this Agreement will automatically and
\nimmediately terminate unless otherwise provided and we may, subject to mandatory
\napplicable law, cancel any unfulfilled obligations. We do not consent to these
\nchanges prior to any Ownership Change.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
\n

4.<\/p>\n<\/td>\n

SOFTWARE LICENSE<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

License Grant<\/u>. HP grants you a non-exclusive, non-transferable license
\nto distribute Software to Customers for their use.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

b.<\/p>\n<\/td>\n

\n

Sublicense<\/u>. Some Software may require a sublicense agreement between
\nyou and Customer. The written sublicense agreement must be available to us upon
\nrequest and will incorporate the terms as provided by HP.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

c.<\/p>\n<\/td>\n

\n

Ownership<\/u>. Software is owned and copyrighted by us or by third party
\nsuppliers. Your Software license confers no title or ownership and is not a sale
\nof any rights in the Software, or the media on which it is recorded or printed.\n<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

d.<\/p>\n<\/td>\n

\n

License Restrictions<\/u>. You will not modify, disassemble, decrypt or
\ndecompile the Software without our prior written consent. Where you have other
\nrights under statute, you will provide us with reasonably detailed information
\nregarding any intended disassembly, decryption, or decompilation and the reasons
\nfor the action.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

e.<\/p>\n<\/td>\n

\n

You shall ensure that your Customer is advised that (1) the use of the
\nSoftware is subject to the Customer acceptance of end-user license terms
\n(EULA153) delivered with the Product and (2) Support will be delivered subject to
\nHP153s Support terms. The EULA and the Support terms are available from HP upon
\nrequest or may be electronically posted by HP.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

f.<\/p>\n<\/td>\n

If the Software is licensed for use in the performance of a U.S. government
\nprime contract or subcontract, you agree that the Software is delivered as
\n“Commercial computer software” as defined in DFARS 252.227-7014 (Jun 1995), or
\nas a “commercial item” as defined in FAR 2.101(a), or as “Restricted computer
\nsoftware” as defined in FAR 52.227-19 (Jun 1987), or any equivalent agency
\nregulation or contract clause, whichever is applicable.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

5.<\/p>\n<\/td>\n

MICROSOFT LICENSE GRANT LIMITATION<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

You agree to the following terms if you distribute HP computer systems that
\nare pre-installed, bundled, or otherwise distributed with a Microsoft (“MS”)
\noperating system or with MS application Software (“HP Computer Systems”). You
\nwill:<\/p>\n\n\n\n
<\/td>\n\n

a.<\/p>\n<\/td>\n

\n

Deliver to your Customer, as applicable, the Microsoft Certificate of
\nAuthenticity (“COA”) and Associated Product Materials (“APM”) together with each
\nHP Computer System, in HP153s packaging, and will not quote a separate price for
\nthe MS operating system, the MS application Software or both. “APM” means
\nmaterial associated with the MS operating system Software or application
\nSoftware, or both, that accompany the HP Computer System in HP153s packaging,
\nincluding without limitation, the Customer manual, recovery media, and external
\nmedia.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

b.<\/p>\n<\/td>\n

\n

Provide reasonable assistance to us in any investigation of an incident where
\nyou or any party within your distribution channels delivers the COA and APM
\nseparate from HP Computer Systems purchased from you or quotes a separate price
\nfor the MS operating system, the MS application Software, or both on such HP
\nComputer Systems.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

c.<\/p>\n<\/td>\n

Take all commercially reasonable steps to follow notices of any kind provided
\nby Microsoft, or by us to you, regarding any Microsoft Software distributed with
\nHP Computer Systems.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

d.<\/p>\n<\/td>\n

\n

Indemnify HP from all costs, including reasonable attorneys153 fees, relating
\nto claims by Microsoft relating to the unauthorized distribution of Microsoft
\nproducts.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

e.<\/p>\n<\/td>\n

If Microsoft notifies us that we must discontinue distribution of the HP
\nComputer Systems to you, we will do so promptly following receipt of such
\nnotice. Under no circumstances will our failure to deliver HP Computer Systems
\nto you, following receipt of such notice, constitute a breach of this Agreement.\n<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

6.<\/p>\n<\/td>\n

WARRANTY<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

a.<\/p>\n<\/td>\n

\n

Warranty Terms<\/u>. Product warranty terms, conditions, exceptions,
\nexclusions and disclaimers are contained within the Product packaging, with HP
\nquotes, on indicated web pages or HP Partner Portal, or upon request.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n
<\/td>\n\n

b.<\/p>\n<\/td>\n

\n

Pass Through Processes<\/u>. HP warranty passes through to Customers. You
\nmay provide more extensive warranty coverage for Customers, as long as we have
\nno responsibility for fulfilling the additional obligations. If you provide more

\nhold HP harmless from all loss, damage, expense or liability in connection with

\nsection should be taken as an authorization to export in breach of section 2.f.\n<\/p>\n

Any amendment that we issue to this Agreement will automatically become a

\nterminate such LIA without notice and may, subject to mandatory applicable law,
\ncancel any unfulfilled obligations, and (ii) the undersigned party to this
\nAgreement affiliated with the Counter-Party may terminate this Agreement (along

In the event of any material breach of this Agreement or any LIA entered into

\nrequire the breaching party to refund or forfeit any discounts or program
\npayments paid and\/or accrued during the scope of the breach period; (3) and\/or
\nrequire the breaching party to reimburse us for all reasonable outside counsel
\nfees associated with enforcing these provisions. Additionally, each time you
\nbreach the terms stated in this Agreement, you will indemnify us against, and we
\nmay invoice you, and you agree to pay, for all liabilities, losses, costs and

Code of Conduct.<\/u> HP expects all partners to conduct business in strict
\nlegal compliance and with the highest ethical standards. By signing this
\nAgreement, you agree to comply with HP153s Partner Code of Conduct, as updated
\nfrom time to time, and located on the HP Partner Portal. Additionally, you
\nacknowledge that there are specific legal and ethical requirements for doing
\nbusiness with public sector entities and you are solely responsible for your
\ncompliance with these requirements. Specifically, you agree (without
\nlimitation): (1) not to seek or accept any compensation in connection with this
\nAgreement which may violate any applicable laws, regulations, contracts, or
\nconflict of<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

interest policies; (2) not to use bribes, kickbacks, illegal gratuities, or
\nother corrupt practices in connection with this Agreement; and (3) not to
\nprovide HP with any proprietary, source selection sensitive, or other
\ninformation that is restricted from disclosure by a third party. A breach of
\nHP153s Partner Code of Conduct may be deemed a material breach of this Agreement.
\nWithout limiting HP153s rights under section 15, if you breach HP153s Partner Code
\nof Conduct, HP may exclude you from HP153s channel programs, including special
\npricing and\/or promotion programs and, if you are eligible to purchase Products
\ndirectly from HP, HP may alter the level of discount available for such
\npurchases.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

Electronic Transactions<\/u>. If the parties agree to do business

Electronic transactions under this section mean signing contracts, placing or

Any orders placed by you and accepted by us on any hp.com website or any of
\nyour or our extranet sites will create fully enforceable obligations that will
\nbe subject to the terms contained in this Agreement. The parties understand and
\nagree that those orders we accept will be deemed for all purposes to be: (1)
\nbusiness records originated and maintained in documentary form; (2) a “writing”
\nor “in writing”; (3) “signed”; and (4) an “original” when printed from
\nelectronic files or records established and maintained in the normal course of
\nbusiness.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

The parties will not legally contest the validity or enforceability of

Electronic transactions will be admissible if introduced as evidence on paper
\nin any judicial, arbitration, mediation, or administrative proceeding to the
\nsame extent and under the same conditions as if they were hard copy signed

Electronic transactions may be conducted through EDI or other electronic

Each party will use commercially reasonable security measures to limit access
\nto passwords and to limit access to the sites used to process electronic
\ntransactions, to authorized persons. Each party will be responsible for any
\nunauthorized use of the sites or issuance of messages caused by the failure of
\nits security measures<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

Enforceability.<\/u> If any term or condition of this Agreement is
\ndetermined to be invalid, illegal or unenforceable, the validity, legality and
\nenforceability of the remainder of this Agreement will remain in full force and

Entire Agreement.<\/u> This Agreement is the entire agreement between the
\nparties regarding its subject matter and supersedes all prior representations,
\ndiscussions, negotiations, agreements, or your additional or inconsistent terms,
\nwhether written or oral. Additional or inconsistent terms on any purchase order
\nor other document from you will not apply to transactions. No modification of
\nthis Agreement or this provision will be binding on either party unless made in
\ncompliance with section 14, Changes and Amendments.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

Force Majeure<\/u>. Neither party will be liable for performance delays or
\nfor non-performance due to causes beyond its reasonable control. However, this

Governing Law.<\/u> Any dispute between you and us relating to the
\nformation, validity, breach or termination of this Agreement will be governed by
\nthe laws of California and the courts of California will have exclusive
\njurisdiction. Disputes relating to the formation, validity, breach or
\ntermination of a LIA or relating to specific transactions under a LIA, will be
\ngoverned by the law held applicable to the concerned LIA and the courts
\nindicated in the concerned LIA will have exclusive jurisdiction, except that HP
\nmay, at its option, bring suit for collection in the country where the
\nSubsidiary that placed the order is located.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n\n\n\n

Independent Contractors<\/u>. Both parties are independent contractors in

Notices.<\/u> All notices must be in writing, and considered given as of

\nof notices are calculated based upon business days, excluding Saturday, Sunday,
\nand public holidays. Notices to us will be sent to Hewlett-Packard Company, HP
\nAmericas Partners Contracts Organization, 10955 Tantau Avenue, Bldg 45 South
\nLower, MS 4381, Cupertino, CA 95014-0794, or to an address provided by us in
\nwritten notice to you. All notices to you will be sent to the attention of the
\nindividual at the address indicated on the approval notification we issue to

Order of Precedence.<\/u> In the event of a conflict, the following order

UN Convention.<\/strong> <\/u>The United Nations Convention on
\nContracts for the International Sale of Goods will not apply to this Agreement

Reseller acknowledges that this Agreement is subject to the export, import
\nand other trade-related laws and regulations of the U.S. and other national
\ngovernments and agrees to assume responsibility for complying with applicable
\nlaws and regulations and for obtaining required export and import
\nauthorizations.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n

Reseller assures it will not export, re-export, release or otherwise transfer
\nby any means or method any restricted technical data and technical assistance,
\nthe direct product of such restricted technical data and technical assistance,
\nor Software and the source code for such Software obtained by Reseller under
\nthis Agreement to certain controlled countries and to the nationals of such
\ncountries identified by the U.S. government, and other national governments jf
\napplicable, as parties and countries which are subject to certain trade control
\nembargoes, sanctions, prohibitions and restrictions, to include all countries
\nidentified in country groups D:1, E:1 and E:2, as identified in Supplement
\nNo.1 to Part 740<\/u> of the U.S. Export Administration Regulations without
\nhaving first obtained any required government authorization . This export
\ncontrol assurance shall survive the expiration or earlier termination of this
\nAgreement.<\/p>\n

Reseller agrees that it will not, without first obtaining or confirming the
\navailability of any required prior U.S. government authorization, route or cause
\nto be routed, any of HP153s Products or cargo through a country that is subject to
\nthe in-transit country restrictions described in Part 736.2(b)(8) of the<\/p>\n

U.S. Export Administration Regulations.<\/p>\n

Reseller further agrees that, in connection with the Products, services
\nprovided herein to or by HP pursuant to this Agreement, It will not knowingly
\ncontract with or otherwise do business with, any company, individual or
\norganization that poses a threat of technology diversion, and\/or is subject to
\ntrade sanctions, restrictions or controls imposed by the U.S. government or
\nother national governments, the effect of which sanctions or controls would be
\nto prohibit or constrain such contracts or business activities, absent the prior
\nauthorization of the U.S. government and\/or national government. To that end,
\nReseller shall be fully responsible for “screening” the transactions of
\ncustomers except for retail sales transactions in which the names and addresses
\nof the parties to the transaction are not recorded or retained in the normal
\ncourse of business, sub-contractors, component suppliers, vendors and all other
\nthird parties who may assist or benefit from Reseller, and will exercise
\ncommercially reasonable care and due diligence to ensure such third parties
\n(Restricted Parties153) are not knowingly:<\/p>\n

a. Identified as, or engaged in, prohibited nuclear, missile, chemical or
\nbiological weapons of mass destruction end users or end uses, respectively (ref.
\nU.S. Export Administration Regulations, Part 744).<\/p>\n

b. Associated with circumstances and\/or engaged in activities such as to
\nsuggest a “red flag” risk of illegal diversion (ref. U.S. Export Administration
